2 Who we are In 2018, a billion people do not have access to electricity in the world, nearly 3 billion people do not have access to clean and safe cooking solution, and one in ten Europeans struggles to get proper heating in the winter. Whether it concerns health, safety, fighting against climate change, or economic inclusion, access to energy for all is a prerequisite for sustainable and harmonious development. Access to clean and sustainable energy for all by 2030 is the 7th of the Sustainable Development Goals set by the United Nations. Since 2011, ENGIE Rassembleurs d'énergies has been working to achieve this goal. With 50 million endowment, the fund supports companies in Europe and developing countries in the deployment of decentralized and sustainable energy solutions. As an impact investment fund, ENGIE Rassembleurs d'énergies is committed to promoting companies that have a positive and measurable environmental and social impact. At the end of 2018, the ENGIE Rassembleurs d'energies fund companies have already contributed to the access to sustainable energy of 3.7 million beneficiaries worldwide. Investment criteria ENGIE Rassembleurs d'energies invests in social enterprises that enable poor people to have access to clean and sustainable energy or to fight against energy poverty. Companies are selected and evaluated over time following a multi-criteria analysis: Environmental performance Social performance Relevance of the solution Synergies with the ENGIE group Financial value

5 2018, year of transition New investments The fund kept on developing clean cooking solutions businesses by making an investment in Envirofit. This company, present on three continents, has been designing and marketing various types of improved cookstoves since 2003 and is currently developing LPG cylinders including "Pay as you Cook" technology in Kenya. This model will offer a consumer credit solution while preventing supply outages. RDE has also expanded its portfolio to rural distribution by investing in Frontier Markets, a distributor since 2011 of decentralized energy access solutions in rural India, relying on a network of women entrepreneurs. Finally, the fund finalized its investment in Husk Power Systems, a company specializing in the development of micro-grids in India and Tanzania. Husk Power Systems continuously provides electricity to disconnected villages through a network of minigrids powered by solar energy and biomass. Acquisitions by the ENGIE group After Fenix in 2017, the ENGIE group strengthened its presence in the decentralized electrification sector by acquiring SIMPA Networks, which offers individual solar systems in the state of Uttar Pradesh in India. SIMPA Networks now provides 260,000 people with access to a sustainable and decentralized energy source. Renewal of the solidarity agreement In France, constructive exchanges with the Ministère de la Transition écologique et solidaire have resulted in the renewal of the solidarity label of the fund, by taking into account the corporate purpose of companies outside France and their actual impact on improving the life conditions of their beneficiaries. This provision allows the fund to maintain its status and to manage the solidarity savings of the Group employees. New fund governance ENGIE's CSR Director Anne Chassagnette took over the management of the fund, replacing Laure Vinçotte, which had been in place since the fund's inception in 2011.

6 Certification After a first GIIRS certification obtained in 2017, ENGIE Rassembleurs d'energies was evaluated in 2018 by B. Lab with the objective of obtaining the B.Corp certification. This certification was granted in March enterprise out of 4 of our portfolio is B.Corp certified. B Corp is a label that not only evaluates a company's CSR policies, but also and values the real impact and positive contributions of the company's activities. Our partners

16 Submit an investment project Conflict of interest Policy ENGIE Rassembleurs d Energies mission is to promote access to sustainable energy for all through direct minority investments in enterprises which purpose is to provide sustainable and relevant energy access solutions to under-served populations. As such RDE may invest in different companies active in related or competing fields. Until now, RDE has not appointed voting board members in companies operating on competing market segments. Generally, board members appointed by RDE are committed to act in the best interests of the company where they seat. Should an independent body declare that a conflict of interest having a material adverse effects exists, then RDE will endeavor to put in place adequate corrective measures that it deems appropriate in the relevant case. 1 place Samuel de Champlain Courbevoie France
