1 Merrick White Partner Corporate, Finance and Investments Singapore: Merrick White specialises in global oil, gas, LNG, refining and petrochemical project development. As a partner in our Projects and Construction practice, Merrick advises clients on all aspects of energy-related development projects and transactions, from the granting of upstream concession agreements to the acquisition and disposal of energy assets; the development of production and transportation infrastructure; and the sale of oil, gas, LNG and petrochemical products. With more than two decades of experience, Merrick works with clients on the legal, commercial, business development and engineering aspects of the oil and gas industry, particularly in Asia and Africa. Among other matters, he advises clients on farm-out arrangements, gas pipeline network developments, and all forms of gas and LNG sale and purchase agreements and project development. His recent work includes acting on behalf of the lenders in the financing of a major Central and South Asia gas pipeline project. In addition to his legal qualifications, Merrick is a Chartered Chemical Engineer. He has spent over 20 years in Asia (including seven years in Jakarta) successfully developing major gas infrastructure projects, and six years in engineering and commercial roles with British Gas Exploration and Production. Since 2012, Merrick has been recommended as a Leading Lawyer in Chambers Global for Project work, and from 2008 for Oil and Gas, where he is ranked Band 1. He was also recognized by Chambers Global in 2016, as well as by Chambers Asia-Pacific in 2017, for his work across the oil and gas industry. Matters Advising Anadarko s Mozambique LNG project on all aspects of its gas supply, LNG sales and shipping arrangements, including LNG SPAs with buyers in the Middle East, India, S. E. Asia, China and Japan. Advising PT Energi Dian Kemala, an Indonesian LNG import project developer, on its long-term and short-term LNG purchases, construction contracts for its FSU and regasification facilities, LNG break bulk and distribution, and re-gasified LNG on-sale arrangements. Advising operators of Sakhalin gas projects on their gas sales to Gazprom and LNG plant development

2 Advising the ADB and leading the negotiations for the Gas Sales, Gas Transportation, Pipeline Network Code, Inter-Governmental and Host Government agreements for the Turkmenistan, Afghanistan, Pakistan to India (TAPI) pipeline project, including the gas allocation arrangements and the corporate structuring and shareholding arrangements, and ensuring the project can be financed, has the best investment treaty protections and has project agreements that are compatible with the needs of ECAs and multilateral financing institutions. Advising Premier Oil on the first international, multi-pipeline system gas swap in Asia between Indonesia and Singapore, utilising three different pipeline networks each with a different regulator. Advising a PSC operator on multiple field unitisations, its gas reserve dedication and additional gas sales in relation to cross-border gas sales from Malaysia to Thailand. Leading Gulf Indonesia's negotiations for the Singapore Power Gas Sale involving negotiations for, and project managing various aspects of, this US$25 billion international cross-border gas sale from Sumatra to power generation utilities in Singapore and the supporting inter-psc Gas Supply, Gas Transportation, Trustee & Paying Agent agreements as well as developing the network code for the Sumatra gas transmission system. West Natuna Gas Project leading the Kakap PSC's market development, gas sales and transportation negotiations with the Singaporean gas buyer, SembGas, for the cross-border WNG pipeline project, the first international pipeline gas sale from Indonesia. The role has included developing the multi-psc gas supply and multi-user pipeline network code agreements. Negotiating British Gas' oil transportation agreements with Forties and Flotta pipeline systems in the North Sea, including advising on multi-component product allocation arrangements. Advising PDO on the oil transportation and crude oil value adjustment arrangements necessary to convert a single-user pipeline system into a multi-user system to enable the sale of the Mukhaizna heavy oil field to Occidental. Advising multiple buyers and sellers, including Shell, Mubadala Petroleum, Pearl Oil, Kris Energy, Pacific Oil and Gas and Ramba Energy, on upstream and energy-related acquisitions and disposals in Brunei, Cambodia, Indonesia, Laos, Myanmar, Papua Guinea, Philippines, Thailand, Romania and Vietnam. Advising Premier Oil on the negotiation of its drilling contract and its rig-sharing agreement, between three upstream operators, for exploration wells in Indonesia and Vietnam. Advising Jasper Drilling on a charter dispute in relation to a drillship operating in Venezuela and on the chartering of another drillship in West Africa. Advising Star Energy, the operator of an Indonesian FPSO, on various issues relating to the vessel s class, the operator's obligations and liabilities under the JOA and the long-term charter for a replacement FPSO. Advising Rubicon, an FPSO owner, on its chartering arrangements for oil fields in the Philippines and Thailand. Advising Pearl Oil on its FPSO chartering and O&M arrangements for the Jasmine Field in Thailand. Advising Nagarjuna, the owner of an Indian oil refinery company on the sale of an interest in the 2 2

3 refinery to an international oil trader, including advising on the purchase of crude oil, sale of refined products and commercial optimisation of the refinery. Acting for Lanxess, the sponsor of a major Singapore greenfield petrochemical project, on its feedstock and utility supply, product storage and product sales arrangements. Acting for Shell in the development of multi-user product storage and loading agreements for a petrochemical project in Thailand. Acting for a gas shipper in an arbitration against the gas pipeline operator in relation to a tariff dispute. Acting for an LNG seller in relation to a price-review arbitration with one of its Chinese LNG buyers. Acting for the PSC operator in a dispute relating to failures to pay by a shareholder under a complex equitable farm-in agreement and the subsequent purchase of such failing shareholder's interest. Acting for two PSC participants in relation to a cost-recovery dispute arising from an equitable farm-in to an Indonesian PSC.
