Culotta (Ken) Partner Corporate, Finance and Investments Houston: For over 32 years, Ken Culotta has focused his practice in domestic and cross-border investment, commercial and financial transactions in the energy sector, with an emphasis on oil, gas, LNG and other hydrocarbons and petrochemicals. Ken assists a variety of clients with domestic and cross-border energy and infrastructure investment, financing and monetization transactions, including mergers and acquisitions, project development and finance, and the public and private law issues involved in structuring, documenting and negotiating these transactions. He also works with clients on commercial agreements for site acquisition, revenue generation, hedging of financial exposure, raw materials and feedstock inputs, and construction, financing and operation of facilities. Clients represented by Ken include oil, gas, NGL, LNG and petrochemical producers, transport and storage providers and customers, conventional power and utility-scale solar generators, merchant transmission providers, energy marketers, service companies and mining companies, along with private equity funds and other energy sector investors. Ken is a frequent author and speaker on a wide range of energy sector topics. He is fluent in English, Spanish and German. Magnum Development in the negotiation of a proposed joint development agreement for a gas fired power project at a site in Utah. The North American trading and origination arm of RWE in the structuring, negotiation and documentation of gas and power supply, and energy management arrangements. Tonbridge Power in connection with the development of a cross-border electric transmission system to support development of renewable generator. Luz y Fuerza de San Lorenzo, S.A. in the development and financing of a 40MW distillate-fired turbine power plant in Honduras. Liquefied Natural Gas An LNG project developer in connection with the development of an LNG liquefaction terminal in Quebec. An LNG project developer in connection with negotiation of a pipeline gas-to-lng supply agreement in South America. Anadarko in connection with its LNG liquefaction project currently under development in Mozambique. Anadarko in connection with its negotiations of terminal use rights in the Bear Head LNG terminal project in Canada and subsequent sale thereof. Antillean Gas Ltd in the development of an offshore LNG receiving terminal project in the Dominican Republic. Bear Head LNG in connection with the development of its Bear Head LNG export project at Point Tupper, Nova Scotia, including commercial, construction and gas transportation matters. BP Indonesia in connection with the development and marketing of liquefied natural gas from the proposed Tangguh LNG plant. Eagle LNG Partners in connection with LNG marketing arrangements related to its proposed Florida-based LNG export facility. El Paso Energy in connection with the development of a proposed LNG receiving terminal on Grand Bahama Island. 3 Floridian Natural Gas Storage in connection with a large-scale LNG peaker storage project in the U.S. supplying LNG for pipelines, vehicle fuel and export. Gas Sayago, a joint venture of Uruguayan government electric and fuels utilities, (and formerly, Administracioń Nacional de Usinas y Transmisiones Electricas (UTE)) in connection with import terminal and LNG supply arrangements for its marine LNG receiving terminal project near Montevideo. Gulf Coast LNG Partners in connection with regulatory, commercial and construction issues related to the proposed Calhoun LNG receiving terminal at Port Lavaca, Texas and related Point Comfort gas transportation pipeline. Macquarie in connection with U.S. LNG export commercial arrangements. NextDecade LLC in connection with the development of proposed LNG export terminals in Texas, including financing, commercial and construction matters. Pacific Stratus in connection with its marketing arrangements and other legal matters related to its LNG export project in Colombia, including negotiation of LNG sales and purchase agreement with Gazprom Marketing & Trading. Point Fortin LNG Exports Limited in connection with its long-term sales of LNG from Trinidad to the U.S. Rabaska Limited Partnership, a Quebec limited partnership, in connection with terminal use arrangements and procurement and construction issues related to its proposed LNG receiving terminal at Beaumont/Levy in Quebec, Canada. SeaOne Caribbean LLC in the development of its innovative CGLTM compressed gas liquids project to supply a mix of methane and heavier hydrocarbons in solution to Central American and Caribbean markets. Shell North America LNG in connection with various aspects of its business, including advice on issues related to North American LNG importing arrangements. Shell North America LNG in AES v. Florida Gas Transmission Company, a Federal Energy Regulatory Commission proceeding concerning the adoption of uniform tariffs for the introduction of re-gasified foreign LNG into Florida s natural gas pipeline system. Tractebel with respect to an EPC agreement for a LNG plant expansion in Trinidad and Tobago. Valero in connection with its proposed floating LNG import and re-gas terminal in Aruba. Woodside LNG in connection with its proposed Oceanway LNG receiving terminal and pipeline in Southern California. Midstream Energy A Mexican private-equity portfolio company in the development and financing of a proposed marine fuel import terminal, transport pipeline and inland distribution terminal. A Texas-based private-equity portfolio company in the development and sale of an NGL pipeline in the Permian basin. Shell Energy Trading in connection with various natural gas and electricity transactions, including as gas exchanger and balancer to Texas Municipal Gas Corp in connection with TMGC s taxadvantaged sales of natural gas to various Texas municipalities. El Paso Corporation in connection with a proposed open season for the Seafarer gas pipeline project, intended to transport natural gas from an LNG receiving terminal in the Bahamas to the east coast of Florida. Haddington Gas Storage (Netherlands) BV in connection with its acquisition of Continental Gas Storage GmbH, a company currently developing the first independent high-performance saltdome gas storage facility in the EU, located at Epe, Germany; and in its ongoing development activities. Haddington Ventures LLC, a private equity fund with investments in the midstream energy sector, in the US $122 million disposition of its interest in Lodi Holdings LLC, which owns a gas storage facility in California.
