3 MOROCCO has introduced the natural gas by TAHADDART CCGT PLANT 2005: TAHADDART COMBINED CYCLE PLANT COMMISSIONING (385 MW) 2010: AIN BENI MATHAR THERMO SOLAR PLANT COMMISSIONNING (470 MW OF WHICH 20 MW IN SOLAR). THE SUPPLY OF THESE TWO NATURAL GAS POWER PLANTS WAS, UNTIL THE END OF OCTOBER 2011, PROVIDED EXCLUSIVELY BY THE AMOUNTS COLLECTED BY THE STATE UNDER THE FEE FROM GME AND SOLD TO ONEE, AMOUNTING TO ABOUT 750 MILLION CUBIC METER (M3) PER YEAR. AIN BENI MATHAR SOLAR THERMAL POWER PLANT 2010 AND ALSO TO SECURE THE SUPPLY OF THESE TWO PLANTS, A COMMERCIAL CONTRACT FOR THE DELIVERY OF NATURAL GAS WITH AN ANNUAL VOLUME OF 640 MILLION M3, WAS SIGNED ON JULY 31 th 2011, OVER A PERIOD OF TEN YEARS. THE FIRST DELIVERY OF THIS GAS WAS OCCURRED ON 1 st NOVEMBER Page 4

4 Analysis / constraints THE POWER SECTOR / LOCOMOTIVE FOR MASS INTRODUCTION OF LNG POWER DEMAND IN HIGH GROWTH AND THE DEMAND PROFILE IS CHANGING A PEAK DEMAND MAINLY DRIVEN BY RESIDENTIAL DEMAND, AND CONCENTRATED IN THE EVENING AND SUMMER A STRUCTURE OF DEMAND CHANGING, WITH TWO PEAK LOAD CURVE (DAY AND EVENING FROM 13H TO 21H). THE PIC OF THE DAY IS MAINLY DUE TO THE USE OF POWER BY SERVICES SECTOR AND AIR CONDITIONING IN RESIDENTIAL SECTOR. THE DEMAND FOR ELECTRICITY WILL KNOW AN AVERAGE ANNUAL GROWTH NEAR: 6.1% BETWEEN 2014 AND 2016, LEADING TO A NET ENERGY DEMAND BY 38 TWH (TERAWATT HOUR) AROUND % BETWEEN 2017 AND 2025, RESULTING IN A NET ENERGY DEMAND ABOUT 65 TWH IN HIGH PRESSURE ON THE MOROCCAN POWER SYSTEM, GENERATED BY THE RISE OF RENEWABLE ENERGY AND URGENT NEED FOR FLEXIBLE TECHNOLOGIES LIKE CCGT. 5 NEEDS OF ADDITIONAL POWER GENERATION CAPACITY BY 2025 BY 2020, THE POWER EQUIPMENT PLAN, IS DESIGNED TO ACHIEVE AN OVERALL CAPACITY OF ABOUT 5456 MW TAKING IN ACCOUNT PROJECTS UNDER DEVELOPMENT AND CONSTRUCTION BETWEEN 2020 AND 2025, TO MEET THE DOMESTIC ELECTRICITY DEMAND, THE ADDITIONAL CAPACITY OF CCGT PLANTS TO DEVELOP AMOUNTS TO 3900 MW OF WHICH 6 UNITS OF 600 MW EACH AND PROCESSING GAS TURBINE OF MOHAMMEDIA (300 MW) AND KENITRA (300 MW) IN COMBINED CYCLE 450 MW EACH. REGARDING TO THE VOLUME OF NATURAL GAS RESERVED FOR THE ELECTRICITY SECTOR IN THE FIRST PHASE OF THE LNG TERMINAL, ADDITIONAL PRODUCTION CAPACITY OF ELECTRICITY FROM CCGT PLANTS IS ABOUT 2700 MW. THE PROGRAMMING OF THE REMAINING TWO CCGT PLANTS DEPENDS ON THE VISIBILITY ON GAS ROYALTY AND ON GAS CONTRACT ONEE / SONATRACH. REGARDING TO THE TIME REQUIRED FOR COMPLETION OF THE GAS INFRASTRUCTURE, COMBINED CYCLE PLANTS WILL NOT WORK ONLY AFTER Page 6

6 PORTFOLIO OF SITES THAT CAN HOLD FUTURE CCGT PLANTS For the development of combined cycle power plants, the ONEE has a qualified a portfolio of sites to hold these future plants. These are: PORTFOLIO OF SITES THAT CAN HOLD 6300 MW CCGT LNG terminal in Jorf Lasfar: the enclosure of the LNG terminal will be used to hold the first two CCGT plants of 600 MW each, Mohammedia and Kenitra where two 450 MW CCGT will be developed through the conversion of TAG 3x100 MW Dhar Doum, located about 120 km south of Tangier, which can accommodate a total installed capacity of 2x600 MW Oued El Makhazine, located 100 km south of Tangier, that can accommodate a capacity of 2x600 MW Al Wahda: where two CCGT 2x600 MW can be developed, Tahaddart: An additional capacity of 600 MW CCGT will be developed, This portfolio of sites allows our country to install a total generation capacity of 6,300 MW CCGT power plants. 7 Analysis / constraints NATURAL GAS REQUIREMENTS NEEDS IN 2025: 5 BCM HYPOTHESES ASSUMPTIONS: EXPIRATION OF THE AGREEMENT ON THE ALGERIAN GAS TRANSIT BY 2021 GAS CONTRACT ONEE / SONATRACH EXPIRATION ON 2021 AIN BENI MATHAR AND TAHADDART WILL BE SUPPLIED WITH LNG THROUGH A PIPELINE CONNECTING THE LNG TERMINAL TO THE EXISTING PIPELINE GME. ACCORDING TO THESE ASSUMPTIONS AND THE AMOUNTS OF ELECTRICAL ENERGY TO BE PRODUCED BY COMBINED CYCLE PLANTS, THE ANNUAL NATURAL GAS CONSUMPTION WILL INCREASE FROM 0.9 BCM IN 2014 TO ABOUT 3.5 BCM IN 2025 FOR REFINING, NATURAL GAS NEEDS ARE ESTIMATED AT 1 BCM AND ON THE BASIS OF THE CURRENT REFINING CAPACITY. AS FOR INDUSTRY, LOCATED MAINLY IN AXIS OF JORF LASFAR, MOHAMMEDIA, KENITRA AND PHOSPHATE INDUSTRY, THE NEEDS ARE ESTIMATED AROUND 0.5 TO1 BCM. NATURAL GAS NEEDS FOR 2025 : CCGT : 3-3,5 BCM REFINING : 1 BCM INDUSTRY : 0,5-1 BCM Total gas needs for 2025 ~ 5 BCM Page 7

8 Analysis / constraints NEED FOR MASSIVE INTRODUCTION OF GAS IN THE ENERGY MIX GIVEN THE ABOVE AND IN PARTICULAR ENERGY CHALLENGES FACING OUR COUNTRY IN: SATISFACTION OF THE DOMESTIC ELECTRICITY DEMAND. REDUCING OUR ENERGY DEPENDENCE FROM OUTSIDE AND FROM FOSSIL FUELS THROUGH THE RISE OF RENEWABLE ENERGY AND THE PROMOTION OF OUR LOCAL ENERGY RESOURCES. INTERMITTENTLY GENERATED BY THE MASSIVE INTRODUCTION OF WIND POWER IN THE NATIONAL ENERGY MIX. THE MINISTRY OF ENERGY, MINES, WATER AND ENVIRONMENT, IN COORDINATION WITH THE NATIONAL COMPANY FOR ELECTRICITY AND DRINKING WATER (ONEE) AND AFTER CONSULTATIONS WITH MAJOR NATIONAL ENERGY OPERATORS HAS SET UP A NATIONAL PLAN FOR DEVELOPING THE USE OF NATURAL GAS IN THE FORM OF LIQUEFIED NATURAL GAS (LNG). GAS SECURITY SUPPLY FOR OUR POWER PLANTS (CCGT), PARTICULARLY AFTER EXPIRATION OF THE ALGERIAN GAS TRANSIT AGREEMENT BY NOVEMBER 2021 AND NATURAL GAS SUPPLY CONTRACT WITH SONATRACH ALSO. Page 10

9 NEEDS FOR GAS INFRASTRUCTURE THE LNG TERMINAL WILL BE BUILT IN JORF LASFAR, FOLLOWING THE RECOMMENDATIONS OF PREVIOUS STUDIES. Sites of projected gas and electricity infrastructure GAS INFRASTRUCTURE TO ACHIEVE THROUGH THE INTRODUCTION OF THE LNG PROJECT WILL BE DESIGNED TO COVER THE OVERALL NATIONAL DEMAND OF NATURAL GAS (ELECTRICITY, INDUSTRY, ETC...). THEY CONCERN THE MARITIME JETTY AT THE PORT OF JORF LASFAR, TERMINAL REGASIFICATION AND HIGH PRESSURE TRANSMISSION PIPELINE. TO TRANSPORT THE LNG TO OTHER SITES, A 400 KM GAS PIPELINE CONNECTING THE LNG TERMINAL TO GME THROUGH MOHAMMEDIA, KENITRA AND DHAR DOUM, WILL BE CARRIED OUT IN ADDITION TO RAMPS CONNECTING THE PIPELINE TO CCGT POWER PLANTS. Oued Al Makhazine :2x600 MW 1,5 bcm * Dhar Doum :2x600 MW 1,5 bcm Mohammedia/Kenitra:2x450 MW 1,1 bcm Terminal GNL Jorf Lasfar Agadir Tanger Kenitra Mohammedia CCGT Al Wahda 2x600 MW 1,5 bcm Tahaddart: MW 1,25 bcm Oujda CCGT Ain Beni Mathar 450 MW 0,55 bcm THE CONSTRUCTION PERIOD IS ESTIMATED AT 48 MONTHS FOR THE RE-GASIFICATION TERMINAL, 36 MONTHS FOR CCGT PLANTS AND 36 MONTHS FOR THE JETTY AND THE PIPELINE. 10 2015/2025 REAL INVESTMENT OPPORTUNITIES INFRASTRUCTURES INVESTMENTS MARITIME JETTY 0,6 MDS $US THE GAS INFRASTRUCTURE WILL REQUIRE AN INVESTMENT AROUND US $ 2.4 BILLION LNG TERMINAL PIPELINE TRANSPORTATION 0,8 MDS $US 0,6 MDS $US STORAGE 0,4 MDS $US AS FOR THE IMPLEMENTATION OF THE FIRST PHASE OF THE ELECTRIC INFRASTRUCTURE, THE INVESTMENT REQUIRED TO ACHIEVE 2700 MW IS OF ROUND US $ 2,2 MDS CCGT PLANTS (2700 MW) 2,2 MDS $US THE OVERALL INVESTMENT, WHICH LARGELY WILL BE MOBILIZED FROM PRIVATE INVESTORS AND NATIONAL AND INTERNATIONAL INSTITUTIONS IN THE CONTEXT OF PPA CONCESSION CONTRACTS (PURCHASE POWER AGREEMENT) IS ORDERED AROUND 4.6 BILLION US $ TOTAL INVESTMENT 4,6 MDS $US Page 10

11 GUIDELINES GOALS NATIONAL PLAN FOR DEVELOPING THE USE OF LIQUEFIED NATURAL GAS (LNG) SATISFY PRIORITY NEEDS OF THE ELECTRICITY SECTOR CREATING ADDED VALUE INVOLVING MOROCCAN INDUSTRIAL AND FINANCIAL OPERATORS, A PHASED APPROACH, TAKING INTO ACCOUNT MATURITY EVOLUTION OF GAS SECTOR IN MOROCCO TO DEVELOP AND OPERATE NATURAL GAS INFRASTRUCTURE AND CCGT PLANTS, MOROCCO SHOULD DRAW ON THE EXPERTISE AND SKILLS OF NATIONAL AND INTERNATIONAL INDUSTRIAL AND FINANCIAL PARTNERS. NATIONAL PARTNERS: INDUSTRIAL AND FINANCIAL OPERATORS CAPABLE OF ENSURING DEVELOPMENT AND THE EMERGENCE OF GAS SECTOR IN MOROCCO, SUCCESSFUL TRANSITION TO A MATURE GAS INDUSTRY AND CREATE ADDED VALUE TO THE NATIONAL ECONOMY, PARTICULARLY IN TERMS OF CREATION JOBS; INTERNATIONAL STRATEGIC PARTNERS: DEVELOPERS GAS AND ELECTRICITY INFRASTRUCTURE AND / OR NATURAL GAS SUPPLIERS; AND FINANCIAL OPERATORS. THE CHOICE OF NATIONAL AND INTERNATIONAL PARTNERS WILL BE IN THE FRAMEWORK OF TRANSPARENT PROCEDURES AND COMPETITIVENESS (CALL FOR EXPRESSIONS OF INTEREST AND TENDER). THE NATIONAL PLAN FOR DEVELOPING LIQUEFIED NATURAL GAS WILL BE SPLIT INTO TWO PARTS 1 «GAS TO POWER» SATISFY THE NEED FOR ADDITIONAL CAPACITY OF ELECTRICITY GENERATION. ASSIGN THE IMPLEMENTATION TO THE ONEE IN PARTNERSHIP WITH NATIONAL AND FOREIGN OPERATORS, IN ACCORDANCE WITH THE LAWS AND REGULATIONS, INCLUDING THE LAW OF ONEE 2 «GAS TO INDUSTRY*» DEVELOP THE USE OF NATURAL GAS IN THE INDUSTRY SECTOR (*): Furthermore, it is also provided, according to the evolution of the maturity of the natural gas sector, gradually expand its use to commercial and residential consumers. 12 ROADMAP FOR THE IMPLEMENTATION OF THE LNG DEVELOPMENT PLAN GAS TO POWER 1 SECURE THE SUPPLY OF NATURAL GAS INITIATE CONTACTS WITH GOVERNMENTS AND OPERATORS OF NATURAL GAS PRODUCING COUNTRIES TO EXPLORE OPPORTUNITIES TO ENTER INTO INTERGOVERNMENTAL AGREEMENTS ON WHICH LNG BUSINESS PURCHASE NEGOTIATIONS (3 TO 5 BILLION M3) COULD BEGIN TO CONCLUDE NATURAL GAS SUPPLY CONTRACTS. IF THE RESULTS OF THIS PHASE ARE CONCLUSIVE AND THAT MOROCCO CAN SECURE SUPPLIES OF NATURAL GAS THROUGH THE SIGNING OF A CONTRACT FOR LONG-TERM PURCHASE OF LNG, THE TENDER FOR SELECTION INTERNATIONAL STRATEGIC PARTNERS WILL NOT CONSIDER THE CRITERION OF ABILITY TO RAISE THE VOLUME OF GAS NEEDED TO SUPPLY THE CCGT POWER PLANTS WITH NATURAL GAS. JANUARY 2015 TO APRIL CHOICE OF LOCAL PARTNERS THE CHOICE OF MOROCCAN PARTNERS WILL BE CONDUCTED IN A CALL FOR INTEREST EXPRESSION PROCESS OPEN TO ALL OPERATORS OR GROUP OF MOROCCAN INDUSTRIAL AND FINANCIAL OPERATORS. JANUARY 2015 TO JULY STATE ONEE LOCAL PARTNERS AGREEMENT A TRIPARTITE AGREEMENT WILL BE ESTABLISHED BETWEEN THE STATE, THE ONEE AND SELECTED MOROCCAN PARTNERS, TO ESTABLISH THE MAJOR COMPONENTS OF THE PROJECT AND ITS OPERATIONAL PLAN. SEPTEMBER 2015 TO NOVEMBER CHOICE OF INTERNATIONAL PARTNERS IN ACCORDANCE WITH THE LAWS AND REGULATIONS IN FORCE, ESPECIALLY THE ONEE LAW, THE ONEE WILL LAUNCH AN INTERNATIONAL TENDER TO SELECT INTERNATIONAL STRATEGIC PARTNERS FOR THE PROJECT "GAS TO POWER. EXPRESSION OF INTEREST + TENDER DECEMBER 2015 TO MARCH 2017 NEGOTIATION OF PPA CONTRACTS APRIL 2017 SEPTEMBER 2017 CONSTRUCTION OF GAS AND ELECTRICITY INFRASTRUCTURE OCTOBER 2017 DECEMBRER 2020 COMMISSIONING TESTS OF GAS AND ELECTRICITY INFRASTRUCTURE JANUARY 2021 JUNE 2021 Page 12

13 ROADMAP FOR THE IMPLEMENTATION OF THE LNG DEVELOPMENT PLAN GAS TO INDUSTRY 1 GOALS THE SECOND PHASE OF THE MOROCCAN PLAN FOR DEVELOPING NATUREL GAS "GAS TO INDUSTRY" AIMS TO DEVELOP THE GAS USE BY INDUSTRIES (EXCLUDING ELECTRICITY) AND ENSURE THE SUPPLY OF INDUSTRIAL CONSUMERS (INCLUDING REFINING AND PHOSPHATES) (*) 2 STRUCTURE PATTERN THE REALIZATION OF THIS PROJECT WILL BE FULLY ENTRUSTED TO NATIONAL PARTNERS (ONE OR MORE OPERATORS) AND CONSISTS IN BUILDING THE DISTRIBUTION INFRASTRUCTURE TO CONNECT THE DOMESTIC INDUSTRIES. THE PURCHASE OF GAS FOR MOROCCAN INDUSTRY WILL BE PROVIDED BY NATIONAL PARTNERS. THIS PROJECT WILL REQUIRE THE CREATION OF A (OR SEVERAL) DISTRIBUTION COMPANY (IES) WHOSE SHAREHOLDERS WILL CONSIST OF NATIONAL PARTNERS OR ASSOCIATED WITH INTERNATIONAL PARTNERS. THE INFRASTRUCTURES WILL BE OPEN ACCESS. 3 GAS CODE THIS PROJECT WILL ALSO REQUIRE THE ADOPTION OF A GAS CODE TO BE ADOPTED BEFORE THE LAUNCH OF THE "GAS TO INDUSTRY" PROJECT. THIS CODE WILL HAVE TO REGULATE THE DOWNSTREAM GAS SECTOR THAT INCLUDES REGASIFICATION, TRANSPORTATION, DISTRIBUTION, STORAGE, IMPORT, EXPORT AND MARKETING OF NATURAL GAS IN MOROCCO. IT WILL BE FORWARDED TO THE GENERAL SECRETARY OF THE GOVERNMENT TO PUT IT IN THE ADOPTION SYSTEM NO LATER THAN JUNE (*): it Moroccan is also expected Plan for developing to gradually LNG expand the use of natural gas to commercial and residential consumers Page 13
