CAPEX-FREE RENEWABLE ENERGY SUPPLY FOR GHANAIAN COMPANIES , Accra, Ghana Timon Herzog (COO, GRIPS Energy AG)

BUSINESS MODEL & FOCUS CAPEX-FREE GRID-INDEPENDENT RENEWABLE Renewable energy as a service: GRIPS finances, owns & operates all required assets (CAPEX-free) GRIPS supplies energy on a payper-use basis Financing Returns Customer For commercial and industrial offtakers $$$ Geographical focus: Sub-Saharan Africa Southeast Asia Further off- and weak-grid regions

Award-Winning Business Model GRIPS Energy AG is a winner of Finance for Resilience Bloomberg New Energy Finance Summit 2016, New York. Great approach to connect large offtakers looking for clean and stable energy supply with investors seeking attractive returns. The FiRe Team (CPI, BNEF) FiRe is initiated by Bloomberg New Energy Finance (BNEF) and chaired by the Climate Policy Initiative (CPI) FINALIST 2014

TYPICAL PROJECT STRUCTURE PPA or Lease Based, Grid-Independent Power Supply Contractor Off-taker Key Customer Benefits Economic optimization CAPEX-free competitive price Reliable energy supply Independent from public grid & fuel supply Strong improvement of ecological footprint Deep cut of CO2 emissions and local air pollution

EXEMPLARY PROJECT Food Processing Plant, SE Africa, Weak-Grid Situation Grips hybrid system simulation Local SME, 60 employees Food production sector Frequent load shedding Power quality issues Diesel generated electricity too expensive 3 rd party financed, PV-ESS hybrid in implementation, enabling: grid independent, CO 2 free operation of the factory Affordable & reliable energy access Daily load curve (measured with Grips databox )

TEAM PROJECT REFERENCES (SELECTED) GRIPS Management Team has been involved (among many, many other Projects) in following ground breaking RE projects in leading roles: 1999: First EU roof integrated PV systems: Government buildings in Berlin (e.g. Paul-Löbe Haus), SOLON 2003: First 2 digit MW PV power plant of the world: Solarpark Erlasee 12 MW, SOLON ( axial tracking units), SOLON 2004 to 2010: more than 250 MW EPC PV projects (large rooftops, building integrated, utility scale ground mounted, fixed 1-2- axial tracked) in many parts of the world, SOLON 2008: SunEdison 8 MW 2 axial tracked project Alamosa, Colorado, USA, SOLON 2008: Development of Graciosa Island Project, 100% RE-hybrid, 4 MW Li-Ion, 1MW PV, 4,5 MW Wind, Younicos 2013: Terna, 2 MW Li-Ion for grid stabilisation, Sardinia Island, Italy, Green Utilty 2015: First commercial MW rooftop PPA in India 3.5 MW PV, Delhi Metro (DMRC), GIZ 2015: First MW rooftop system on a Indian Cricket Stadium, Bangalore, GIZ Pictures: SOLON SE, Younicos AG, GIZ

TEAM COMPANY REFERNCES GRIPS Management Team has been involved as founders and senior management in setup and growth of e.g. following major renewable energy companies: SOLON SE: Co-founded 1996 by Alexander Voigt. Germanys first publicly listed solar company, manufacturing of PV modules, inverters, tracking system (Solon Mover) and relevant pioneer for PV power plants (SOLON EPC / power plant unit). Many years one of EUs largest PV companies, with ~ 1000 employees and subsidiaries and production facilities e.g. in the USA and Italy. Q-Cells Co-founded 1999 by Alexander Voigt, Q-cells developed to one of the worlds largest manufacturers of PV cells with more than 1 billion EUR annual revenue (2010) and nearly 3000 employees (2009). Q-cells was acquired by Hanwah Group Younicos Co-founded by Alexander Voigt in 2005 under the name Solon Laboratories. In 2009, Younicos began operating a 6-megawatt-hour sodium-sulfur battery facility at its Berlin headquarters, which was the first of its size in Europe. Younicos is a pioneer and global leading company for large scale renewable energy focused energy storage solutions.

MARKET POTENTIAL I. Total Size of Segment Captive Diesel Replacement / Hybridization 1 ANNUAL SAVINGS considering 2.4 GW (1%) 1.8 billion liters of diesel Global continuously operating off-grid diesel generators: > 240 GW (with > 5-10% growth p.a.) Mio t CO2 = Japan % = 2.4 GW = USD 3-8 billion investment volume 4.8 Mio tonnes of CO 2 4,800 tonnes of particulate matter 1 Grips Energy AG market assessment

MARKET POTENTIAL II. Global Distribution of DGs 1MW, 100km from the Grid (Off-grid power plant analysis by RLI for GRIPS based on PLATTS database Rainer Lemoine Institut / GRIPS Energy AG)

MARKET POTENTIAL III. Ghana Ideal Conditions for Lease/PPA based RE-Power Supply We re very enthusiastic! Project requests highly welcome! Partner requests highly welcome! Ghana could become the GRIPS-hub for West Africa

PROJECT SELECTION & IMPLEMENTATION Minimum Criteria and Partnering Scheme A) Key Project Selection Criteria Ø Min. 1 GWh annual electricity demand (> 0,5 to 1MWp PV / >1 MWh Storage) Ø Feasible load pattern (relevant load during daytime) Ø Investable Off-taker constellation large commercial or industrial off-takers Ø Acceptable country and currency risk (hard PPA currency prefered) B) Partnering Scheme Origination Development Financing Local Development EPC / Construction Technical Operation & Maintenance Own & Operate Commercial Operation Contractors (local value creation prefered)
