2 Job Title: Investor Relations Manager Reporting to: Director of Corporate Affairs Location: London Salary: 80,000 to 90,000 Website: Purpose Help Neptune Energy, the fastest growing established start up in oil and gas, to go public in a three-to-five-year timeframe. Opportunity Not only will you join the team in a newly created global Corporate Affairs and Communications function, you will also have exposure to an organisation on the journey towards IPO (Initial Public Offering). Under the leadership of Sam Laidlaw, former Chief Executive of Centrica, with support from one of the most experienced and admired energy teams amassed to date, you will help create one of the most innovative and ambitious international independent exploration and production companies ever created. The organisation is effectively an established start up and with this brings corporate affairs and communications challenges on a global and geographically diverse scale, combined with the issues faced as a new entrant in the energy market. Organisation Neptune Energy is the fastest growing independent oil and gas exploration and production company with a regional focus on the North Sea, North Africa and South East Asia. Neptune was created through the acquisition of the exploration and production business of the ENGIE group in February 2018, led by Sam Laidlaw, with backing by funds advised by three investors, CIC, The Carlyle Group and CVC Capital Partners. Neptune now produces 165,000 net barrels of oil equivalent per day (Q1 2018), well ahead of the output of London-listed independent producers such as Tullow Oil and Premier Oil and of a similar level to Norway s Aker BP, Europe s largest independent. Key responsibilities as Investor Relations Manager The company s relationship with its investors is a key responsibility of the CEO and CFO and Investor Relations has the responsibility to the senior management to manage communication regarding any corporate matters, which impinge on the company s investors. The CEO/CFO rely on the IR Manager to decide on communication strategy, approach and predict likely market reaction to company events and strategic decisions. As part of the Investor Relations team, the IR Manager will work with the Head of Corporate Affairs and other team members to manage the company s relationship and communication programme with the Investment community; maintain open communications with analysts and investors; provide an accurate and credible portrayal of the company s performance and prospects; manage expectations with the investment 2

4 community; and achieve a fair valuation for the company as it works towards an Initial Public Offering by The IR Manager will be a spokesperson for Neptune Energy and the main point of contact and primary source of information in the company for investors and analysts. Working closely with the Director of Corporate Affairs, the candidate will be expected to take a lead role to: o Build and develop an IR targeting strategy, aimed at securing a broad and diverse set of potential future investors. Neptune Energy has an ambitious driven mindset and will meet its ambition of having an Initial Public Offering by It is necessary that the foundations are laid now to ensure that the appropriate level of capital can be realised when the business achieves its transaction goals. o Work closely and in partnership with Finance to ensure Best in Class Disclosure and Reporting to enable the market to attribute maximum value to the business o Introduce the Chief Executive (and other relevant members of the Neptune Energy s Board / Executive Committee) to the global investors and analysts o Work closely with communications team members in developing and delivering the narrative and key messages which reflect overall Consumer business strategy and can be used in various external communications including quarterly briefings o Utilise opportunities to communicate appropriately with the investment community integrated with the communications media flow. o Build and maintain ongoing relationships with key analysts 3

5 Experience We are looking for someone with a proven track record in investor relations, ideally from the oil and gas or broader extractives and industrial sectors. This individual will be joining a newly established team in an entrepreneurial environment, so needs to be both strategic, operational and willing to pitch in to the broader corporate affairs team. Although the team is supported, this individual will be a self-starter and be proactive in approach. Aptitude, analytical ability and superior communication skills are more important than the level and number of years experience per se. We are looking for candidates with: Experience of working in a PLC environment Ability to operate at the most senior levels with the executive leadership team and the Board Significant Financial or Investor Relations experience Ability to raise profile within the financial community, creating presentations and briefing packs Experience of managing the financial calendar Ability to write CEO investor presentations and more broadly press releases accompanying financial results Experience of being the primary contact for investors It would be desirable if a candidate had experience of taking a company through an IPO, but this is not essential Reporting on competitor financial results and briefing leadership teams on intelligence Experience of working within an international business Strong analytical skills Superior oral and written communication skills Written and presentation ability Commercial experience Good financial skills 4

6 An understanding of the investment community in the UK A proactive worker with an attitude of continual learning and attention to detail. The role will occasionally require long hours and working under time pressure. 5

7 Key Responsibilities as Member of IR Team Analyst and Investor contact The IR team maintains proactive, timely and consistent communications with analysts and investors through telephone and personal contacts, group meetings and written materials. The aim is to provide up to date information about events and market trends affecting Neptune Energy with the goal of keeping analysts well informed and supportive of the company. The IR team are responsible for reviewing analyst forecast spreadsheets and research reports and for responding to analyst queries in a thorough and timely manner. As part of the team, the Investor Relations Manager will be responsible for organising, preparing for and executing investor meetings with senior management. The Investor Relations Manager has primary responsibility for the management and preparation of major external financial and business events such as the company s quarterly results, and Analyst/Investor Briefings on key areas of Neptune Energy s business. The department works closely with senior management during the planning for these events and manages the preparation and event logistics. In preparation for results, the IR Manager will work with the CFO and the Finance department to thoroughly understand the financial components of Neptune Energy s results. Whilst there is no regulatory requirement, at this stage, to make these statements it will be used as content with which to engage the investor audience more broadly. The team will also work closely with the operating company s operations to gain a good understanding of the performance of key areas such as commercial strategy as well as the pipeline. 8 The IR function is the driving force behind development, preparation and execution of all presentation materials used by senior management and IR at external events with analysts and institutional investors. Working with management Investor Relations also has an important role in keeping management aware and informed of investors views and expectations as well as enhancing management s understanding of Peer Company and industry performance, strengths and strategies. The department has the role of advising and preparing senior management for external events and meetings with the financial community. The IR Manager is expected to be up to date on trends in the market and with peer companies in the industry to advise senior management on how these trends may or may not affect the company s messages to investors. Company s Advisors Investor Relations also manages the company s relationship with its Brokers and advisors and the team is responsible for feeding the views of advisors back to senior management. Shareholder Analysis Investor Relations is responsible for monitoring the ownership of the company and of tracking changes on the register.
