5 Team Members Colleen Baybutt, President/CEO, is a certified Senior Professional in Human Resources and the Founding Principal for HR Business Solutions, a Virginia corporation since Colleen holds a Bachelor of Science (B.S.) in Industrial and Labor Relations from Cornell University. Colleen has leveraged her large (Fortune 10) employer experience to assist employers with their benefit compliance and human resources efforts. For example, she has assisted private and nonprofit corporations of various sizes through start-up/licensure processes, mergers, plant closings, restructuring, 401(k) plan corrections, OFCCP compliance audits and daily oversight of human resources and related functions. Over the past 7 years, HRBS has assisted a premier senior living community in all facets of development and operations, including selection and implementation of Human Resources and Payroll systems, policies and procedures; staffing; compensation; employee benefits selection and implementation, HIPAA compliance, Annual Disclosure Statements, Bond reporting, Property and Casualty Insurance analysis and selection, contract administration and Residency Agreements. With over 25 years of experience in human resources planning and administration, she offers a unique combination of management consulting and practical Human Resources application expertise. Katherine Earle, Senior Human Resources Consultant, offers 30+ years of hands-on professional experience. Prior to consulting, Katherine enjoyed a 26-year career in corporate HR and Employee Benefits, beginning with Sovran Bank (now Bank of America), then as the Director of HR for the Virginia State Bar, and later as the Manager of Health and Welfare Benefits for the 11,000 employees of Overnite Transportation (now UPS Freight). She then had the opportunity to see the carrier side of employee benefits as a Director of Account Management for Southern Health/Coventry. Katherine understands the time and resource challenges faced by clients and can assist in a broad variety of projects, including HR and benefits audits and best practices; ERISA, HIPAA, and Affirmative Action training and compliance; employee handbooks, surveys, newsletters, and total compensation statements. Katherine graduated magna cum laude from the University of Richmond and is a Certified Trainer and certified Senior Professional in Human Resources. Valerie Hite, Human Resources Consultant, brings 20 years of Human Resources experience from three Fortune 100 companies (James River Corporation, Trigon Blue Cross Blue Shield, and Owens & Minor). She has extensive expertise in Executive Compensation, Salary/Market Studies, ERISA Reporting and Disclosure, Affirmative Action Plans, and Cafeteria Plan Non- Discrimination Testing. Valerie prepares Welfare and Cafeteria Plan Documents, Summary Plan Descriptions, and Annual 5500 filings, including voluntary compliance programs for delinquent filings. She holds a B.S. degree from Longwood College and a Masters in Counselor Education from Virginia Commonwealth University. She is a Certified Compensation Professional. Karen Millican, Human Resources/Payroll Administrator, assists clients in managing daily payroll and human resources administration. She holds a B.S. degree in Business Administration from Virginia Commonwealth University. She has over ten years of experience in staffing, benefits and payroll systems implementation, FMLA/COBRA/Workers Compensation

6 administration, Affirmative Action compliance, Department of Transportation (DOT), and wage and hour compliance for a multi-site employer. Karen was involved in due diligence associated with two acquisitions, coordinating efforts to consolidate payroll, benefits and HR systems and implement workforce realignment. Silvana Miller, Human Resources Administrator, brings over 20 years of Human Resources, Payroll, and office management experience in a variety of settings. Her background includes fifteen years of Human Resources, Benefits, and Payroll administration experience with the California Community Foundation in Los Angeles and seven years of retail accounting, auditing and management for a large retail chain. Sil holds a B.S. from Clarion State University of Pennsylvania and is a certified Senior Professional in Human Resources. Kathleen Lauver, Human Resources Administrator, brings over 20 years of Human Resources, Benefits, Payroll, and office management experience in the financial, insurance and healthcare industries. Kathy managed benefits and payroll for a financial institution with over 800 employees in multiple states. Over an eight year period, Kathy was heavily involved in mergers, acquisitions and consolidation of services for Union Bankshares and Hilb, Rogal and Hobbs (now known as Willis of Virginia). Kathy has experience administering 401(k), ESOP and executive compensation plans. Kathy maintains a Virginia State Health and Welfare Producer license and is a certified Professional in Human Resources.
