ULI MANAGER, PROCUREMENT OFFICE DATE OF ISSUE: October 5, 2009 INVITATION FOR BIDS: IFB NO. 2010GEN-1001 INSTRUCTIONS: 1) This IFB requires an bid that must be received at the ASPA Procurement Office no later than 5:00 p.m. on October 8, The bid must be titled IFB No. 2010GEN Late submittals will not be opened or considered and will be determined as non-responsive. All bidders shall provide sufficient written and verifiable information that responds to the requirements set forth herein and in the Scope of Work (SOW). 2) Pre-Bid Questions Any pre-bid questions and/or clarifications shall be submitted to Questions and/or clarifications are welcome and should be submitted no later than 9:00 a.m. on October 6, 2009; ASPA shall issue addenda to address any questions and/or clarifications as necessary. A pre-bid conference call will be held on Tuesday, October 6, 2009 at 2:00 p.m, American Samoa time. Interested bidders will be sent call information. NOTE TO BIDDERS: This bid is subject to the attached General Terms and Conditions of the IFB for the Temporary Turnkey Power Generation Services. The undersigned bidder agrees to furnish, within the time specified, the articles and services at the price stated opposite the respective terms listed on the schedule provided, unless otherwise specified by a bidder. In consideration of the expense to ASPA in opening, tabulating, and evaluating this bid, and because time is of the essence, the undersigned agrees that this bid shall remain firm and irrevocable within one hundred and twenty (120) calendar days from the date opening to supply any or all of the items which prices are proposed. 4 AMERICAN SAMOA POWER AUTHORITY SPECIAL REMINDERS TO PROSPECTIVE BIDDERS Where applicable, bidders are reminded to read the Bid Invitation Instructions and General Terms and Conditions attached to the Bid Invitation to ascertain that all of the following (see boxes checked) requirements of the bid are submitted in the bid envelope at the date and time for bid opening. 1. 5 NOTICE TO BIDDERS 1 Invitation Pursuant to the Emergency Procurement provisions of the ASPA Procurement Code, The Procurement Manager may make emergency purchases or enter into emergency contracts when the Procurement Manager determines that an emergency exists warranting a Procurement from the most expedient available source of supply. An emergency exists when there is, any damage, breakage or loss of ASPA equipment, or any other circumstance in which the Procurement Manager determines that any necessary ASPA utility service is or is to be interrupted. The American Samoa Power Authority herein issues this emergency Invitation for Bids for Temporary Turnkey Power Generation Services. Since restoration of essential service is a public necessity and necessary for the most expedient permanent restoration of power, ASPA has shortened the bid response time while at the same time ensuring the submission of competitive bids. 2 Scope of Work The American Samoa Power Authority has been greatly affected by the recent tsunami that hit the island and destroyed the Satala Power Plant. As such, it is necessary to contract for a temporary power provider to: a. Provide additional reserve capacity for the Tafuna power plant; b. Utilize ASPA s high voltage tie line to provide power to the harbor area; and c. Supply power to the radial feeders that were formally served by the Satala Power Plant. Attachments: a. A detailed Scope of Work, ( SOW ) is attached as Attachment D; b. Single line diagram of existing feeders is attached as Attachment E; c. Single line diagram of proposed new configuration is attached as Attachment F; d. Load profile of each feeder is attached as Attachment G; and e. Map of American Samoa with feeders identified is attached as Attachment H. 3 Contract Terms The winning bidder (the Contractor ) shall complete delivery and commence operations as quickly as possible. The contractor shall agree to the following: a. Provide all services as listed in Attachment D (the SOW); b. Provide mobilization, installation, commissioning, and demobilization; c. Provide all transportation and handling of equipment, materials, supplies, personnel, or other items to be used in providing temporary power service to ASPA; d. Provide insurance of all assets, including assets during transporation; e. Arrange for and pay all customs examination and all import and export clearance, duties, taxes, levies, and other charges in relation to the importation and exportation of equipment, tools, spare parts, consumables, testing and monitoring equipment, that are due in accordance with the laws, rules, and regulations of the Territory of American Samoa and arise out of the perfomance of this Contract. Contractor shall invoice ASPA for reimbursement of these documented fees. f. Indemnify, release, and hold harmless ASPA for all environmental contamination; and g. A penalty for failure to provide uninterrupted service in accordance with the requirements in the SOW will be assessed to the Contractor. Page 5 of 19

6 4 Term ASPA and the Contractor shall enter into a contract for a minimum of eighteen (18) months from the date of contract execution. ASPA shall have an exclusive option to extend the agreement for up to twelve (12) additional months at the same contractual terms. The contract may also be extended upon mutual written agreement of the parties. 5 Receipt and Opening of Bids Qualified bidders must a complete bid titled IFB No. 2010GEN-1001 TEMPORARY TURNKEY POWER GENERATION SERVICES. Bids must be received via no later than 12:00 pm, American Samoa Time, on or before October 8, Bids transmitted by electronic means, such as via the Internet, shall be accepted upon receipt by ASPA. to: ioana@aspower.com; Late bids will not be opened or considered and will be considered as non-responsive. All bidders shall provide sufficient written and verifiable information that responds to the specifications of the IFB, and in accordance with the scope of work, or shall be considered nonresponsive. It is the responsibility of the bidder to confirm ASPA s receipt of bid. ASPA will not assume liability for any bids not received. 6 Pre-Bid Conference Call Any pre-bid questions and/or clarifications shall be submitted to michaelk@aspower.com by 9:00 a.m. on October 6, ASPA shall conduct a conference call at 2:00 pm American Samoa time on October 6, 2009 to answer questions and will issue addenda as necessary. 7 Qualification of Bidders ASPA may make such investigations as it deems necessary to determine the ability of the bidder to perform the work, and the bidder shall furnish to ASPA such information and data for this purpose as ASPA may request, or the bidder may be deemed non-responsive. The bidder shall submit at least that information required by the section entitled Bidder s Qualification Data. 8 Multiple Bids: Collusion If any one party submits more than one bid or a bid in the name of its clerk, partner or other person; all bids submitted by said party may be rejected by ASPA. This shall not prevent a bidder from submitting alternate bids when called for. A party who has proposed prices on materials is not thereby disqualified from quoting prices to other Bidders or from submitting a bid directly to ASPA. If ASPA believes that collusion exists among any bidders, none of the participants in such collusion shall be considered. Bids in which the contract prices are unbalanced or unrealistic may be rejected at ASPA s sole discretion. 9 Contractor s License Bidders from off-island shall be licensed in accordance with the provisions of its state and country and shall be skilled and regularly engaged in the general type and size of work called for under this IFB. 10 Bidder s Understanding Page 6 of 19

7 Each bidder shall inform itself of, and shall comply with, federal and territorial statutes and ordinances relative to the executing of the work. This requirement includes, but is not limited to, applicable regulations concerning wage rates, nondiscrimination in the employment of labor, protection of public and employee safety and health, environmental protection, historic preservation, the protection of natural resources, fire protection, burning and non-burning requirements, permits, fees, and similar subjects. The bidder agrees to the requirements of Executive Order no , as amended, including specifically the provisions of the equal employment opportunity clause. 11 Bid Form Submittal All blank spaces in the bid form must be completed in ink. No changes shall be made in the phraseology of the forms. Any bid shall be deemed informal which contains omissions, erasure, alterations or additions of any kind, or prices uncalled for, or in which any of the prices are obviously unbalanced, or which in any manner shall fail to conform to the conditions of the Notice to Bidders. The bidder shall sign the bid in the space provided. If the bidder is a corporation, the legal name of the corporation shall be set for the above, together with the signature of the officer or officers authorized to sign contracts on behalf of the corporation. The typewritten name shall be inserted with each signature. If the bidder is a partnership, the true name of the firm shall be set forth above, together with the signature of the partner or partners authorized to sign contracts in behalf of the partnership. If signature is by an agent, other than an officer of a corporation or a member of a partnership, a notarized power-of-attorney must be on file with ASPA prior to opening of bids or submitted with the bid, otherwise the bid will be regarded as not properly authorized. 12 Preparation Instructions The bid must contain three (3) parts. Bidders shall prepare all bids in detail accordingly. a. Flat Rate. Bidder shall set forth the monthly flat rate for power generation, inclusive of all costs associated with turnkey power generation, including but not limited to transportation of materials, operators, and supplies. b. Environmental mitigation. Bidder shall provide a detailed plan to mitigate any environmental hazards concerning generation of power. Cost of this service shall be included in the flat rate submitted by the potential bidder. c. Delivery. Bidders must clearly state in their bids: (i) (ii) Date the items will arrive in Pago Pago; and Date when power generation will begin. 13 Listing of Subcontractors All bids shall include the names of each person of the firm to be engaged by the bidder as a subcontractor in the performance of the contract. The nature and scope of work to be performed by such joint contractor shall also be included. ASPA shall not be responsible for payment to a joint contractor or a subcontractor. APSA only recognizes its contractual payment obligations to the winning bidder (the Contractor). 14 American Samoa Taxes and Import Duties The Contractor shall be cognizant of and comply with all American Samoa Government (ASG) laws and ordinances pertaining to licenses, permits, tax structure and import duties. 15 Withdrawal of Bid Page 7 of 19

8 Any bid may be withdrawn prior to the scheduled time for the opening of bids by notifying ASPA in a written request. No bid may be withdrawn after the time schedule for opening of bids. 16 Opening and Comparison of Bids Bids will be opened and recorded as part of the record for the Source Evaluation Board on the assigned date and at the time indicated above at the Procurement Office in Satala or in another place designated by the ASPA Procurement Manager in writing. 17 Evaluation Criteria These criteria will be used by the SEB to evaluate bids: 0-40 points Bid price 0-20 points Lead time to energization in Pago 0-20 points Bidder experience/qualifications 0-10 points Environmental mitigation plan 0-10 points Preference for small, women, or minority owned businesses 100 Points Total (best possible score) ASPA may reject any bid, in whole or in part, or reject all bids if it determines that the lowest bid exceeds the funds available for purchase, or if the lowest bid is considered in excess of current reasonable market prices. 18 Payment Payment terms will be on a 30 day payment cycle. Check will be issued on the last day of the month. 19 Tied Bids If the bids are for the same total amount in whole or in part, the Procurement Manager has the authority to award the bid to any one of the bidders by drawing lots in public, or to reject all such bids. 20 Brand Names Any reference in the invitation to manufacturer's Brand Names and number is due to lack of a satisfactory specification of commodity description. Such reference is intended to be descriptive, but not restrict, and for the sole purpose of indicating to prospective bidders a description of the article or services that will be satisfactory. Bids on comparable items will be considered provided the bidder clearly states in his bid the exact articles he is offering and how it differs from the original specification. 21 Inspection All supplies, materials, equipment, or services delivered under the contract shall be subjected to the inspection and/or test conducted by ASPA at destination. If in any case the supplies, materials, equipment, or services are found to be defective in material, workmanship, performance, or otherwise do not conform to the specifications, then ASPA shall have the right to reject the items or require that they be corrected. The number of days required for correction will be determined by ASPA. Page 8 of 19

9 22 Seller s Invoices Invoices shall be prepared and submitted in quadruplicate (one copy shall be marked "original") unless otherwise specified. Invoices shall be "certified true and correct" and shall contain the contract number. 23 Justification of Delay Bidders who are awarded contracts under this invitation, guarantee that the goods and services will be delivered to their destination or required services rendered within the time specified. If the Bidder is not able to meet the specified delivery date, he is required to notify the Procurement Manager of such delay. [Notification shall be in writing and shall be received by the Procurement Manager at least twenty-four (24) hours before the specified delivery date.] Notification of delay shall include an explanation of the causes and reasons for the delay including statement(s) from supplier or shipping company causing the delay. ASPA reserves the right to reject delay justification if, in the opinion of the Procurement Manager such justification is not adequate. 24 Basis of Award A Source Evaluation Board ( SEB ) will evaluate bids. The Chief Financial Officer ( CFO ), based on recommendations by the Procurement Manager, shall choose SEB members. Submission of a bid shall constitute a waiver of any challenge or dispute of SEB members, as well as the choice of methodology set forth on the SEB score sheets. The award will be made by ASPA in accordance with the evaluation criteria set forth herein and with ASPA s Procurement Rules. A determination shall be made by the SEB of those responsible bidders whose bids have the potential of being selected for award. The determination shall be included in the contract file. Discussions may be conducted by the SEB with those responsible bidders whose bids are determined to have a reasonable chance of being selected for award. These discussions shall only be conducted for obtaining clarification from the bidder on its bid to ensure full understanding of and responsiveness to the IFB requirements. Discussions shall be conducted individually with each bidder and care shall be exercised to ensure that no information derived from competing bids is disclosed. All bidders with whom discussions are conducted shall be accorded an opportunity to revise their bids in response to specific bids will be evaluated by a Source Evaluation Board (SEB). The results of the evaluation will be documented, and a written recommendation by the SEB will be sent to the Procurement Manager. The Procurement Manager, upon receiving the SEB s written recommendation, shall forward to the division manager for routing through the CFO, to the Board of Directors and the CEO for final approval. ASPA reserves the right to make the award to the bidder that submits the bid, which meets the requirements set forth herein and is in the best interest of ASPA after taking into consideration the aforementioned factors. ASPA also reserves the right to select portions of a bid, or to reject any and all bids. 25 Assignment The contractor shall not assign, transfer, convey, or otherwise dispose of the award or the contract, or its right, title or interest therein, or its power to execute such contract, to any other persons, firms or corporations without the previous consent in writing of ASPA. 26 Bidder s Qualification Data It is the intention of ASPA to award a contract only to the bidder who is able to furnish satisfactory evidence that it has the requisite experience and ability and that it has sufficient Page 9 of 19

10 capital, facilities, and equipment to enable it to perform the work successfully shall submit as part of the total bid package. 27 Representation Regarding Ethics in Public Procurement The bidder or contractor represents that it has not knowingly influenced and promises that it will not knowingly influence an ASPA employee to breach any of the ethical standards and represents that it has not violated, it is not violating, and promises that it will not violate the prohibition against gratuities and kickbacks set forth in of the American Samoa Power Authority Procurement Rules. 28 Representation Regarding Contingent Fees The bidder or contractor represents that it has not retained a person to solicit or secure an ASPA contract upon an agreement or understanding for a commission, percentage, brokerage, or contingent fee; except for retention of bona fide employees or bona fide established commercial selling agencies for the purpose of securing business. 29 Compliance With Laws Bidders awarded a contract under this Invitation shall comply with the applicable standards, provisions, and stipulations of all pertinent Federal and/or local laws, rules, and regulations relative to the performance of this contract and the furnishing of goods. 30 Change Orders Any change order issued relative to awards made under this invitation will be subject to and in accordance with the provisions of 3-301(a) the ASPA Procurement Rules. 31 Conditions This IFB does not commit ASPA to award a contract or to pay any cost incurred in the preparation of a bid. ASPA reserves the right to: 1. Reject all bids and reissue a new or amended IFB; 2. Request additional information from any bidder submitting a bid; 3. Select a bidder based on criteria other than the lowest cost; 4. Negotiate any contract terms with the winning bidder; and/or 5. Waive any non-material violations of rules set up in this IFB at is sole discretion. ASPA reserves the right to issue any addendums to this IFB. Bidders shall send ASPA a signed form confirming receipt of any addendums, and shall submit supporting/additional information as required by any addendums. In the event that an bidder fails to acknowledge receipt of any such addendum in the space provided, its proposal shall be considered irregular and will be accepted by ASPA only if it is in ASPA s best interest. In the event that addenda are not received until after the bidder has submitted its bid, a supplementary bid may be submitted revising the original. Such supplementary bids must be received by ASPA prior to the scheduled time for opening of bids. 32 Award, Cancellation, and Rejection Award shall be made to the lowest responsible and responsive bidder per unit or per section, whose bid is determined to be the most advantageous to the ASPA, taking into consideration the evaluation factors set forth in this invitation. No other factors or criteria shall be used in the evaluation. ASPA may waive any minor irregularity in bids received. The Page 10 of 19

11 Procurement Manager shall have the authority to award, cancel, or reject bids received in whole or in part for any one or more items if she determines it is in the best public interest. The award issued to the lowest responsible and responsive bidder results in a binding contract without further action by either party. In case of an error in the extension of prices, unit price will govern. It is the policy of ASPA to award contracts to qualified bidders. ASPA reserves the right to increase or decrease the quantity of the items for award and make additional awards for the same type items if the vendor agrees to such modifications for a period of thirty (30) days after the original award. No award shall be made under this invitation that shall require advanced payment. Page 11 of 19

18 ATTACHMENT D SCOPE OF WORK 1. Generators. The source of generation shall be either: (a) containerized self-contained baseload diesel ( CSC ) generation; or (b) ocean vessel (e.g. barge) based ( Floating ) generation. CSC generators actual continuous output shall be no less than 1 MW and no more than 2 MW of power and shall be fitted with noise attenuation paneling. Both CSC and Floating generators shall contain built-in control panels, or alternatively, a containerized self-contained central control room is required. For CSC, a central control room is required for each power site. All generators shall also be capable of running in parallel. 2. Siting and Load Requirements. The Contractor shall be responsible for providing sufficient generator units to meet a minimum total of thirty-one (31) megawatts required standby capacity. a. For CSC generation, units must be deployed as follows in order to provide continuous uninterrupted electric service to the following areas: 1. Tafuna power station Feeder 8 10 mw capacity 2. Vaipito/Market Feeder 3 4 mw capacity 3. Satala/Atuu FA, B & 4 11 mw capacity 4. Onesosopo Park Feeder 1 4 mw capacity b. For Floating generation, the ocean vessel shall be moored in Pago Pago harbor and shall provide continuous uninterrupted electric service as set forth below. In addition, the Contractor shall also provide 6 MW reserve capacity in the form of CSC generation at the ASPA Tafuna power station. 1. Feeder 3: 4 MW 2. Feeder 4, A & B: 11 MW 3. Feeder 1: 4 MW c. Load profiles for the above feeders shall be provided separately as an attachment. 3. Technical Specifications. 13.2kv/7.62kv feeder voltage, 3-phase, 60hz. The Contractor shall be responsible for providing its own means (i.e. transformers) to meet feeder line voltage requirements. 4. Option to Buy. The contract shall provide ASPA with the exclusive option to purchase any or all of the CSC or Floating generators upon successful completion of contract. The option purchase pricing shall be negotiated between the parties separately. 5. Relocation. ASPA retains the right to require the Contractor to relocate the generators at its discretion, at ASPA s cost. 6. Contractor Provided Equipment and Services. In addition to the above, the Contractor will provide the following equipment, services and supplies: a. Diesel storage tanks capable of being refueled by tanker truck; b. Protection for phase-to-phase and phase-to-ground faults; c. Transportation of all materials, supplies, manpower and equipment to and from American Samoa; Page 18 of 19

19 d. Lube oil; e. All cabling, transformers, and interconnections to the ASPA electric grid; f. All operations, maintenance, and servicing; g. All spare parts; h. All kwh output metering; i. Floating generator diesel fuel refueling (ASPA will provide diesel fuel ex marine refueling dock); and j. Housing, on-land transportation, salaries, and per-diem for all manpower deployed to American Samoa. 7. ASPA Provided Equipment, Supplies and Services. ASPA will provide the following: a. Disposal of all waste lube oil; b. Diesel fuel supply and fuel storage at ASPA s own expense; c. Necessary land leases of the selected power sites; d. Any and all required permitting; e. potable water at the four CSC generation facility sites specified above; and f. Delivery of diesel fuel at the four CSC power sites specified above. 8. Transportation. The Contractor shall arrange and be responsible for the logistics of transportation to and from American Samoa. On both the outward and return journeys, the Contractor shall be responsible for all handling, loading, and unloading at the port and all costs thereof. All costs resulting from the customs examination, expenses, and clearance costs, governmental statutory charges for all spare parts, consumable, and other materials required for maintenance of the plant throughout the service period will be separately invoiced to ASPA. 9. Fuel Specifications. American Samoa utilizes No. 2 diesel fuel with a sulfur content of 0.2% for boiler/generator diesel. American Samoa utilizes No. 2 diesel fuel with a sulfur content of 0.5% for marine diesel. The Contractor should be cognizant that its generators are compatible with fuel specifications. 10. Form of Payment. In consideration for satisfaction of all of the above requirements, as well as those additional contractual terms set forth in the contract, ASPA shall pay to the Contractor a fixed lump sum monthly payment. 11. Erection and Dismantling. Erection, commissioning, and dismantling of the generation facilities shall be performed by the Contractor. The Contractor shall supply and connect to the ASPA grid at its own cost and shall provide a main earthing connection terminal point. ASPA shall prepare the site and all civil works for the erection and operation of the generation facilities. The Contractor shall arrange and pay for the erection of a security fence with lockable gate enclosing any CSC generation. 12. Visas and work permits. The Contractor shall obtain at its own cost all necessary visas and work permits during any period when Contractor employees are required to work in the Territory of American Samoa. 13.
