3 ABERDEEN RENEWABLE ENERGY GROUP: SUMMARY OF MEMBERSHIP TERMS The following is a summary of the terms of membership of the Aberdeen Renewable Energy Group ( AREG / The Company ). The full terms of membership and the conduct of the business of the Company can be found in the Memorandum and Articles of Association (copy available on application) Objectives The objectives of AREG are: To promote Aberdeen as a global energy capital To win recognition of Aberdeen as the energy capital of the United Kingdom To promote the capability and potential of a renewable energy industry in Aberdeen To identify and promote the capability and potential of, and opportunities for, businesses and other organisations in Aberdeen and the North East of Scotland in the renewable energy sector Membership AREG is a company limited by guarantee. Ownership of the Company is limited to a maximum of four full members. Currently there are only three full members Aberdeen City Council, the University of Aberdeen and the Robert Gordon University. The bulk of the remaining membership, to whom the benefits of AREG will be directed, will be made up of Associate Members. Associate Members will not be members of the company per se and will not be liable on a winding up of the Company. Associate Membership is generally open to individuals, companies, corporations, firms and other organisations resident or having an office or place of business in Aberdeen or Aberdeenshire who are either engaged in or have an interest in the renewable energy industry. All applications for Associate Membership must be made in writing using the prescribed form and will be subject to the approval of the Board. Management of AREG The business of AREG is managed by a board of directors ( the Board ) which has authority to exercise all the powers of the Company. The board comprises an equal number of Full Member and Associate Member directors, plus up to 3 other further directors (co-opted by the Board) who, in the opinion of the Board will bring merit and value to AREG and the management of the Company. The Associate Members are currently entitled to appoint three Associate Member directors, who hold office for 2 years before retiring by rotation.

4 Benefits of Associate Membership AREG will work on behalf of all its members to promote the capabilities of companies and organisations in Aberdeen and the North East of Scotland in the renewable energy sector, and to assist them in accessing new opportunities in this field. AREG will communicate with decision makers at all levels, conduct research, disseminate information and act as a forum to develop renewable energy business. All activities are designed to provide benefit to AREG members, either directly or indirectly. An indicative, but not exhaustive, list of Associate Member benefits includes: Participation in joint marketing and promotional initiatives Attendance at seminars, conferences, workshops and networking events Attendance at AREG annual general meetings* and other membership meetings Access to information and market intelligence Opportunities to join representative and working groups and to take part in specific projects Inclusion in the AREG website with a link to Associate Members sites (to be developed) The Board will from time to time change and develop the benefit structure and welcomes input from Associate Members in this respect. Subscription An Associate Member is required to pay the amount of annual subscription determined from time to by the Board. The current subscription is per annum exclusive of VAT and is payable annually in advance. An invoice for the annual subscription will be raised on approval of an Associate Member s application for membership by the Board and annually thereafter whilst membership continues. The membership year begins 1 st April. An Associate Member may terminate its membership at any time by giving one month s notice in writing to the Board at the registered office of the Company. There will be no entitlement to any refund of the subscription on such termination. If an Associate Member fails to pay in full the subscription within three months of the relevant due date they will automatically cease to be an Associate Member of AREG. *note that although Associate members will be entitled to attend AGMs they will not have voting powers in respect of any matter unless specifically provided on the notice of the relevant meeting

5 ABERDEEN RENEWABLE ENERGY GROUP DATA PROTECTION DECLARATION AREG will work on behalf of its members to promote the capabilities of companies and organisations in Aberdeen and the North East of Scotland in the renewable energy sector, and to assist them in accessing new opportunities in this field. Key activities include joint marketing and promotion, and generating and promoting new business opportunities. We have achieved considerable success with these activities and intend to continue them. In order to do this we need to ensure that we have your permission to use information that you supply us. The information asked for in your membership application form will only be used to inform Board decisions as to eligibility for membership. AREG will not disclose information supplied on your Aberdeen base, other divisions/locations, headquarters address or employment figures, unless these are included in material you have authorised for general use and circulation. The information for general use and circulation includes Company/organisation/individual name Address, telephone, fax no., address, website Contact name, telephone direct dial, direct address Company profile (250 words on your activities, supplied by you) Company logo News and information supplied from time to time by you for specific purposes The information provided will be recorded on the AREG database and will be used by AREG for the purposes notified under the Data Protection Act 1998, including general business purposes and to inform you of renewables/business related activities, opportunities, events and services which you may be interested in. This information will also be used in AREG marketing and promotional materials, the AREG website and AREG presentations. To generate and promote new opportunities for members, AREG may also pass on the information provided to other relevant business, trade enquirers, publications and directories and support and development agencies. You should be aware that this information may be circulated outside the EU. 6 Applicants and agencies have a right to obtain details of the personal information which AREG holds about them subject to the payment of a small fee. Such a request is known as a subject access request.
