1 POLICIES 1. The Board understands the distinction between it's responsibilities and those of management/staff. 2. The Board reviews annually, bylaws and board policies. BOARD MEMBER ROLES AND RESPOSNSIBILITIES 3. As a Board member, I understand my board roles and responsibilities. 4. As a Board member, I understand my legal responsibilities as a trustee.

2 5. As a Board member, I participate in fundraising (identifying prospective donors, personally asking others to make a donation, thanking donors, etc.) 6. As a Board member, I make annual personal financial contributions. 7. As a Board member, I advocate for the organization in the broader community. 8. As a Board member, I actively participate on a board committee(s) and contribute to the committee goals. BOARD ROLES AND RESPONSIBILITIES 9. The Board has an effective committee structure and makes good use of board committees.

3 10. The Board evaluates annually the overall performance of the Chief Executive Officer. 11. The Board evaluates its overall performance at least every two years. 12. The Board has the right mix of skills, experience, and expertise to effectively govern the organization. 13. As a Board Member, I help to identify and recruit potential new board members. 14. The Board has diversity of perspective (i.e., gender, ethnicity, age, professional experience, geography, etc.) 15. The Board has an effective orientation program for newly elected board members.

4 16. The Board offers opportunities for Board development and training. 17. Board members channel communication with the staff through the Chief Executive Officer, not around the Chief Executive Officer. PLANNING 18. The Board is actively involved in the periodic review of the mission, vision, and values of the organization. 19. The Board is actively involved in the strategic planning process, including setting longterm direction and strategy. 20. The Board approves specific annual goals, strategies, and budgets (usually prepared by management).

5 21. The Board s plan for the organization matches the state-wide organization needs. MEETINGS 22. Board meeting agendas are well planned and effectively implemented. 23. Board meetings have the right balance of strategic and tactical discussions. 24. Board meeting minutes are clear and useful. 25. Board meetings start and end on time.

6 26. The Board meets the right number of times each year. 27. The Board meets the right length of time each meeting. 28. All Board members participate in important discussions at meetings. 29. There is good Board member attendance at meetings. OTHER 30. The Board regularly reviews California CASA s range of programs and services and their delivery.
