4 Responsible Care RC Program Responsible Care (RC) Program was launched in 1985 in Canada to address public concerns about the manufacture, distribution and use of chemicals. Organizations can implement this Program in two ways- first, based on Responsible Care Codes requirements as laid down by the National Chemical Industry Association, like Indian Chemical Council (ICC); and second based upon RC standard as published by American Chemistry Council (ACC). Headquarter coverage is a must for the implementation of this Program in both the approaches. The standard includes implementation of Responsible Care Charter, Responsible Care Guiding Principles and Seven Codes of Practice Pollution Prevention; Employee Health & Safety; Process Safety; Community Awareness and Emergency Response; Distribution Code; Product Stewardship/ Product Safety Code; and Security Code CGAS provides consulting and training support to organizations keen to achieve RC 14001:2013 certification and/or RC Logo from national chemical industry association like ICC. Environment and Social Governance Environmental, social and governance (ESG) refers to the three main areas of concern that have developed as central factors in measuring the sustainability and ethical impact of an investment in a company or business. These areas cover a broad set of concerns increasingly included in the non-financial factors that figure in the valuation of equity, realestate, corporate, and fixed-income investments. ESG is the catch-all term for the criteria used in what has become known as Socially Responsible Investment (SRI). As per some of the estimates, currently only 30% of the valuation of companies in e-commerce and similar segments is done based on financial factors. This is because over the last decade or so, companies and businesses have realised that success cannot be defined just by the profitability on the balance sheets. Their success is driven by their behaviour of being responsible corporate citizens. And therefore business success today incorporates Environmental, Social and Governance (ESG) issues. The frameworks of ESG include IFC Performance Standards, Equator Principles, CDC Toolkit and other ESG Frameworks. CGAS provides consulting and training support to organizations seeking inputs to facilitate compliance to these requirements and obtain project funding and Private Equity.

5 Regulatory Compliance Assurance India has one of the most dynamic regulatory framework among developing countries on Environment, Health & Safety and Sustainability. The scenario is changing fast in terms of enforcement. There multiple are business stakeholder beyond the regulatory enforcement bodies demanding Legal Compliance. These include financial institutions, insurance companies, and potential investors for Mergers and Acquisitions. Also, the rate of changes in the regulatory compliances and its enforcement through institutions like National Green Tribunal (NGT) has been increasing consistently. CGAS supports companies establish EHS Legal Compliance by providing Training Support, International Software Tool for Compliance Assurance and Consulting and Auditing. It also helps establish the linkage of these regulatory requirements to the Management Systems framework to strengthen implementation of Environmental Management Systems and Occupational Health & Safety Management Systems and help demonstrate conformances in ISO and OHSAS certification audits. Advancement of Management Systems Companies are currently looking at building upon Management Systems for business excellence. These are being done through enhanced integration of the existing management systems. There is a huge potential of looking beyond the sectors they are working and learn from practices, standards and codes applicable to other sectors. We help in this cross fertilization of ideas. For example, CQI 14 for Consumer Centric Warranty Management that is part of automotive practices can help improve Warranty Management Systems in other sectors as well. Similarly, practices of Foreign Object Detection (FOD) from Aerospace Sector can be adopted by Electrical appliances and Food sector. Product Stewardship Code of Responsible Care for Chemical Sector can be adopted by Product Development teams for other sectors like Automobile and Electronics sectors. There are also guideline standards like ISO for Internal Training processes and ISO for Internal Audits of Integrated Management Systems. CGAS provides support in terms of Training and Facilitation in Implementation of these practices and standards. CGAS provides advisory services to establish frameworks and prepare Sustainability Reports as per these models. It is also helping in capacity building by providing specialized course for building teams and providing them tools for Sustainability Management Systems.

6 Corporate Social Responsibility Corporate Social Responsibility is a concept that has been part of business strategy for years with many organizations. However, it got fresh impetus with drive coming from customers, changing expectations of society, expectations from financial institutions and regulatory requirements like Companies Act 2013 of India. CGAS provides services in terms of Community Needs Assessment, Effectiveness Evaluation of Existing CSR Initiatives, Community Engagement, Measure and Evaluate the Impacts and Report and Communicate. Sustainability Reporting A Sustainability Report is a report published by an organization about its economic, environmental and social impact. It presents the organizational values and governance model and demonstrates the link between its strategy and commitment to sustainable global economy. It is increasingly becoming an expectation of customers, financial institutions, stock exchange listings, etc. There are multiple models available for reporting but the most common models. While some models like Carbon Disclosure Project (CDP), Dow Jones Sustainability Indexes (DJSI) and Global Real Estate Sustainability Benchmark (GERSB) score the companies, other frameworks like Sustainability Assurance Standards Board (SASB) and the most widely adopted framework of Global Reporting Initiative (GRI) G4 guidelines do not have a scoring system. In India, National Voluntary Guidelines (NVG) issued by Indian Institute of Corporate Affairs exist as guidelines. In India, it is mandatory for top 100 companies on Bombay Stock Exchange and also the Public Sector undertakings to publish their Sustainability Report. CGAS provides advisory services to establish frameworks and prepare Sustainability Reports as per these models. It is also helping in capacity building by providing specialized course for building teams and providing them tools for Sustainability Management Systems. Sustainability Assurance Practice Sustainability Reports as detailed above carry a bigger credibility if assured by independent personnel. CGAS provides Assurance Report and Statement on reports published by the organization. This is done by has qualified professionals qualified by Accountability, United Kingdom.

7 EHSS Risk Management in Supply Chain Audits Increasing degree of outsourcing of both manufacturing and logistics services are also increasing the risks associated with the Environment, Health & Safety and Social (EHSS) performance of these supply chain partners. Today the outsourcing partners vary from suppliers to third party logistic providers to monitoring agencies to third parties for HSE compliance management to warehouses, cold storages, dealers and stockists. Any disruption in their operation due to wilful non-compliance or ignorance can have serious repercussions on the entire supply chain. CGAS supports major Original Equipment (OE) Manufacturers and Retail Chains by helping build realistic frameworks for assessment of suppliers and assess the supply chain on their behalf. CGAS also supports suppliers interested in qualifying as Business Partners for major Retail chains by means of training, capacity building, and establishing management systems and help them meet the expectations of OE manufacturers or Retail Chains. EHS and Social Due Diligence Assessments Due Diligence (DD) is a term used to assess the risk and identify measures to mitigate the same while investing in a company for Merger & Acquisition (M&A), Project Funding by Development Finance Institutions (DFIs), Lending by Banks, Investments by Private Equity (PE) Funding for entry, mid-term and exit review to evaluate the increase in value of investments. Multiples tools or their combinations are used to carry out these assessments. Some of these include ASTM for Phase I Environmental Site Assessment (ESA), ASTM for Phase II Environmental Site Assessment (ESA). These are used to address All Appropriate Inquiry (AAI) aspect to the Comprehensive Environmental Response, Compensation and Liability Act (CERCLA). DFIs primarily use IFC Performance Standards on Environmental and Social Sustainability while Lending Banks use Equator Principles. Legal Compliance Assessment form a major part of DD CGAS carries out EHS and Social DD for the purpose of providing inputs to investors and PE funds to facilitate them in informed decision making.
