1 Chamroeun is a leading Cambodian social microfinance institution working to achieve positive and lasting changes in the livelihoods of economically active poor families by providing a wide range of responsible microfinance and complementary socio-economic services in a socially responsible manner. As of today, Chamroeun is standing in grade 11 th among all microfinance institutions in Cambodia in terms of active borrowers with 34 service points in 16 provinces across the country. As of 29 th February 2016, Chamroeun employed 332 full time staff. Chamroeun is now seeking a dynamic and talent candidate to fulfill the vacancy position below: Position Report to Location Closing date Chief Operating Officer (COO) CEO Head office 29 April 2016 ROLES AND RESPONSIBILITIES: - Be responsible for an effective overall management of the Operations of Chamroeun, which include provincial offices and operating branches; - Take lead in formulating annual plan, budget, and strategies of the supervised department(s) and involve in formulating the strategic and business plan of the institution; - Provide guidance and support to Head of Operations on overall management of operational activities, e.g. effective branch management, staff capacity development, credit and delinquency management, internal control, and risk management; - Take lead in designing operational management policies and procedures, and guidelines which include the aspect of operational expansion, branch governance, delinquency management, and branch/field visits; - Ensure the close work of operations team with relevant departments to design effective internal controls and standardized business processes and ensure the availability of sufficient tools in place for compliance checks as well as ensure timely and appropriate corrective actions are taken against breaches and gaps identified; - Approve individual commitment plans and the accomplishment of each department head and provide guidance and support to the supervised departments in formulating the annual plan, budget, and strategies of their subordinates; - Be responsible for routine execution of the related job assignments and duties in compliance with Chamroeun s policies, procedures, internal controls, and applicable laws and regulations as well ensure that the objectives and rationale of such actions are in adherenceto the institution s vision, mission, goals, objectives and core values; - Ensure the regular review and updating on competitors offerings and strategies, PEST analysis, and other relevant macroeconomic frameworks; - Coordinate business/product development and ensure its appropriate design and processes starting from various client and market studies, defining product prototype, product costing and pricing, product risk assessment, pilottest, and roll-out; - Provide guidance and support on overall management of non-financial services and social performance management activities; - Coordinate the introduction and adaptation of key social performance initiatives and monitoring tools within the institution such as Smart Campaign's CPP, Cerise s SPI, Grameen Foundation's PPI, and SPTF's USSPM; - Ensure regular reporting and updates on social, operational, and financial KPIs to various globally and regionally recognized social affiliates as such MIX, Truelift, MFTransparency, BWTP, and etc. QUALIFICATION - At least Master Degree in Business Management, Economics, or other related fields; - At least 10 years experience in microfinance, including 5 years in a management position with in operations department; - Strong experience in operational and credit risk management, proven track records of effective delinquency management; - Comprehensive Knowledge of practices, procedures and principles related to operations management, marketing communication, business development, and social performance management sufficient to interpret and analyze complex concepts, situations, and contexts and apply it in innovative ways to appropriately and effectively respond

2 to the contexts; - Skills and knowledge should include an extensive understanding of financial, operational, social development, market, and credit risk; - Good interpersonal and communication skills, ability to communicate constructively yet without compromise on sensitive issues, and maintain good working relations with colleagues, subordinates, and relevant stakeholders; - Showed high integrity with strong commitment to achieve the assigned jobs in line with result orientation to meet with the agreed deadline; - Native Khmer, v ery strong grasp of the English language (written and spoken). 3 JOB DESCRIPTION Job Title: Chief Operating Office (COO) Ref. : HRD-JD Location: Head Office with 60-80% time in the field Revision date : March 20, 2016 Duty Station : COO Office Job Grade : 8 Report to: Chief Executive Officer Salary range : Directly Supervise Operations Team in the first year, and from the second year onwards (or before if deemed Subordinate(s): applicable by the Board of Directors/CEO), directly supervise the Marketing and Communication Team, and Social Performance Management Team Validated by: CEO, BoD I. JOB SUMMARY The COO is responsible for an effective overall management of the Operations of Chamroeun, which include provincial offices and operating branches. For the first year of service the COO will focus only on the Operations and in the second year he/she will also assume responsibility of Marketing, R&D and Social Performance Management. The COO is expected to spend a considerable time in the field, to hands-on manage the operations and closely interact with staff and partners. The main tasks are mainly relevant to coordination and assurance of business policies, procedures, guidelines, business processes, appropriate internal controls, monitoring tools, and reporting regime available for effective guidance and implementation. In fulfilling his/her mission, the COO contributes to the achievement of Chamroeun s vision, mission, goals, and objectives in respect to the institution s core values by controlling that all departments under his/her supervision to achieve their work with quality, in a controlled and sustainable way with continuous improvement and development. The COO actively participates in stakeholder relationships and keeps the reputation, honor, and ethics of Chamroeun. II. JOB DUTIES & RESPONSIBILITIES Description % of time 1. Business Planning and Overall Management/Supervision - Take lead in formulating annual plan, budget, and strategies of the supervised department(s) and involve in formulating the strategic and business plan of the institution; - Approve individual commitment plans and the accomplishment of each department head and provide guidance and support to the supervised departments in formulating the annual plan, budget, and strategies of their subordinates; - Develop an effective team of competent subordinates who understand and are able to discharge the obligations of their positions/jobs; - Develop, direct, and control training and capacity building programs for subordinates for the proper performance of their duties; - Regularly review performance in his/her area of responsibility against planning standards and take corrective action as necessary; - Be responsible for routine execution of the related job assignments and duties in compliance with Chamroeun s policies, procedures, internal controls, and applicable laws and regulations as well ensure that the objectives and rationale 10% (15% the second year)

4 of such executive are adhered to the institution s vision, mission, goals, objectives and core values; - Take part in the hiring, selection, and placement of the new staff, as requested; - Participate to meetings, such as the Executive Committee, Senior Management Team, General Management Team, etc; - Inform the team of any change or update of the policies, procedures, laws and regulations related to Chamroeun s businesses. 2. Operations Management - Provide guidance and support to Head of Operations on overall management of operational activities, e.g. effective branch management, staff capacity development, credit and delinquency management, internal control and risk management etc; - Coordinate operations team to come up with operational planning, credit sales, recovery plan, and microinsurance targets; - Take lead in designing operational management policies and procedures, and guidelines which include the aspect of operational expansion, branch governance, delinquency management and branch/field visits; - Ensure the close work of operations team with relevant departments to design effective internal controls and standardized business processes and ensure the availability of sufficient tools in place for compliance checks as well as ensure timely and appropriate corrective actions are taken against breaches and gaps identified; - Perform regular branch and field visits to provide support to the operations team in view of controlling and adjusting Chamroeun s recent developments in regard to operations. - Ensure the operations team is updated of developments in marketing and communication, and social performance management as well as other relevant areas as needed. 3. Marketing Communication and R&D (from second year onwards as above) - Provide guidance and support to the Head of Marketing and Communication on overall marketing and communication aspects; - Ensure the carrying out of regular research projects including needs assessments, demand surveys, satisfaction and exit studies, poverty assessments, and impact studies. - Ensure the regular review and updating on competitors offerings and strategies, PEST analysis, and other relevant macroeconomic frameworks.; - Coordinate business/product development and ensure its appropriate design and processes starting from various client and market studies, defining product prototype, product costing and pricing, product risk assessment, pilot-test, and roll-out; - Ensure standardized and effective product promotions and awareness campaigns and review as necessary Chamroeun s brand identity and image amongst key stakeholders and public; - Ensure appropriate management on customer services, complaint handling and reporting, and public relation activities. 70% (35% the second year) 15% (the second year only) 4. Social Performance Management (from second year onwards as above) - Provide guidance and support to the Head of Social Performance on overall management of non-financial services and social performance management activities; - Ensure appropriate design of non-financial services and their delivery mechanisms; - Coordinate the introduction and adaptation of key social performance initiatives and monitoring tools within the institution such as Smart Campaign's CPP, Cerise s SPI, Grameen Foundation's PPI, and SPTF's USSPM; - Ensure regular reporting and updates on social, operational, and financial KPIs 15% (the second year only)

5 to various globally and regionally recognized social affiliates as such MIX, Truelift, MFTransparency, BWTP, and etc. 5. Monitoringand Reporting - Produce monthly, quarterly, and annual reports for the Chief Executive Officer which include POA follow-up, productivity and performance monitoring and analysis report supporting by key notes and/or narrative documents as well as research and study results; - Coordinate relationships with other stakeholders to improve the institution s product strategies and business processes; - Coordinate relationships with internal and external auditors as well as various technical support providers and raters to work on finding issues, gaps identified, improvement plans, and progress of actions taken; - Review and ensure the quality and timeliness of various performance reports including daily, weekly, and monthly operational performance monitoring; - Ensure that updates on new business/ product initiatives are complete and sent in a timely manner to relevant stakeholders for information or further proceedings; - Ensure appropriate filing and documentation are fully performed by both the COO s office and supervised teams. 10% 6. Relationship with Stakeholders - As a member of the Executive Committee, the COO is required to meet with key stakeholders from time to time including donors, investors, shareholders, board members, etc. - S/he is required to represent Chamroeun faithfully, and demonstrate a key understanding of Chamroeun s current situation and outlook. 5% 7. Others Tasks/Assignments - Act as Chairperson of the Business Committee and involve in other specialized committees within the institution at management and Board levels such as Executive Committee, Asset and Liability Management Committee, HR Committee, Board SPM Committee, and Board Risk Management Committee; - Performance others assignment or related tasks from Chief Executive Officer. 5% III. PERSON SPECIFICATION Knowledge Qualification Priority - Education Have at least Mater Degree in Business Management, Economics, or other related fields ; - Experience Required: o At least 10 years experience in microfinance, including 5 years in a management position within the operations department. o Strong experience in operational and credit risk management, proven track records of effective delinquency management. Preferred: High o Some experience in business development and marketing and communication s. - Others Comprehensive Knowledge of practices, procedures and principles related to operations management, marketing communication, business development, and social performance management sufficient to interpret and analyze complex concepts, situations, and contexts and apply it in innovative ways to appropriately and effectively respond to the contexts.

6 Skills & Abilities Others - Skills and knowledge should include an extensive understanding of financial, operational, social development, market, and credit risk; - Good interpersonal and communication skills, ability to communicate constructively yet without compromise on sensitive issues, and maintain good working relations with colleagues, subordinates, and relevant stakeholders ; - Language Native Khmer, Very strong grasp of the English language (written and spoken) - Computer literacy Strong computer skills i.e. MS office, Internet, , Power Point, and some knowledge of specific tools such as SQL and MBWin, business process tools, and creative design is a plus; - Good management and communication skills, team work, and results-oriented with high integrity, fair practices, and commitment; - Be able to identify gaps or weaknesses with managed staff and show ability to effectively recommend and lead in developing plan for improvements to fill in the gaps identified or address the weak points; - Ability to handle multiple tasks and complexities as per a number of different projects will be implemented at the same time; and - Be independent and show ability to work without supervision. - High integrity, accountability, commitment, and strong passion towardsworking with the poor and an institution having a strong socially-driven vision and mission; - Be respectful and demonstrate sound professional ethics; - Have full and valid driving license; - Must have no criminal record. AUTHORITY Approval Actions Missions of the supervised department heads Annual POA and budget, and targets of the supervised departments; Expenses of the supervised departments: Up to KHR 1 million per request if budgeted; Up to KHR 200,000 per request if not budget; Proposition Any related expenses above the approval limits; Improvement of policies, procedures, and guidelines Requisition of any officer of the company to supply such information, explanations, documents and records relevant to data analysis, addressing challenges encountered, and improving business processes and performance; Adjustment the annual plan and/or budgeting to adapt with situation and contexts V. PERFORMANCE STANDARD - This position have to achieve the following performance standards: 1. Achievement of monthly, quarterly, and annual budgets/targets; 2. Achievement of the monthly, quarterly, and annual POA set and agreed. VI. WORKING CONDITIONS - Working overtime or on holiday if tasks need urgent or timely completion; - Ability to travel and work at various operating provinces and districts per branch, field, and partner/client visits required.
