2 The role and duties of Company Secretaries (CS) continue to expand and being the gate-keepers of Corporate Governance their independence, integrity and professionalism are critical in ensuring that board decisions are in the best interest of the company. The company secretary must ensure that legislation is not infringed, that regulations are adhered to, that compliance is full and up- to date at all times. The Board, particularly the chairman, relies on the company secretary to advise them not only on directors statutory duties under the law, disclosure obligations and listing rule requirements but also in respect of corporate governance requirements and practices and effective board processes. They are the conscience keeper of entire structure of corporate governance. There is increasing recognition of the need to elevate the position and function of the Company Secretaries to allow them to take a stronger role in promoting governance within companies.
