Introduction The African Development Bank (AfDB) places renewed emphasis of Natural Resources Management as a transformational platform. In order to respond to the challenges facing sustainable management and use of Africa s natural resources, the AfDB created the African Natural Resources Center (ECNR). The ECNR is a non-lending knowledge building entity whose mandate is to assist African governments in maximising development outcomes derived from their natural resources. It does so by helping these governments boost their capacity to achieve inclusive and sustainable growth from such resources. Many of the AfDB Regional Member Countries (RMCs) that are endowed with petroleum resources established National Oil Companies (NOC) in order to maximise benefits from this non-renewable natural resource. However, some of these RMCs do not seem to be maximising the potential of their natural resource even with these NOCs in place. This has not given a good example to the new emerging petroleum producers who are looking for models of how to maximise benefits from their newly discovered resources. 2. The Need for the Study Some NOCs have at times performed so poorly that they became a liability since they cause losses to the countries. In this study, we want to find out what the challenges are and what needs to be done in order to stop the existing NOCs from becoming a liability. This will help improve the performance

2 of existing NOCs and at the same time those countries considering setting up NOCs will also be able to use findings of the study to evaluate what they can do to maximise NOC performance. 3. Specific Objective of the Study The specific objectives of the study are the following: i) Supporting established and emerging NOCs in Africa to understand how they can increase their performance while contributing substantially to in-country. ii) Offering guidance for the strategic focus of new NOCs and support a strategic reassessment in old NOCs. iii) Evaluating how the NOCs can contribute to the AfDB High five priorities iv) Developing a basis for the Bank to advise on NOCs in Africa 3. Scope of Work The following will be the scope of the study covering a minimum of three NOCs picked from three different regions across Africa: i) Evaluation of success factors and failures of NOCs a) Range of NOC roles, sizes, activities b) Financing of NOCs c) Establishing what commercial and technical success looks like and why it matters ii) Assessment of performance: a) NOC activities and their funding b) NOCs as vehicles that can maximise value in the country c) A benchmarking exercise focused on each segment of the value chain d) Evaluating investments made by NOCs in Africa and reasons for success or failure. iii) A strategy for the future: a) Preparedness for anticipated transition to peak demand for oil and a low-carbon economy b) What NOCs need to do in order to survive during price fluctuations c) Options for resilience and relevance in the 21st century iv) Obstacles to reform: a) Political vision and political will b) Vested interests v) Proposed recommendations on among others; policy, capacity and management of NOCs together with the next steps 4. Methodology and Duties of the Consultant The study will entail desk research, complemented by informal interviews with NOC executives and industry analysts. Annual financial, operational and other relevant reports together with questionnaires may also be used to provide additional information. The consultant will report to the task manager for the assignment. The duties and responsibilities of the consultant will include the following: a) Prepare an acceptable work plan for the study. b) Review and analyse performance of 3-4 existing NOCs in accordance with the scope of work. c) Draw comparisons with best international NOC and IOC practice. d) Undertake interviews with relevant stakeholders and distribute questionnaires e) Prepare inception and draft final reports with input from relevant AfDB departments and stakeholders. f) Prepare PowerPoint presentations for validation and dissemination workshops. 2

3 g) Consolidation of the stakeholder comments into the final report and h) Prepare PowerPoint presentations for AfDB wide event. A pre-project skype/telephone meeting with the consultant is planned to harmonise the methodology, define countries and case studies, agree on reporting, content and format of the draft and final reports. 5. Outcome The consultant will produce a detailed report covering the scope of work which will also be useful to the AfDB in; a) Advising established and emerging NOCs in Africa b) Offering guidance for the strategic focus NOCs c) Evaluating contributions NOCs make to the AfDB High 5 priorities. d) Developing strategies for the AfDB s evaluation of NOCs. e) Governance in the management of NOCs. f) Indicating how the AfDB High 5 strategy can be achieved by the oil sector through NOCs. The results of the study will be summarised in an information package that will be published and disseminated by the African Natural Resources Center. 6. Timeframe The consultant will be awarded a contract for up to 30 person days. The study will be undertaken in a period not exceeding six months with the following activities and outputs. 4 In addition to the inception, there will be a draft final report on which stakeholders will comment before the final study report is prepared. The consultant will propose a table of contents for the report which will be discussed at the pre-project meeting. 8. Consultant Qualifications: The consultant must meet the following criteria: a) Possess at least a Master s degree in the petroleum sector, economics, engineering, science, social sciences or related disciplines. b) Adequate competence with a minimum of 10 years working experience in the petroleum industry, including petroleum policy c) Accomplished at least two related research studies in the last three years d) Expertise on national oil companies will be an added advantage e) written and oral English or French. 9.
