2 Introduction from Professor Paul Burstow, Trust Chair Dear Candidate Thank you for your interest in the role of Non-Executive Director at the Tavistock and Portman NHS Foundation Trust. We are a specialist mental health trust focused on psychological, social and developmental approaches to understanding and treating emotional disturbance and mental ill health, and to promoting mental health. We have a national and international reputation based on excellence in service delivery and clinical innovation, and high-quality clinical training and workforce development. We achieved authorisation as an NHS Foundation Trust in Prior to this it was the Tavistock and Portman NHS Trust, established in 1994, bringing together the Tavistock Clinic, founded in 1920, and the Portman Clinic, founded in We are seeking to recruit a new non-executive director to join our Board of Directors. This vacancy will arise later this year because the current post-holder has been offered a new substantive role and will no longer be able to commit to their non-executive duties. For this post we would particularly like to encourage applications from people from a higher education background. We are also keen to encourage applicants from black, asian and minority ethnic backgrounds and women. We are keen to recruit candidates who will have experience at senior / board level and will be able to demonstrate the qualities necessary to help take the Trust forward and to promote the interests of our service users. 5 Introduction The Council of Governors of the Tavistock and Portman NHS Foundation Trust is responsible for appointing Non-Executive Directors. The Council has convened the Non-Executive Director Appointment Committee to oversee the recruitment and selection process of a new Non-Executive Director. Following the selection process, the Non-Executive Director Appointment Committee will make its recommendations for appointment to the Trust s Council of Governors for consideration and approval at their meeting on 21 September The successful candidate will commence their term of office on 01 October Background Our vision is focused on the type of communities and society that we want to contribute to creating and to be a part of. 6 Role and Responsibilities Overview of Role The Tavistock and Portman NHS Foundation Trust Board of Directors collectively provides the strategic direction and leadership that drives effectiveness, efficiency and economy in the way the Trust is run and continual improvements in the quality of the services it delivers. Overview of Responsibilities The role of non-executive director has the following key elements: Provide leadership within a framework of prudent and effective controls which enable risk to be assessed and managed. Bring a range of skills and expertise which may not otherwise be available to the Trust Constructively challenge and support the development of proposals on strategy, scrutinise the performance of management in meeting agreed goals and objectives and monitor the reporting of performance. Satisfy themselves as to the integrity of financial, clinical and other information and that financial and clinical quality controls and systems of risk management are robust and defensible. Responsible for determining appropriate levels of remuneration of executive directors and for the appointment of the chief executive and other executive directors ensuring 6

7 the appropriate process is followed in their recruitment and retention. Chair and or/participate in committees established by the Board. Attend Council of Governors meetings and support the Trust Chair in ensuring effective dialogue between the Board and the Council of Governors. Non-executive directors must: - uphold the highest ethical standards of integrity and probity; - support executives in their leadership of the Trust; - question intelligently, debate constructively, challenge thoughtfully and decide fairly; - listen sensitively to the views of others, inside and outside the Board; - promote openness and trust in relationships with all Board members; - promote a culture of equality and diversity - demonstrate high standards of corporate and personal conduct as stated in the Nolan principles of standards of conduct in public life (set out at Annex A); 7

8 Person Specification Tavistock and Portman NHS Foundation Trust is seeking an outstanding individual to join the Board as a Non-Executive Director. For this post we would particularly welcome applications from candidates who have a higher education background. The Trust emphasises that, to make an effective contribution to this successful and ambitious organisation, the candidates appointed will need to have experience at senior/board level and able to demonstrate that they have the qualities necessary to help take the Trust forward. 12 Eligibility To be able to take up appointment the successful candidate must be a public member of the Tavistock and Portman NHS Foundation Trust. Membership of a public constituency is open to individuals who live in the relevant area of the Foundation Trust. Details of how to become a member can be found on the Trust s website at: Criteria for Disqualification As taken directly from the Trust s Constitution, the following may not become or continue as a member of the Board of Directors: A person who has been adjudged bankrupt or whose estate has been sequestrated and (in either case) has not been discharged; A person who has made a composition or arrangement with, or granted a trust deed for, his creditors and has not been discharged in respect of it; A person who within the preceding five years has been convicted in the British Isles of any offence if a sentence of imprisonment (whether suspended or not) for a period of not less than three months (without the option of a fine) was imposed on him; A person who has abused any member of NHS staff; A person whose term of office of office as the chair or as a member or director of a health service body has been terminated because his appointment is not in the interests of the health service, for non-attendance at meetings, or for non-disclosure of a pecuniary interest; A person who is a medical practitioner that has been removed from the professional register by the General Medical Council; or 12

13 A person who is incapable of managing and administering his property and affairs because of mental disorder, illness or injury. The Fit and Proper Person Requirement The Health and Social Care Act 2008 (Regulated Activities) Regulations 2014 (the 2014 Regulations) places a duty on NHS providers not to appoint a person or allow a person to continue to be an executive director or equivalent or a non-executive director under given circumstances. Candidates will be required to confirm, and to annually declare, that they: are of good character; have the necessary qualifications, skills and experience; and are able to perform the work that you are employed for after reasonable adjustments are made; and have not been responsible for, been privy to, contributed to or facilitated any serious misconduct or mismanagement (whether unlawful or not) in the course of carrying on a regulated activity or providing a service elsewhere which, if provided in England, would be a regulated activity. Good character is measured by the criteria set out in Part 2 of Schedule 4 of the Regulations which include: whether an individual has been convicted in the UK of any offence or been convicted elsewhere of any offence which if committed in any part of the UK would constitute an offence; and 13

14 whether an individual has been erased, removed or struck off a register maintained by a regulator of a health or social work professional body. Candidates are also required to confirm that none of the grounds of unfitness specified in Part 1 of Schedule 4 apply to them (e.g. bankruptcy, sequestration and insolvency, appearing on barred lists and being prohibited from holding directorships under other laws). The successful candidate will be required to confirm through the annual declaration of interests process every year that they continue to meet the above requirements. Disclosure and Barring Service Check Chairs and Non-executive Directors may occasionally have access to children or vulnerable adults through their work for the Trust. To safeguard patients/service users by identifying unsuitable candidates, the appointment will be dependent upon the satisfactory completion of a standard disclosure through the Disclosure and Barring Service. Checks will be carried out by the Trust after appointment and before the individual takes up their full duties. Remuneration and Time Commitment Non-executive directors receive an allowance of 8,500 per annum. 14

15 Remuneration is taxable and subject to National Insurance Contributions. It is not pensionable. Non-executive Directors are also eligible to claim allowances, at rates set by the Foundation Trust for travel and subsistence costs necessarily incurred on Trust business. Non-executive Directors at Tavistock and Portman NHS Foundation Trust must devote sufficient time to ensure satisfactory discharge of their duties. This will be a minimum of 30 days per annum. This will comprise a mixture of set commitments (such as a monthly board meeting and committee meetings) and more flexible arrangements for ad hoc events, reading and preparation. Most of the time commitment will be during the working day. However some evening work may be required. Appointment and Tenure of Office This appointment will be for three years and will be subject to annual performance review. One further three term of appointment can be considered at the end of the first period of office subject to consistently good performance and the needs of the organisation. A degree of change is often sought on boards and there should therefore be no expectation of automatic re-appointment. You should also note that this post is a public appointment rather than a job and is therefore not subject to the provisions of employment law. To ensure that public service values are maintained at the heart of the National Health Service, Nonexecutive Directors are required to subscribe to the Code of Conduct and Standing Orders and Standing Financial Instructions for the Foundation Trust. 15

16 As a Non-executive you must demonstrate high standards of corporate and personal conduct. Details of what is required of you and the NHS board on which you serve are set out in the Codes of Conduct as outlined above. You will be required to declare any conflict of interest that arises in the course of board business and also declare any relevant business interests, positions of authority or other connections with commercial, public or voluntary bodies. These will be published in the annual report with details of all board members remuneration from NHS sources. Recruitment Process & Timetable A selection panel drawn from the Non-Executive Director Appointment Committee of the Council of Governors will meet to consider applications. Candidates who have been shortlisted will be invited to visit the Trust s offices and meet with the Chief Executive. Interviews will be held on w/c 28 August 2017 at the Trust s Offices at 120 Belsize Park, London. The Non-Executive Director Appointment Committee will recommend their preferred candidate to the Trust s Council of Governors at their meeting on 21 September The Council of Governors will make the final appointment. The successful candidates will be contacted by the Trust Chair of the Trust, Mr Paul Burstow. All unsuccessful candidates will be advised of the outcome of the selection process by the Trust Secretary. Key Dates Closing date 03 May

18 Annex A The Nolan Principles -The Seven Principles of Public Life Selflessness Holders of public office should take decisions solely in terms of the public interest. They should not do so in order to gain financial or other material benefits for themselves, their family, or their friends. Integrity Holders of public office should not place themselves under any financial or other obligation to outside individuals or organisations that might influence them in the performance of their official duties. Objectivity In carrying out public business, including making public appointments, awarding contracts, or recommending individuals for rewards and benefits, holders of public office should make choices on merit. Accountability Holders of public office are accountable for their decisions and actions to the public and must submit themselves to whatever scrutiny is appropriate to their office. Openness Holders of public office should be as open as possible about all the decisions and actions that they take. They should give reasons for their decisions and restrict information only when the wider public interest clearly demands. Honesty Holders of public office have a duty to declare any private interests relating to their public duties and to take steps to resolve any conflicts arising in a way that protects the public interest. 18
