3 Business Planning Daily tasks can make it difficult to define and prepare future plans in an organized sustainable way of the company, which can certainly compromise the development of your business. PROFIT is able (always respecting the characteristics and culture of each company) to develop business plans ("Business Plan") for special activities, businesses or departments, so that the objectives and goals are clearly established, integrated and coordinated, thus obtaining the results expected by investors, employees and the general public. We offer the following services: Diagnosis of current operational circumstances of a company, such as: employed resources, market positioning, level of indebtedness, payment capacity, product cycle, markets served, in order to identify the needs to be contemplated in the Business Plan; Business Plan development; Definition and establishment of information systems that enable continuous verification of business and tracking results compared to the general objectives indicated in the action plan defined for the company; Evaluation of human and material resources used in the operating process of the company; Preservation and optimization of "Business Intelligence", since all the internal and external knowledge of a company / business should be preserved and used in achieving results through actions directed to sustained growth. Therefore, we have our own methodology in order to use and apply such knowledge in the establishment of goals / goals.

4 INTERIM MANAGEMENT Eventual replacement of company executives can become difficult due to the need for process maintenance, which disruption in many cases can create serious difficulties for the conduct and continuity of the business, or even opportunities that require a responsible person to perform in an interim manner and with the same quality that the company requires. Fees: we established the principle that the "Interim Management" will always have their fees established below the total cost of the replaced executive/professional, so that, in addition to providing ever better quality of performance, it will not require the company to increase its costs.

5 Negotiation Strategies In order to meet the objectives set out in our action plan, negotiations are sometimes necessary in order to adjust liabilities and assets with the purpose of generating resources and results that are satisfactory to the company. Therefore, PROFIT is able to conduct negotiations and renegotiations, such as: Evaluation, monitoring and execution of processes for the opening of capital; Banks (Loan renegotiations); Suppliers negotiation; Employees / Unions; Customers (charges, contracts, readjustments, etc.); Obtaining financing with the preparation of projects. 6 Management Information Systems For the implementation of measures to follow the results, within established goals and targets, it is essential to prepare and implement a set of reports addressing management information, where all components of the organization understand the information in the same way. This is the only way to use the information efficiently in the search for common results, since all the activities of a company must be coordinated and integrated with each other. As such the identification and understanding of the information is only possible with the use of an efficient reporting system and its adequate understanding, in a timely manner for making decisions. PROFIT s proposal is not limited to preparing the reports, but also to analyze and discuss with the management team all the confirmed results and the effects of the plans and set goals and advise on corrective measures to be adopted, generating common understanding, integrating the different areas and combining "talents" in the search for results.

7 Corporate Restructurings Asset Protection Nowadays, it is imperative for any entrepreneur and even corporate executive, in view of the responsibilities established by the Law, to pay attention to possible exposures that may lead to the compromise or even contamination of his or her personal wealth situation. We have established an information system that monitors and periodically evaluates (monthly) the company's situation regarding exposures, regarding: Tax situation and its implications to shareholders, businessmen in general and their executives; Bank liabilities and their implications to the guarantors of the operations; Labor liabilities and their implications to shareholders, business owners in general and their executives; Personal equity situation and possible contamination by lawsuits in relation to business activity. In addition, PROFIT is also qualified to assist clients in discussions and implementations - in all its aspects - from corporate restructuring in order to provide protection to the personal assets of members and executives of companies and thus prevent unnecessary unpleasantness and constrictions that may suffer due to adversities faced by the company.

8 Compliance Risk Assessment and Corporate Ethics Compliance, i.e., the compliance with laws, regulations, policies and procedures previously established, has become a matter of utmost importance for the life of a Brazilian business. The need to implement internal programs that avoid misunderstandings and misconceptions that are at odds with corporate culture, as well as existing legislation, is a determining factor for the success of a business. In this sense, the correct mapping of processes, the evaluation of the organizational structure, the clear and transparent identification of the system of internal controls, and the professional evaluation of the characters involved in the execution of the commercial, administrative, financial and operational processes, with absolute certainty, reducing and even preventing actions that generate business risks. 9 BUSINESS VALUATION PROFIT professionals have extensive experience in the economic and financial evaluation of companies, using nationally and internationally recognized methods, being fully qualified and certified for their elaboration. Our work is recognized by Investors and Financial Institutions. Among the valuation methods used, the best known are the discounted cash flow, market multiples and equity valuation. Discounted cash flow assessment presents several benefits, such as the recognition of future cash benefits of the company, using its current fundamentals for its elaboration. On the other hand, the assessment according to market multiples is based on pricing a company based on similar companies, observing market trends and applying the necessary adjustments to arrive at a fair price. Under the method of valuation by the equity value, the company is recognized by the book value of the company's existing assets, that is, valued at current cost adjusted to the market value of these assets.
