3 VISION AND VALUES Healthy Land and Water (HLW) is a non-profit organisation set up with the aim of preserving South East Queensland's natural assets for today's communities and for future generations. People at HLW believe that maintaining healthy landscapes and waterways is not just important for wildlife and ecosystems but also supports a vibrant economy, strong livelihoods, great lifestyles and the well-being of our communities. South East Queensland is world-renowned for its tropical climate, fresh air, clean beaches and waterways, as well its diverse flora and fauna. At Healthy Land and Water, they are committed to preserving these assets so that the community can take advantage of the sustainable living and recreational opportunities this region offers, while also contributing to the greater tourism economy. For more detailed information about HLW, see their annual report for 2016: THE ORGANISATION Healthy Land and Water (HLW) was formally launched as a new organisation in February 2017, following the merger of former entities, Healthy Waterways and SEQ Catchments. Both organisations had a long and substantial history of working on improving the natural assets of South East Queensland, in partnership with governments at all levels, water utilities, industry, tertiary institutions and the community. Looking forward, HLW has now embarked on an ambitious strategic planning process to position itself as the leading natural resource management organisation in South East Queensland and beyond. 4 GOVERNANCE & STRUCTURE HLW performs under a complex governance structure, operating a major Board HLW Board and several subsidiary companies focused on specific strategic business initiatives: Waterways Plus Pty Ltd; SEQC Operations Pty Ltd; SEQC Services Pty Ltd; and SEQC Offsets Pty Ltd HLW is owned by the South-East Queensland Catchments Members Association (SEQCMA), the SEQ Council of Mayors (COM) and three of the water utility companies. Under the HLW Constitution, SEQCMA appoint two directors, CoM one director, and the Utilities (combined) one director. The remaining three director positions are selected by the Board. The Board has 4 standing committees: Risk and Audit Science Committee Members Association, and Senior Executive Advisory Committee. The Healthy Land and Water Board of Directors has primary responsibility for its strategic, risk and financial governance. The Board sets the strategic direction for the organisation and ensures it achieves and acts in accordance with the objects set out in the Healthy Land and Water Constitution. The Executive Team supports the CEO in in implementing this strategic direction. POSITION SUMMARY Working three days a week, the Assistant Company Secretary reports directly to the Chief Executive Officer (CEO) and works with the Company Secretary to provide high level support for governance processes required by the various Boards and Committees. The role will also provide the CEO and members of the Executive Management Team with professional support in the preparation, review and editing of corporate documents.

5 KEY RESPONSIBILITIES Key responsibilities for the Assistant Company Secretary include: Provide high level administrative support to the Chief Executive Officer, the Company Secretary and relevant Board Committees including drafting agendas, minutes, reports and briefing papers; Undertake research, analysis and review; prepare reports and submissions; and edit documents as required by the CEO and other members of the Executive Management Team; Develop and assist with the ongoing review of core governance documents such as policies, committee terms of reference and reports; Oversee the compilation of the organisation's annual report, strategic plan and business plans; Liaise with external agencies and staff to ensure the proper storage and publication of governance documents approved by the Board. Assist the Company Secretary in completing compliance obligations for the various companies managed under the umbrella of Healthy Land and Water. Lead or support special projects as required to contribute to effective business operations and progress towards the goals of Healthy Land and Water. SELECTION CRITERIA The successful applicant will demonstrate: A sound understanding of corporate governance administration processes (or an ability to quickly acquire this knowledge) Excellent attention to detail and a track record in writing, integrating and editing high quality documents. Strong planning and organisational skills with demonstrated ability to work flexibly to deadlines and on multiple tasks/projects Excellent stakeholder engagement skills, credibility in working with committees and stakeholders and a collegiate approach to working with staff within the organisation at all levels Initiative, persistence and an ability to maintain equilibrium while adapting to urgent and changing priorities Tertiary qualifications in law or business as well as membership of the Governance Institute of Australia or the Australian Institute of Company Directors will be well regarded. The successful appointee will need to meet requirements as a fit and proper person under relevant legislation.

6 REMUNERATION & CONDITIONS This is a part time role with a probation period of 6 months. You will work three days a week Thursday, Friday and another day to be negotiated with the successful applicant. The salary package will be negotiated based on skills and experience. Other benefits include: Superannuation of 9.5% Access to health focussed staff benefits including reimbursement for influenza vaccination and contributions towards private health insurance as well as gym fees/sporting equipment/allied health services; and Staff team building activities.
