Month 7 AWAY DAY Strategy and the Leadership Role of the Board This session aims to equip Board members to ensure that they are able to take an active and appropriate role in strategy development: The importance of appraising the external environment and internal resources, strengths and weaknesses Some basic techniques for strategic analysis, development and choice Working effectively with the Executive Team Self-evaluation and the link with good governance Equality, Diversity and Human Rights - Delivery by External Consultant Short seminar to bring the Board up to date with UK and European legislation and its implications. Understand their legal obligations in relation to equality legislation, including the Equality Act 2010 & the Human Rights Act 1998 Appreciate the business drivers for promoting equality and diversity Get to grips with the equality and diversity dimensions of Board effectiveness Know how to effectively lead and monitor organisational performance in this area. The Legal Framework for Housing - External Delivery This session is to give Board Members an overview of the legal framework of the sector and the legal context of the Board Member role. Provide an overview of the legal context of the sector Provide an overview of the legal context of the Community Mutual model and charity law Support Board Members in understanding their role within the legal context Month 8 3
4 Minding the money: The Board s responsibility for financial viability Director of Finance Session to assist those Board members in having a better understanding of finance, including the roles and responsibilities of the Board, the role of the Regulator, understanding annual and management accounts and exercising financial control. The session includes: The role and responsibilities of Board members with regard to finance An overview of the Welsh Government s financial monitoring role Gaining a basic understanding of Annual and Management Accounts Understanding the role of board members in exercising financial control This session will develop Board members confidence and understanding in: The essentials of housing finance Value for money and financial viability Long, medium and short term financial plans Interpreting financial information Key viability indicators Financial aspects of business planning Sources of funding and treasury management Month 9 Effective Audit and Risk Director of Finance This seminar is designed to assist Board members by revisiting their role in risk management and managing in a much riskier environment. The session provides clarity around what risk assessment means and what Board or Committee members should be looking out for. The session includes: Role and responsibilities of a Board member in regards to risk, internal controls and regulatory requirements Understanding the risk management process Key tools and processes of risk management including risk identification and assessment and risk management framework How risk management can be embedded in governance, management and culture Risk Maps and Risk Plans Risk appetite and policy Assessing and managing risk 4
5 Monitoring compliance Month 10 Value for money and Understanding Procurement - Director of Finance and Head of Procurement This session is to provide Board members with more information about value for money and their responsibilities; value for money is far broader that procurement. This session looks at how to ensure value for money is achieved right across the business: What we mean by value for money Understanding social value How to demonstrate that value for money is at the heart of delivering your objectives The key role of tenant engagement in achieving VFM Achieving continuous improvement in performance on costs and use of assets Procurement arrangements are increasingly complex and the business must work within a framework. This session will provide an overview to Board members on procurement rules and provide guidance on the role of Board members within the procurement framework and how to stay compliant Procurement overview The Welsh pound Sourcing suppliers Rules around procurement Contract management Staying safe and not putting the business at risk Month 11 An Overview of General Housing Needs and Sheltered Housing Director of Housing and Communities A presentation to Board members to provide an overview of the core business. The presentation will include: Legal framework Housing allocation Relationship with the Local Authority 5
6 Tenant support Sheltered schemes Leaseholder responsibilities Month 12 The Board s Role in Strategic Asset Management Director of Assets and Property Services Property assets represent the single most valuable item on the balance sheet. This session looks at: The key elements in an effective asset management strategy Understanding how national, regional and local housing markets impact on asset management strategies Monitoring and evaluating delivery Property Development and Regeneration Month 13 The Board as an Employer Director of OD and HR The responsibilities the Board has (on behalf of the organisation) as an employer: Essential employment law Strategic human resource management and development Grievance and Disciplinary Processes Recruitment, performance management and remuneration of the Chief Executive Partnership working Implications for service delivery and employment Month 14 Data Protection and Subject Access Requests Delivery TBC Data protection and the risk of fines levied by the Information Commissioner are front page news.
