1 EXHIBIT A SCOPE OF SERVICES SYSTEMS PLANNING OFFICE STRATEGIC INTERMODAL SYSTEM (SIS) PLANNING CONSULTANT I. PURPOSE The Department requires planning Consultant services for general planning support of work program and operating budget funded tasks to support the policy, implementation, planning, design, operation and management of the Strategic Intermodal System (SIS). The work program tasks related to planning are necessary for developing, defining, refining, managing, monitoring and reporting on the SIS work program (years 1 through 5), second five year plan (years 6 through 10), cost feasible plan (years 11 through 25), also known as the SIS Funding Strategy, and the needs plan on specific SIS capacity projects for hubs, corridors, and connectors. The products from the contract will be used by Central Office and District Office staff in project and corridor planning and design, work program production, system implementation, and state legislature communications. Other work program tasks will be developed to support ongoing statewide programs including modifying and implementing the Strategic Intermodal System (SIS) Policy Plan, supporting development and implementation of the Shared-Use Nonmotorized (SUN) Trail Network, performing planning studies such as to assess for risk, designation, policy, project eligibility, and potential improvements on SIS and non-sis facilities. The operating budget activities are required to provide technical assistance in the development of rules, policies, procedures, manuals, handbooks, standards and other technical, policy and process materials as necessary to provide guidance to the District staff in the planning, design, and the operation and management of the SIS statewide programs. The operating budget activities are also to provide technical expertise in the development and implementation of training to support the SIS process, highway capacity and quality of service analysis, interchange justification and analysis, site impact analysis, access management, performance measurement, and multimodal tradeoff analysis. II. SERVICE The Consultant will be required to perform policy and planning analysis to develop specific data, reports, materials, training and to develop recommendations to assist the Central Office Systems Planning Staff in the performance of some or all of the work program budget tasks as identified in Section III and operating budget tasks as identified in Section IV of this exhibit. For the purpose of this contract, work program activities and operating budget activities shall be paid for from separate budget categories. As such, work A-1

2 program and operating budget activities shall be approved by the Department as separate Task Work Orders. The Consultant shall provide separate invoices for each work program and operating budget Task Work Order. Work Program Task Work Orders may encompass more than one fiscal year. Work on operating budget Task Work Orders must be completed by June 1, with a final invoice received by the Department no later than June 15, of the fiscal year the funds are encumbered. The Consultant s work will be managed by a Department Project Manager and a specific Task Work Order Manager who shall approve the scope of the work to be performed by the Consultant for each task as outlined in Section III and IV through individual Task Work Orders. Such Task Work Orders shall be consistent with the definition, requirements and limitations of work program or operating budget projects and shall include: project or service requirements, schedules, a manpower fee estimate and direct cost estimate (to include the amount of time the Consultant staff must be present in the Department s Central Office in Tallahassee), documentation requirements, total allowable project costs, eligible staff to include job classifications consistent with Exhibit B of this contract, deliverables, and the method of reimbursement. After concurrence by the Department Task Work Order Manager, the Task Work Orders shall be approved by the Department Project Manager, the Manager of the Systems Planning Office and the Consultant Project Manager through the issuance and signing of a Task Work Order Authorization form. The Consultant is not authorized to initiate work on any Task Work Order prior to approval of the form by all parties. It is anticipated that specifically designated and agreed to Consultant staff will need to be physically located in Tallahassee working directly with Department staff during the majority of the tasks. Requirements for the location of staff will be agreed to for each individual Task Work Order. All Consultant staff will need to be approved prior to being authorized to work on the Contract and Task Work Orders. III. WORK PROGRAM TASKS FOR WHICH CONSULTANT SERVICES MAY BE REQUIRED A. TASK W-A The Consultant and the Department shall execute a Task Work Order for the provision of technical services necessary for the management of this contract. Such services may include: 1. Providing assistance for short term, minor tasks where a planning level analysis is needed for SIS related or statewide program activities. Where such assistance is required, the Department Project Manager shall provide a Task Work Order documenting the specific work to be performed, the products or services to be provided, the maximum charges allowed and other contractual requirements. 3 B. TASK W-B The Consultant may be required to develop, review or perform planning level capacity analysis for transportation policy, projects, trails, corridors or systems. Products and services from such analysis include but are not limited to: 1. Collecting data and providing a technical analysis of existing conditions. a. Assembling and collecting: traffic data, accident data; land use data including access features, highway characteristics and signalization information; and any other planning information as needed. b. Performing planning level capacity analysis using existing data to define existing corridor or facility conditions, performance, needs and deficiencies. 2. Evaluating existing and projected facility or corridor performance using agreed to performance measures; determining deficiencies and needs; and developing cost feasible corridor, facility and project level improvement alternatives and recommendations. a. Identifying alternatives to correct existing and projected deficiencies and needs, including the consideration of multi-modal or intermodal alternatives. b. Analyzing planning alternatives to provide specific recommendations as to potential environmental and socioeconomic impacts and the feasibility and cost effectiveness of the planning alternatives. 3. Identifying appropriate roadway segmentation lengths for capacity and quality of service analysis. 4. Facility and Corridor Traffic and Analysis. a. Determining the need for new or upgraded transportation facilities or for operational improvements for a facility or a corridor by performing multimodal analysis. b. Performing large area traffic flow analysis to evaluate various alternatives utilizing appropriate and agreed to transportation travel demand models. 5. Providing technical assistance in the development, review and refinement of multi modal projects, trails, facility or corridor plans including limited access facility Master Plans and controlled access facility Action Plans. C. TASK W-C The Consultant may be required to apply Department and FHWA accepted systems models for defining, refining, and prioritizing SIS corridors in the SIS Plans, including refinement of the Department systems for prioritizing SIS projects for inclusion into the SIS Cost Feasible and Needs Plans and the A-3

4 Department s Work Program. This includes further refinement and development of the SIS Investment Tool (SIT) as well as annual data update of measures contained in the tool. D. TASK W-D The Consultant may be required to provide assistance in the policy, development and application of SIS-related modal performance measures and multimodal tradeoff analysis. Products and services that may be provided include: 1. Technical assistance in the development of mobility performance measures related to the quantity of travel, quality of travel including reliability, accessibility and utilization of corridors and systems. 2. Technical assistance in the development of economic development measures related jobs; income and secondary development effects as a result of SIS related implementation. 3. Technical assistance in the determination of economic efficiency (benefit/cost analysis) associated with SIS project implementation. 4. Technical assistance in the development of multi-modal tradeoff analysis (between modes) for SIS project implementation. E. TASK W-E The Consultant may be required to provide assistance in the policy development and implementation of the SIS and its components, including corridor, hub, connector, military access facility, and facility or project plans. Such products and services may include: 1. Assisting in the development of District and Statewide policy, procedures and priorities to produce a statewide plan for the SIS which transcends District boundaries. 2. Assisting in the development and refinement of SIS project, facility and corridor needs, cost estimates, revenue forecasts, project and program status, system, corridor, facility and program performance and other summaries which may be needed in the development and update of the SIS Plan and its components. 3. Assisting in defining and refining projects to be programmed in the Work Program to implement SIS Plans. 4. Assisting in the development, review and refinement of SIS policy, design, access, implementation, operational and other standards. 5. The Consultant Team may be required to provide assistance in Policy Development and support with Statewide Plans and Implementation, including: develop, update, amend or revise the Strategic Intermodal A-4

5 System (SIS) Policy Plan; trail plans; and other federal, state, and Department plans; including support documents, as required by existing or new federal and Florida laws, rules, and regulations, Presidential and Gubernatorial Executive Orders, and other guidance. 6. Provide economic analysis and technical expertise to the Department related to the Strategic Intermodal System (SIS) and SUN Trail Network. 7. Assisting in the development and refinement of SIS criteria and thresholds as well as identification of data requirements to apply the criteria. 8. Assisting in the development, review or refinement of District corridor or project specific requests for exceptions to SIS design standards. 9. Assisting in defining and analyzing SIS projects, facilities and corridors for inclusion in the Work Program to enhance Florida s economic development. Perform analysis to determine goods movement transportation requirements for specific SIS corridors or connectors. 10. Assist with analyzing truck movements and quality of service on the SIS connectors and develop recommendations for facility designation, improvements, exclusive truck motorways and enhancements to maximize the efficiency of truck travel. 11. Assist in performing risk assessments of SIS facilities to identify and categorize vulnerabilities as it relates to continuing operation of the SIS network and state infrastructure. F. TASK W-F The Consultant may be required to assist the Department staff by providing technical assistance in the application of automated mapping techniques related to the development and implementation of the SIS Plan. Products and services may include but not be limited to: 1. Management of the SIS planning database to include providing assistance in defining and refining the logic for data extracts and processes; developing tools for data collection, analysis reporting, information viewing and documenting all data processing functions. 2. Providing GIS application and automated mapping products by technical assistance in developing SIS spatial databases with ArcSDE and dynamic segmentation; refining and developing map services with ArcGIS to serve the SIS planning information on the web, automating the map production process to maximize the operational efficiency; and establishing and maintaining the SIS planning GIS resources and map library with all associated metadata. 6 IV. OPERATING BUDGET TASKS FOR WHICH CONSULTANT SERVICES MAY BE REQUIRED A. TASK O-A The Consultant may be required to develop presentation materials (graphics, maps, etc.) in various multi-media formats to support public involvement efforts and internal presentations to Department Management. Such presentations may include but not be limited to PowerPoint presentations, video, website/webpage layout, and information brochures. The Consultant may also be required to provide assistance to Department staff in making technical and policy presentations. The Department will normally provide the technical material to be displayed. It will be the responsibility of the Consultant to reformat the materials to make them suitable and understandable for the audience and consistent with the meeting format. B. TASK O-B The Consultant may be required to provide technical assistance to the Department in the development and implementation of district or statewide training to support the statewide programs including but not limited to SIS Policy, Procedures and Implementation, SIS Investment Tool (SIT) and Performance Measurement programs. Such assistance may include development of the training, providing training site logistics, development of training outlines and agendas, development of training materials including sample problems, participation at the training sessions, and the evaluation and modification of training courses. C. TASK O-C The Consultant may be required to provide technical assistance to the Department in the development, review and modification of Statutes, Rules, Policies, Procedures, Manuals, Handbooks, Standards and associated computer software as necessary to support the policy development and implementation of the SIS, SUN Trail and other statewide programs. D. TASK O-D The Consultant may be required to provide technical assistance in the policy, development, testing or implementation of multi-modal performance techniques and measures for the SIS. E. TASK O-E The Consultant may be required to perform quality of service, highway capacity, access management and other studies relating to the operation and safety of the SIS or the relationship of land use planning and transportation system impacts. Such studies may result in the development and implementation of new or revised procedures or standards. V. RESPONSIBILITIES OF THE DEPARTMENT A. The Department shall provide a Project Manager who shall be responsible for all coordination with the Consultant pertaining to contractual matters, invoicing and reporting. The Department shall also designate a manager for each Task Work Order who shall be responsible to work with the Consultant Task Work Order A-6

7 Manager to define the specific work to be performed and schedule for completion of such work, the Consultant staffing to be provided, and the cost. The Department Project Manager shall be responsible for approval of any additional staffing to be provided including additional consultant staff (approval must be coordinated with the Procurement Office), and shall give approval of all products and services. B. The Department shall approve, prior to the initiation of any work on any of the tasks defined in this exhibit, a specific Task Work Order defining the work to be accomplished and the total reimbursement due the Consultant. The Task Work Order shall specify the Department Task Work Order Manager, who may be different from the Project Manager. C. The Department shall furnish, without charge, the following services and data to the Consultant for the performance of the requested services: 1. All criteria and full information as to the Department s requirements for the Consultant s services including objectives, constraints, budgetary limitations and time restraints. 2. All Department rules, policies, procedures, standards and other information applicable to the services. 3. All drawings, specifications, schedule, reports and other information prepared by and/or for the Department by others which are available to the Department and which the Department considers pertinent to the Consultant s responsibilities described herein. 4. All available traffic and planning data. D. Computer access (mainframe and personal) for Consultant staff while assigned to any task within the project. VI. RESPONSIBILITIES OF THE CONSULTANT A. The Consultant shall provide an overall Project Manager, acceptable to the Department, who will be the primary point of contact with the Department for the scope, schedule, manpower coordination and completion of all Task Work Orders. The Consultant Project Manager shall reside in the Tallahassee office of the Consultant. The Consultant Project Manager shall appoint, with the concurrence of the Department Project Manager, individual Consultant Task Work Order Managers. The Consultant Project Manager shall appoint, with the concurrence for the Department Project Manager an in-house staff/task Work Order Manager who will reside at the Department office and act as the supervisor between the Department Contract and Task Work Order Managers and the in house Consultant staff. 8 B. The Consultant Project Manager shall meet with the Department staff on a regular basis as requested by the Department Project Manager and shall provide monthly progress reports by Task Work Order no later than the 15th of each month unless agreed to by the Department Project Manager. These progress reports shall be the basis for evaluation and processing of invoices for payment. C. The Consultant shall provide and maintain an up-to-date list of staff with agreed-to classifications and approved salaries (subject to the contract Exhibit B ) that would be available to be assigned to specific Task Work Orders. No consultant staff, except those specifically identified in a Task Work Order or those specifically agreed to by the Department Project Manager, shall charge time to that particular Task Work Order. Consultant must request approval from the Department s Project Manager and Procurement for any modifications or additions to the list of available staff prior to the initiation of any work by that individual. If applicable, new job classifications maybe be added to the contract via contract amendment. Consultant shall submit a copy of the resume and payroll register before new staff can be added. D. The Consultant shall provide sufficient staff physically present in the Department s Central Office in Tallahassee per the request of the Department s Project Manager. The Consultant shall provide sufficient staff, either the specific staff person requested or acceptable staff at defined levels of expertise as agreed to by the Department s Project Manager or the Department s Task Work Order Manager, in a timely manner to complete all assigned work. If, at any time, the Department Task Work Order Manager determines that the number or expertise of particular staff assigned to a specific task is inadequate, the Department Project Manager and Task Work Order Manager shall coordinate with the Consultant Project Manager to ensure adequate staff with the proper level of expertise is made available to ensure the timely completion of the work. E. The Consultant shall maintain an office and staff in Tallahassee as defined and agreed to in Task Work Orders. Limited short-term office space may be provided by the Department for technical staff where close contact with Department staff is necessary for the work being performed. Such arrangements will be made between the Consultant Project Manager and Department Project Manager on an as needed basis and will be specifically stated in individual Task Work Orders. All Task Work Orders exclusively performed utilizing Department space shall be compensated at reduced overhead compensation, or field office overhead rates. F. The Consultant shall provide all agreed to services, products and documentation within the required time schedule as defined in the individual Task Work Orders. G. The Consultant shall provide a monthly status report to the Department Project Manager in a mutually acceptable format. The Consultant shall provide monthly invoices for work performed within 15 days of the end of the month unless A-8

9 specifically agreed to by the Department Project Manager. A final invoice for operating budget Task Work Orders shall be provided no later than June 1st of the fiscal year in which the Task Work Order was issued. H. The Consultant shall maintain a file with all completed reports and related documents accessible through the internet. All reports will be submitted electronically to the Department upon completion of the contract. I. The Consultant shall assign only competent technical and professional personnel qualified by the necessary experience and education to perform assigned work. The Consultant is responsible for ensuring that staff assigned to work under this Agreement has the training established by the Department as a prerequisite for consultant staff to perform work. If the required training is such that it can be applied by the trainee to work on other contracts, (regardless of whether or not the trainee would work on other agreements), the cost of the trainee s time and expenses associated with the training is not directly billable to the Department on this contract, and shall only be recoverable thru overhead for the Consultant firm. VII. SUBCONTRACTING Services assigned to any subconsultants must be approved in writing and in advance by the Department Project Manager, Procurement Office, and the Consultant Project Manager in accordance with this Agreement. All subconsultants must be technically qualified by the Department to perform all work assigned to them. Additional subconsultants with specialized areas of expertise may be required to complete specific Task Work Order assignments. Any subconsultant to be hired and all work assignments to be performed, and all rates of compensation shall be agreed to by the Department Project Manager, Procurement Office and the Consultant Project Manager and documented in the contract file prior to any work being performed by the subconsultant. VIII. COMPUTER SERVICES A. The Consultant shall be authorized to use Department mainframe computer programs as needed and agreed to by the Department Project Manager. B. The Consultant shall verify to the Department Project Manager that all computers have a resident anti-virus program acceptable to the Department. C. The Consultant shall ensure that all documents and support forms have been prepared using software compatible with standards used by the Department and stored as specifically agreed to in an individual Task Work Order. A sequential naming convention should be applied to the files and documentation provided to the Department. Specific project documentation requirements will be specified in the respective Task Work Orders. A-9

10 IX. SPECIFICATIONS FOR WORK The Consultant shall ensure that all products of Task Work Orders be prepared using Department approved software, stored on the Department s servers, or in a cloud environment and provided electronically to the Department. All documentation shall be in Microsoft Word and Adobe Portable Document Format (PDF). Any programming source codes, form designs, raw source data bases (with meta data), GIS files (with meta data) and other ancillary files shall be transferred to the Department in addition to the executable applications at the closure of each Task Work Order or at any time specified by the Department Contract or Task Work Order Manager. X. CONSULTANT NOT EMPLOYEE OR AGENT The Consultant and its employees, agents, representatives, or subconsultants/ subcontractors are not employees of the Department and are not entitled to the benefits of State of Florida employees. Except to the extent expressly authorized herein, Consultant and its employees, agents, representatives, or subconsultants/ subcontractors are not agents of the Department or the State for any purpose or authority such as to bind or represent the interests thereof, and shall not represent that it is an agent or that it is acting on the behalf of the Department or the State. The Department shall not be bound by any unauthorized acts or conduct of Consultant. XI. OWNERSHIP OF WORKS AND INVENTIONS The Department shall have full ownership of any works of authorship, inventions, improvements, ideas, data, processes, computer software programs, and discoveries (hereafter called intellectual property) conceived, created, or furnished under this Agreement, with no rights of ownership in Consultant or any subconsultants/subcontractors. Consultant and subconsultants/subcontractors shall fully and promptly disclose to the Department all intellectual property conceived, created, or furnished under this Agreement. Consultant or subconsultant/ subcontractor hereby assigns to the Department the sole and exclusive right, title, and interest in and to all intellectual property conceived, created, or furnished under this Agreement, without further consideration. This Agreement shall operate as an irrevocable assignment by Consultant and subconsultants/subcontractors to the Department of the copyright in any intellectual property created, published, or furnished to the Department under this Agreement, including all rights thereunder in perpetuity. Consultant and subconsultants/subcontractors shall not patent any intellectual property conceived, created, or furnished under this Agreement. Consultant and subconsultants/subcontractors agree to execute and deliver all necessary documents requested by the Department to effect the assignment of intellectual property to the Department or the registration or confirmation of the Department s rights in or to intellectual property under the terms of this Agreement. Consultant agrees to include this provision in all its subcontracts under this Agreement. A-10
