2 1.0 Mandate & Purpose The AESO has established the Alberta Reliability Committee (ARC) to meet its obligations with regard to section 5 of the Transmission Regulation (AR86/2007 with amendments up to and including AR145/2013). These provisions are in Attachment A to these Terms of Reference. The purpose of the ARC is to: 1.1 provide the AESO with strategic advice related to the maintenance, performance, operation, and security of Alberta s interconnected electric system and ISO Rules or standards that may be made regarding the same, and 1.2 enable industry coordination on issues that pertain to the overall reliability of Alberta s interconnected electric system. The ARC is a forum for key industry stakeholders in Alberta to provide to the AESO an executive level industry perspective on the maintenance, performance, security, and reliability of Alberta s interconnected electric system. Working groups, standing or ad hoc, may be convened as required to allow for detailed input into standards, requirements, criteria, procedures, rules and processes. It is the AESO s duty to direct the safe, reliable and economic operation of the interconnected electric system. The AESO will consider input from the ARC and its working groups in the discharge of this duty, however the ARC is not a decision-making body. The AESO will make decisions consistent with its mandate, policy and legislative obligations after considering the input and advice provided. 2.0 Membership Membership in the ARC or an ARC working group will be at the invitation of the AESO, based on discussions with the various entities, with reference to the guidelines established in s.5 of the Transmission Regulation. 2.1 A membership review will be conducted at least every 2 years. 2.2 Membership in the ARC will be comprised of senior leadership representatives with accountability for operations and/or reliability and with authority to speak on behalf of their organizations as follows: A) The AESO VP, Operations and VP, Transmission Planning and Performance The AESO members will serve as Chair and Alternate Chair B) Transmission Facility Owners (TFO) One member from each of the following: AltaLink Management Ltd., ATCO Electric Ltd., ENMAX Power Corp., EPCOR and the successful proponents in the Competitive Process, if not already present 2

3 C) Municipal entities One member from The City of Medicine Hat D) Distribution Facility Owners (DFO) One member from each of the following: ENMAX Power Corp., EPCOR, ATCO Electric Ltd, Fortis Alberta, The City of Red Deer, The City of Lethbridge E) Generation Owners One member from each of the following: TransAlta, Capital Power, ATCO Power, ENMAX Energy Corp. and any provider of blackstart services to the AESO not already listed above F) Industrial customers One or more members from industrial customers invited by the AESO G) Alberta Utilities Commission ( AUC ) (or successor organization) One member from the AUC if the AUC elects to nominate a member 3.0 Role of the Representative 3.1 Provide advice from the representative s perspective on topics including the maintenance, performance, operation, and security of Alberta s interconnected electric system 3.2 Provide advice from an overall Alberta perspective that will create the most efficient and effective standards, criteria, procedures, rules, and processes to ensure system reliability and performance 3.3 Assist the AESO in fulfilling its reliability mandate 3.4 Focus on technical matters, considering commercial impacts 3.5 ARC members may submit a request to the Chair for technical experts or other guests to attend ARC meetings as relevant to agenda topics 4.0 Role of the Chair 4.1 The Chair (or Alternate Chair, in their absence) will establish meeting agendas to direct discussions on topics that meet the purpose and scope of the ARC and will preside over meetings. 4.2 The Chair will consider requests from ARC members for technical experts or other guests to attend committee meetings as relevant to agenda topics 5.0 ARC Working Groups 5.1 ARC working groups will generally be comprised of operational, engineering, regulatory or compliance personnel who may provide technical input to standards, criteria, procedures, rules, 3

4 and processes as well as technical advice to the ARC as per established ARC working group roles and responsibilities. 5.2 Working groups may be standing committees, or may be created ad hoc as a need is identified. 5.3 Existing working groups that fall under the umbrella of the ARC include: Transmission Operations Coordination Committee (TOCC) Real-time Operations Committee (ROC) Alberta Reliability Standards Discussion Group (ARSDG), previously known as ARCDG Transmission Data Committee (TDC) Telecommunications Work Group 5.4 Membership in the ARC working groups will be specific to the topic, by invitation, and may include members from entities who are not represented on the ARC, as deemed necessary by the AESO. 6.0 Terms of Engagement 6.1 Representatives will dedicate time to participate in ARC meetings, review documents prior to meetings and commit resources from their organization to participate in ARC working groups as may be required. 6.2 Communication and representative input may be required from time to time via between regularly scheduled meetings. 6.3 All ARC meeting discussions are deemed without prejudice except for items noted in approved meeting agendas and minutes published to the AESO Website. 6.4 ARC representatives and their organizations will not be precluded from participating in any ISO Rules or Alberta Reliability Standards consultation processes or ultimately participating in any related AUC proceeding. 7.0 Meeting Frequency and Location ARC meetings will be two times annually or at the discretion of the Chair, at a location selected by the Chair. 8.0 Committee Records The activities of the ARC will be communicated to the broader stakeholder audience by the AESO through the publication of member approved agendas and other material as appropriate on the AESO website. 9.0 Maintenance and Refinement of Terms of Reference These ARC Terms of Reference will be reviewed and revised as appropriate at the discretion of the AESO in consultation with ARC representatives. 4

5 Attachment A Excerpt from the Transmission Regulation (AR86/2007 with amendments up to and including AR145/2013) Standards and standards committees 5(1) The ISO may make standards, having common application, respecting either or both of the following: (a) transmission facilities or interconnection to transmission facilities, or both, including (i) maintenance standards and criteria, and (ii) performance standards that apply with respect to a category or type of transmission facility; (b) the operation and security of transmission facilities, including (i) emergency and security standards and procedures, (ii) reciprocal restoration agreements, (iii) policies on sharing spares, (iv) a common spares policy, and (v) respecting issues of security and public safety. (2) The ISO must establish one or more committees to advise the ISO in addressing the ISO s need for standards or rules respecting the matters referred to subsection (1). (3) Every committee established under this section must include (a) A representative of each TFO, and (b) A representative of the Commission if the Commission nominates a representative to that committee. (4) If the ISO considers that a proposed standard or rule may be directly relevant to (a) DFOs, (b) Owners of generating units, (c) Customers who are industrial systems, or (d) Persons who have made an arrangement under section 101(2) of the Act, the ISO must include on the committee established under this section one or more representatives from the category of persons directly affected or must consult with those representatives in another manner the ISO considers appropriate. (5) The ISO must, not later than one year after this Regulation comes into force, (a) complete the consultation for the purpose of establishing committees under this section, and (b) establish one or more committees under this section. (6) This section does not apply to reliability standards. 5
