2 MSc CORPORATE GOVERNANCE & CORPORATE SOCIAL RESPONSIBILITY A. PROGRAMME INFORMATION Corporate Governance and Corporate Social Responsibility (CSR) are two key areas which are of fundamental importance to organisations aiming at sustainability. Corporate Governance is a dynamic area which is evolving fast to keep pace with the needs of a changing business environment. On the other hand, there is also an increasing emphasis on CSR and the recognition that organisations need to take into consideration the views and interests of all their stakeholders in their environment to achieve sustainable success. Failing to adhere to these two principles is very risky and can lead to disastrous situations. This programme comes as a unique combination of conceptual, analytical, technical and management skills with special emphasis on corporate governance and CSR. It aims at preparing professionals from both the public and private spheres to cope with the fast-evolving external environment of their businesses. The programme lays special emphasis on the principles of good governance, public/private/ngo partnership, involvement of society. The programme will be run over 2 years part time. B. PROGRAMME AIM A new breed of managers, well-versed in both the local and international context is now required to face the new challenges. This programme aims at equipping managers with the necessary knowledge and skills so as to be able to fulfill their duties and responsibilities in a professional way. C. PROGRAMME OBJECTIVES Provide participants with the required skills and knowledge in the areas of good governance and CSR Develop the intellectual and technical capacities to enable participants to understand the importance of good governance and corporate social responsibility. To enable participants to have a good understanding of the implications of CSR in an increasingly complex managerial and political context. 3 REGULATIONS D. GENERAL ENTRY REQUIREMENTS As per UTM Admissions Regulations and Admission to Programmes of Study at Masters Degree Level. E. PROGRAMME ENTRY REQUIREMENTS Candidates should have the following qualifications: Either a) Graduates of an approved University or other Institution of higher education with at least second class degree. Or b) Exceptionally candidates holding a Diploma in a relevant discipline from an approved Institution may be admitted with at least 5 years of relevant professional work experience. Admission decisions will be made by the School on a case to case basis. F. PROGRAMME MODE AND DURATION Part Time: 2 years Each academic year includes two semesters of 15 weeks each (excluding the Exam period). G. TEACHING AND LEARNING STRATEGIES The programme will employ a wide variety of teaching methods, including lectures, individual or group projects, presentations, workshops, case studies and talks by guest speakers. Selflearning will be the key feature of the programme, enabling students to explore, investigate and research into the various topics, interact with practitioners, and work in teams on projects. H. STUDENT SUPPORT AND GUIDANCE In addition to traditional lectures, group tutorials or individual tutorials are/ arranged for students. I. ATTENDANCE REQUIREMENTS As per UTM Regulations Page 3 of 8

STUDENT PROGRESS AND ASSESSMENT For the award of the Degree, all modules must be passed overall with passes in the examinations, coursework and other forms of assessment. Research Methods will be assessed 100% by coursework. Written examinations will be of a maximum of 3 hours duration. Continuous assessment carrying 40% of total marks and will be based on seminars, case studies, class test and/or assignments etc. Students need to achieve 50% in both coursework and written exam for each module. Topics include: The global situation regarding sustainability, population changes, government attitudes and approaches; Corporate Social Responsibility (CSR): its importance and how it is achieved; Global resources and their limits; Sustainable energy strategies; Ethical sourcing; Supply chains, extent and management and quantification; Roles and functions of technical and marketing departments; Public relations, customer expectations and customer complaints; Waste disposal, recycling opportunities and threats; Retail and production logistics; Social, political and consumer drivers and inhibitors of sustainability; Risks, activists actions and reactions, trends and expectations; Developing an organisation sustainability strategy; Case Studies MBUS 5101 Stakeholder Relations: Assessing stakeholder importance; types of stakeholder relationships, problem with stakeholder collaboration; Shareholders as Stakeholders; Employee relations; Media relations; conflict management, mediation and dialogue facilitation; Contemporary stakeholder theories. CSR 5102 Corporate Governance: Definition & importance; reputation, competition and Corporate Governance; models and mechanisms, development theories and principles; Government and Governance; Ethical issues in Corporate Governance; Board of Directors: Audit Committee, executive remuneration, Sound Corporate Governance practices; Transparency. STATS 5301 Research Methods Research Concepts: Research issues, problems, questions, hypotheses; Measurement and Scaling in Research: Reliability, validity; Research Design and Survey Methods; Ethics in Research; Techniques for Literature Review; Questionnaire Design; Qualitative Methods: designing, gathering, processing and analysing qualitative research information; Quantitative Methods: Introduction to Statistics, Data \Description, Hypothesis Testing, t-tests and ANOVA; Data analysis with SPSS; Reporting and presenting research. CSR 5104 CSR in a Global context: Strategies to address global, environmental and social issues; The roles of governments, international government agencies, NGOs and business in a global era; The global context of CSR from international political economy and comparative business systems perspectives; Social r\esponsibility of MNCs and TNCs; Tools for international CSR. YEAR 2, SEMESTER 2 CSR 5202 Ethics in Organisations: Ethical issues and dilemmas in organisations; Concepts and theories underpinning ethics; Case studies of typical ethical situation; Public Opinion of Ethics in organisations; Ethics and the law; Managing ethics; Making ethical decisions; Establishing an ethical climate; Designing and implementing code of ethics; Corporate scandals and best practices. Ethical conflicts and resolution DISS 5000: Dissertation A 15,000-18,000 words dissertation will have to be submitted at the end of the semester. The work submitted should conform to the Postgraduate Dissertation Guidelines. Page 8 of 8
