2 BACKGROUND Compliance is just a subset of governance and not the other way around ~Pearl Zhu ~ The above statement makes it evident that governance is at the core of any business enterprise. The significance of complying with a legal structure in place is equally vital for all i.e. Public, Private or Public Sector Undertakings (PSUs). For a nation to achieve the goals of Ease of Doing Business, it is more than imperative that the norms of good governance are given equal footing and be engraved in the heart and soul of each enterprise. Companies Act provides for various provisions for making a strong foundation of governance, accountability and transparency. It is also mandatory for the listed CPSEs to follow the SEBI guidelines. This brings onerous responsibilities on the shoulders of senior management which makes them more concerned about having in depth knowledge of Board Process, Board Committees, Accounts and Audit and Disclosure and Transparency which will help them to focus on the profitability, accountability and global completion. Further, considered a breakthrough, the Companies (Amendment) Bill, 2017 has addressed implementation difficulties, harmonisation amongst the various Acts, Rules and regulations applicable on the corporates in India coupled with the rectification of omissions and inconsistencies in the Act. At the same time, the enhanced amount of penalties in case of default can be considered a significant move in strengthening the prevailing governance framework in the economy. 3 With a number of provisions being applicable to Public Sector Undertakings and any breach thereof attracting penalty, it becomes imperative to understand the compliances in detail, thereby the corporate fully compliant.
