2 1. Welcome Thank you for taking an interest in this role. This pack contains information about Future Directions CIC and its plans for the future. It also contains information about the role of a Non-Executive Director and how to apply. Future Directions CIC was formed as a new not-for-profit social enterprises in April 2012 and it began trading later that year. About Future Directions CIC Future Directions CIC is a growing company which was initially developed from the Community Service arm of Calderstones Partnership NHS Foundation Trust but became fully independent on 1 st April The Company is focussed upon delivering high quality services and the personalisation agenda while also providing innovation and value for money in the current climate. We are a values-driven organisation. The company provides support for the following people: Adults and young people (from 16-18) with Learning Disabilities Autism Spectrum Condition Learning disabled people with forensic histories and/or behaviour that challenges Mental Health Complex Health needs, including dementia

3 Acquired Brain Injury Young people in transition Profound and Multiple learning disabilities (PMLD ) We have extensive experience of working with Commissioners to deliver efficient and effective services through developing new ways of working that provide value for money. We work in collaboration with commissioners and local housing partners to identify and develop different support models that are effective and innovative in meeting the needs of the people we support. At the present time, we provide services in the following geographic areas: Rochdale Manchester Trafford Stockport Oldham Lancashire Warrington 3. 4 Work in partnership with all stakeholders Be the employer of choice in the social care sector Ensure the personalisation culture is embedded throughout the company. Create and support meaningful employment opportunities for people with disabilities, including voluntary and paid employment Deliver the personalisation agenda Develop individual support packages that meet individual service users needs and wants using personal budgets/individual service funds or self-funding Maintain our current business and to continue to grow by offering and delivering effective services at affordable prices Have a skilled and experienced workforce who live out our values. 4. Keys to success The social care market in the UK and the North-West of England in particular is very competitive. Future Directions believes it has a significant place to play in this market because of a number of keys to success. These are: Reputation - We can guarantee high standards of service delivery from the beginning because Future Directions C.I.C has developed a reputation as being a values-based organisation that strives to deliver choice and control to the people it supports. Satisfaction from the People we Support - Our employee recruitment and training is individually tailored to the needs of the people we support to ensure high levels of satisfaction are achieved. We provide staff with the right values, skills, knowledge and competencies to work with the people we support. We are also in the process of implementing satisfaction surveys as part of our commitment to continuous improvement. We also have a robust highly skilled management team who monitor each support package on at a least a weekly basis to ensure that high levels of satisfaction are being achieved at all times. Local and Competitively Priced - We provide services that are delivered locally, responsive and flexible to the changing needs of our service users and are competitively priced. 5. Our Future Plans Future Directions CIC has grown its turnover from 12 million in 2012/3 to 20 million in 2015/16 but still has ambitious plans for growth. We aim to:

5 Increase the number of people to whom we provide support Develop more specialist services We aim to have a particular focus on young people with disabilities Increase the number of people on personal budgets that we provide support to Grow our turnover and creating a sustainable organisation Enhance our workforce, creating a highly trained resource for the community. Further embed our values and further increase the quality of support we deliver 6. The Role of a Non-Executive Director The role of a NED is to support the Board in: This Non-Executive post will have a focus on developing effective and meaningful involvement between the people we support and the Board. setting Future Direction s strategic aims, ensure that the necessary financial and human resources are in place for the Company to meet its objectives, and reviewing management performance; providing leadership with the rest of the Board for Future Directions within a framework of prudent and effective controls which enable risk to be assessed and well managed; setting values and standards and ensuring that its obligations to its shareholders and others are understood and met; providing a coherent voice for the people we support and ensuring that their best interests are central to everything Future Directions does. Non-Executive Directors have the same general legal responsibilities as any other Director. NEDs are expected to perform their duties faithfully, diligently and to a standard commensurate with their role and their knowledge, skills and experience. Together with the Chair, Non-Executive Directors should have senior level experience in one of the following sectors - finance, governance, the commercial and private sector, voluntary sector or community service experience. The Board will consider applications on the strength of their ability to demonstrate evidence with regard to the following competencies: Learning disability focus - High level of commitment to people with learning disabilities, carers and the community and to tackling inequalities in disadvantaged groups.

6 Ability to communicate effectively not only with people who have verbal communication but also with people who have non-verbal communication. Need understanding of the issues effecting people with learning disabilities and the issues facing learning disabilities service providers. Self-belief and drive - The motivation to inspire continuous improvement in services and drive organisational performance with the confidence to take on challenges. Intellectual flexibility - The ability to be creative, make sense of complexity and clarify it for other people. Strategic direction - The ability to develop a clear vision and inspire others. Holding to account - The willingness to be held to account for Board performance and to manage relationships with other Board members. Team working - The ability to work as part of an effective Board. Effective influencing and communication - A high level of ability to gain support and influence, as well as considerable political acumen. Change Management - Ability to understand issues of change and its impact on staff and management. Finance knowledge Ability to understand and explore financial issues 7. Proposed Time Commitment The anticipated time commitment is circa 1 to 2 days per month which is spent in the following way: Board Meetings/Board Board Development Sessions Sub-Committees Meetings with the people we support Monthly for 2-3 hours Alternate months for 2-3 hours As required, initially half day per month In addition, Directors are requested to carry out service visits to familiarise themselves with the work of the company. 8. CRITERIA Experience at Board and/or senior level Able to develop meaningful communication and involvement networks with people who are verbal and non-verbal.

7 9. Fees and expenses NEDs are paid the agreed annual fee ( 4,000) in equal instalments monthly in arrears through PAYE after deduction of any taxes and other amounts required by law. Future Directions reimburses reasonable and properly documented expenses incurred in performing their duties. Guidance on this will be provided by the People Team. 10. Eligibility You are not able to serve as a Non-Executive Director if you have: been convicted of an arrestable criminal offence other than a road traffic offence for which a fine or non-custodial penalty is imposed; been declared bankrupt or have made an arrangement with or for the benefit of your creditors, or if you have a county court administration order made against you under the County Court Act 1984; been disqualified from acting as a director; ceased to be eligible to live in the United Kingdom Appointment will be subject to a satisfactory DBS check. 11.
