1 DAIRYNZ POSITION DESCRIPTION Title and Reporting Relationships Position Title: Reports to: Location: Career Level: Chief Financial Officer (CFO) Chief Executive Hamilton Senior Manager Key Activities for DairyNZ The purpose of DairyNZ is to secure and enhance the profitability, sustainability and competitiveness of New Zealand dairy farming through: Investing for valued outcomes Delivering against commitments Earning the support of dairy farmers Engaging with dairy farmers Developing and maintaining capability Influencing stakeholders Position Purpose A key member of the Senior Leadership Team, the Chief Financial Officer (CFO) provides leadership for the DairyNZ finance, information technology and business management functions. The CFO s role is to direct DairyNZ s financial goals, objectives and budgets. The CFO oversees the investment of funds and manages associated risks, supervises cash management activities, and executes capital expenditure and funding strategies to support DairyNZ s strategic direction. As a member of the Strategy and Investment Team, the role contributes to the development of, and reporting on, the industry strategy; DairyNZ strategy and business plans, and the governance of a range of industry groups. 3 Financial Management Leadership of the Financial Function Management of IT Function Management of Legal Function Leadership of Business Managers Leadership of Corporate Services Company Secretariat Take responsibility for managing the finances of the group of DairyNZ companies (nine entities and three joint ventures), including guidance on mitigating financial risk and providing advice on the financial direction of the entities. Provide accurate and regular financial forecasts to the Chief Executive (CE) and Board of DairyNZ entities. Develop and implement company budgeting and forecasting methodologies to ensure optimal results for the DairyNZ Group of companies. Develop reporting methods to ensure the financial health of the DairyNZ Group is monitored and communicated to the CE and Board of Directors in an accurate and timely manner. Deal with any mergers and acquisitions including due diligence. Provide financial input to the DairyNZ investment process. Act as secretariat for the Audit and Risk committee. Be accountable for the accuracy of all company accounting information. Ensure all management, tax and financial reporting requirements are met. Manage the accounting and finance team to ensure timely and accurate provision of information and reports. Be accountable for all financial and management reporting matters and providing all transactional and accounting services to the DairyNZ Group. Take overall responsibility for the company s IT functions including determining the strategic direction of the IT platform. Provide guidance on technology usage and development. Be responsible for overseeing the legal function of the DairyNZ Group. Ensure legal contracts are in place to mitigate risks and ensure the Groups assets are protected. Negotiate appropriate contracts. Ensure DairyNZ complies with the Commodities Levies Act and the Milk-Solids Levy Order which enable the DairyNZ Group to operate. Understand and mitigate the key elements of the company s risk profile. Ensure that the company has sufficient controls and systems to monitor compliance and complies with all significant legal and regulatory requirements. Ensure that record keeping meets the requirements of auditors and government agencies. Manage the team of business managers whose responsibilities include project management, compliance and performance of internal and external providers. Manage staff undertaking services on behalf of DairyNZ including insurance, property and facilities management. Ensure the legal and governance requirements of the DairyNZ Group are in order and the regulations of the Companies Act are adhered to. Advise the Board on requirements and keep Board meeting minutes. CFO July

Provide leadership and guidance to facilitate positive improvements to processes and act as a catalyst for change. Relationship Management Effectively manage relationships with Strategy and Investment Leaders, other members of the Senior Leadership Team and project managers. Effectively manage relationships with external service providers. People, Industry Leadership & Routinely communicate overall and team specific strategy and vision to team members to link activity to overall goals. Development Actively provide industry leadership. Develop, attract and retain the key capability required to enable effective delivery to targets. Apply sound and consistent people management practices to the whole team. Maintain a strong team culture that supports the development and performance of the team and of DairyNZ. Monitor and manage the performance of direct reports to ensure delivery of programmes, projects and agreed industry targets. Provide opportunity and motivate team direct reports and staff to develop capability. Coach and guide staff in problem solving, manage barriers to project delivery. Provide mentoring support for other relevant DairyNZ staff. Reporting Report against targets, milestones, projects and expenditure to CEO and the Board. Senior Leadership As a member of the senior leadership team, contribute to the development and implementation of the strategic direction and the leadership of DairyNZ, through: o Contribution to the development of the strategic plan for DairyNZ o Contribution to the development and implementation of the agreed business plan o Contribution to the leadership of DairyNZ by championing the values and performance standards set by the Chief Executive and the Board. o Ensuring regular reporting to the Chief Executive and Board outlining the performance of the Group against forecasts within the finance area. Ability to operate at the Senior Management Team level and have the credibility and stature to present to the Board. High intellectual capability. Well-developed stakeholder management and relationship building skills, and the ability to influence both in and outside the organisation. Previous experience in a team leadership/strategic role. Strategic thinking with the ability to translate into deliverables. High level of written and oral communication skills. Comfortable thinking and presenting on their feet given the culture of open debate. High degree of initiative, focus and tenacity. Solid levels of business acumen and financial skills. Demonstrated sound commercial judgement. Excellent interpersonal skills. A tertiary qualification in accounting or relevant area. Professional accounting qualification (CA/ACA). An understanding of the dairy industry is preferred but not essential.
