To manage the day-to-day outcomes as agreed though the Co-Existence Deed with Mt Gibson Iron Ltd. DAMBIMANGARI ABORIGINAL CORPORATION The Dambimangari Aboriginal Corporation (DAC) is an alliance of three regional Indigenous groups in the West Kimberley region of Western Australia. The DAC was created in 2006 to negotiate the settlement of a Co-Existence Deed between Mt Gibson Iron and the Dambimangari people, the traditional owners of the country at the centre of Mt Gibson Irons Koolan Island mining operations. The offices of the DAC are located in the town of Derby, Western Australia. The DAC office is responsible for all of the functions required to administer the Dambimangari Koolan Island Co-Existence Deed with Mt Gibson Iron Ltd. DAMBIMANGARI ABORIGINAL PEOPLES TRUST The Dambimangari Native Title Charitable Trust has been established to provide long-term investments and access to specific pooled funds for the progress of the Dambimangari people. The CEO will ensure ongoing investment education for the Project Committee Members and provide specific recommendations on the Trust when required. The Chief Executive Officer is the manager of Dambimangari Aboriginal Corporation s activities in the West Kimberley. The scope of these activities is very broad and includes: Social and Cultural development and maintenance programs (including Land and Sea Rangers) Community Development programs Broad economic development measures, including associated vocational and employment strategies. Facilitating enterprise development for members that includes joint ventures The Chief Executive Officer reports to the Governing Committee whose members are drawn in equal numbers from the three represented groups. The Governing Committee acts according to the terms of the DAC Constitution and the Koolan Island Co-Existence Deed of Agreement. The Chief Executive Officer is accountable to the Governing Committee who are the Project Committee Members of the Dambimangari Native Title Charitable Trust. The Native Title Charitable Trust is an important and integral component of the overall corporate concept of the DAC and the Chief Executive Officer will liaise regularly with the Project Committee to maximise opportunities for DAC members.

2 PRIMARY FUNCTIONS The Dambimangari Structure consists of Dambimangari Aboriginal Corporation membership Dambimangari Aboriginal Corporation Governing Committee Dambimangari Native Title Claim Group Dambimangari Aboriginal Peoples Trust Dambimangari Aboriginal Peoples Trust Project Committee The Chief Executive Officer is responsible for the following: Establish and maintain high level working relationships and open communication between all the elements of the DAC structure. Under direction from the DAC Governing Committee, design and implement a 5 year strategic plan that details DAC s objectives and the strategies and resources required to achieve them. Manage the human, physical and financial resources of DAC to ensure: Compliance with DAC policy and statutory requirements Effective and efficient service delivery to the members of DAC Provide accurate and timely reporting of progress towards agreed outcomes to the DAC Governing Committee and clear communication of any issues that may affect their successful achievements Facilitate meetings and discussions with: Mt Gibson Iron Ltd Wandjina, Wunggurr, Willinggin, Plan B Ltd in relation to setting strategic directions and accessing the required resources necessary for their successful achievement Establish community, business and government agency networks and develop positive working protocols with all parties who can contribute to the advancement of DAC s aims Take primary responsibility for the flow of reports and information between the members of DAC, its Governing Committee, and the DAC administrative staff. Provide leadership and guidance to DAC s staff in the fulfilment of their duties and the achievements of DAC s objectives as set out in the Stategic plan. Regularly maximise business and employment opportunities for DAC members THE DAC GOVERNING COMMITTEE Devise and implement mutually acceptable and effective methods of consulting with and reporting to the DAC Governing Committee Ensure that Governing Committee members have access to any training and development they may need to enable them to acquit their duties to the level of expertise required to maximise returns from the Koolan Island Co-Existence Deed of Agreement to the optimum long term benefit of DAC members.

3 In consultation with the DAC Governing Committee establish protocols and procedures that clearly define and separate their policy, statutory and decision making responsibilities from the executive and administrative duties of DAC s office staff. Assist the represented groups to have their traditional land ownership recognised through the Native Title processes. On behalf of the DAC Governing Committee provide day to day management, support and supervision to Any DAC staff in relation to the management and implementations of the Dambimangari Aboriginal Peoples Trust funds Represented groups to address their differing needs and aspirations All other staff, contractors and consultants DAMBIMANGARI ABORIGINAL PEOPLES TRUST Administer and manage all projects in accordance with trust rules and accountability On behalf of the Governing Committee, prepare administration and project budgets, financial forecasts and cashflows, have it accepted by DAC and administer the affairs of DAC strictly in accordance with that budget DAC 5 YEAR STRATEGIC PLAN AND SOCIAL IMPACT ASSESSMENT Manage the administration of funds in accordance with the goals of the DAC and the budget allocations approved by DAC. On behalf of the DAC Governing Committee manage, supervise and support the Social Impact Assessment to formulate, implement and review a community development program that provides optimum outcomes Prepare and present submissions to the DAC Governing Committee Establish, manage and supervise the planning and development of DAC enterprises and provide ongoing support and advice to each business unit. Establish community, business and government agency networks and develop sound working relationships with all parties who can contribute to the advancement of DAC s community and enterprise developments. HUMAN RESOURCES Provide leadership and guidance and act as an advocate for all personnel. Provide and maintain a clean, safe and effective working environment for all DAC personnel, consultants and contractors Provide and maintain a clean, safe and effective working environments for all DAC members to access during normal business hours Assume responsibility for the management and supervision of all staff to ensure that their duties are carried out in accordance with their respective duty statements and contracts. Develop individual staff contracts, for the approval of the DAC Governing Committee, which detail conditions of employment Develop sound and professional work practices to ensure the effective and efficient day to day operations of DAC personnel, consultants and contractors.

4 Ensure adherence to all Occupational Health and Safety, Equal employment Opportunity and other relevant legislation and statutory requirements affecting staff conditions of employment and well being. MANAGEMENT Establish, foster and maintain high level, co-operative and productive working relationships between all the parties that may influence the ultimate success of the DAC endeavour. These include: The DAC Governing Committee DAC Administrative office and staff Mt Gibson Iron Ltd Key public sector organisations management and staff (especially those whose services, program goals and resources could complement those of the DAC ) Develop and implement strategies to ensure all DAC Governing Committee members and DAC personnel understand the scope and limitations of the organisation as determined and defined by: The Koolan Island Co-Existence Deed of Agreement The DAC constitution In consultation with the DAC Governing Committee and DAC personnel, develop a strategic plan to define the organisation s objectives, the specific strategies, actions and the resources required to achieve. In the operational plan, set down the specific outcomes sought for each objective and the staff assigned responsibility for action aligned to their respective duty statements. Identify, acquire and maintain Any professional services (legal, accounting, administrative) required by the DAC personnel and DAC Governing Committee to function efficiently and effectively, All necessary insurances, licenses and security measures required by statute or by the imperatives of administrative and prudent business practice. Oversee the development of program guidelines and procedures for all of DAC s programs. ADMINISTRATION Prepare financial year budgets (administrative and program budgets) and provide regular financial reports to the DAC Governing Committee Establish and maintain an effective, efficient and readily accessible records management system and information database. Prepare and present regular physical, financial and program reports according to a reporting schedule agreed by the DAC Governing Committee Prepare and implement policy, program guidelines and administrative procedures, subject to DAC approval and in consultation with DAC personnel. Selection Criteria A good understanding of issues affecting Aboriginal people in the Kimberley region, including an understanding of the role of Aboriginal royalty receiving organisations. An understanding of Aboriginal culture and the ability to communicate clearly and effectively with Aboriginal people.

5 Demonstrated financial management skills, including sourcing and acquitting funding, particularly in Indigenous affairs, NGO or community service organisational contexts. Demonstrated ability to interpret complex legislative and inter-organisational documentation and cooperative agreements Demonstrated ability to understand the processes of Government agencies and their roles in regional areas. Strong planning and organisational skills. Demonstrated computer competency, especially with Microsoft Office applications. Willingness to travel to remote areas by light aircraft as required. Current drivers license Possession of a recent Criminal History Check (see below) Conditions and Benefits Probation A Probationary period of three months will apply following commencement. This is to allow the Dambimangari Aboriginal Corporation and the appointee to assess suitability to this position. Hours An average of thirty-five per week, Monday to Friday. The normal hours of work are 8.00 am to 4.00 pm with one hour for lunch on each day. Starting Date ASAP Annual Salary $ $ per annum will be negotiated with the successful applicant, dependant on relevant experience and skills. Salary sacrifice is available. Annual Leave 5 weeks Annual Airfare One return economy airfare to place of recruitment is provided each year after 12 months of service. Relocation A relocation allowance will be negotiated with the successful appointee. The appointee will be responsible for repayment of this allowance to the DAC if 12 months of service is not completed.

6 Accommodation The DAC substantially subsidises rental on a modern well-appointed 2 bedroom unit, however the CEO contributes $100 per week rent. Requirements!
