1 Job Description Job Title: General Counsel Reports to: Board of Trustees FLSA Status: Exempt Level: 219 Job Summary: Responsible for the conduct, coordination, and management of the internal and external legal affairs of the college, the oversight of the formulation, review and approval of contracts, policies and procedures of the college, and state relations matters. Provides oversight for institutional compliance and coordinates all significant requirements with which the institution must comply by law, regulation or other binding rule or agreement. NOTE: Job descriptions and essential functions are subject to change due to advances in technology, utilization of work force, and other factors which may impact the College s need to modify position requirements. Essential Duties and Responsibilities: The following listing of essential job duties indicates the general nature and level of work required in this job. Applicants may be asked to demonstrate any or all of the following duties: 1. Manages all College litigation and supervises outside counsel of the college in preparations of legal defense of all suits brought against the College. 2. Reviews and drafts correspondence related to litigation, staff and college issues. 3. Assumes responsibility for the coordination and management of legal matters involving faculty, staff and students including college governance, employment, intellectual and real property, compliance matters, facilities and contracts. 4. Provides and manages the provision of legal and policy advice on college related issues to the District Board of Trustees, the President and other members of the college staff. 5. 3Assists the office of the President, with matters related to the operation and actions of the. 2 6. 4Educates and trains administrators, staff, faculty, students and trustees on a wide range of. legal topics, including changes in laws and regulations. 7. 5Reviews contracts including preparation and negotiation for all areas of the College.. 8. Develops contract recommendations to reflect compliance requirements. 9. Monitors changes in state and Federal laws and rules that affect the operations of the College, reviews College policies and procedures, and drafts such revisions and new policies or procedures as may be required. 10. Reviews and drafts rules, procedures, manuals etc. 11. Provides advice and represents the College in real estate transactions, litigations, and settlements, and issues of real property and land use. 12. Reviews responses to and provides advice on issues relating to employment law, discrimination, diversity and equal opportunity. 13. Identifies and brings forth legal issues and concerns to the attention of the Board and administration and assists with appropriate responses. 14. Maintains legal records of the college including, but not limited to, Board assigned agreements, resolutions, and real estate documents. 15. Provides guidance and assists Board Members, administrators, faculty and staff with questions related to Sunshine Law. 16. Attends all regular and special meetings and workshops of the District Board of Trustees. 17. Provides legal counsel to the SCF Foundation and its Board as required. 18. Establishes institutional policies and procedures to ensure compliance with all state and Federal laws and regulations and to ensure that all College faculty, staff and students operate in accordance with established rules. 19. Participates in external audit review process, resolves compliance issues, and responds to legal or administrative inquiries related to compliance issues or audits. 20. Makes periodic reports regarding compliance matters directly to the Board and Senior Administration. 21. Performs other duties as assigned. 3 Education/Experience: Juris Doctorate Degree from a regionally accredited law school, seven (7) years legal or governmental/legislative experience and admission to the Florida Bar. Must be familiar with contract law, equal opportunity law, and laws and regulations related to public higher education. Supervisory Experience: Five years of direct, supervisory experience including responsibility for hiring, firing, performance management, training and coaching is required. Language Ability: Ability to read, analyze and interpret scientific and technical journals, financial reports, and legal documents. Ability to respond to technical questions and/or complaints from college leadership, customers, regulatory agencies, or members of the community. Math Ability: Ability to calculate figures and amounts such as discounts, interest, commissions, proportions, percentages, area, circumference, and volume. Ability to compute rate, ratio, and percent and to draw and interpret bar graphs. Ability to apply concepts of basic algebra and geometry. Reasoning Ability: Ability to apply common sense understanding to carry out instructions furnished in written, oral, or diagram form. Ability to define problems, collect data, establish facts, and draw conclusions. Computer Skills Working knowledge of , spreadsheets, word processing, Internet, Outlook, and the College database system. Certificates and Licenses None. Responsibility for People and Property: Provides overall supervision to the General Counsel Department staff. Responsibility for Communication: Internal Contacts: This position has routine contact with the District Board of Trustees and all levels of SCF administration, faculty and staff. External Contacts: This position has occasional contact with contacts such as; attorneys; business community; and local, state and federal agencies. Job Description (2015) Page 3 of 5
