5 1.0 INTRODUCTION 1.1 Background De-kaks Ventures was incorporated in February 2005 under the Ghana Companies Code, 1963 Article 179 as a Project Support and Logistical Services company. The company was established as a response to the growing demand for project support and logistical services in the Ghanaian and West African sub-regional market to meet the rapidly increasing needs of developing industries. The operations of De-kaks Ventures focuses on the areas of mining, construction, manufacturing, agriculture, oil and gas, energy and other related industries where the bulk of its clientele operate. Over the years, the company has acquired a solid foundation in the provision of services like transportation of general and sophisticated cargo, specialised haulage and plant hire services, project support services such as site clearing and preparation, construction of haul roads, mobilization and demobilization of equipment to client sites. 1.2 Vision and Philosophy De-kaks holds the vision of contributing to the realisation of sustainable development in emerging markets through the provision of quality project support and logistical services for its clients in various industries. Dekaks Ventures is a major force in its own right in the provision of quality services to its client. This commitment to quality is a purposeful dedication to service innovation and deployment of proven technology to add value to our service provision. Controlled growth is a major aim of De-kaks Ventures and expansion has been rapid but thoughtful. 6 2.0 AREAS OF EXPERTISE De-kaks is focused on delivering quality service in four major areas of expertise as described below: 2.1 Logistical Services Our logistics offerings provide project developers and manufacturing outlets much-needed handling and storage services to support their operations. This includes value-enhancing activities such as warehousing, cross-dock operations, bulk handling, inventory management, product manipulation and the provision of other supply chain expertise. We customise our logistics services to meet the needs of each specific contract. Our specialist teams with years of experience tailor our service to deliver bespoke solutions which consistently uphold our quality standards. 2.2 Project Support Services Our project support services are extensive and designed to meet the unique requirements of each project. We understand the need to be part of the project from inception in order to capture the vision of the project developer and to contribute to the very fundamentals including concept development and pre-feasibility analysis. Beyond this stage however we have the capacity to conduct full feasibility studies, Environmental Impact Assessments (EIA), risk assessments, procurement planning, installation process control, change control management, quality control management, site safety audits and so on. We endeavour to understand the customer s requirements especially where they are an international entity without the know-how of the local or regional market. 2.3 Haulage and Transportation The company offers a range of haulage and transportation services for the movement of various cargos by the use of controlled trucking standards. Our services include the transportation of containerised cargo and bagged items such as rice, sugar, salt, maize, cocoa, shea nut as well as chain distribution services. Furthermore, we have the capacity to handle specialised cargo including heavy and oversized items such as earthmoving machinery with projects completed in Ghana and as far as Sugrie Gold Mine in the Republic of Guinea and Samira Gold Mine in the Republic of Niger. We have a proven track record in this space and have successfully completed a broad array of haulage works which required specialized skills and experience. We are proud of our growing reputation as reflected in the 6

7 level of interest in our transportation services and continue to strive to meet the demands of our customers cost-effectively. 2.4 Infrastructural Development Given our wide experience in the successful delivery of various engineering project services, infrastructure development is a natural progression for our business and is one area we are keen to enhance. In deed our motivation to be active in this space was advanced after working with the likes of Willbros USA Inc. and Horizon Marine Construction in a broad range of infrastructural works on the West African Gas Pipeline project as described in Section Performance Record The following is a summary of some of the major projects which we have been privileged to complete: PERIOD WORKS Transported two shiploads of fertilizer from Tema port to Mali. Haulage of iodated centrifuge salt from Ningo to Tamale for the World Food Program (WFP). Transnational transportation of various machinery for the West African Gas pipeline (WAGPCO) project. Various haulage works on the WAGPCO project including the movement of gas pipelines and skids from port to project sites in the Republic of Benin, Togo and the cities of Tema and Takoradi in Ghana Project site opening up, land clearing, top soil removal etc. for onshore works of the WAGPCO project Project site opening, land clearing, top soil and overburden removal etc. for Alann Mining Group at their Eastern region project site. Site preparation, constructions of the concrete foundations and the installation of various plant and machinery on the concrete works built to receive the skids on the WAGPCO project for the Tema, Takoradi and Lome sites Haulage of various earth moving equipment and materials for Black Ark Mining Company at Suhum in Ghana. 7

8 3.0 CORE CORPORATE POLICIES 3.1 Health, Safety, Security & Environment (HSSE) Safety is the bedrock of our operations and our project staffs routinely undergo work-based training to keep up to date with safety regulations. We promote an Incident and Injury Free Culture which implies a zero tolerance to reckless behaviour capable of endangering life or property. We adhere strictly to our HSSE guidelines and other international norms and standards in order to safeguard the health and safety of our staff. In carrying out work, De-kaks Ventures has an HSSE policy which ensures that all local HSSE requirements are met and that our operations are executed safely and securely. In cases where clients require the adherence to specific international HSSE accreditations, De-kaks has the capacity to achieve the required standard and will take extra steps to ensure compliance. The company has also completed projects which have required world bank HSSE audits. 3.2 Quality Control/Quality Assurance (QA/QC) In order to uphold high standards in our work, internal policies and procedures have been developed to ensure that work is carried out in accordance with best industry practice and specifications stipulated by customers. These measures pervade the whole spectrum of our operations and are crucial in meeting customer expectations. It is worth mentioning that in attaining the expectation of customers, we have been able to secure more work through repeat and referral business. 3.3 Strategic Partnerships To ensure that the company consistently holds the requisite capacity to adequately meet client demand, various strategic partnerships with reputable organisations have been established. These Strategic partnerships have proved to be very crucial in the past, especially in instances where client requirements exceed our expertise. We are thus able to leverage synergies and tailor a bespoke service to meet project miles tones and avoid adverse effects on project schedules. 8

9 4.0 WEST AFRICAN GAS PIPELINE PROJECT Following the West African Gas Pipeline Act 2004, an Act to incorporate the Treaty on the West African Gas Pipeline Project and various aspects of the International Project Agreement relevant to the West African Gas Pipeline project into local law, the country formally embraced a framework to operate its commitment to the transnational gas pipeline project. A key part of this commitment was the need to engage local content entities wherever possible to promote the development of indigenous operators in the market. De-kaks is proud to have been one of the few local companies to have had an involvement on this project. 4.1 Willbros USA Inc. Construction of Regulation and Metering Stations De-kaks, in collaboration with its partners, had the privilege of working with Willbros USA Inc. of Houston for the construction of the Regulation and Metering Stations for the gas pipeline in Lome, Togo as well as Tema and Takoradi in Ghana. This involved extensive project services including various earthworks, site clearing, access roads, cut & fill operations and the construction of concrete foundations for skids and other gas plant. De-kaks also offered logistical support services for the handling of pipe joints and the laying of gas pipeline and the delivery of other equipment to various project destinations along the West African coast namely Takoradi and Tema in Ghana as well as Lome in Togo and Cotonou in Benin and Lagos beach in Badagry, Nigeria. 4.2 Horizon Marine Construction USA Inc. Fabrication of three Sub-sea tie-in cages De-kaks, working as a sub-contractor with its partners and Horizon Marine Construction of Texas, also provided various services for the fabrication of three (3) sub-sea tie-in cages during the laying of 20km of gas pipeline from out in the sea to the Regulation and Metering stations. Horizon Marine carried out several off-shore works on the project and subletted various aspects of service provision to local companies. In spite of the specific engineering challenges posed by the cage fabrication process, Dekaks executed the project on time and on budget much to the satisfaction of the client. 9

10 5.0 CORPORATE SOCIAL RESPONSIBILITY In keeping with our dedication to the course of humanity and our passion to promote the social upliftment among local people, De-kaks has developed a CSR strategy that is community-focused and aims to transform lives and bring positive change to society. Our three-pronged CSR strategy is summaries as follows: 1. Orphanage The Orphanage Program seeks to build a home for six hundred (600) orphans in Ghana. The complex to host them will feature various facilities including a nursery, dormitories, dining rooms and a medical facility. Construction will be phased firstly, capacity for one hundred and fifty (150) children will be built and then expanded progressively over time. The orphanage will become a home for abandoned children and those who are destitute and homeless. There will also be trained care givers and medical professionals to support the children. 2. Education The Education Program will promote literacy among young people by funding scholarships for pupils. Children from the orphanage will automatically qualify for this award although it will be opened to others from disadvantaged backgrounds. Another area of action will be in the provision of educational supplies for school libraries, chemical laboratories, computing facilities and others. This will be offered to various schools and colleges which have a need for such supplies but are unable to afford them. It is envisaged that augmenting capacity in this manner will translate into improvement in the quality of education and better trained students. 3. Medical Relief The Medical Relief Program will work with hospitals and health centres to offer much-needed medical provisions. In particular, this program will focus on diseases where existing medical action such as immunisation or vaccination are able to make a significant difference. Examples of such maladies include tuberculosis, malaria, whooping cough and other common childhood diseases. Other areas of activity will be donations of medical equipment to facilitate the provision of health care. 10
