20 Terms and Conditions of Sale These terms and conditions are effective from 1st February 2016 and supersede all previous Terms and Conditions issued by Meyer Group Ltd Limited ( Meyer Group Ltd ). 1. Trade prices are quoted exclusive of VAT. Meyer Group Ltd reserves the right to adjust the price of the goods any time before the date of their delivery by giving 14 days prior notice in writing 2. a. All goods supplied by Meyer Group Ltd to the Purchaser under the terms of this agreement, shall remain the sole and absolute property of Meyer Group Ltd, both in law and in equity until the Purchaser shall have paid Meyer Group Ltd the agreed price, together with the full price of any other goods supplied by Meyer Group Ltd to the Purchaser pursuant to any other contract between them. b. The Purchaser acknowledges that he is in possession of all goods supplied under the terms of this agreement solely as bailee for Meyer Group Ltd, until the Purchaser shall have paid Meyer Group Ltd the agreed price together with the full price of any other goods supplied by Meyer Group Ltd to the Purchaser pursuant to any other contract between Meyer Group Ltd and Purchaser. c. The Purchasers right to possession of the goods shall cease if it does anything or fails to do anything which would entitle a receiver to take possession of any assets or which would entitle any person to present a Petition for winding up or commits an available act of bankruptcy, and Meyer Group Ltd may thereupon enter any premises where the goods are stored or where they are reasonably thought to be stored, for the purposes of repossessing them. 3. Notwithstanding delivery of the goods to you the property in the goods shall remain in Meyer Group Ltd until the goods have been paid for in full together with any other amounts dues to Meyer Group Ltd at the date of delivery of the goods and until such time Meyer Group Ltd may enter your premises and retake possession of the goods. 4. All accounts are payable strictly nett 30 days or such earlier or later date as shall be stipulated by Meyer Group Ltd. No settlement discounts are allowed unless previously agreed in writing. Meyer Group Ltd reserves the right to withhold delivery of further orders pending settlement of any outstanding account. 5. We understand and will exercise our statutory right to claim interest and compensation for debt recovery costs under the late payment legislation if we are not paid according to agreed credit terms. If you fail to make any payment on the due date, then without prejudice to any other right or remedies available to Meyer Group Ltd, Meyer Group Ltd shall be entitled to charge you interest (both before and after any judgement) on the amount unpaid, at the current legislation rate of 12% until payment in full. Further you will be liable for all legal costs and other expenses incurred by Meyer Group Ltd arising out of such failure by you to pay on the due date. 6. Consignments within Great Britain of 250 nett value or over are sent carriage paid but at your risk. Meyer Group Ltd reserve the right not to accept orders for unreasonably small quantities but in any event where the value is less than the said 250 nett they will be subject to a 25 carriage charge. Consignments despatched to the Republic of Ireland where the value is less than the said 250 nett they will be subject to a 50 carriage charge. 7. Guarantees Meyer Group Ltd undertakes to repair or replace free of charge any item or part with the same or similar item/part found to be defective within a period of one year (or other specified guarantee period) from the date of the sale of the goods. This guarantee is only valid if the item is used for domestic purposes and is found to be defective due to faulty materials or workmanship and not damaged through misuse. Any defective goods must be returned carriage paid to Meyer Group Ltd. This guarantee does not in any way affect the statutory rights of the consumer under the Sale of Goods Act 1979 or the Supply of Goods and Services Act Meyer Group Ltd reserves the right to make any minor modifications, improvements, alterations or any reasonable variations is size, weight or otherwise to any of the products without prior written notice. All sizes quoted are approximations only. 9. Subject to section 2 (1) of the Unfair Contract Terms Act 1977 all other conditions, warranties, or liability whether founded in common law or statute arising from any act, omission, wilful negligence or default of Meyer Group Ltd or to faulty design, workmanship or material or any other cause are hereby excluded in respect of or in connection with any defect in the goods which could reasonably have been discover by you prior to acceptance, any claim for material loss or damage which is consequential to the matter complained of and any claim relating to indirect financial loss including loss of profit. 10. The supply of goods by Meyer Group Ltd shall not confer any intellectual property rights in the goods upon you and while endeavouring not to infringe any known rights of any third party Meyer Group Ltd cannot warrant that the design, construction and quality of the goods to be supplied comply with all relevant statutory requirements nor that the supply of goods will not infringe any patent trade marks, trade names, copyright, registered design or any intellectual property right either in the UK or in any other foreign territory. 11. Meyer Group Ltd will do all in its power to perform the terms of any contract to which these conditions relate, but reserves the right to cancel the order where circumstances beyond its control, by or on account of an act of God of force majeure or other such circumstances prevent delivery of the order. 12. Every effort will be made to deliver goods promptly but time shall not be of the essence and delivery dates in any contract are only reasonable estimates and are approximate only. Liability for claims or losses in transit or shortages will not be entertained unless both Meyer Group Ltd and the carriers are notified in writing within 7 days of receipt of goods. Claims for non-delivery must be notified within 14 days of invoice date. For direct shipments from our manufacturing facility, we will not accept any liability for discrepancy arising unless we receive written notification of the variance within 48 hours of receipt of goods and we are also to be given the opportunity to carry out a physical check within a further 48 hours. All palletised deliveries from Meyer Group Ltd are checked and security sealed at point of despatch; signed acceptance of a complete sealed pallet will be deemed acceptance of the contents therein. Claims for shortages will not be accepted if it is found that the seals have been tampered with. 13. All orders accepted by Meyer Group Ltd are subject to these conditions which shall constitute the entire contract between Meyer Group Ltd and yourselves. No variation or addition to these conditions shall have effect unless agreed in writing by a Director of Meyer Group Ltd. These terms and conditions shall prevail over any terms and conditions that you may have and your placing of an order will be deemed as unconditional acceptance of these terms and conditions of sale. 14. This contract shall be governed by the laws of England and you agree to submit to the non-exclusive jurisdiction of the English Courts.
