DECISION OF THE AUTHORITY IN THE MATTER OF REVIEW OF SCHEDULES OF TARIFFS ATTACHED WITH THE QUARTERLY ADJUSTMENT DECISIONS FOR THE PERIOD JULY 2009 TO MARCH 2012 IN THE MATTER OF KARACHI ELECTRIC SUPPLY COMPANY LIMITED DECISION OF THE AUTHORITY IN THE MATTER OF REVIEW OF SCHEDULES OF TARIFFS ATTACHED WITH THE QUARTERLY ADJUSTMENT DECISIONS FOR THE PERIOD JULY TO MARCH-2012 IN THE MATTER OF KARACHI ELECTRIC SUPPLY COMPANY LIMITED 1. Brief facts of the case are that the consumer-end-tariff for Karachi Electric Supply Company Limited (KESCL), a licensee of NEPRA, was determined by the Authority (NEPRA) vides determinations dated September 10, 2002 and December 23, 2009; wherein a mechanism for quarterly adjustment was also provided. As per said mechanism, quarterly adjustments for the period July, 2009 to March, 2010 were made by NEPRA vide decision No. NEPRA/TRF-133/KESCL-2009/ , dated June 30, 2010 whereby KESCL was allowed Rs. 2.79/kWh uniform increase in Schedule of Tariff (SoT), except for the life line consumers consuming up to 50 units per month, on account of variation in different cost components for the period July-2009 to March Thereafter, while processing the tariff petition filed by Karachi Water and Sewerage Board, it came to the notice of the Authority (NEPRA) that four consumer categories were erroneously adjusted in the KESCL's SoT attached with the decision dated June 30, 2010 as per following detail:- Tariff Categories Adjustment that should have been made Erroneous Adjustment Made Al-Residential units Al-Residential units Al-Residential units D1-Agriculture The subject mentioned error continued to be reflected in the SoTs of subsequent quarterly adjustments as well up to the quarter January-March, However, when it came to the notice of the Authority about the said error, it rectified the same vide a Corrigendum dated November 20, 2012 and the same was communicated to KESCL as well as Ministry of Water & Power for making appropriate adjustments in the Tariff Differential Subsidy claims of KESCL to the extent of the resultant amount over-recovered by KESCL due to aforementioned error. 4. Said Corrigendum was challenged by KESCL before High Court of Sindh at Karachi through suit No. 1740/2012. In the said suit, it was inter-alia contended by KESCL that the impugned corrigendum was issued without providing an opportunity of hearing to KESCL. Accordingly, NEPRA made a conceding statement before the Honorable High Court of Sindh that fresh determination will be passed after notice and providing ample opportunity of hearing to KESCL to place their point of view. Accordingly, the petition was disposed of by the Honorable Court vide order dated June 04, In pursuance of the statement of NEPRA made before the Court, fresh proceedings for rectification of the aforesaid error were initiated and an opportunity of hearing was afforded to KESCL for which purpose a ssj CC- C.) 3 DECISION OF THE AUTHORITY IN THE MATTER OF REVIEW OF SCHEDULES OF TARIFFS ATTACHED WITH THE QUARTERLY ADJUSTMENT DECISIONS FOR THE PERIOD JULY 2009 TO MARCH 2012 IN THE MATTER OF KARACHI ELECTRIC SUPPLY COMPANY LIMITED date of hearing was fixed and communicated to KESCL as July 16, The hearing was postponed upon request of KESCL and finally it was conducted on 3rd September, 2013 in the NEPRA's head office. The hearing was attended by the representatives of KESCL namely Mr. Moonis Alvi, Chief Financial Officer, Mr. Amir Ghaziani, Director Regulatory Affairs and Mr. Abdul Rauf Yousuf, Advisor Regulatory Affairs alongwith their Counsel Mr. Atta-ul- Mustafa, Advocate, Islamabad 6. During the course of hearing, KESCL presented its point of view pertaining to the correction of error and also sought time to file written arguments which was allowed by the Authority. KESCL filed written arguments vide letter No. GM (RA)/NEPRA/2013/762, dated September 16, The crux of the arguments of KESCL is given as under:- i) That notwithstanding the tariff determined by NEPRA, the Federal Government provides a subsidy to the consumers of electricity and for this purpose it notifies subsidized tariffs in the Official Gazette as Schedule-II and the difference is paid to the concerned Company by Federal Government as Tariff Differential Subsidy. ii) That on , NEPRA issued the determination for KESCL after having followed due process through conducting a public hearing etc. In Paragraph 16 thereof, NEPRA decided to increase the determined tariff by paisa 279.0/kWh which was to be uniformly applied to all categories of consumers except the life line consumer consuming up to 50 units per month for the billing period of to in order to recover the fuel price and power purchase cost variation for the period of July 09 up till March, In the same determination, NEPRA calculated T&D losses at 25% (even though they were supposed to be 27% for the period July 2009 to March 2010 as per previous determination for the quarter April to June 2009) and made its calculation based on natural gas rate of Rs /MMBTU instead of Rs /MMBTU. iii) That the above mentioned Determination dated was fully implemented and remains in force till date as it has been relied upon by NEPRA for subsequent determinations. iv) On NEPRA issued a decision whereby NEPRA unilaterally reviewed its earlier determination dated without intimation to KESCL. The determined tariff of KESCL was unilaterally decreased with retrospective effect and a decrease of approximately 14 paisa per kwh was sought to be applied by NEPRA. Said decision was impugned by KESCL before Honorable High Court of Sindh at Karachi in Suit No of 2012 (KESCL vs. NEPRA and another) and upon a statement by NEPRA, it was disposed of vide order dated v) That thereafter, on NEPRA issued Notice bearing reference number NEPRA/R/TRF-133/8580 to KESCL wherein it alleged that four categories of tariff were 2

4 DECISION OF THE AUTHORITY IN THE MATTER OF REVIEW OF SCHEDULES OF TARIFFS ATTACHED WITH THE QUARTERLY ADJUSTMENT DECISIONS FOR THE PERIOD JULY 2009 TO MARCH 2012 IN THE MATTER OF KARACHI ELECTRIC SUPPLY COMPANY LIMITED incorrectly adjusted in the SOT issued on June 30, A personal hearing on the said issue was fixed for The said personal hearing finally took place on The allegations of NEPRA in its notice dated are contrary to the record, are without jurisdiction, arbitrary, malafide and not sustainable in law and/or fact. vi) As per Rule 23 of NEPRA Tariff (Standards & Procedure) Rules, 1998, no proceedings of the Authority shall be invalid by reason of any defect or irregularity unless the Authority on the objection taken by any party, is of the opinion that substantial injustice had been caused by such defect or irregularity. In the instant case, no complaint / objection has been made to NEPRA and NEPRA has chosen to review its earlier decision on its own accord after a substantial delay of over three years. vii) Reliance on judgment cited as PLD-2010-Lahore-123 and 2009-CLC-948 was made. viii) That no inadvertent error was committed in fixing the determined tariff by NEPRA as the determined rates are in accordance with the figures relevant at the time. ix) That there is no infirmity with the earlier calculations which NEPRA has now sought to change under SOT dated as there is no error in the said SOT. Since, the determined tariff was in consonance with the various factors of increased cost of fuel and power purchase including T&D losses, the said SOT was duly and properly put into effect by NEPRA and was acceded to by KESCL as the increase of Paisa 14/ kwh correlated to T&D losses at the rate of 27% and natural gas price of Rs /MMBTU which would increase the tariff by Paisa / kwh. In other words there was quid pro quo between the increase of approximately 14 Paisa per unit and the two factors which were not mentioned in the determination but were duly considered in the SOT. x) That KESCL base tariff was not re-determined, rather whatever tariff was worked out as process of previous adjustment was used as a reference tariff for future adjustments with slightly different mechanism. The reference tariff and fuel price of June 2009 was a continuation of previous adjustments wherein the price of fuel was taken as Rs /MMBTU with T&D losses of 27% for tariff adjustment accordingly. As such the increase/difference of approximately paisa 14.6/kWh was adjusted by NEPRA in the SOT determined for June 2009 in four categories of tariff, prior to enhancement of Ps. 279 for the period Jul 2009 to Mar 2010, by taking into account T&D losses at 27% and the natural gas rate of Rs /MMBTU. vi) That an error can be a formula error or a transposition error which if occurred would be obvious in the determination. The above so called inadvertent error mentioned in the Notice 3

5 DECISION OF THE AUTHORITY IN THE MATTER OF REVIEW OF SCHEDULES OF TARIFFS ATTACHED WITH THE QUARTERLY ADJUSTMENT DECISIONS FOR THE PERIOD JULY 2009 TO MARCH 2012 IN THE MATTER OF KARACHI ELECTRIC SUPPLY COMPANY LIMITED dated by NEPRA does not fall under any of these heads and it is clearly evident that it is not possible that errors occur in only four categories with different amounts which are not a formula error or a transposition error. 7. Arguments heard and record perused. Having gone through the matter, it is an admitted position on record that there was an error in the SoT of KESCL and the same was rectified by NEPRA through a corrigendum dated 20th November, It is also an admitted position on record that said corrigendum was issued without providing an opportunity of hearing to KESCL against which a suit No of 2012 was filed before High Court of Sindh at Karachi and that the same was disposed of upon a statement of NEPRA that due opportunity of hearing shall be provided to KESCL before making the decision. As per outcome of the court proceedings in suit No. 1740/2012, fresh notice dated 9th of July, 2013 was issued to KESCL to show-cause as to why the errors committed in the SoT of KESCL in the quarterly tariff adjustments for the period July-2009 to March-2012 should not be rectified. An opportunity of hearing was also provided to KESCL and the matter was heard on In has been pleaded by KESCL that NEPRA's tariff is not applicable rather Schedule-II (being the subsidized tariff) is applicable, therefore, no effect is there for consumers for the error, if any. The stance of KESCL is without any justification for the reasons firstly that the differential subsidy is paid by the Government of Pakistan which ultimately burdens the public exchequer and secondly that during the course of proceedings in the Human Right Cases before Honorable Supreme Court of Pakistan pertaining to "load shedding" and "increase in rate of electricity", it was stated by the Federal Government that the exercise of issuance of Schedule-II was being done without any specific legal provision in the NEPRA Act and that Government would file a reconsideration request before NEPRA for incorporating the amount of subsidy in the Schedule-I, i.e., the tariff determined by NEPRA. Therefore, now onward, there may be no concept of any Schedule-II. 9. The ground taken by KESCL regarding non-provision of opportunity of hearing has now become in fructuous keeping in view the statement of NEPRA before High Court of Sindh as well as conduct of hearing on 31d of September, The reference of rule 23 of NEPRA Tariff (Standards & Procedure) Rules, 1998 is totally irrelevant in this case as said rule provides immunity to NEPRA in case of any procedural irregularity. For instance, if some specific issue arising out of the pleadings could not be framed and a decision was given, then just for the reason of non-framing of said issue, the decision of NEPRA would not be considered invalid. In the case of KESCL, there is no procedural irregularity whatsoever rather some error as flouting on the surface of record was pointed out and corrected accordingly. NEPRA did not assume jurisdiction on the basis of rule 23, rather it exercised its powers available under section 7(2)(g) of NEPRA Act, read with regulation 3 of NEPRA (Review Procedure) Regulations, 2009 whereby the Authority may, at any time, review any order passed by it and by so reviewing modify, reverse or confirm the same. The argument of KESCL on the issue of "limitation" for reopening the matter by NEPRA is also without any substance for the simple reason that the Authority is 4

6 DECISION OF THE AUTHORITY IN THE MATTER OF REVIEW OF SCHEDULES OF TARIFFS ATTACHED WITH THE QUARTERLY ADJUSTMENT DECISIONS FOR THE PERIOD JULY 2009 TO MARCH 2012 IN THE MATTER OF KARACHI ELECTRIC SUPPLY COMPANY LIMITED empowered to review its orders any time after passing the same in terms of regulation 3 of the NEPRA (Review Procedure) Regulations, 2009, wherein it is categorically provided that the Authority may, at any time, review an order passed by it (emphasis added). 10. Case law relied upon by KESCL cited as PLD-2010-Lahore-123 pertains to the exercise of powers by the State functionaries. NEPRA is a statutory regulatory authority established under section 3 of Regulation of Generation, Transmission and Distribution of Electric Power Act, 1997 (NEPRA Act) wherein specific powers to review its orders is provided. The manner of exercising such powers are also provided in NEPRA (Review Procedure) Regulations, 2009, therefore, NEPRA has acted and exercised its statutory powers in a manner provided under the law, therefore, the referred case law is not relevant in this case. The other cited judgment reported as 2009-CLC-948 provides the status of "functus officio" of Land Acquisition Collector after giving the Award. Here in this case, NEPRA cannot be termed as "functus officio" in any manner whatsoever because it is a statute which provides that after a decision, NEPRA may review, modify or reverse the same after providing an opportunity of hearing to the affected parties. Thus role of NEPRA does not come to an end after giving a decision rather it would remain open for NEPRA at its own or on request of any aggrieved party to re-open the earlier concluded proceedings in the process of review and upon so reviewing, NEPRA is competent to modify, reverse or confirm the order sought to be reviewed. 11. It is also pleaded on the part of KESCL that no inadvertent error was committed in fixing the determined tariff by NEPRA as the determined rates are in accordance with the figures relevant at the time. As per KESCL, at the relevant time NEPRA erroneously calculated T&D losses at 25 % instead of 27% and also incorrectly calculated the price of natural gas at the rate of Rs / MMBTU instead of Rs / MMBTU. These two ignored factors/errors if taken into account would on their own result in an increase of paisa / KWh which is equivalent to the alleged increase of 14 paisa per kwh reflected in the SOTs dated The Authority has noted that the variation in fuel and other costs in the average sale rate of KESCL is assessed and made in strict accordance with the mechanism, target of yearly losses etc. approved by the Authority vide its determination dated December 23, Accordingly, the Authority while making the quarterly adjustment for the period July, 2009 to March, 2010, used the parameters of losses, i.e. 25% as targeted/specified in the mentioned determination. Similarly, as per the approved mechanism, the actual gas prices, as notified by the relevant Authority, for each month of the quarter under consideration are compared with prices of the reference month to work out and allow the variations and the same was done for the period July, 2009 to March, 2010 as the gas price for the month of June, 2009 (Rs /MMBTU) was used as reference to allow the variations for the quarter July- September, Similarly, the gas price for the month of September, 2009 (Rs /MMBTU) was used as reference to allow the variations for the quarter October-December, 2009 and the gas price for the month of December, 2009 (Rs /MMBTU) was used as a reference to allow the variations for the quarter January-March, 2010, therefore, the adjustments allowed were in conformity with the roved mechanism. From the arguments of KESCL, it seems to be an admitted position on the part of 5

7 DECISION OF THE AUTHORITY IN THE MATTER OF REVIEW OF SCHEDULES OF TARIFFS ATTACHED WITH THE QUARTERLY ADJUSTMENT DECISIONS FOR THE PERIOD JULY 2009 TO MARCH 2012 IN THE MATTER OF KARACHI ELECTRIC SUPPLY COMPANY LIMITED KESCL that the claimed errors on the part of NEPRA were there but as per KESCL there were also some other errors in the figures of "losses" or the "price of gas", due to which the difference in the amount of tariff stood set-off. As clarified above, there is no such error in the figures of "Losses" or the "price of gas" in the determinations of NEPRA, however, if still KESCL feels that the same were erroneous, then it was appropriate for KESCL to seek its remedy so permissible under the law. 12. It is clarified that decision/determinations of NEPRA generally comprises of two parts. In one part, the details/rationales of giving the decision is given and in the second part the outcome of the findings is reflected in the form of SOT. If due to some inadvertent error, the actual decision taken could not be truly reflected in the SOT, then it could be considered as an error flouting on the surface of record; and in exercise of its powers provided under section 7(2)(g) of NEPRA Act read with regulation 3 of NEPRA (Review Procedure) Regulations, 2009, the same could be rectified. However, before modifying/reviewing a decision, due opportunity of hearing was to be afforded to the affected parties. This very fact was even conceded by NEPRA before High court of Sindh. That is why, fresh proceedings of review were initiated by NEPRA whereby ample opportunity of hearing was given to KESCL. 13. From what has been discussed above, the Authority is of the considered view that the cost variations for the period July 09 to Mar-10 in the SOT of KESCL Rs. 2.79/kWh, i.e., uniform increase in tariff in all categories of consumers (except life line consumers) on account of variation in different cost component but the same was erroneously adjusted by some different figures in four categories of consumers and said error was continued to be repeated in the subsequent issued adjusted SoTs for the period upto March, Therefore, in exercise of its powers provided under section 7(2)(g) of NEPRA Act read with regulation 3 of NEPRA (Review Procedure) Regulations, 2009, NEPRA has decided to rectify said inadvertent error.
