SPECIAL INSTRUCTIONS Chemring Energetic Devices (CEDT)/customer or Regulatory Authority reserves the right to inspect any or all of the materials included in this order at the supplier s plant. 2. SOURCE INSPECTION (PHYSICAL INSPECTION) All items covered by this Purchase Order are subject to inspection at the Seller s facility by a CEDT Quality Representative prior to shipment. The Seller shall furnish, at no cost, acceptable facilities and equipment to the CEDT Representative for his inspection. The Seller shall present documented evidence that the product has been accepted by their quality system. The Seller shall provide no less than forty-eight (48) hours advance notice to the CEDT Quality Representative to permit scheduling of source inspection. Evidence of source inspection shall accompany each shipment. 3. GOVERNMENT INSPECTION The Government reserves the right to inspect any or all of the materials included in this order at the supplier s plant. 4. Government inspection is required prior to shipment from your plant. Upon receipt of this order, promptly notify the Government Representative who normally services your plant so that appropriate planning for Government inspection can be accomplished. 5. FIRST ARTICLE INSPECTION Prior to delivery of the article or articles indicated by the purchase order, the supplier shall submit a First Article Inspection Report (FAIR) in accordance with AS9102, Current Revision. The First Article shall represent the same material fabrication process, and/or process of the end production item. The supplier shall ensure the First Article part is clearly marked as First Article. If parts are serialized, the First Article part serial number shall be written on the FAIR. 6. PROCESS APPROVALS Special processes such as welding, heat treating, electro-plating, anodizing, chemical films, and nondestructive testing require CEDT approval of process equipment, procedures, and personnel, as applicable. The Supplier shall submit their Traveler (Special Processes) or Technique Sheet to CED Quality Assurance for review and approval prior to the start of fabrication. Once approval is coordinated through CED Quality Assurance the Supplier Planning is Frozen at the revision level that was approved. No changes are authorized without CED written approval. The Seller is responsible for and must certify to special process specification compliance by all of his Subcontractors, and must maintain objective evidence thereof. All Purchase Orders shall be approved by the Buyer or his delegated representative prior to manufacturing or fabrication. 7. CONTROL OF SUB-SUPPLIERS a. The Seller shall be responsible for conformance of all supplies or services procured from every tier of his sub-suppliers and shall assure that the requirements of this document, Purchase Order, and applicable drawings and specifications are incumbent upon his procurement sources. b. Seller must use CEDT approved sources for all required special processes and Non-destructive/Environmental Testing. For list of approved sources, please contact your CEDT Purchasing agent. c. Seller must use CEDT customer approved sources for all required special processes and Non-destructive/Environmental Testing. For list of customer approved sources, please contact your CEDT Purchasing agent. 8. MANUFACTURING AND LOT CONTROL a. Items covered by this Purchase Order shall be manufactured from one unchanged process and drawing and shall contain only one lot, batch, or heat of material. b. All electronic components delivered under this Purchase Order shall be manufactured from a single lot/date code. c. All items covered under this purchase order shall include Lot/Date Code on the Certificate of Conformance with shipped. In the event more than one Lot/Date Code is shipped each Lot/Date Code will be packaged separately and have its own Certificate of Conformance in order to keep lot integrity. 9. BONDED PROCUREMENT The items covered by this Purchase Order shall be supplied from Government bonded and certified stores, and shall be certified as such. Where the items are covered by military or Government standards, the standard shall referenced on the certification. The certification shall accompany each shipment of the items covered by this Purchase Order. 10. QUALIFIED PRODUCTS (QPL) This item covered by this Purchase Order shall be supplied from approved manufacturers from Government Qualified Products List (QPL) which are applicable to the military or Government standard referenced by this Purchase Order. Certifications shall accompany each shipment of the items covered by the Purchase Order. The certification shall specify the Purchase Order number and the applicable standard and QPL numbers. 11. RAW MATERIAL IDENTIFICATION Materials shall be identified by tagging or strip marking in accordance with FED-STD-183 or -184, as applicable. 12. SYNTHETIC RUBBER COMPONENTS AND RAW MATERIALS A. Synthetic Rubber Components Each package of synthetic rubber components shall be marked with date of cure, part number, Purchase Order number, quantity, compound number, and manufacturer s identification (if different than part number). Date of cure on O-rings shipped to CEDT shall not be older than is permissible under MIL-STD Synthetic rubber raw materials shall be identified with date of cure, compound, Purchase Order number, and manufacturer s name. B. Raw Materials (adhesives, epoxies, sealants, resins, etc.) Limited life- and age-controlled items on this order require submittal of a shelf life certificate providing the following information: Manufacturer s name, type of material, shelf life, storage requirements, date of manufacture, and usability limiting data. Certificates shall be traceable to the items on this shipment by means of batch, serial, or lot number. 13. SYNTHETIC MATERIAL Materials or articles having definite characteristics of quality degradation or drift with age and/or use shall be marked to indicate the test time, date, or cycle the critical life was initiated or the date and test time or cycle at which the useful life will be expended. Variable data shall be recorded and maintained. 14. TEST REPORTS Each shipment must be accompanied by one reproducible and three copies of all testing performed, such as physical, nondestructive, or functional. The test reports must be identifiable, by serial number and lot number when applicable, with the actual test parameters and the material submitted. These reports must contain the signature and the

2 03/29/16 2 of 5 title of the authorized representative of the agency performing the test and must assure conformance to specification and Purchase Order requirements. 15. PROCESS CERTIFICATION Each shipment must be accompanied by three legible and reproducible copies of a certificate containing the signature and title of an authorized representative for all processes used, such as heat treating, welding, magnetic particle inspection, penetrant inspection, ultrasonic inspection, radiographic inspection, surface preparation and treatment, etc. The certificate shall include the processing used, the specifications to which they conform, and the name of the agency that performed them if other than the Seller. When parts are serialized, serial numbers must appear on the certification. 16. CERTIFICATION OF X-RAY All parts requiring radiographic certifications will be submitted to Government- and CEDT-approved X-ray laboratory and processed in accordance with applicable CEDT and Government standards. Findings will be reported on an appropriate form, including the name of the reader and the signature and title of an authorized laboratory representative. The X-ray film and two (2) legible and reproducible copies of the report must accompany the material. 17. CERTIFICATION OF MATERIAL CONFORMANCE Each shipment must be accompanied by one legible and reproducible copy of a material certification that the items were produced: (1) from materials furnished by CEDT for the production of such items, or (2) from materials on which the Seller has available for examination of specific data or other objective evidences of conformance to applicable specifications, or (3) materials produced meet the specifications for which CEDT ordered. The certificate must contain the signature and title of an authorized representative of the Seller. 18. STATEMENT OF CONFORMITY Each shipment must be accompanied by a legible and reproducible copy of a Statement of Conformity containing the signature of an authorized representative of the Seller stating material meets applicable specifications cited in the purchase agreement: The Seller certifies that he has inspected the material furnished to the requirements of the drawings, and/or specifications, and has found them in accordance thereto. Any nonconforming material is segregated and marked showing the details of the discrepancy. 19. CERTIFICATE OF COMPLIANCE FOR RAW MATERIALS/DOMESTIC SOURCES The Supplier will include with each shipment the raw material manufacturer s test report (e.f.; mill test report) that states the lot of material has been tested, inspected and found to be in compliance with the applicable material specifications. The test report will list the specifications, including revision numbers or letters, to which the material has been tested and/or inspected and the identification of the material lot to which it applies. When the material specifications requires quantitative limits for chemical, mechanical, or physical properties, the test report will contain actual test and/or inspection values obtained. For aluminum mill products (except castings), certifications may indicate compliance within the allowed range. Certifications for physical properties will show actual values. ALL RAW MATERIAL TEST REPORTS MUST BE TRACEABLE TO MANUFACTURERS WHO HAVE METLED THE MATERIAL/ALLOYS IN THE UNITED STATES OR QUALIFYING COUNTRY LISTED IN SUBSECTION OF THE DEFENSE FEDERAL ACQUSITION REGULATION SUPPLEMENT. REF. SPECIAL CLAUSE H IN QP SELLER-CONTROLLED PRODUCTS Two (2) legible and reproducible copies of applicable specifications, drawings, and/or catalogues are to accompany the initial shipment on this Purchase Order. 21. PROPRIETARY PRODUCTS Seller shall notify the Buyer in writing of any changes proposed in product design, performance specifications, materials, or material processes of the proprietary products as ordered hereunder, and shall obtain Buyer s approval prior to effecting any such proposed changes. 22. EXCESS MATERIAL All CEDT-furnished excess material, scrap or otherwise, is to be identified and held in a bonded area until completion of order, then returned to CEDT properly identified. 23. REPORT OF DISCREPANCY For consideration by CEDT, any departures from drawings, specifications, or other Purchase Order requirements must be recorded and forwarded to CEDT, including test events for review and approval. Disposition of these departures must be approved by CEDT prior to continued processing. Supplier NCR Format is acceptable. 24. CONTROL OF QUALITY - NHB (1C) The Seller shall provide and maintain a system that complies with Specification NHB (1C), Inspection System Provisions for Aeronautical and Space System Materials, Parts, Components and Services. Notwithstanding the provisions of this clause, the Seller is in no way relieved of the final responsibility to furnish the supplies or services specified within. 25. SUPPLIER IDENTIFICATION AND TRACEABILITY REQUIREMENTS The Seller shall conform to the provisions of Reliability Procedure No. 003, Identification and Traceability Requirements for Suppliers. 26. SUPPLIER CALIBRATION REQUIREMENTS b. The Seller shall provide and maintain a calibration system that complies with ISO-10012, Calibration System Requirements c. The seller shall provide and maintain a calibration system that complies with ANSI/NCSL Z540.1, Calibration System Requirements. 27. SELLER S QUALITY CONTROL SYSTEM The Seller shall maintain a quality control system. The system shall be subject to audit by CEDT representatives. 28. CONTROL OF QUALITY a. The Seller shall provide and maintain a system that complies with Specification AS9100C, notwithstanding the provisions of this clause; the Seller is in no way relieved of the final responsibility to furnish the supplies or services specified herein. b. The Seller shall provide and maintain a system that complies with Specification ISO-9001 (2008), notwithstanding the provisions of this clause; the Seller is in no way relieved of the final responsibility to furnish the supplies or services specified herein. 29. CONTROL OF QUALITY a. The Seller shall provide and maintain a system that complies with Specification MIL-I-45208A, notwithstanding the provisions of this clause; the Seller is in no way relieved of the

The Seller shall provide and maintain a system that complies with Specification ISO-17025, notwithstanding the provisions of this clause; the Seller is in no way relieved of the final responsibility to furnish the supplies or services specified herein. 30. SUPPLIER STATISTICAL QUALITY CONTROL The Seller shall provide and maintain sampling inspection system that complies with applicable military standards and sampling plans (e.g., from ASQ Z1.4, ASQ Z1.9, MIL-STD-105, MIL-STD-414, Handbook H016, H107, H108). The system shall be subject to review and approval by the Buyer or his representative. The Seller shall provide 100% (all) inspections unless the sampling inspection system is approved by CEDT. 31. PACKAGING All parts must be packaged and handled in a manner to prevent damage in handling and transit. 32. ELECTROSTATIC DISCHARGE (ESD) CONTROLS All ESD-sensitive materials/facilities must be handled as prescribed in MIL-STD-1686 and DOD-HBK-263, or ANSI/ESD S SOLDERABILITY The solderability of Electrical, Electronic, and Electromechanical (EEE) parts shall meet the requirements of: a. MIL-STD-750 Method 2026 for semiconductors; b. MIL-STD-883 Method 2003 for microelectronics; c. MIL-P for rigid printed wiring boards; d. MIL-P for flexible and rigid-flex printed wiring boards; and e. MIL-STD-202 Method 208 for all other EEE parts not covered by (a) through (d) above. f. IPC-J-STD-002, for component leads, terminations, lugs, terminals and wires. 34. SOLDERING Hand/automated soldering shall comply with MIL-STD-2000: a. Task A, Certification of Personnel; b. Task B, Design/Component Mounting; c. Task C, General Process Controls; d. Task D, Hand Soldering; e. Task E, Machining Soldering; f. Task F, Process Control Manufacturing/Existing Designs; g. Task G, Controlled Process Manufacturing 35. ICS TO ACCOMPANY ORDER TO VENDOR CEDT Inspection Check sheet (ICS) supplied with this order is for information and planning only. Purchase Order and/or engineering drawing requirements are not modified in any way by the ICS. Any conflicts of the ICS with any other document should be brought to the attention of the buyer. 36. QUALIFICATION HARDWARE The hardware provided against this order establishes CEDT product baseline and must be the exact part number as stated in this order. No upgrades or substitutions of any kind are allowed. 37. RECORD RETENTION Supplier will maintain on file all Quality Records pertaining to this order for a minimum of five (5) years from date of shipment. 38. CEDT-FURNISHED MATERIAL When material is furnished to a subcontractor by CEDT, the subcontractor shall accomplish the following: a. Examination upon receipt to detect damage in transit; b. Inspection for completeness, proper type and quantity; c. Periodic inspection to guard against damage from handling/ storage; d. Final Inspection of material prior to shipment to verify that all CEDT purchase order and specification requirements have been complied with and that good workmanship practices have been utilized. All CEDT-furnished material, if found to be nonconforming, shall be identified and held in a bonded area until properly dispositioned by their QA department and CEDT. The nonconforming material shall then be returned to CEDT properly identified. 39. STATISTICAL PROCESS CONTROL During the planning stage, the parts for Chemring Energetic Devices shall be reviewed and planned for Statistical Process Control. The Key Characteristics may be used as well those characteristics defining Form Fit and Function of the parts. Supporting data shall be provided to Hi-Shear. CONTRACT CLAUSES AND SOLICITATION PROVISIONS UTILIZATION OF SMALL BUSINESS CONCERNS (1956 JAN) (ASPR [a]) A. It is the policy of the Government as declared by the Congress that a fair proportion of the purchases and contracts for supplies and services for the Government be placed with small business concerns. B. The Contractor agrees to accomplish the maximum amount of subcontracting to small business concerns that the contractor finds to be consistent with the efficient performance of this contract. UTILIZATION OF MINORITY BUSINESS ENTERPRISES (1971 NOV) ASPR [a]) A. It is the policy of the Government that minority business enterprises shall have the maximum practicable opportunity to participate in the performance of Government contracts. B. The Contractor agrees to use his best efforts to carry out this policy in the award of his subcontracts to the fullest extent consistent with the efficient performance of this contract. As used in this contract, the term minority business enterprise means a business, at least 50% of which is owned by minority group members, or in case of publicly owned businesses, at least 51% of the stock of which is owned by minority group members. For the purposes of this definition, minority group members are Negroes, Spanish-speaking American persons, American-Orientals, American Indians, American Eskimos, and American Aleuts. Contractors may rely on written representations by subcontractors regarding their status as minority business enterprises in lieu of an independent investigation. UTILIZATION OF LABOR SURPLUS AREA CONCERNS (1971 JUN) ASPR [b]) A. It is the policy of the Government to award contracts to labor surplus area concerns, that (1) have been certified by the Secretary of Labor (hereafter referred to respectively as certified concerns with a first or second preference) regarding the employment of a proportionate number of disadvantaged individuals and have agreed to perform substantially (I) in or near sections of concentrated unemployment or underemployment or in persistent or substantial labor surplus area; or (2) are noncertified concerns which have agreed to perform substantially in persistent or substantial labor surplus areas, where this can be done consistent with the efficient performance of the contract and at prices no higher than are obtainable elsewhere. The Contractor

4 03/29/16 4 of 5 agrees to use his best efforts to place his subcontracts in accordance with this policy. In complying with paragraph (A) of this clause and with paragraph (B) of this clause of this contract entitled Utilization Of Small Business Concerns, the Contractor in placing his subcontracts shall observe the following order of preference: (1) certified concerns with a first preference which are also small business concerns, (2) other certified concerns with a first preference, (3) certified concerns with a second preference which are also small business concerns, (4) other certified concerns with a second preference, (5) persistent or substantial labor surplus area concerns which are also small business concerns, (6) other persistent or substantial labor surplus area concerns, and (7) small business concerns which are not labor surplus area concerns. B. The Vendor has been advised that the parts furnished on this order do contain explosives and that extreme care should be taken during handling. CEDT assumes no responsibility or liability in the event that the parts are discharged accidentally or otherwise. C. The Vendor has been and is hereby advised that the parts listed on this purchase order are designated as Class C explosives. Extreme care shall be exercised by the Vendor during any machining or handling of said parts. The Vendor is further advised that acceptance and acknowledgment of the purchase order of which this supplement is a part shall relieve CEDT of any and all liability or responsibility in the event of a discharge, accidental or otherwise, of any of the parts supplied for the performance of this purchase order. D. NASA MANNED SPACE FLIGHT CLAUSE For use in manned space flight. Materials, manufacturing, and workmanship of highest quality standards are essential to astronaut safety. If you are able to supply the desired item with a quality which is higher than that of the items specified or proposed, you are requested to bring this fact to the immediate attention of the purchaser. The contractor shall include the above statement in every subcontract or purchase order placed by it in support of this contract without exception as to amount or tier echelon. E. SPECIAL PROVISIONS FOR VENDORS PROVIDING CALI- BRATION SERVICES ON BASIC STANDARDS, GAGES, MEASURING, TEST AND TEST SUPPORT EQUIPMENT To provide data for use in regulating calibration intervals and out-oftolerance analysis, you are required to submit with your Calibration Certificate a written statement which describes to the extent feasible any out-of-tolerance condition found at the time of initial receiving inspection. The characteristic and associated magnitude shall be reported. F. PROCESS CONTROL/UNAUTHORIZED CHANGES The seller shall make no changes to work under this contract including any change in design, manufacture process, materials, facility location, or otherwise which may affect form, fit, or function of the work without prior notification to and approval by Chemring Energetic Devices procurement representative. Such notification shall consist of detailed drawings clearly defining such changes and the date such changes are proposed to be effective. Such notification shall not constitute approval of the proposed change nor relieve seller of seller s obligation to comply with requirements contained in this contract. If the proposed change is approved, the change shall be incorporated into this contract by amendment. G. FOREIGN OBJECT DAMAGE The seller shall develop and maintain a Foreign Object Debris/Damage (FOD) Prevention Program to reduce FOD. The suppliers program shall utilize effective FOD preventive practice. The program shall be proportional to the sensitivity of the design of the product(s) to FOD as well as to the FOD generating potential of the manufacturing methods. The suppliers FOD program is subject to review and approval by Hi- Shear Technology Corp. H. PREFERENCE FOR DOMESTIC SPECIALTY METALS All Chemring Energetic Devices sub-contractors/suppliers shall include (flow down) to all their suppliers of specialty metals as defined by DFARS ALT 1 included in this QC Clause. Definitions. As used in this clause Qualifying country means any country listed in subsection of the Defense Federal Acquisition Regulation Supplement. Specialty metals means Steel. With a maximum alloy content exceeding one or more the following limits: manganese, 1.65 percent silicon, 0.60 percent; or copper, 0.60 percent; or containing more than 0.25 percent of any of the following elements: aluminum, chromium, cobalt, columbium, molybdenum, nickel, titanium, tungsten, or vanadium; Metal alloys consisting of nickel, iron-nickel, and cobalt base alloys containing a total of other alloying metals (except iron) in excess of 10 percent; Titanium and titanium alloys; or Zirconium and zirconium base alloys. Any specialty metals incorporated in articles delivered under this contract shall be melted in the United States or its outlying areas. This clause does not apply to specialty metals melted in a qualifying country or incorporated in an article manufactured in a qualifying country. The Contractor shall insert the substance of this clause in all subcontracts for items containing specialty metals. I. Manufacturers of ammunition and explosive materials must maintain an approved Department of Defense (DoD) safety program in accordance with DoD M. RESUBMISSION OF REJECTED MATERIAL All items rejected by CEDT and subsequently resubmitted by you shall bear an adequate indication of such resubmission on those items or on the shipping document. Reference shall be made to the CEDT rejection report and evidence given that the cause for rejection has been corrected. J. PURE TIN RESTRICTION The use of unalloyed or pure tin in the internal or external construction of electrical, electronic and electromechanical parts is prohibited without CEDT written approval unless such construction is permitted for mil spec devices. Product that does not contain any tin or tin alloys meets the requirements of this purchase order note. Tin-plated electrical wire compliant to applicable military or industrial standards is considered standard and is not restricted. The solders, platings and coatings of the products supplied on this purchase order shall meet the following: 1. The solders used shall contain a material composition of less than or equal to 97% tin by weight and the remainder shall be any combination of silver and/or lead. 2. The plated or coated tin alloys shall contain a minimum of 3% lead by weight. Definitions: A. Solder: a metal or metallic alloy used when melted to join two metallic surfaces. B. Plating/coating: A tine layer of metal such as tin deposited on or applied to a single surface. Examples: Electrolytic plating, solder dipped leads, solder dipped housings. The Seller shall notify the CEDT Representative prior to any changes by the Seller or its sub-tier(s) that would result in products specified in this purchase order becoming noncompliant by incorporating this requirements.

(A) ELECTRONIC COMPONENT TRACEABILITY Electronic components purchased through authorized distributors must be traceable to the original component manufacturer (OCM) and must include a statement on the Certificate of Compliance that they are an authorized distributor. (B) OEM COMPONENT TRACEABILITY MS/NAS/AN hardware which is purchased through authorized distributors must be traceable to the original component manufacturer (OEM) and must include a statement on the Certificate of Compliance that they are an authorized distributor. L. CONFLICT MINERALS The Supplier shall include with each shipment a Certification of Compliance that states the supplier is in compliance with the Conflict of Minerals as defined in Section 1502 of the Dodd-Frank Wall Street Reform and Consumer Protection Act. And no minerals are sourced from the Democratic Republic of the Congo, Angola, Burundi, Central African Republic, The Republic of the Congo, Rwanda, South Sudan, Tanzania, Uganda, Zambia and covered counties. M. PROHIBITED MATERIALS The Supplier shall include with each shipment a copy of X-Ray- Florence (XRF) Report for the raw materials provided for each line item called out on the purchase order.
