1 EXHIBIT A SCOPE OF SERVICES: ROADWAY DESIGN SUPPORT CONSULTANT I. PURPOSE The Department requires professional engineering and data analysis Consultant services to support the Roadway Design Office with various work program funded tasks such as pavement design and pavement management activities in delivering the State Resurfacing Program, Drainage Design, Roadway Standard Plans, Roadway Design Criteria including improving procedures, and studying new pavement design pavement management, and Roadway Design methodologies. II. SERVICE The Consultant will be required to perform pavement management and pavement design engineering analysis to develop specific data, reports, materials, training and recommendations to support the Central Office Pavement Management Staff in the performance of some or all of the tasks as identified in Section III of this exhibit. In addition, the Consultant may be required to perform tasks related to Drainage Design, Roadway Standard Plans, and Roadway Design Criteria. The Consultant s work will be managed by a Department Project Manager and a specific Task Work Order Manager who shall approve the scope of the work to be performed by the Consultant for each task as outlined in Section III through individual Task Work Orders. Such Task Work Orders shall include: project or service requirements, schedules, a manpower and direct cost estimate (to include the amount of time the consultant staff must be present in the Department s Central Office in Tallahassee), documentation requirements, total allowable project costs, eligible staff to include job classifications consistent with Exhibit B of this contract, deliverables, and the method of reimbursement. After concurrence by the Department-designated Task Work Order Manager, the Task Work Orders must be approved by the Department Project Manager, the State Pavement Design Engineer and the Consultant Project Manager through the issuance and signing of a Form , Task Work Order for Professional Services. The Consultant is not authorized to initiate work on any Task Work Order prior to approval by all parties. It is anticipated that consultant staff will need to be physically located in Tallahassee working directly with Department staff during the majority of the tasks and attend meetings on behalf of the Department as necessary. Requirements for the location of staff will be agreed to for each individual Task Work Order. A-1

2 III. TASKS FOR WHICH CONSULTANT SERVICES MAY BE REQUIRED A. TASK A. The Consultant shall be required to assist the Department in the continuing maintenance and development of a web-based Pavement Management System. Products and services produced in this effort may include, but are not limited to the following: 1. Identification of Department customers and their pavement management system information needs. 2. Development of data analysis methodologies to produce pavement management system information appropriate for use by our customers using standard software tools approved by the Project Manager. Programming expertise will be required in Base SAS, SAS macros, SAS Enterprise, SAS/Internet, SQL, html, xml, Java script, Java Server Pages, FDOT Mainframe, and SAS AppDev Studio. 3. Identification of additional data and data sources to respond to unmet customer needs. 4. Development of methodologies and tools to streamline the tasks of data compilation and analysis to produce pavement management system information. 5. Development and enhancement of new and existing tools and techniques, respectively, for pavement management analysis. This would include pavement performance forecasting, candidate project and rehab method selection using Incremental Benefit/Cost or other optimization methodologies, and budget scenario analysis. The methodologies and tools would be modular for different levels of users. Techniques for analyzing and improving pavement forecasting would also be included. 6. Development of methodologies and tools to facilitate the distribution of pavement management system information. 7. Documentation of all methodologies at both the user and developer level, through code comments and manuals. B. TASK B. The Consultant shall be required to assist the Department in the enhancement and maintenance of Florida s Analysis System for Targets (FAST), a suite of SAS programs developed internally which forecasts future pavement condition, recommends funding levels and lane mile targets to keep the State Highway System in acceptable condition, and produces a prioritized list of recommended roadway sections for inclusion in the resurfacing program. 3 C. TASK C. The Consultant may be required to assist the Department in pavement engineering analysis. Products and services produced in this effort may include, but are not limited to the following: 1. Analysis of pavement performance data in relation to various pavement characteristics such as material types, pavement structures, traffic, construction and materials test results. 2. Forensic analysis of existing pavements to determine factors affecting poor or exceptional performance of the pavement. This may include field activities such as trenching, coring and material testing or assisting Department personnel and consultants in the planning and analysis of such activities. D. TASK D. The Consultant may be required to assist the Department in pavement training. These efforts may include but are not limited to the following: 1. Coordination and development or assistance in development of computer-based and instructor-led training and meeting materials such as program agendas, presentations, handouts, and brochures. 2. Assist in delivering instructor-led training to district personnel and design consultants on topics including rigid and flexible pavement design, pavement type selection, life cycle cost analysis, etc. E. TASK E. The Consultant may be required to assist the Department in studies coordination: 1. Assist in development of study needs statements. 2. Conduct specific study projects as directed. 3. Assist in management of studies by others through activities such as compilation of data and review of progress reports. F. TASK F. The Consultant may be required to assist the Department in Geographic Information System (GIS) pavement management requirements analysis, development or coordination with other development efforts: 1. Development or coordination assistance for pavement related GIS applications using the FDOT network environment and browser based applications. This may involve development of a stand-alone application or coordination with other offices and consultants with the Department s enterprise GIS applications. 2. Applications would need to access FDOT base map data, pavement condition data, work program pavement improvement projects, A-3

4 roadway characteristics data and potentially other enterprise wide data such as as-built pavement information and material testing data. G. TASK G. The Consultant may be required to assist the Department in data extraction and analysis: 1. Write SAS data extraction routines to extract pavement related data from various FDOT network data sources. 2. Perform analysis of extracted data for special studies as needed. 3. Coordinate with enterprise and office data base administrators for access and understanding of various pavement related data bases on the FDOT network. H. TASK H. The Consultant may be required to assist the Department in maintenance of existing pavement analysis applications: 1. Perform maintenance and modifications of existing pavement management web based SAS programs and web interfaces. 2. Update existing program documentation and provide additional documentation as needed. I. TASK I. The Consultant may be required to assist the Department in implementation of the Mechanistic-Empirical Pavement Design Guide and use of AASHTO s Pavement ME software: 1. Provide Guide implementation services such as sensitivity analyses of different design data inputs. 2. Study data inputs most appropriate for Florida conditions. 3. Conduct other studies as needed to assist in implementation of the new Design Guide. J. TASK J. The Consultant may be required to assist the Department in on going Concrete Test Road development support with the long-term goal of aiding and advancing local calibration of the AASHTO Pavement ME software s design inputs and optimizing concrete pavement design methods. 1. Provide coordination support for the Concrete Test Road in developing the overall long-term concrete test road plan and objectives through multiple life cycles of test sections. 2. Advise and suggest methods to address and evaluate practical design features through controlled experimental designs under real world truck traffic conditions. 3. Review, evaluate and analyze data obtained from Concrete Test A-4

5 Road and other Department offices using statistical methods, data processing software, and advanced numerical analysis. Data types will include but not to be limited to instrumentation data, pavement performance, weather, and traffic. The data may be used to develop and validate pavement performance models, optimize pavement design methods, and improve testing techniques. 4. Assist in the development of reports, specifications, presentations and memos. K. TASK K. The Consultant may be required to assist the Department in the development of pavement manuals and standards: 1. Provide draft updates as directed for pavement manuals such as Flexible and Rigid Pavement Design Manuals. 2. Coordinate reviews and comments from district and industry representatives as directed. Make recommendations for addressing comments received. L. TASK L. The Consultant may be required to assist the Department with its Pavement Type Selection process: 1. Review district Pavement Type Selection reports. 2. Revising Pavement Type Selection manual. 3. Providing district support. M. TASK M. The Consultant may be required to provide technical support as needed for Small County Road Assistance Program (SCRAP) and Small County Outreach Program (SCOP) projects. N. TASK N. The Consultant may be required to assist the Department with its Drainage Design activities. 1. Provide draft updates for Drainage Documents such as the Drainage Manual and Drainage Design Guide. 2. Provide technical assistance, studies and training on various Drainage Design activities. 3. Draft or provide technical reviews of Drainage related specifications. O. TASK O. The Consultant may be required to assist the Department with its Roadway Design Standards activities. 1. Provide draft updates as directed for Standard Plans and the associated Instructions and Specifications. 2. Technical review of Standard Plans revisions. A-5

6 3. Provide technical assistance, studies, and training on various Standard Plans. Topics may include, but are not limited to Temporary Traffic Control, Highway Lighting, Highway Signing, Signalization, Pavement Markings, Roadside Safety Devices, and Drainage P. TASK P. The Consultant may be required to assist the Department with its Roadway Criteria activities. 1. Provide studies and assist in developing new or modified language for the Plans Preparation Manual and FDOT Design Manual. 2. Provide support for the Complete Streets Program; may include studies of complete streets best practices, design characteristics of very low speed roadways, or innovative multi-modal solutions. 3. Provide technical assistance in the review of roundabout designs. 4. Provide assistance and CADD support for the establishment of 3D Plans Set. 5. Develop and deliver roundabout training. IV. RESPONSIBILITIES OF THE DEPARTMENT A. The Department shall provide a Project Manager who shall be responsible for all coordination with the Consultant pertaining to all contractual matters, invoicing and reporting. The Department may also designate a manager for each Task Work Order who shall be responsible for working with the Consultant Project Manager to define the specific work to be performed and the schedule for completion of each task, the Consultant staffing to be provided, and the cost. The Department Project Manager shall be responsible for approval of any additional staffing to be provided including additional consultant staff (approval must be coordinated with the Procurement Office), and shall give approval of all products and services. B. The Department shall issue, prior to the initiation of any work on any of the tasks defined in this exhibit, a specific Task Work Order defining the work to be accomplished and the total reimbursement due the Consultant. The Task Work Order shall specify the Department Task Work Order Manager, who may be different from the Project Manager. C. The Department shall furnish, without charge, the following information and access to the Consultant for the performance of the requested services: 1. All criteria and full information as to the Department s requirements for the Consultant s services including objectives, constraints, budgetary A-6

7 limitations and time restraints. 2. All Department rules, policies, procedures, standards and other information applicable to the services. 3. All drawings, specifications, schedule, reports and other information prepared by and/or for the Department by others which are available to the Department and which the Department considers pertinent to the Consultant s responsibilities described herein. 4. All available traffic and planning data required for performance of assigned tasks. 5. Computer access (mainframe and personal) if needed by Consultant staff to perform assigned tasks. Specific computer access requirements will be specified in each individual Task Work Order. 6. Office space may be provided by the Department for technical staff where close contact with Department staff is necessary for the work being performed. Such arrangements will be made between the Consultant Project Manager and Department Project Manager on an as needed basis and will be specifically stated in individual Task Work Orders. V. RESPONSIBILITIES OF THE CONSULTANT A. The Consultant shall provide an overall Project Manager, acceptable to the Department, who will be the primary point of contact with the Department for the scope, schedule, manpower coordination and completion of all Task Work Orders. The Consultant Project Manager shall appoint, with the concurrence of the Department Project Manager and Department individual Task Work Order Managers a Consultant individual Task Work Order Manager. The Consultant Project Manager shall meet with the Department staff on a regular basis as requested by the Department Project Manager and shall provide monthly progress reports in a mutually agreeable format, by Task Work Order, no later than the 15th of each month unless agreed to by the Department Project Manager. B. The Consultant shall provide and maintain an up-to-date list of staff with agreed-to classifications and approved salaries (subject to the contract Exhibit B ) that would be available to be assigned to specific Task Work A-7

8 Orders. No consultant staff, except those specifically identified in a Task Work Order or those specifically agreed to by the Department Project Manager, shall charge time to that particular Task Work Order. Consultant must request approval from the Department s Project Manager for any modifications or additions to the list of available staff prior to the initiation of any work by that individual. If applicable, new job classifications may be added to the contract via contract amendment. Consultant shall submit a copy of the resume and payroll register before new staff can be added. C. The Consultant shall provide sufficient staff, either the specific staff person requested or acceptable staff at defined levels of expertise as agreed to by the Department s Task Work Order Manager, in a timely manner to complete all assigned work. If, at any time, the Department Task Work Order Manager determines that the number or expertise of particular staff assigned to a specific task is inadequate, the Department Project Manager and Task Work Order Manager shall coordinate with the Consultant Project Manager to ensure adequate staff with the proper level of expertise is made available to ensure the timely completion of the work. D. The Consultant shall maintain an office and staff in Tallahassee as defined and agreed to in Task Work Orders. All Task Work Orders exclusively performed utilizing Department office space shall be compensated at reduced overhead compensation, or field office overhead rates. E. The Consultant shall provide all agreed to services, products and documentation within the required time schedule as defined in the individual Task Work Orders. F. The Consultant shall verify to the Department Project Manager that all computers have a resident anti-virus program acceptable to the Department. G. The Consultant shall ensure that all documents and support forms have been prepared on software approved by the Department s Project Manager and stored as specifically agreed to in an individual Task Work Order. A sequential naming convention should be applied to the files and documentation provided to the Department. Specific project documentation requirements will be specified in the respective Task Work Orders. A-8

9 H. Performing project management, production coordination and quality control and assurance for all tasks and work activities including subconsultant/subcontractor tasks; establishing and maintaining project communications within the Consultant firm, with all subconsultants and with the Department; preparing and transmitting progress reports on a monthly basis as required by the Department Project Manager; and attending all project related meetings as directed by the Department Project Manager or Task Work Order Manager. VI. PERSONNEL QUALIFICATIONS The Consultant shall assign only competent technical and professional personnel qualified by the necessary experience and education to perform assigned work. The Consultant is responsible for ensuring that staff assigned to work under this Agreement has the training established by the Department as a prerequisite for consultant staff to perform work. If the required training is such that it can be applied by the trainee to work on other contracts, (regardless of whether or not the trainee would work on other agreements), the cost of the trainee s time and expenses associated with the training is not directly billable to the Department on this contract, and shall only be recoverable through overhead for the Consultant firm. VII. SUBCONTRACTING Services assigned to subconsultants must be approved in advance by the Department Task Work Order and Project Manager, Procurement Office, and the Consultant Project Manager in accordance with this Agreement. All subconsultants must be technically qualified by the Department to perform all work assigned to them. Additional subconsultants with specialized areas of expertise may be required to complete specific Task Work Order assignments. Any subconsultant to be hired and all work assignments to be performed, and all rates of compensation shall be agreed to by the Department Task Work Order and Project Manager, the Procurement Office, and the Consultant Project Manager and documented in the contract file prior to any work being performed by the subconsultant. Any new subconsultant must be added to the contract via contract amendment (in coordination with the Procurement Office) prior to any issuance of work on a Task Work Order. VIII. CONSULTANT NOT EMPLOYEE OR AGENT The Consultant and its employees, agents, representatives, or subconsultants/ subcontractors are not employees of the Department and are not entitled to the A-9

10 benefits of State of Florida employees. Except to the extent expressly authorized herein, Consultant and its employees, agents, representatives, or subconsultants/subcontractors are not agents of the Department or the State for any purpose or authority such as to bind or represent the interests thereof, and shall not represent that it is an agent or that it is acting on the behalf of the Department or the State. The Department shall not be bound by any unauthorized acts or conduct of Consultant. IX. OWNERSHIP OF WORKS AND INVENTIONS The Department shall have full ownership of any works of authorship, inventions, improvements, ideas, data, processes, computer software programs, and discoveries (hereafter called intellectual property) conceived, created, or furnished under this Agreement, with no rights of ownership in Consultant or any subconsultants/subcontractors. Consultant and subconsultants/subcontractors shall fully and promptly disclose to the Department all intellectual property conceived, created, or furnished under this Agreement. Consultant or subconsultant/subcontractor hereby assigns to the Department the sole and exclusive right, title, and interest in and to all intellectual property conceived, created, or furnished under this Agreement, without further consideration. This Agreement shall operate as an irrevocable assignment by Consultant and subconsultants/subcontractors to the Department of the copyright in any intellectual property created, published, or furnished to the Department under this Agreement, including all rights thereunder in perpetuity. Consultant and subconsultants/subcontractors shall not patent any intellectual property conceived, created, or furnished under this Agreement. Consultant and subconsultants/subcontractors agree to execute and deliver all necessary documents requested by the Department to effect the assignment of intellectual property to the Department or the registration or confirmation of the Department s rights in or to intellectual property under the terms of this Agreement. Consultant agrees to include this provision in all its subcontracts under this Agreement. A-10
