1 TENDER NO. CT1804B008 - SPECIFICATIONS FOR THE PROVISION OF OVERTIME MIDNIGHT TRANSPORT FOR SATS STAFF FROM 1 OCTOBER 2018 TO 30 NOVEMBER 2020 (WITH AN OPTION TO EXTEND FOR ANOTHER TWO YEARS) 1. INTRODUCTION 1.1. The Contract is for the period 1 October 2018 to 30 November 2020 with the possibility of extension for another two (2) years, subject to satisfactory performance The contract is for the provision of the following daily transport services: Fetching SATS staff from Singapore Changi Airport (Airport) to their homes at 2315 hours, 2345 hours, 0045 hours, 0145 hours, 0245 hours, 0345 hours, 0415 hours, 0445 hours, 0515 hours, 0545 hours and 0615 hours Operating a shuttle service to transport staff from SATS Inflight Catering Centre 1 (SICC1), SATS Inflight Catering Centre 2 (SICC2), Passenger Terminal Building 2 (PTB2), Passenger Terminal Building 3 (PTB3) and Passenger Terminal Building 4 (PTB4) to Passenger Terminal Building 1 (PTB1) Mini Bus Bay to enable staff to take company transport from Airport to their homes at the aforementioned stipulated timings. 2. GENERAL REQUIREMENT 2.1. It is the responsibility of the Contractor to plan the routings, and provide transport services for SATS staff from Airport to their homes according to the schedules specified in Items The Contractor shall provide courteous and competent coordinators at PTB 1 Mini Bus Bay daily to supervise transport arrangement, attend to queries from staff and ensure that offloaded staff are provided with transport immediately The Contractor shall operate a 24-hour hotline service to answer staff s queries and provide assistance required The Contractor shall provide a contactable English speaking manager to manage the transport service and to liaise with SATS on any operational requirements The Contractor shall provide stand-by vehicles in case of vehicular breakdown and to cater for sudden surge or last-minute demand due to operational reasons The Contractor shall provide immediate coverage in cases of driver shortfall due to absenteeism The Contractor shall send female SATS staff to their doorsteps at all times unless road conditions prevent this in which case he shall arrange to send each female staff member to the nearest accessible point from her home. 1

2 2.8. The Contractor shall provide road-worthy vehicles to transport SATS staff.all vehicles for these services shall be air-conditioned with clean interiors and fitted with comfortable adult-size seats, GPS and in-vehicle camera capability Parking fees at all Bus Bays holding area or elsewhere if any will be borne by the Contractor. 3. SPECIFIC REQUIREMENTS OF TRANSPORT SERVICES 3.1. The Contractor shall provide vehicles daily for fetching SATS staff from the Airport as specified in the timings as follows, which may be changed according to operational requirements Airport to staffs homes: 2315 hours, 2345 hours, 0045 hours, 0145 hours, 0245 hours, 0345 hours, 0415 hours, 0445 hours, 0515 hours, 0545 hours and 0615 hours Ridership data for the respective zones can be found in Attachment The Contractor shall provide transport coordinators who are competent in pooling and planning routes. The Contractor shall deploy coordinators who are fluent in English and at least one coordinator must be fluent in mandarin to handle foreign workers from China In fetching SATS staff from Airport to their homes, the vehicles should depart on time (not more than 5 mins from the specified times) and the last staff shall reach their drop-off points not later than 60 minutes from their departure times at the Airport at a safe speed. The Contractor must report any delays due to weather, road conditions or other unforeseen circumstances In fetching SATS staff from Airport to home, the Contractor shall track the time each passenger alights through electronic means. The software used shall be temper proof by both the Contractor and their employees. In the event the data within the system was found to be tempered with, this shall constitute a default under Clause 14 of the Agreement. The Company shall have the rights to terminate the contract immediately. The Company shall also have the rights to fine the Contractor $1,000. This amount shall be recovered from the monthly payment due to the Contractor or from the security deposit The Contractor shall also not attempt to circumvent the system by preventing the passengers from signing out of the system. Sufficient manual system shall be in place to ensure all ridership data are properly documented. For each event the Contractor fails to collect a passenger s data, demerit points will be imposed in accordance to Schedule 2 of the Agreement The Contractor shall provide a suitable system for capturing actual number of passengers carried on board and provide daily and monthly SLA reports and statistics for management reporting, using technology and equipment to implement such a system The Company shall be entitled to add up to 2 no. of shuttle pick up points at no additional cost as long as the additional pick up point is within 1 km from existing shuttle pick up point. 2

3 3.8. The Contractor shall ensure they maintain a working CCTV with microphone at base at all time for the purpose of conflict resolution. Such video shall be kept for a maximum period of 7 days. After which, such videos must be deleted The Contractor shall ensure all buses are fitted out with at least 2 cameras, 1 no. monitoring the front of the vehicle and 1 no. monitoring the passenger area of the bus. Each bus (including the shuttle buses) should also be trackable using Geopositioning system (GPS). The system tracking the GPS time should be synchronized to Coordinated Universal Time (UTC +08:00h) and should not be able to be manually adjusted The Contractor shall provide daily shuttle services from the locations and timings (as specified below) to the centralized staff transport departure point at PTB 1 mini bus bay. 4 4. TERMS OF AGREEMENT 4.1. SATS Ltd reserves the right to award any one or a combination of those services listed to two or more different Contractors as it deemed necessary or appropriate; 4.2. SATS Ltd reserves the right to change its requirement for the pick-up/drop-off locations and timings for the transport services as specified in Items 3.1 and 3.7 by giving one week s written notice to the Contractor Without prejudice, SATS shall have the right to employ workers from elsewhere and recharge the total cost or part thereof to the Contractor, if the Contractor fails to fill up positions that are left vacant by absenteeism or fails to improve on the service provided after being notified by SATS Any complaint and/or feedback filed by SATS and its representative shall be attended to promptly and, in each case, a reply and action taken to improve shall be accorded within 5 days from the date of the complaint/ feedback The Contractor shall monitor the work performance and conduct of his staff / drivers and remove those with poor attitude, medical and attendance records or whose work is not satisfactory to SATS The Contractor shall, at his own cost, be responsible for applying for and obtaining necessary passes and permits for his staff and vehicles for the purposes of operating the Services, including all necessary airport permits if applicable The Contractor shall ensure that the necessary insurance arrangements have been made to cover all possible eventualities The Contractor is bound under the Agreement signed with SATS to comply with the Personal Data Protection regulations. 5. LIQUIDATED DAMAGES 5.1. Penalties shall apply for breach of contractual obligations as specified in Schedule 2 (Liquidated Damages) of this Agreement. 6. TERMINATION 6.1. SATS reserves the right to terminate the agreement by giving 3 months written notice to the Contractor The Contractor may terminate the agreement by giving 6 months written notice to SATS. 7. RESOURCE CAPABILITIES 7.1. The Contractor shall provide the number of vehicles and passenger capacity of vehicles owned and sub-contracted to provide this transport service (as indicated by Contractor in Attachment 1). 4

5 8. BUSINESS SOLUTION PLAN 8.1. Areas Covered The Contractor shall indicate the areas to be covered for each zone (as outlined by Contractor in Attachment 2) Resource Provision The Contractor shall Indicate the number and passenger capacity of vehicles to be deployed for each of the timings to fetch SATS staff from Airport to their homes, including the Shuttle Service to be provided from ICC1, ICC2, PTB2, PTB3 and PTB4 to the centralized departure point at PTB1 (as indicated by Contractor in Attachment 2) Standby Vehicles The Contractor shall indicate the number of vehicle and passenger capacity of vehicles to be deployed in case of vehicular breakdown or sudden surge or lastminute demand due to operational reasons (as indicated by Contractor in Attachment 2) The Contractor shall provide a 24-hour hotline service to answer calls from staff and also to include e-communication means such as SMS and WhatsApp to inform staff on their pick-up time/location. 5

7 Attachment 1 Change in Number of Trips The Company shall be able to add the number of trips during the course of this contract. The Company shall give the Contractor a written notice for such request and the Contractor shall be able to fulfill the request within 7 days such written request is given. In the event the Company decides to remove any trip, the Company shall give the Contractor a 90 days written notice.
