1 PROCUREMENT QUALITY CLAUSES SCOPE This document provides the full text wording of the Quality Assurance Clauses selectively incorporated by reference in Purchased Orders issued by Meggitt ( North Hollywood). The supplier shall be responsible for full compliance with each clause assigned within the Meggitt (North Hollywood) Purchase Order. In case of conflict or lack of clarity in the Quality Clauses, the supplier shall be responsible for contacting Meggitt (North Hollywood) for clarification of assigned Quality Clauses. These provisions supplement the presently existing terms and conditions of the Purchase Order. If no document revision has been listed on documents invoked herein, the latest revision shall apply. PROCUREMENT GENERAL QUALITY REQUIREMENTS The following general requirements are an integral part of the purchase order terms and conditions. The ability to comply with these requirements is inherent in an acceptable supplier quality program or inspection system. G1 ACCEPTANCE OF MATERIALS AND SERVICES Meggitt (North Hollywood) may refuse to accept materials and services delivered under a purchase order if the seller fails to comply with the herein General Requirements or the purchase order Assigned Requirements. G2 QUALITY AUDITS During the performance of the purchase order, the supplier s quality program or inspection system and manufacturing processes are subject to review verification and analysis (subject to proprietary considerations) by the cognizant government agency and/or Meggitt (North Hollywood). G3 EQUIPMENT CALIBRATION A system for control and use of inspection equipment in accordance with the requirements of International Organization for Standards (ISO) , "Quality Assurance Requirements for Measuring Equipment," Part 1 : "Meteorological Confirmation System for Measuring Equipment; "American National Standards Institute (ANSI)/National Conference of Standards Laboratories (NCSL)2540-1, "General Requirements for Calibration Laboratories and Measuring and Test Equipment;" shall be in place. All inspection equipment shall be calibrated against certified standards and traceable to national standards.

2 G4 SOFTWARE CONTROL Suppliers of materials and services utilizing computer aided design, computer aided manufacturing/processing or computer aided test equipment shall comply with the requirements of DOD-STD On request, the supplier shall make available for review and approval the quality control procedures on software controls. G5 FIRST PIECE LAYOUT Fabricators shall perform, document and make available on request, layout inspection data on all characteristics, hidden and exposed. The inspections shall demonstrate adequacy of gaggeing, completeness of manufacture and compliance to drawing. G6 RECORDS Records of manufacturing, testing, processing, inspection, packaging and shipping of items on a purchase order shall be retained for a minimum of seven (10) years after completion of the order. Records shall be made available for review upon request. The supplier shall notify Meggitt ( North Hollywood) 90 days prior to records disposal. Meggitt ( North Hollywood) reserves the right to have said records delivered in lieu of disposal. G7 NONCONFORMANCE A system shall be in effect for the control of material nonconforming. Any departure from drawings, specifications, or other Purchase order Requirements, must be submitted thru a Request for Material Review/ Material Rejection Report (MRR) for disposition to Meggitt (North Hollywood) Purchasing Department. with an approved Supplier Request for Material Review/ Material Rejection Report (MRR). The Supplier Request for Material Review /MRR shall describe the nonconformance in detail, the quantity, the cause and corrective action to preclude a recurrence. Acceptance of the MRR by Meggitt (North Hollywood) Material Review Board will not affect the supplier s quality rating as long as no other nonconformances are found during the receiving inspections. G8 UNAUTHORIZED REPAIRS Repairing of material by plating or anodize build-up, welding, brazing, plugging or any other method is prohibited unless authorized in writing by the Meggitt (North Hollywood) Material Review Board. G9 CORRECTIVE ACTION Materials or services found to have a quality problem will result in a formal request for corrective action. Such requests require a timely response. On government source inspected material, the supplier shall coordinate the corrective action reply with the government quality representative assigned to his plant. G10 HANDLING CONTAMINATION All materials shall be protected against handling damage, corrosion, deterioration, contamination or other spoilage at the supplier s plant, during transit and on receipt at Meggitt (North Hollywood). No staples are allowed in the packaging of materials.

3 G11 FOREIGN OBJECT DAMAGE (FOD) Suppliers of FOD sensitive articles shall establish procedures to control and eliminate Foreign Object Damage and/or contamination during manufacturing, assembly, test and inspection operations. The FOD program shall be subject to review and approval by Meggitt (North Hollywood). G12 PROHIBITED PRACTICES The following acts or practices are typical of those prohibited: (a) Unauthorized repairs. Repairs by welding, brazing, soldering, plugging, bushing or use of paints, adhesives or plating, or any other method, on parts damaged or found to be faulty during fabrication process, or on defects in castings or forgings, are prohibited unless specifically authorized by buyer in writing; (b) Unauthorized Changes. Seller shall not change, add, or delete any process, material or procedure without prior buyer written approval if such process, material or procedure was originally subject to approval by the buyer. G13 ANTI-TERRORIST POLICY The supplier agrees to comply with Executive Order Number blocking property and prohibiting transactions with persons who commit, or support terrorism, notice of September 24, 2001 and further agrees to include this statement in each lower-tier subcontract or purchase order issued hereunder. PROCUREMENT QUALITY CLAUSES Q1 GOVERNMENT SOURCE INSPECTION Government inspection is required prior to shipment from supplier s plant. Evidence of such inspections shall be indicated on the packing sheet and certifications accompanying each shipment. On receipt of this order, promptly furnish a copy to the Government office or representative who normally services your plant so that appropriate planning for Government inspection can be accomplished. In the event the representative or office cannot be located, Meggitt (North Hollywood) buyer shall be notified immediately. Q2 CUSTOMER SOURCE INSPECTION Meggitt (North Hollywood) customer source inspection is required prior to shipment from supplier s plant. Evidence of inspection shall be indicated on the certifications accompanying each shipment. Notify Meggitt (North Hollywood) buyer at least forty-eight hours prior to need for source inspection. Q3 MEGGITT (NORTH HOLLYWOOD) SOURCE INSPECTION Meggitt (North Hollywood) source inspection is required at supplier s plant as noted. Evidence of inspection shall be indicated with the certifications accompanying each shipment. Notify Meggitt (North Hollywood) buyer at least twenty-four hours prior to need for source inspection.

4 Q3.1 IN-PROCESS INSPECTION Materials and services are subject to inspection throughout all or portions of the manufacturing and/or testing operations. Meggitt (North Hollywood) Quality Assurance will establish the mandatory inspection points. Other conditions of Q2 apply. Q3.2 SHIPPING INSPECTION Materials and services are subject to inspection prior to packaging and shipment from supplier s plant. Q3.3 SURVEILLANCE The Government/Meggitt (North Hollywood) customer/or regulatory agencies(including the FAA) reserves the right to inspect any or all of the materials or quality of work included in this order subject to Government/Meggitt customer contract at the supplier s plant. Q3.4 MEGGITT (NORTH HOLLYWOOD) SURVEILANCE Meggitt reserves the right to inspect any or all of the materials or quality of work included in this order at the supplier s plant Q4 QUALITY SYSTEM REQUIREMENTS The supplier shall have in place a program that conforms to one of the following (unless actual sub-clause is specified on Purchase Order): Q4.1 MIL-Q-9858A, Quality Program Requirements Q4.2 MIL-I-45208A, Inspection System Requirements Q4.3 NASA NAB (1C), Inspection System Requirements Q4.4 ISO9001: 2008 Q4.5 AS9100C Q4.6 ISO 14001:2004 (For Environmental Requirements only) Q5 INSPECTION AND TEST PLAN The Supplier shall prepare an Inspection and Test Plan, including a flow chart of inspection and test points. Type of inspection or test at each point on the plan shall be identified. Two copies of the plan shall be submitted to Meggitt (North Hollywood) buyer for approval by Meggitt (North Hollywood) Quality Assurance prior to the start of work. Q6 RAW MATERIAL IDENTIFICATION All raw materials must be identified with applicable specification, nomenclature, type of material, condition and manufacturer. Test reports which list actual chemical/mechanical values and applicable material specifications shall be submitted on each shipment. Q7 FIRST ARTICLE INSPECTION Supplier shall submit a first article report, in accordance with AS9102, with actual values obtained and the article representative of his production, to Meggitt (North Hollywood) for review. The first article part(s) shall be clearly identified by tagging, serial number, or other positive method. Production shipments shall be withheld pending Meggitt (North Hollywood) Quality Assurance approval.

5 Q8 ACCEPTANCE TEST REPORTS Include with each shipment a true copy, signed by a responsible representative of the supplier, of the results of the lot or item acceptance tests required by the applicable specification. The report shall indicate the actual values obtained. Q9 APPROVED PROCESS SOURCES To better manage its supplier base and to comply with the prime contractors requirements, Meggitt now accepts the National Aerospace and Defense Contractor Accreditation Program (NADCAP) approval for all special processes listed in suppliers certification. Processors approved by NADCAP can be found by accessing web site or contacting your Meggitt buyer.. Q10 TRACEABILITY All items are subject to traceability of the history, application, use and location of the item through the systematic assignment recording and correlation of control identification numbers assigned by Meggitt (North Hollywood) Q10.1 Category I items, traceability by serial number. Each item and all associated documentation (test reports, certifications, etc.) shall be identified with the traceability serial number as directed by purchase order. Q10.2 Category II items, traceability by lot number. All items within the lot and all associated documentation (test reports, certifications, etc.) shall be identified with the lot traceability number. Unless otherwise specified, the purchase order number shall be the lot traceability number. Q10.3 Category III items, castings shall be identified by a permanent part number, configuration, foundry identification and melt number, or by a traceable chemical, physical analysis and heat treat. The identification shall remain legible after machining or surface machining. Q11 MATERIAL CERTIFICATION Each shipment shall be accompanied by a dated certification, signed by a responsible representative of the supplier, stating that the items were produced from: Q11.1 Materials furnished by Meggitt (North Hollywood). The certificate of conformance shall list the Meggitt (North Hollywood) material code number assigned to the furnished material. Q11.2 Materials which the supplier has available for examination and objective evidence of conformance to the purchase order and applicable specifications. The specifications shall be listed, including the revision or date. Q12 CERTIFICATION OF GOVERNMENT Q.P.L. SOURCE The supplier shall include with each shipment, a dated certified statement that the items on the purchase order were produced by manufacturer holding a current approval to a Qualified Products List. Objective evidence to support this certificate shall be on file and made available for review upon request.

6 Q13 CERTIFICATE OF CONFORMANCE Each shipment shall be accompanied by a certification stating that the items were manufactured in conformance with the purchase order, engineering drawing and specification requirements, and the manufacturing data is on file for examination (retained for seven years minimum). Certification shall be dated and signed by the authorized supplier representative. Q14 SPECIAL REQUIREMENTS Special requirements established by Quality Engineering and transmitted to the supplier by notation on the body of the purchase order. Q15 SPECIAL PACKAGING Articles have critical surfaces and shall be packaged by supplier for protection against damage. Additional requirements of G10 apply. Q16 TOOL ACCEPTANCE Tool acceptance is subject to first article approval (Ref. Q7) by Meggitt (North Hollywood). Tooling may be recalled at no cost or liability to Meggitt (North Hollywood). Q17 GENERAL REQUIREMENTS The general quality requirements G1 through and including G13 apply. Q18 OZONE DEPLETING SUBSTANCES Warning statements on containers of and products manufactured with certain ozone depleting substances are required beginning on May 15, 1993 pursuant to Section 611 of the Clean Air Act. The requirement will not apply when the manufacturer/processor submits sufficient evidence that product was manufactured/processed prior to May 15, The packing slip/invoice for each shipment shall bear the following warning statement (clearly legible and conspicuous): WARNING: Manufactured with (insert name of Class I substance) a substance which harms public health and environment by destroying ozone in the upper atmosphere. Q19 SYNTHETIC RUBBER MATERIALS PACKAGING AND ID. Synthetic rubber materials shall be packaged in either craft paper, or UV-resistant.075mm min thickness polyethylene, or salt-free metal-foil bags. Opaque packaging is preferred. Packaging materials shall be free of copper naphthenates or creosote preservatives. Package shall contain no more than 50 units. Each package shall be identified with Cure Date (Quarter-Year), part number, manufacturer and distributor names. Unless otherwise specified, maximum age of elastomer at the time of acceptance at Meggitt (North Hollywood) shall be 85% of shelf life from the cure date Q20 SPECIALTY METALS SOURCE OF SUPPLY: The supplier must provide Specialty Metal Certificate of Compliance reflecting all the requirements of DFAR Alt 1

7 including paragraph d are met for each part number, or materials listed on this purchase order. The supplier shall flow down these requirements to all lower-tier subcontractors and suppliers, as required. Compliance to the DFAR Alt1 including paragraph d shall be stated in the supplier s certificate of conformance or by a separate certificate. Full text of this clause can be viewed at htpp:// Q21 FAR and DOD FAR SUPPLEMENTAL FLOWDOWN PROVISIONS: In the event this Purchase Order bears a U.S. Government Contract Number (see Contract # Box in header of PO), then this Purchase Order and the Contract resulting therefrom shall be subject to Section II: FAR and DOD FAR Supplemental Flowdown Provisions of Meggitt (North Hollywood), Inc. s Terms and Conditions for Supplier Purchase Orders.. Q22. GOVERNMENT/ CUSTOMER FURNISHED MATERIAL: The material provided on this purchase order are furnished by the Government/Customer. The supplier shall maintain a system that includes: Inspection for transit damage, completeness and type, Periodic inspection for handling damage and deterioration during storage. Functional testing when required proper identification and verification of quantity and protection from improper use or disposition. Non-conforming or damaged property shall be reported promptly. Q23 P.E.D. PRESSURE EQUIPMENT DIRECTIVE 97/23/EC Special Process requirements of Meggitt (North Hollywood), Inc. s Quality Assurance Procedure 24 apply. All processing shall be performed per Fly Sheet (document) #QA4-105 which can be downloaded from the following web site address: Material certificate 1.1 EN 10204, Type 3.1 Material certificate required from the material manufacturer 1.2 Material manufacturer to be ISO9000 certified by an organization accredited and registered in the European Union (EU) 2.0 Material Testing When an outside laboratory is used for material testing, the testing laboratory must be approved by A2LA or PED. EN10204, 3.2 type certificate required by outside laboratory 3.0 NDT (Non-Destructive Examination) NDT (Non-Destructive Examination) shall be done by PED approved or by American Association for Laboratory accreditation (A2LA) laboratory 4.0 Special Process Special process other than welding and NDT, shall be done by Meggitt approved suppliers or by NADCAP approved supplier Note: Material Specification and Revision shall conform to the specification and revision called out on the PEDPMAxxx. Q24 SPECIAL CERTIFICATION REQUIREMENTS FOR ATEX/CSA/UL/IECEx Following documents are required per the latest applicable standard and per Meggitt engineering print for the followings: ATEX (94/9/EC): CSA/UL (North America) IECEx (ISO/IEC ) Declaration of Conformity with ATEX and CE latest standards CSA/UL Certificate and / and Authorization to Mark QAR issued by third party

8 Note: All products marking shall be traceable to the certificates provided by the supplier Q 25 FACILITY / PROCESS CHANGE The Supplier shall not use or relocate any production, manufacturing, and/or processing facilities during performance of the work specified in the purchase order from those production, manufacturing or process facilities approved by Meggitt North Hollywood without promptly notifying Meggitt ( North Hollywood) and providing Meggitt an opportunity to examine such facilities for conformance with Quality Assurance requirements. Q26 COUNTERFEIT PARTS CONTROL. All suppliers that use lower tier suppliers, including distributors, are required to attest to the authenticity of products from your respective sources of supply. Suppliers receiving materials and parts from lower tier suppliers, including distributors, must take immediate steps to verify that the stated manufacturer of any component is the actual manufacturer. Compliance shall be stated in the supplier s Certificate of Conformance or by a separate certificate. Q27 SUBTIER FLOW DOWN REQUIREMENTS. Direct Suppliers to Meggitt will flow down applicable quality and procurement action requirements to their sub-tier Suppliers to ensure the integrity of the specified requirements are maintained throughout the supply chain (i.e., first piece/article inspections, customer approved special processes, key characteristics, record retention, etc.) Q28 D5 PROGRAM Frozen process requirements of Meggitt (North Hollywood), Inc. s Quality Engineering Instruction 2-7 apply. All processing shall be performed per Fly Sheet (document) #QA4-104 which can be downloaded from the following web site address: One lot delivery only, no partials accepted. Deviations from drawing requirements require prior Customer approval. Q29 SURVEILLANCE BY MEGGITT (NORTH HOLLYWOOD) AND RIGHT OF ENTRY All items covered by this purchase order are subject to surveillance by a Meggitt (North Hollywood) Supplier Quality Representative and or Government/Customer Representative. Government Representative may be Defense Contract Management Agency [DCMA] or Military. The supplier shall also allow Meggitt (North Hollywood) Supplier Quality Representative and or Government/Customer Representative the right to enter the supplier facility at any time during manufacture of product contracted for by this purchase order. This will include surveillance of the products and supplier s systems, procedures and facilities. The supplier shall furnish, at no cost, necessary facilities and equipment, supply data, and perform tests as required by applicable drawings, specifications, and Inspection Instructions under surveillance of the Meggitt (North Hollywood) Supplier Quality Representative. Notwithstanding the provisions of this clause, all items shall be subject to inspection and acceptance by Meggitt (North Hollywood) and/or Government/ Customer Representative.
