2 Terms & Conditions Ordering Procedure An approved credit application is required to open a CHERRYMAN account and process an order. Orders can only be accepted from authorized CHERRYMAN dealers. Orders from customers without a previous CHERRYMAN credit rating will not be accepted without satisfactory references accompanying the order or other arrangements being made. CHERRYMAN does not accept verbal purchase orders or revisions. Orders are accepted via fax or only. Please fax or purchase orders to the corresponding region in which you are based (these are listed under Contact Information). Order Acknowledgement CHERRYMAN sends acknowledgements on all orders. Please examine the acknowledgement carefully and advise us immediately of any discrepancies. The Order Acknowledgment is the final agreement between CHERRYMAN and the customer, superseding all previous communication regarding that order. Cancellation and Order Changes InStock Program Cancellations or revisions will not be accepted after the order has shipped. Build To Order Program Cancellations or revisions will not be accepted after the order has been acknowledged and entered into production and any deposit made will be forfeited. Delivery Time InStock Program Normally, credit approved orders will be shipped same day if purchase order is received by 12:00 PM EST for the Midwest Southeast Northeast regions and 12:00 PM PST for the West Coast Region. Orders received after these times will ship the following business day. For orders requiring assembly, a minimum of 72 hours (depending on size of order) is normally required. Please contact Customer Service for ready date confirmation. Build To Order Program Products are shipped to any point of destination within the continental USA in weeks. Availability CHERRYMAN maintains a high level of inventory in our InStock Program throughout our regional distribution centers. Our inventory is replenished on a regular basis, and orders are filled on a first come first served basis once a confirmed order is placed and an order acknowledgement is received. A 20% deposit is required in order to hold inventory based on availability. CHERRYMAN will hold product up to 14 calendar days. Deposit will be forfeited after this period unless a written cancellation request is submitted within 14 calendar days or a confirmed purchase order is received. Please note: large orders may require an extended lead time. In the event an item is not available, three options may apply that require written authorization from the dealer: Option 1 Partial ship available quantity and back order remaining items minimum 05 / 08 drop off charges (if applicable) apply to BOTH the initial partial shipment as well as any subsequent back order shipments. Option 2 Request transfer of out of stock item from an alternate regional distribution center customer is responsible for any additional freight costs associated with the transfer as our price does not reflect these additional costs. Option 3 Hold until complete order is available through CHERRYMAN s regular inventory replenishment for the distribution center where the dealer is based. Drop Shipments and Price Zoning Please contact Customer Service for pricing on orders requiring shipment to a destination outside the state where the dealer is located. Parts Replacement Replacement parts are available from our distribution centers for products designated as Ready to Assemble items. Parts for items designated as Pre Assembled require ordering from our factory. The designation of all products can be found on the Specifications page introducing each collection. Claims Freight Damage Refusals Shortages CHERRYMAN Customer Service will administer the filing of these claims if the order is shipped via our designated carriers. All claims must be filed with CHERRYMAN within 15 calendar days of receipt of goods. Claim will be disputed if product is moved from original ship to location. In order to expedite the process, the following documents are required to file a claim: Copy of bill of lading with notations for any visible damages, refusals, or shortages CHERRYMAN will not be responsible for filing claims if order is shipped via the customer s selected carrier. Manufacturing Defect Concealed Damage Claims for a manufacturing defect or concealed damage must be filed with CHERRYMAN within 15 days of receipt of goods. The following documents are required to process your claim: Digital photos CHERRYMAN claim form In order to send out an immediate replacement to fulfill your customer needs pending resolution of the claim, the following document is required: A signed CHERRYMAN disclaimer regarding product responsibility Warranty Issues Claims for warranty issues must be filed with CHERRYMAN. The following documents are required: Original CHERRYMAN invoice number Detailed description of issues I

3 Terms & Conditions Returns Due to the likelihood of damage, CHERRYMAN discourages product returns. In the event a product return is found necessary, we will make every attempt to assist our customers to keep the product in the field. Please contact Customer Service for assistance with this service. If attempts to keep the product in the field are unsuccessful, CHERRYMAN will allow returns on stock items only and issue a Return Merchandise Authorization (RMA) with the following stipulations: a 50% restocking fee will apply freight charges are prepaid by dealer product has never been removed from original carton product must be returned within 30 days of RMA issue date credit will not be issued if product is returned damaged Credit will not be provided on any items returned without an RMA, or on merchandise that has been subject to freight damage, missing parts, usage or been removed from the original carton. Returns without a pre-authorized RMA will be refused. CHERRYMAN will not be responsible for resolving damage and / or freight claims on returned product. Delivery Information All shipments are FOB point of shipment. Pricing is based on standard delivery (8am to 5pm Monday through Friday). CHERRYMAN reserves the right to select the most appropriate carrier and routing on all shipments. Orders requiring special delivery services (including but not limited to the following) will incur additional charges: assembly charges inside delivery installation call before delivery no dock delivery non standard delivery time residential delivery General Information Prices shown are list prices for shipment within the continental USA. Merchandise is billed at the prevailing price at time of order placement. Prices are subject to change without notice. Should a typographical error be found, we reserve the right to correct it. CHERRYMAN reserves the right to make changes in design or construction without prior notice. Payment by check must be made out to CHERRYMAN. A $50 fee will be charged for return checks. Distribution of the CHERRYMAN price list does not in itself constitute an offer to sell. Possession of the price list does not constitute authority to purchase. Warranty CHERRRYMAN warrants its products to be free from defects in design, material and workmanship under normal use and care. The warranty coverages are described as follows: 10 year casegoods warranty Lifetime warranty for all components including pneumatic cylinder, mechanism, base, and casters on our Mesh chair Respond series when the product is used by a person weighing less than 250 lbs. 5 year warranty for foam and fabric on all chair products CHERRRYMAN will at our discretion, repair or replace, to the original purchaser, any product that is defective in materials or workmanship, given normal use and care of single shift service, standard commercial usage, defined as a standard 8 hour work day, 5 days a week. Variations occurring in wood, leather and other natural materials are inherent to their character and are not considered defects. This warranty does not cover: damage caused by transportation; cost of transportation or labor; misuse, negligence or alteration by the purchaser. Limitation of Liability Under no circumstance, including but not limited to breach of contract, breach of warranty of negligence, shall CHERRYMAN be liable for lost profits, loss of goodwill, stored data, general, special, consequential or exemplary damages, even if CHERRYMAN had notice of these damages or they were foreseeable. CHERRYMAN shall not be responsible for verifying dealer s or customer s description of needs, data, or the fitness for a particular purpose of goods. CHERRYMAN s liability in all cases shall be limited to repair or replacement of the defective parts, or the purchase price of the product. Damages resulting from misuse, abuse, alteration, negligence, or accidents are not covered under this warranty. EXCEPT AS OTHERWISE PROVIDED, CHERRYMAN MAKES NO OTHER WARRANTIES, EXPRESSED OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. Care and Maintenance CHERRYMAN s finish provides superior strength with enhanced stain and mar resistance for easy maintenance. However, care must be exercised whenever cleaning materials constructed of wood. Certain precautions will keep new furniture looking new: dust all surfaces on a regular basis with a soft damp cloth, in the grain direction; do not use spray polishes or those containing silicone lift all objects when moving ; never drag objects across the finished surface; sharp metal objects such as keys, spring binders and briefcase hinges should be kept from contacting the finished surface wet objects should be placed on coasters; use a desk pad for writing bottoms of items like flower vases and desk accessories should be protected contact with certain plastics may result in discoloration and finish damage use of felt pads under electronic equipment is recommended furnishings exposed to ultraviolet rays may change color CHERRYMAN s hardware is selected for easy maintenance. Certain precautions will help to keep these items looking new: lubricate the housing and ball bearings of drawer suspensions every six months with a high quality petroleum jelly type lubricant use a window type cleaner, sprayed onto the cloth, to clean pull hardware furniture settles over time, to ensure correct drawer alignment, check unit is level and adjust glides as required II 05 / 08

6 Specifications Collection Veneer CHERRYMAN veneers are selected from premium grade qualities. Veneers are flat cut and slip matched. Every possible effort is made to ensure color continuity. Differences can, however, occur due to the natural variations in tone and color of wood veneers. The Collection is offered in one finish: CHER Paprika Cherry Finish CHERRYMAN s finish provides superior strength with enhanced stain and mar resistance for easy maintenance. Veneers are finished utilizing a satin sheen and CHERRYMAN s closed pore standard. Samples CHERRYMAN provides samples for all wood and laminate finishes. Construction. tops and support panels Tops are 1-1/8 thick and feature a solid wood profiled edge on all four sides. Both tops and panels use a 3 ply balanced construction. All support panels include adjustable levelers. Construction. cases All cases are constructed utilizing 3 ply balanced panels. Adjustable levelers are provided in all cases. Construction. drawers Drawers are constructed utilizing multi ply wood panels coated with a clear finish. All drawers are fitted with full extension, metal ball bearing slides. File drawers are provided with a filing system accommodating both letter and legal filing. Construction. guest chairs All guest chairs are constructed of solid hardwood. The finishes offered match the casegoods collections. The chairs are upholstered in black fabric. Locks All pedestals and laterals with drawers include a front mounted gang lock. All units are keyed alike. Requests for different keying can be accommodated for an upcharge. Pulls The Collection finger pull matches the casegoods finish. Grommets Grommets for cables are provided in bridges, credenzas and hutches. Product Assembly. wood collections Most CHERRYMAN product is shipped in a Ready to Assemble state. The carton count for each item is provided in the price list.
