14 SALES- AND DELIVERY TERMS Brands4kids A/S 1. General Unless other is confirmed in writing by Brands4kids A/S the following terms and conditions apply regardless of what has been mentioned in earlier pricelists and agreements, and regardless of all other conditions or assumptions put forth by the customer in writing or in order confirmation. 2. Special offers All special offers and sales are subject to reservations concerning force majeure such as strike, lock out, price increase, operating interruptions, war and so forth, whereupon we do not have any influence. Offers are not binding for either party until they have been confirmed in writing. Offers must be confirmed before the expiration date included in the offer. If no date has been set, the acceptance must be received within 14 days from the offer has been made. The offer cannot be withdrawn within the appointed time unless the customer has reserved the right to the offer being subject to the goods being unsold. 3. Prices All prices are excluding sales tax and other public expenses (international sales in addition excluding all customs or other expenses.) Prices in Denmark are in DKK, Norway in NOK, Sweden in SEK and the rest of the EU in, all other markets in DKK if nothing else is mentioned or agreed upon. Prices are excluding all taxes and expenses that incur after the merchandise has been delivered. Prices are including standard packing Prices can change without warning due to currency, customs and other external factors. 4. Packing Merchandise is delivered in standard Brands4kids A/S packing. Provided the customer wishes special packing (such as extra strong packing, pallets and so forth) and other labelling (such as bar code label, hanging labels and so forth) that deviate from our standard packing, there will be an extra expense. Packing can be returned only by special agreement. 5. Customer information New customers must fill out a customer information sheet before orders are executed. Customer information is the basis for credit evaluation etc. in reference to item 6. All agreements concerning payment conditions are made under the assumption that creditworthiness etc. is approved according to item Conditions of payment It applies to all customers that information about creditworthiness will be obtained either through bank or other credit institution. From this information customer credit will be assessed. New customers and customers that Brands4kids A/S does not yet have continuous trade with will receive merchandise by payment in advance. We reserve the right to cancel existing orders, if the customer fails to fulfil Brands4kids A/S conditions of payment. The purchase price is to be paid to Brands4kids A/S' business address or to Brands4kids A/S' bank account as possible fees etc. are the customer's responsibility. 7. Accrued interest, reminder fees and collection of debt All overdue payments will accrue interest from the due date until payment takes place. Unless other is specified from the invoice the accrued interest is 1,5% per month from due date until payment is made. Reminders are subject to fees according to Danish law. The customer must pay all fees and expenses concerning possible transfer to collection agency. 8. Handling charge Orders that do not reach our minimum order size in Danish kroner can be subject to a handling charge that will be communicated when the order is received. 9. Delivery and delivery time Delivery occurs in reference to Incoterms-1990 Ex Works unless other is agreed upon. Orders greater than a certain size determined by Brands4kids A/S can be delivered free of charge. Delivery will occur in the month or date stated on the order or order confirmation. Overdue delivery by more than 30 days from the stipulated delivery date allows the customer to cancel the order. The customer cannot, regardless of the order is cancelled or not, hold Brands4kids A/S responsible for consequences of delayed delivery. Immediate, confirmed orders will as far as possible be delivered within one week. 10. Insurance It is the customer s responsibility to take out insurance that will cover the merchandise until it has arrived at the destination or the purchase price has been paid. 11. Complaints and claims Upon delivery the customer must verify that the delivered merchandise corresponds with the order and invoice and that the merchandise is consistent with the fashion line. Faults and defects must immediately be reported to Brands4kids A/S. The customer cannot invoke rights when more than 14 days have passed from the invoice date. All claim rights are annulled 1 year from the delivery date. Faults and defects at delivery will, by choice of Brands4kids A/S, either be clarified by repair, exchange or return of the defect merchandise. The customer cannot raise claims against Brands4kids A/S except for the above mentioned in connection with faults and defects in the delivered merchandise. Brands4kids A/S responsibility for delays, faults or defects is not in any instance monetarily greater than 25% of the invoice amount for delayed or defect merchandise. Brands4kids A/S is under no circumstances liable for operating loss, profit loss or any other indirect loss the customer or third party may experience. 12. Return rights The customer is not entitled to return received merchandise unless the sale was annulled rightfully by the customer or Brands4kids A/S in writing has declared to accept the return or by declaration of a by Brands4kids A/S specified return number. The returned merchandise must always be in the original packing, failing this Brands4kids A/S can deduct expenses that may occur. Shipment costs and risks are the customer s responsibility. Shipment must be arranged with carrier specified by Brands4kids A/S unless other is agreed upon. Provided that the merchandise is returned for exchange, the repaired or exchanged merchandise will be delivered in the same manner as the original shipment. 13 Order annulments The customer is not entitled to annul a given order. A given order can only by request be annulled provided that Brands4kids A/S accepts this in writing. An annulment of a given order will be imposed a fee to cover Brands4kids A/S' expenses for production, profit loss and stock loss as follows: Annulment more than 90 days before a confirmed delivery is imposed a fee of 15% of the order amount. Annulment more than 31 days and less than 89 days before a confirmed delivery will impose a fee of 25% of the order amount. Annulment 30 days before a confirmed delivery is imposed a fee of 35% of the order amount. Brands4kids A/S also reserves the right to impose a fee when Brands4kids A/S annuls an order due to lack of payment from debtor for earlier delivered merchandise, debtor's bankruptcy, lack of liquidation and so forth. 14 Ownership Brands4kids A/S reserves the right to ownership of the sold merchandise until the entire purchase price and expenses in connection with merchandise delivery, shipment and other expenses paid by Brands4kids for the customer is paid or collateral is secured. 15 Litigation and Venue All disputes that may arise between Brands4kids A/S and the customer must be settled in a Danish court, either the court in Herning or a court chosen by Brands4kids A/S.
