TRANSPRT: The transportation cost of the machine from the Factory facility to the customer s facility, is the responsibility of the Customer. Giben will not be liable for damages and/or loss of property during the transportation, unloading and positioning process and for reasons due to Acts of God or for reasons beyond Giben's control. 5

6 INSTALLATIN AND START-UP: 2, (excluded travel and accommodation at cost) Customer shall provide one helper for the entire duration of the installation. The install, start up and education relating to this machine are foreseen to take a maximum of 2 days. Should any delays occur during the start-up period, which are beyond the control of Giben International, that extend the time required to complete the install, Giben International, Inc. may find it necessary to invoice the client for time required in excess of 2 man days required to complete the job Giben requires the machine parts to be positioned next to the installation site. The site shall be clear from impediments of any nature and shall be made of a leveled concrete or similar floor. Electrical power, efficient electrical ground and compressed air, as required by the machine specs, shall be available at the site in accordance with the drawings supplied with the machine. Giben is not responsible for any masonry, fabrication, or similar work that might be needed to make the site appropriate for the installation of the machine. The customer shall be responsible for the following: Ground works, connections to power supply, electrical ground, compressed air, and machine fastening to the floor. Labor force and handling equipment (crane, fork lift, etc.) to unload, uncrate, and install the machine are also the responsibility of the customer, as is material enough to run actual cutting tests. ELECTRICAL R SAFETY STANDARD APPRVALS: All machines are supplied with Electrical Safety Authority approvals. Any modifications that are required as a result of provincial inspection programs or safety certification are the responsibility of the purchaser. PAYMENT TERMS: 30% non-refundable down payment with order. 70% upon notice that machine is ready to ship. STANDARD DELIVERY TERMS: The exact delivery time will be confirmed ex works factory upon receipt of your order and initial down payment by Buyer. 7 QUTATIN VALIDITY: This quote is valid for 30 (thirty) days from the date of issue. Technical features and descriptions are not binding up to the conclusion of the supply contract, which is subject to our General Sale Conditions (version 07/02 enclosed). Therefore we reserve the right to carry out any modification without prior notice, provided such modifications do not reduce the supply value and are aimed at improving or assuring an unchanged performance of the machine. PURCHASER S LIABILITY - Transportation to the destination. - Insurance. - Unloading of the equipment from the truck and/or containers. - Handling and positioning of the machine components on the installation site. - Guarantee the proper electrical grounding of the plant. - Store the equipment in such environment, which protects it from atmospheric changes and humidity. - Provide necessary labour force throughout the installation to help technician(s) if provided including transport to and from the hotel to the site. - Provide necessary machinery/technology (such as fork lift, etc.) to move and/or lift the equipment throughout the installation. - Allowing our technician the use of rest rooms and services for personal hygiene and resting during the installation period. - Provision of materials in sufficient quality and quantity for testing of the machine. - Necessary foundation works, such as pits, elevating plinths either in concrete and/or steel, bridges, walkways, are the exclusive responsibility of the Purchaser. - Power supply installations, dust extraction, compressed air, lying down of cables for network connection, modems, shall be at the charge of the Purchaser who has to arrange the connections to the points foreseen on the machine. - The tools fitted on the machine by Giben are standard. It is the exclusive responsibility of the final users to choose the tools considered by them most suitable to their specific requirements. It is recommended to contact the tools suppliers who can provide their best advice. - It is of the essence to carry out the ordinary and extraordinary maintenance of the equipment as defined in the equipment s instruction and maintenance guide, otherwise the guarantee shall lapse and it is not valid anymore. - It is strongly recommended the upmost attention of any and all safety rules; the safety devices and systems are to be kept in a perfect operating condition. The machine operators are to be properly informed and trained on the correct use and operation of the machine so that to work safely and they must be updated on the contents of the instruction and maintenance book of the machine. FRCE MAJEURE CLAUSE The delivery may be postponed due to a force majeure, as the meaning is classified in the contemporary European statute. 7
