3 We are pleased that BH&L Decorators, Inc. has been selected as your Official Service Contractor to handle the freight for the upcoming EAST 2012 program. All freight should be sent to the advance warehouse address as indicated on the material handling form and on the shipping labels provided. We will deliver your freight to the Ballroom of the Americas A in Disney s Contemporary Resort by 5:00 pm on Tuesday, January 10, 2012 and load your freight onto outbound transportation at 12:00 pm on Friday, January 13, ABF is the recommended freight carrier should you wish to use another carrier, they must be informed to pick up your freight no later than 2:00 pm on Friday, Friday, January 13, 2012.

Payment for Services: BH&L requires payment in full at the time services are ordered. Purchase Orders are not considered advance payment. Payment may be made by company check or credit card authorization. For your convenience, we will use your charge authorization for any unpaid balances. Any additional costs incurred for orders or services placed at show site are due and payable upon order placement. All adjustments must be made at show site. ABSOLUTELY NO CREDITS WILL BE ISSUED AFTER SHOW CLOSING. All accounts must be settled at the BH&L Service Desk prior to show closing. Your show site representative must be made aware of this policy and have means of payment, unless credit card authorization is provided. In the event that you have arranged for an agent to handle your display, your agent will be required to adhere to this policy as we will not bill a third party. If this policy is not adhered to, the exhibitor shall then be liable for payment. INTERNATIONAL EXHIBITORS: We require 100% pre-payment of advance orders. Payment must be rendered by cash, company check payable in U.S. dollars drawn on a U.S. account, American Express, MasterCard or Visa Credit Cards. Exhibitors will be assessed a $25.00 service charge for any returned check(s). A finance charge of 1 1/2% per month (18% per annum) will be added to any outstanding invoices. Shipments must be consigned to BH&L Decorators, Inc., as the hotel and convention site do not have the facilities to receive such shipments and may refuse them. 2. BH&L Decorators, Inc. will not be responsible for piece count or condition of shipments that are delivered without supporting bill of lading or delivery slip (i.e. FedEx, UPS). 3. It is understood that BH&L Decorators, Inc. and its subcontractors do not automatically insure materials, that insurance, if any, shall be arranged by the Exhibitor and the amounts payable to BH&L for material handling services are based on the value of the material handling services and the scope of BH&L s liability as herein set forth. The amounts payable to BH&L are unrelated to the value of the Exhibitor s property being handled by BH&L or its subcontractor. It is impractical and extremely difficult to fix the value of each shipment handled by BH&L or its subcontractors. It is agreed therefore that if BH&L or its subcontractors should be found liable for loss or damage to Exhibitor s materials, the liability shall be limited to the specific article that was physically lost or damaged. Such liability shall be limited to a sum equal to 30 cents per pound per article, with a maximum liability of $500 per item, or $1,000 per shipment, whichever amount shall be less, as agreed upon damages and not as a penalty, and such agreed upon damages shall be the Exhibitor s exclusive remedy. Exhibits left on exhibit floor without return instructions will be returned to our warehouse and held for disposition at an additional charge. BH&L Decorators, Inc. will not be responsible for condition, count or content until such time as exhibits or materials are picked up for removal after the close of the exhibition. 4. Make certain all your material is properly insured against fire, theft and all hazards while in transit to and from your booth and for the duration of the exhibition. 5. Exhibitor routings on outbound shipments will be honored when possible. However, we reserve the right to reroute as necessary. All outbound shipments must be tendered with a Bill of Lading. In the event the designated carrier fails to pick up by the specified time, such shipments will be rerouted by BH&L Decorators, Inc. Specified (freight force) time can be obtained at the BH&L Service Desk or by calling customer service. 6. All shipments requiring special handling for any reason, or due to length, width or height, will be handled on a time and material basis. 7. BH&L Decorators, Inc., as the Material Handling Contractor, shall have control over all freight docks, doors, elevators and crate storage areas. Any shipment not handled by BH&L Decorators, Inc., but for which BH&L Decorators, Inc. is required to handle the storage of the empty shipping containers, a charge will be assessed. 8. To avoid confusion, remove all expired shipping labels before shipment. 9. Collect shipments will not be accepted unless written authorization is furnished by the shipper to accept the shipment. There will be a 25% surcharge ($15.00 minimum) based on the amount advanced by BH&L Decorators, Inc. BH&L DECORATORS, INC. WILL ROUTE ALL SHIPMENTS UNLESS SPECIAL ADVANCE ARRANGEMENTS ARE MADE... INSURANCE BH&L Decorators, Inc. will not be responsible for the count or content of material after it has been placed in the exhibit area, before or during installation time, or at the conclusion of the event, or prior to taking physical count and possession in preparation to moving such materials. You agree to hold harmless BH&L Decorators, Inc., for responsibility for concealed and/or apparent damage to uncrated and/or unskidded exhibit material. 12 Eastern Association for the Surgery of Trauma Annual Scientific Assembly Registration Data License Agreement The abbreviation EAST in this agreement shall mean Eastern Association for the Surgery of Trauma, a not-for-profit corporation, and as the context may require, its directors, officers, agents, and/or employees duly acting for EAST in the management of the exhibition. The company entering this agreement shall be referred to as Exhibitor, which term shall also mean, as the context may required, any directors, agents and/or employees duly acting for the said company. Registration data, labels and any other form of registration information for the 25 th EAST Annual Scientific Assembly shall be referred to as EAST registration data. By signing the Registration Data License Agreement, Exhibitor accepts the terms of this license agreement. Ownership and License EAST retains ownership of original and any back-up EAST registration data. In return for acquiring a license to use the EAST registration data, Exhibitor agrees to the following terms and conditions: Limitations on Use Exhibitor may use EAST registration data only for a promotional mailing that is directed to EAST Annual Scientific Assembly attendees about the exhibitor s appearance at the 25 th EAST Annual Scientific Assembly, and that has received prior written approval from EAST through submission of the Registration Data License Agreement. Exhibitor may not use EAST registration data for any other purpose (including, but not by way of limitation, distributing, sublicensing, selling, renting or leasing the EAST registration data) without prior expressed written consent from EAST, who shall have complete discretion to give or withhold consent as to any particular proposed use. Eastern Association for the Surgery of Trauma or EAST Name and Logo Use EAST will grant permission to exhibitors and advertisers to use Eastern Association for the Surgery of Trauma or EAST in an appropriate manner in conjunction with their advertisements and other materials promoting that exhibitor s or advertiser s participation at the EAST Annual Scientific Assembly. Samples of the proposed use Eastern Association for the Surgery of Trauma or EAST must be submitted with the Registration List Request Form. Use of the EAST Logo in conjunction with advertisements, promotional materials, endorsements, statements, contests and/or awards of any kind is prohibited. Terms The license is effective until this agreement is terminated. Exhibitor may terminate this agreement at any time by destroying the EAST registration data together with all copies or modifications in any form. Exhibitor s license and right to use EAST registration data automatically terminates if any provision of this agreement is violated. This agreement is automatically terminated March 31, Upon termination of this agreement Exhibitor must destroy the EAST registration data together with all copies or modifications in any form. Part of Exhibit Rules and Regulations The terms and conditions of this agreement become an integral part of the EAST Rules and Regulations governing Exhibitor participation in the exhibition program at the 25 th EAST Annual Scientific Assembly, and any violation of this agreement shall constitute a violation of the Rules and Regulations. Indemnification Exhibitor shall indemnify EAST for, and hold EAST harmless from and against, any loss, claim, liability, damage or expense (including, but not by way of limitation, reasonable legal expense) in conjunction with any claim by a third party arising out of Exhibitor s use of the EAST registration data.
