2 OVERVIEW 5335 Riopelle St., E. Kirby Ave., Detroit MI is located east of I-75, north of E. Warren Ave. and south of I-94, specifically on the southwest corner of Riopelle St. & E. The Riopelle site, given its i) land size (1.18 acre), ii) existing building opportunity, iii) expansive zoning (M5), and iv) proximity to the future Wayne County Justice Complex, provides multiple options, including; industrial & warehouse redevelopment, uses compatible to the proximity of WCCJC, including parking & mixed-use retail, food distribution & processing.

The Riopelle site is less than a mile south of the I-94 & I-75 interchange and, although the Riopelle site is a manufacturing area, the Riopelle site is only 1.5 miles from Woodward Ave., Wayne State University and Detroit Cultural Center, making it convenient for industrial & warehouse users desirous of a presence close to Midtown, Detroit CBD & major throughfares.

Riopelle is in an Opportunity Zone. The Tax Cut and Jobs Act of 2017 (TCJA) established a new economic development incentive, known as an Opportunity Zone. An Opportunity Zone is designed to incentivize long-term capital investments in designated low-income communities by providing investors with a deferral from recognizing federal capital gains tax and, in some circumstances, entirely exempting the gain derived from an investment in designated Opportunity Zones. Section 1400Z-2 of the Internal Revenue Code allows the temporary deferral of inclusion in gross income for certain gains realized to the extent that corresponding amounts are timely invested in a Qualified Opportunity Fund. The tax incentives include: i) Investors can defer tax on all prior capital gains reinvested in a Qualified Opportunity Fund until the earlier of the date on which the Opportunity Zone investment is disposed or December 31, 2026, ii) For capital gains reinvested in an Opportunity Fund, the basis is increased by 10% if the investment in the Opportunity Fund is held by the taxpayer for at least five years and by an additional 5% if held for at least seven years, thereby excluding up to 15% of the original gain from taxation, iii) If the investor holds the investment in the Qualified Opportunity Fund for at least ten years, the investor would be eligible for an increase in its basis equal to the fair market value of the investment on the date that it is sold. This means investors who hold up to 10 years would face no capital gains on their Opportunity Zone investments.

11 ZONING M5 SPECIAL INDUSTRIAL DISTRICT An Expansive Indusrial Zoning District The Most Available Intensive Use in Detroit Description: This district is composed primarily of property located deep within other industrial districts and indicates areas within the City of Detroit which are best suited for development with intensive uses and are or can be objectionable or hazardous. Inasmuch as this district also permits less intensive industrial uses, the potentially objectionable or hazardous uses are placed under the "Conditional" category in order to guarantee a review of their operating characteristics to ensure that other industrial uses will not be unduly injured by the establishment of a potentially objectionable use in the same area. 15 WCCJC LAND PARCEL OVERLAY The Riopelle site is located east of the future Wayne County Justice Complex, presently the Detroit Department of Transportation ( WCCJC ). The WCCJC will be home to Wayne County s criminal court system; including, its county jail, juvenile detention facility, prosecutor s office and sheriff s office. The WCCJC is scheduled to be completed by The total development cost is approximately $533M. The WCCJC is scheduled to begin demolition & construction of the WCCJC in October A copy of WCCJC renderings is included herein. Presently, over 1,000 people, including jurors, attorneys and members of the public, pass through security at the current Wayne County Court on a daily basis, and those numbers are expected to increase at WCCJC, given the addition of the juvenile detention facility.
