2 INVITATION FOR EXPRESSION OF INTEREST 1. PREAMBLE: Fresh & Healthy Enterprises Limited (FHEL) is a wholly owned subsidiary of Container Corporation of India Limited (CONCOR) a Govt. of India Enterprise under the Ministry of Railways. It was incorporated in February It had been set up to create world class cold chain infrastructure in the country and to provide complete cold chain (farm to table) logistics solutions to various stakeholders in this area. FHEL derives its strength from CONCOR, its parent company and has a track record of excellence in the logistics services sector. FHEL has set up a state-of-the-art Controlled Atmosphere (CA) Store at Rai near Sonipat in Haryana with storage capacity of 11,700 MT. It is the largest such facility in the country. FHEL currently stores apples and other fruits & vegetables in the facility. It also gives on hire storage space to other parties. The facility is capable of storing all kind of fresh fruits and vegetables, floriculture products, dairy products under Controlled Conditions of temperature, relative humidity and gaseous composition, wherever required. 2.0 INVITATION OF EXPRESSION OF INTEREST (EOI): FHEL invites sealed EOI (Expression of Interest) from interested parties for Management & Operations of FHEL s facility at Rai (Sonipat) for usage as Controlled Atmosphere with existing facility Or Management & Operation as normal storage warehouse without Plant & Machinery and development & management/utilization of vacant land at Rai, Sonipat (Haryana). The proposal may be submitted as per following Options:- OPTION A: Management & Operation of CA Store (approx. 2.6 lac sq. feet); OR OPTION B: Management & Operation of CA Store as normal storage with/without plant & machinery (approx. 2.6 lac sq. feet); OR OPTION C: Management & Operation of CA store with or without plant & machinery alongwith management/utilization of vacant land (scope for construction of approx. 1.4 lac sq. feet warehouse) at Rai/Sonepat. The vacant land available at the facility can be developed for warehouse purpose by the bidder or FHEL as mutually decided. The initial proposal period for development, management & operations as referred above would be initially for a period of 10 years which can be extended for another term of 5 years on mutually agreed terms. 2

3 GENERAL CONDITIONS:- a) b) c) FOR Option A For existing CA facility at Rai, the bidder will take charge of the fixed assets, make suitable modifications wherever required at his own expenses with the approval of competent authority of FHEL, operate and maintain them during this period. The assets will have to be returned to FHEL in same condition except normal tear and wear at the end of the contract period. FOR Option B The bidder will take charge of aprox. 2.6 lac sq. feet warehouse, without plant & machinery. FOR Option C Option Á or Option B with management & operation of CA store with or without plant & machinery alongwith management/utilization of vacant land (scope for construction of approx. 1.4 lac sq. feet warehouse) at Rai/Sonepat. The vacant land available at the facility can be developed for warehouse purpose by the bidder or FHEL as mutually decided as per the EOI. d) For this, the successful bidder are expected to pay to FHEL a fixed consideration upfront on annual basis which will be decided after evaluation of the Expression of Interests from eligible parties and will form part of the financial bid. e) Also, successful bidder will be required to pay Security Deposit as mutually decided at the time of submission of financial bids. f) The bidder will undertake all responsibilities towards maintenance and upkeep of the facility to keep it in the same condition as it was when handed over by FHEL. The bidder will not be allowed to construct new and additional infrastructure on the premises of existing CA Store facility at Rai without prior approval of FHEL. Bidder will be allowed to do necessary modification of CA facility if it is required for business development on agreed terms and conditions at his own expenses. FHEL will not pay or share any such expenditure to the bidder. g) The vacant land area available at Rai /Sonipat, Haryana is approx. 24,000 Sq. Mtrs. 3. Eligibility Conditions: a) Turnover: The bidder should have minimum average annual turnover of INR 20 Crores in last 3 financial years. The Bidder should submit the audited balance sheet and profit & loss account for (Audited), (audited) & (audited/provisional with certificate of turn over duly certified by the CA firm. b) Net Worth: The bidder must have minimum net worth of INR 10 Crores based upon latest completed (audited) annual accounts. 3

4 4. Period of validity of EOI: The EOI shall remain valid for minimum 180 days after the date of opening. 5. How to Respond All offers should be either typewritten or written neatly in indelible ink and should be signed by the authorized signatory of the firm on all the pages. Interested parties may submit their Expression of Interest enclosing the following: a) Bidders need to indicate tentative terms & conditions along with proposal on which basis financial bids will be called. b) Notarized/attested copies of the constitution of their Firm/Company/ Partnership/Proprietorship etc. c) Attested copy of Audited Balance Sheets and Profit & Loss Accounts for last three years i.e (Audited), (audited) & (audited/ provisional with certificate of turn over duly certified by the CA firm. d) Power of Attorney/Board Resolution in favour of the person signing the bid. e) Documents in support of eligibility conditions. f) PAN Card copy. 6.
