We strongly advise all contract users to familiarize themselves with all terms and conditions before issuing a purchase order. PRICE: Price includes all customs duties and charges and is net, per yard on material that has been mothproofed when specified, cold water shrunk and examined. As destinations are not yet determined, price will not include freight. Shipping, by the most economical means, will be on a F.O.B. destination basis with the freight charges documented and appearing separately on the invoice. Contractor assumes full responsibility for safe and proper delivery of goods to destination.

4 GROUP UNIFORM CLOTH (NYS Police) AWARD PAGE 4 REQUEST FOR CHANGE: Any request by the agency or contractor regarding changes in any part of the contract must be made in writing to the Office of General Services, Procurement Services Group, prior to effectuation. CONTRACT PAYMENTS: Payments cannot be processed by State facilities until the contract products have been delivered in satisfactory condition or services have been satisfactorily performed. Payment will be based on any invoice used in the supplier's normal course of business. However, such invoice must contain sufficient data including but not limited to contract number, description of product or service, quantity, unit and price per unit as well as federal identification number. State facilities are required to forward properly completed vouchers to the Office of the State Comptroller for audit and payment. All facilities are urged to process every completed voucher expeditiously giving particular attention to those involving cash discounts for prompt payment. If the contract terms indicate political subdivisions and others authorized by law are allowed to participate, those entities are required to make payments directly to the contractor. Prior to processing such payment, the contractor may be required to complete the ordering non-state agency's own voucher form. ELECTRONIC PAYMENTS: The Office of the State Comptroller (OSC) offers an "electronic payment" option in lieu of issuing checks. Contact OSC to obtain an information packet at or to epunit@osc.state.ny.us or visit their website at NOTE TO CONTRACTOR: In the event a specified manufacturer's product listed in the Contract Award Notification becomes unavailable or cannot be supplied to the State by the contractor for any reason (except as provided for in the Savings/Force Majeure clause in Appendix B, OGS General Specifications), a product deemed by the Office of General Services to be equal to or better than the specified product must be substituted by the contractor at no additional cost or expense to the State. OVERLAPPING CONTRACT ITEMS: Products available in this contract may also be available from other State contracts. Agencies should select the most cost effective procurement alternative that meets their program requirements and maintain a procurement record documenting the basis for this selection. PSG's PROTEST POLICY: It is the policy of the Office of General Services Procurement Services Group (PSG) to provide vendors with an opportunity to administratively resolve complaints or inquiries related to PSG bid solicitations or contract awards. PSG encourages vendors to seek resolution of complaints through consultation with PSG staff. All such matters will be accorded impartial and timely consideration. Interested parties may also file formal written protests. SCOPE: This contract describes uniform cloth for shirts and winter coats to be supplied to the NYS Police only. MINIMUM ORDER: Minimum order is 5,000 yds. per Item. DELIVERY: Delivery is expressed in number of calendar days required to make delivery after receipt of a purchase order..

See "Estimated/Specific Quantity Contracts" in Appendix B, OGS General Specifications. CONTRACT PERIOD AND RENEWALS: The State may unilaterally cancel the contract on a monthly basis any time after the initial twelve (12) months by providing written notification at least one (1) month prior to the effective date of cancellation. The minimum term of the contract shall be as stated on the Invitation for Bids. This provision does not affect the State's right of suspension or cancellation contained in the "Suspension of Work" and "Cancellation" clauses in Appendix B, OGS General Specifications. Prices are firm for the entire period of the contract. Price escalation will not be allowed and is specifically excluded from the terms and conditions of the contract award. Price decreases or discount increases are permitted at any time. If mutually agreed between the Procurement Services Group and the contractor, the contract may be renewed under the same terms and conditions for additional period(s) of up to thirty-six (36) months. PACKAGE PUT UP: Cloth shall be put in unfolded or open rolls in one continuous piece of 50 yards or over. Rolls shall be securely wrapped with heavy kraft paper and sealed with gummed tape. Each roll or package must have a tag on the outside end marked with style, piece number, number of continuous yards contained therein, and New York State Contract Number. PRE-PRODUCTION SAMPLE: Upon request, the awardee shall submit a pre-production sample (1 Linear yard) of the actual fabric for both construction AND color approval by the using agency BEFORE subsequent production and shipment. The samples(s) shall be supplied at the bidder's expense. The successful bidder's sample(s) shall be retained for the duration of the contract, or at the discretion of the State of New York. The samples shall be labeled, and the package labeled, with the Commodity Group Number, IFB Number, Item Number, and Bid Date. IDENTIFICATION: Fabric shall be stamped on the back with New York State Kaumograph. FINISH: Shall be clear. Color Standard The fabric color shall have the following L, a, b values using the Hunter Lab System: L: a: 0.85 b: The Delta E Value (color difference) of the pre-production sample VS. The above color standard shall not be greater than 3.25 as determined by the Procurement Services Group.
