1 Garden Banks Gas Pipeline, LLC Original Sheet No. 245 PARKING AND LENDING SERVICE AGREEMENT SERVICE UNDER RATE SCHEDULE PAL CONTRACT NO. THIS AGREEMENT is made effective as of the day of,, by and between: GARDEN BANKS GAS PIPELINE, LLC (hereinafter called "Transporter"), (hereinafter called "Shipper"). and Shipper represents and warrants that Shipper conforms to the requirements of 18 C.F.R. Section (284B - Intrastate Pipelines or Local Distribution Companies) Section (284G - Others) In consideration of the mutual covenants and agreements as herein set forth, both Transporter and Shipper covenant and agree as follows: ARTICLE 1 QUANTITIES AND POINTS OF SERVICE Subject to the provisions of this Agreement, Transporter shall park, and/or receive a loan of, gas hereunder up to, as applicable, the Maximum Parked Quantity, which is Dth of gas, or the Maximum Loaned Quantity, which is Dth of gas, for the account of Shipper at the pooling point contemplated in Section 39 of the General Terms and Conditions of Transporter's Gas Tariff. At no time shall Shipper's quantity of parked or loaned gas hereunder exceed this maximum agreed upon quantity. ARTICLE 2 - TERM This Agreement shall be effective from the date first stated above. 2 Garden Banks Gas Pipeline, LLC Original Sheet No. 246 ARTICLE 3 - RATES AND CHARGES For the services provided or contracted for hereunder, Shipper agrees to pay Transporter the then-effective, applicable maximum rates and charges under Transporter's Rate Schedule PAL filed with the Commission, as such rates and charges and Rate Schedule PAL may hereafter be modified, supplemented, superseded, or replaced generally or as to the service hereunder. Transporter reserves the right from time to time to unilaterally file and to make effective any such changes in the terms or rate levels under Rate Schedule PAL and the applicability thereof, the General Terms and Conditions or any other provisions of Transporter's Tariff, subject to the applicable provisions of the Natural Gas Act and the Commission's Regulations thereunder. From time to time, Shipper and Transporter may agree in writing on a level of discount of the otherwise applicable maximum rates and charges hereunder pursuant to the effective applicable provisions of Rate Schedule PAL and subject to the regulations and orders of the Commission. Any discount shall be effective and as specified on Exhibit A-1 hereto. If Shipper subsequently requests and receives a discounted rate, an additional exhibit (designated sequentially as Exhibit A-2, A-3, etc.) shall be added to this Agreement for each discounted rate. ARTICLE 4 - GENERAL TERMS AND CONDITIONS This Agreement and all terms for service hereunder are subject to the further provisions of Rate Schedule PAL and the General Terms and Conditions of Transporter s Tariff, as such may be modified supplemented, superseded or replaced generally or as to the service hereunder. Transporter reserves the right from time to time to unilaterally file and to make effective any such changes in the provisions of Rate Schedule PAL and the General Terms and Conditions, subject to the applicable provisions of the Natural Gas Act and the Commission's regulations thereunder. Such Rate Schedule and General Terms and Conditions, as may be changed from time to time, are by this reference incorporated in their entirety into this Agreement and made an integral part hereof.
