1 WSWA 76th Annual Convention & Exposition Grande Lakes Orlando, Florida - March 31 st - April 3, 2019 PRODUCT HANDLING AGREEMENT AND CHECKLIST BREAKTHRU BEVERAGE GROUP MUST RECEIVE ALL PAPERWORK, PAYMENT AND PRODUCT BY FRIDAY, MARCH 15, Breakthru can only deliver consumable product to the venue dock and cannot be held responsible for delivery to exhibitor locations. Suppliers must make arrangements with show services for any refrigerated storage requirements, for delivery to the exhibitor booth locations, and for all POS and/or display materials shipments. Any related questions should be directed to Kuhne + Nagel. o Supplier will send product to Breakthru Beverage after paperwork and payment has been submitted. Product must be received by Breakthru Beverage by Friday, March 15th, 2019 to guarantee delivery to the WSWA Convention & Exposition at the Grande Lakes Orlando. Supplier is responsible for all unused product at the close of the show; Breakthru Beverage will not be responsible for picking-up, handling, shipping or returning unused product. MANDATORY PAPERWORK TO BE SUBMITTED TO BREAKTHRU PRIOR TO RECEIPT OF PRODUCT: General Release of Liability included in Exhibitor Service Manual. Supplier tax information sheet and the completed alcohol beverage list, indicating all products shipped to Breakthru for the WSWA Convention Exposition. This is included in in the Exhibitor Service Manual. Completed and signed Product Handling Agreement and Checklist. Payment for shipping & handling fees and for Florida Excise Taxes. 1

2 BILLING INFORMATION: Supplier will be invoiced $25 per case for handling and delivery in addition to all state taxes. Payment must be made payable to Breakthru Beverage Group by check or certified check in US Dollars. WE DO NOT ACCEPT CREDIT CARDS or WIRES for payment of taxes and fees. Payment must be received by Breakthru Beverage Group prior to receiving product. SHIPPING INFORMATION: All products must be received by Friday, March 15th, Delivery by Breakthru Beverage Group to the WSWA Convention & Exposition can NOT be guaranteed on ANY product received after March 15, No refunds will be given to the supplier for handling or delivery fees. COD or damaged goods will NOT be accepted. Only full cases will be accepted for delivery. Product must be palletized and shrink-wrapped. All cases must be tagged with the appropriate labels by location with the appropriate WSWA destination label which can be found in the Exhibitor Service Manual, or downloaded from If UPS or FedEx does not allow pre-labeling, supplier must include completed labels under separate cover with shipment. 5 Shipper is responsible for the payment of any applicable federal, state or local taxes, fees or assessments on the described wine or liquor. Shipper shall cooperate with Breakthru Beverage Group to assure that all federal, state and local laws and regulations are complied with, all necessary government forms are filed, and all applicable government taxes, fees or assessments are paid. Breakthru Beverage Group shall take commercially reasonable measures to deliver the described wine or liquor to the destination in the same condition in which the goods were received by BREAKTHRU BEVERAGE GROUP, and in a timely manner. BREAKTHRU BEVERAGE GROUP GIVES NO WARRANTY, EXPRESS OR IMPLIED, AS TO THE DESCRIPTION, CONDITION, QUALITY, AUTHENTICITY, MERCHANTABILITY, FITNESS FOR ANY PARTICULAR PURPOSE, OR OTHER MATTER REGARDING THE GOODS TO BE DELIVERED. BREAKTHRU BEVERAGE GROUP SHALL NOT BE LIABLE FOR: (1) any failures, neglects, or defaults of others in the distribution stream; (2) any Acts of God or acts of government or regulatory authorities that prevent, hinder or delay delivery; or (3) any consequential, or punitive or exemplary damages. THE LIABILITY OF BREAKTHRU BEVERAGE GROUP SHALL BE LIMITED to the greater of: (1) reimbursement of fees paid to BREAKTHRU BEVERAGE for delivery of the described wine or liquor, or (2) the declared value of the described wine or liquor. For good and valuable consideration, the receipt of which is hereby acknowledged, Shipper and its agents waives any and all claims, claims for relief, rights, demands and causes of action and remedies against BREAKTHRU BEVERAGE GROUP except those that are specifically allowed herein.
