8 Terms & Conditions It is agreed that Wilson &Gilkes Pty Lid ACN ( W & G ) shall only supply goods and/or undertake installation if agreed on the following terms and conditions, unless W & G agree in writing to vary the terms and conditions. 1. Payment 1.1 If you are a non-account customer then payment must be made three (3) days prior to the goods leaving W & G S premises if it is a supply only order. For installation, the account is to be paid within the following manner; i) 50% of the installation costs on delivery to site; ii) the balance within 7 days of installation being completed. 1.2 If you are an account customer then the account must be paid within thirty (30) days of delivery to you either on site or to where you direct in writing if it is supply only. If the agreement is for installation then the balance of the account less the amount for supply is to be paid within the following manner; i) 50% of the installation costs on delivery to site; ii) the balance within 7 days of installation being completed. 1.3 Should you fail to pay your invoices by the due date then: a) we may charge interest on any overdue invoice at the rate of 12 % p.a calculated on daily rests, until the invoice is paid in full; b) you shall pay all of costs and expenses (including legal costs determined as between solicitor/client and mercantile agents fees) which may be incurred in the recovery or attempted recovery of the overdue amounts from you. 2. Prices and Delivery 2.1 Our prices are subject to change without notice and are exclusive of GST. 2.2 You will be invoiced for goods at prices current at the date of despatch. 2.3 All GST on the goods is payable by you. 2.4 Whilst we shall use all reasonable endeavours to comply with your particular delivery requirements and order specifications, you will not be entitled to cancel the whole or part of your order or to claim compensation by reason of our failure to comply with your delivery requirements or minor variations to the goods as a result of changes to the manufacturing processes or specifications. 2.5 The quoted price may vary as a result of site conditions or delay in the Customer taking delivery or, to have the site available for delivery. 2.6 Delivery costs are not included. W&G reserves the right to charge freight and delivery costs 2.7 All deliveries are to a loading dock or ground floor access door 3. Reservation of Title 3.1 You acknowledge that the ownership of goods delivered by us to you ( the goods ) is only transferred to you when you have paid all sums owing to us on any account whatsoever and until such time we have the right to call for or recover the goods at our option (for which purposes our employees or agents may enter your premises) and you are obliged to deliver up the goods if so directed by us. 3.2 You agree to keep the goods in a fiduciary capacity for us until such time as ownership is transferred to you. 4. Risk 4.1 Notwithstanding the provisions of Clause 3 you accept all risk of loss and damage to the goods, whether caused by you or not following deliver of the goods to your site or as directed in writing. 9 Terms & Conditions 5. Modifications to Labels 5.1 You may not, without our written consent, alter remove or obliterate any labels, which we attach to the goods. 6. Limitation of Liability 6.1 We exclude all statutory or implied conditions and warranties to the extent permitted by law. 6.2 To the extent permitted by law, we limit our liability under any condition or warranty which cannot legally be excluded to: a) the replacement of the goods or the supply or equivalent goods. b) the repair of the goods; (c) the payment of the costs of replacing the goods or of acquiring equivalent goods; or (d) the payment of the costs of having the goods repaired. 7. Governing Law 7.1 The laws of the State of New South Wales govern our trading. 7.2 You agree with us to submit to the non-exclusive jurisdiction of the Courts of New South Wales and the Federal Court of Australia and agree that any legal proceedings may be heard in those Courts. 8. Claims 8.1 Any claims by you for short delivery must be made within seven (7) days of delivery. 8.2 Any other claims for adjustment to any invoice for any reason whatsoever must be made in writing within 30 days of delivery March
