INSTRUCTIONS TO TENDERERS 1.1 INTRODUCTION The is for the supply of Potassium Permanganate, Chlorine Gas, Liquid Aluminum Sulphate, and Hydrofluosilicic Acid, Sodium Nitrate, polymer, Superfloc C-496, and Sodium Hydroxide solution for use in the treatment of potable water. 2. GENERAL TERMS The Tenderer must complete the Form of Tender and sign the Agreement as supplied by the City of Weyburn, hereafter referred to as the City. a) All price quotations shall be in Canadian Dollars. b) All price quotations shall be in metric units. c) Quantities specified are estimated; requirements may vary. There shall be no price adjustments for any decrease in quantities ordered by the. d) The City reserves the right to accept a Tender in whole or in part deemed most favorable in the interests of the City. e) This project is subject to budget constraints, the City reserves the unqualified right to modify (add/delete), suspend, or terminate at its sole discretion any and all aspects of the Tender and/or Tender process, to reject any or all proposals, and to modify, postpone, or cancel the tender without liability, obligation, or commitment to any party, firm, or organization. f) The lowest or any Tender prices may not necessarily be accepted. g) The City reserves the right to waive any defect or deficiency in a Tender which does not materially affect the Tender or the Tender Price. h) The City reserves the right to accept an alternative Tender. i) The term of the supply contract shall be from January 1, 2019 to December 31, j) The City at its discretion may extend the supply contract for up to 90 days. k) The successful Tenderer shall comply with the proposed starting date(s) and completion date(s) in the Form of Tender. l) The successful Tenderer shall supply all materials, tools, labour and equipment required for the completion of the Contract as per the specifications. 1

4 m) The Contractor shall be responsible for the integrity of materials, e.g. providing heating and insulating during transporting. n) The successful Tenderer shall carry out all work in accordance to Occupational Health and Safety Standards, Workers Compensation Board Standard, Federal Regulations, Provincial Regulations and City Regulations. o) Where specifications appear unclear, the Tenderer shall consult with the City for clarifications. No oral representation or interpretation from the owner or any representative of the owner will affect, alter or amend any provisions of the contract document. p) The City will order chemicals from the successful Tenderer on an as required basis and provide the lead times as required as indicated by the Tenderer in the Form of Tender. q) In the event that the Contractor wishes to terminate this Agreement prior to the completion of the Services, the Contractor will be required to provide 90 days written notice to the City. r) Contractor shall provide proof of all insurance required for the work prior to execution of the contractor 1.1 CONDITIONS Quality and Covenants of Contractor Contractor hereby covenants to the City as follows with respect to the performance of the Services: 1. A BRAND NAME must be indicated, along with the country of origin for the manufacture of the product and its components. The Tenderer shall provide product technical data sheets along with the MSDS. 2. The supplier shall provide date of manufacture and the shelf life of each product. 3. Each shipment shall be identified as to product, grade, net weight, name, and address of manufacturer or supplier. 4. All products must be approved for potable water service under NSF/ANSI 60 and meet all the requirements of the most recent applicable AWWA specification. 5. The suppliers shall provide product technical data sheet along with MSDS Testing 1. The City reserves the right to conduct quality assurance testing by an accredited lab on any and all products and individual shipments. The City in its sole discretion shall select 2

5 the lab for the testing. 2. The City shall have the right to reject any delivery within 10 days of receiving the chemical analyses from the testing lab. 3. Any delivery that fails to meet specifications as determined by the may be rejected at the sole discretion of the. The supplier will be responsible for the cost of returning the rejected product to the supplier and shall immediately replace the rejected material with material that meets the specifications and requirements of the. 4. Should the determine from testing that a substandard material has been delivered, the, in its sole discretion, may select to utilize the sub-standard material. The supplier shall provide to the a price adjustment that reflects the impact of the diminished quality of the product on the operations of the City of Weyburn. This price adjustment shall include, but not be limited to the following considerations: increased product use to achieve the treatment required, additional handling costs, additional plant operational costs (electricity) and administration costs. If there is no agreement between the and the supplier on the price adjustment, the product shall be rejected and Clause shall apply Delivery 1. The City may reject any shipment with missing or damaged seals or any shipment that has damaged packaging that in the sole discretion of the may indicate the product may have been tampered with; and Clause shall apply. 2. All pallets and packaging shall be in good condition. Cracked or broken pallets/packaging that will interfere with the safe unloading and handling of the product by the City of Weyburn may be rejected at the sole discretion of the and Clause shall apply. 3. Sodium Hydroxide must be delivered in a temperature controlled container. Failure to provide verification that the product has been kept above a temperature of 15 o C will result in immediate rejection and Clause shall apply. 4. The supplier shall clearly indicate in the Tender Form the amount of lead time required for an order to be placed prior to delivery to the Water Treatment Plant. 5. Product shall be delivered in the unit packaging sizes as indicated in the Form of Tender under the Item description. 6. The Contractor will contact the Water Treatment Plant 24 hours prior to the delivery of an order to schedule the time of the delivery. 3

Should the Tenderer fail to deliver the requested product within the lead time as shown on the Form of Tender as filled out by the Tenderer, the shall have the right under its sole discretion to order a similar product from another supplier. The Tenderer shall be responsible for any additional charges that may be incurred by the City of Weyburn in this regard. 8. Liquidated liability will apply at 25% of the total cost of chemical if tenderer/supplier fails to deliver chemical on mutually agreed day/time Pricing 1. All bid prices will be accepted on a per item basis. 2. All bid prices are to exclude G.S.T. and P.S.T. These taxes are to be shown separately when invoicing. 3. All prices are to include freight for the product delivered to the Water Treatment Plant located at th Street NE, Weyburn, SK. 4. All bid prices must be fixed for the duration of the supply contract. 5. If, during the year, additional orders are placed over the quantities listed on the tender, the same bid prices shall apply as quoted on this tender. Should product prices decrease the supplier shall provide a corresponding decrease in the price charged to the City of Weyburn. 6. All pricing should be inclusive of freight charges. Freight charges shall be exclusive of any fuel surcharge. The will pay fuel surcharges in accordance with the rates set by the Freight Carriers Association of Canada and as adjusted weekly, based on their Canadian Domestic Fuel Calculation. 7. The supplier shall clearly indicate whether or not container deposits are required and the amount of each container deposit. This information shall be provided on a separate form, prepared by the supplier. 8. The successful Tenderer shall indemnify and save the City harmless from any and all claims which may arise from its operations under the agreement where bodily injury, death, or property damage is caused and for this purpose shall without restricting the generality of the foregoing, maintain insurance acceptable to the City. 9. The Tenderer shall provide a written policy for price adjustments to the prices bid to reflect savings or additional costs to the through the term of this contract. 4

7 3. Cancellation by The may cancel this Contract, without cause, upon written notice to the Contractor to that effect. If the cancels this Contract, the following provisions apply: a) Upon the date of the giving of such notice of cancellation or such other date of cancellation indicated in the notice of cancellation, the Contractor shall stop the performance of the Work to the extent directed in the notice of cancellation; b) The Contractor shall use its best efforts to minimize all costs incurred by the Contractor and all Subcontractors as a result of cancellation of the Work. 4. 9 4.0 AGREEMENT I/We,, hereinafter called the Contractor, having carefully read the contract documents, examined the conditions, hereby agree to execute and complete the supply as per the specifications contained herein, at the prices contained herein, within the timelines contained herein. The Contractor shall provide a breakdown of applicable taxes when invoicing the City for work completed or product supplied. Any dispute arising out of the acceptance of this tender shall be decided by the Director of Engineering, the City Manager, or City Council, in that order, and the Contractor hereby agrees to these arrangements.
