Further, J&J Exhibitors Service requires that you provide a credit card authorization with your initial order. For your convenience, we will use this authorization to charge your account for services, which may include labor, material handling, or any applicable charges. Should there be any pre-approved unpaid balance after the close of the show; terms will be net, due and payable in Chicago, Illinois upon receipt of invoice. Effective 30 days after invoice date, any unpaid balance will bear a finance charge at the lesser of the maximum rate allowed by applicable law, or 1.5% per month, which is an annual percentage of 18%, and future orders will be on a prepaid basis only. If any finance charge hereunder exceeds the maximum rate allowed by applicable law, the finance charge shall automatically be reduced to the maximum rate allowed, and any excess finance charge received by J&J Exhibitors Service shall be either applied to reduce the principal unpaid balance or refunded to the payer. If past due invoices or invoice balances are placed with a collection agency or attorney for collection or suit, exhibitor agrees to pay all legal and collection costs. These payment terms and conditions shall be governed by and construed in accordance with the laws of the State of Illinois. In the event of any dispute between the exhibitor and J&J Exhibitors Service relative to any loss, damage, or claim, such exhibitor shall not be entitled to and shall not withhold payment, or any partial payment, due to J&J Exhibitors Service for its services, as an offset against the amount of any alleged loss or damage. Any claims against J&J Exhibitors Service shall be considered a separate transaction, and shall be resolved on its own merits. Discount Prices: To qualify for discount pricing, orders must be received with payment on or before the discount price deadline(s). Orders received without advance payment or after the deadline date will incur additional charges as indicated on each order form. Method of Payment: J&J Exhibitors Service accepts American Express, MasterCard, Visa, check and bank wire transfer. Purchase orders are not considered payment. All payments must be made in U.S. funds drawn on a U.S. Bank. Exhibitors will be charged a $50.00 fee for returned NSF checks and at $25.00 fee for all declined credit cards. If exhibitor provides a credit card for payment and charges are rejected by the exhibitor s credit card company for any reason, J&J Exhibitors Service hereby provides notice that it reserves the right, and exhibitor authorizes J&J Exhibitors Service, to continue to attempt to secure payment through that credit card for as long as unpaid balances remain on the exhibitor s account. J&J Exhibitors Service will charge a convenience fee for each request to reprocess payment to an alternate credit card in order to cover incremental processing costs. An alternate credit card is a credit card different than the one used to process your initial payment in accordance with J&J Exhibitors Service payment policy. The convenience fee will be quoted at the time your request is made to reprocess payment. The convenience fee will be added to your account balance and settled utilizing the new credit card provided. J&J Exhibitors Service reserves the right to charge the exhibitor for the difference between the exhibitor s estimate of charges and the actual charges incurred by the exhibitor, or for any charges that J&J Exhibitors Service may be obligated to pay on behalf of exhibitor, including and without limitation, any shipping charges. Third Party Billing: Each exhibiting firm is ultimately responsible for all charges incurred on its behalf. J&J Exhibitors Service reserves the right to institute collection action against the exhibitor if the authorized third party does not pay. See Third Party Billing Request form. Tax Exempt: If you are tax exempt in the state in which you will be exhibiting, you must provide a Sales Tax Exemption Certificate for that state. Please send the above information to the J&J Exhibitors Service office. Taxes vary by location and will be added to your invoice if you do not submit your tax exempt certificate with your initial order. Adjustments and Cancellations: It is the exhibitor s responsibility to advise the J&J Exhibitors Service Customer Service Center Representative of problems with any orders, and to check the exhibitor s invoice for accuracy prior to the close of the event. No adjustments to invoices will be made after the close of the show. Please refer to the individual forms for labor and furnishings for cancellation fees. All orders canceled by the exhibitor or due to the cancellation of an event or their non-participation may be subject to cancellation fees equal to 50% - 100% of the total order, based upon the status of move-in, work performed and/or J&J Exhibitors Service set-up costs or expenses. A minimum non-refundable deposit of $25.00 will be applied towards the invoice, unless there is a cancellation of your order. 7

J&J will agree to this arrangement if the third party has a satisfactory payment record with J&J and a credit card on file. If your company plans to use a firm which is not the official service contractor as designated by Show Management, this form must be completed and returned to J&J Exhibitors Service, Inc. Inform your Exhibitor Appointed Contractor (EAC) that they MUST send a copy of their General Liability Insurance Certificate no later than 30 days prior to the first day of exhibitor move-in or they will not be permitted to service your exhibit. This Certificate of Insurance must name J&J Exhibitors Service, Inc. as an additional insured. It is the responsibility of the exhibitor to see that each representative of an Exhibitor Appointed Contractor abides by the official rules and regulations of this event. This form MUST be received 30 DAYS PRIOR TO THE FIRST DAY OF EXHIBITOR MOVE-IN. J&J Exhibitors Service, Inc. is a full service general contractor for trade shows, conventions and corporate events. We handle all aspects of an event including floor plan design, trade show decorating, custom design structures, graphic design services & production, custom carpet & furniture rental, staging, equipment rental, material handling services and more. J&J Exhibitors Service is a family owned and operated, certified Women s Business Enterprise (WBE) and we thank you for your support. How do I order equipment or services for a show? There are two ways you may place an order for an upcoming show. You may order equipment and services using our online ordering portal. You may also print the required forms and mail or fax them with payment to J&J Exhibitors Service, Inc. What is an Exhibitor Service Manual? An Exhibitor Service Manual is an event specific document which includes all show information you may need such as show hours, show colors, exhibitor move-in and move-out times, as well as policies and procedures of the facility. In addition, many other services are offered, such as material handling services, additional furniture, carpet and accessories for your booth, custom signs and banners, installation and dismantle labor, and much more. In most circumstances, you will also find forms to order electrical, internet and other utilities directly from the facility. Please keep this manual with you during the show and always have a copy of your order when you re at show site. What is an Exhibitor Appointed Contractor (EAC)? If for any reason you do not use the services of J&J Exhibitors Service, Inc. and hire a Non-Official Contractor, the Exhibitor Appointed Contractor (EAC) form must be filled out, and a certificate of insurance must be forwarded to J&J Exhibitors Service, Inc. within thirty (30) days of your scheduled move-in date. PAYMENT When do Discount Rates and Standard Rates apply? Discount rates apply to all furnishings and services orderedon or before the Advance Order Deadline date noted in your Exhibitor Service Manual. All furnishings or services ordered after the deadline are charged at the standard rate. Can I pay with a credit card? Yes. J&J Exhibitors Service, Inc. accepts payments made by check, American Express, MasterCard and Visa. A credit card authorization is required for all orders, even if you will be paying by check. Can I fax the order form? Yes, you may fax the Recap of Services Ordered form and the particular order forms to our office at All orders and payments must be received seven (7) days prior to exhibitor move-in to guarantee availability. Since I am not from the state the show is being held in, do I still need to pay tax? Tax is applicable to all exhibitors, regardless of their residence. Are prices of items daily or for the duration of the show? Unless otherwise noted, all rental prices listed are for the duration of the show and include delivery and removal. Do I have to pay in advance for services or can I bring a check to the show? Full payment must be received for services requested before the order will be processed. A credit card authorization is required for all orders, even if you will be paying by check. What if I overestimate freight handling charges or cancel items, and I m due a refund from earlier payment? If you over estimate your freight and a refund is due, the refund will be processed immediately after the close of the show. What is the Third Party Authorization Form used for? Third party Authorization Forms are used when an exhibitor hires another company. FURNISHINGS What does my booth include? Each event is different, but the General Show Information page of the event s Exhibitor Service Manual lists the equipment included in your booth. Can I order at show site? Yes, floor orders are accepted at show site. Remember that payment must be received before any furnishings or services will be rendered. Please also note that choice of items or colors may be limited. 10

All items ordered in advance of the show should be in your booth space at the beginning of exhibitor move-in with the exception of floral, chairs and wastebaskets. These items are not dispersed until close to show time. If other furnishings (carpet, tables and accessories) are not in your booth at the time of your arrival, please visit our Service Desk and the problem will be resolved immediately. What if I get to my booth and decide I do not want an item, do I get a refund? If you have ordered an item or a booth cleaning service such as vacuuming or porter service and later decide you do not want the item or the service, there is a 100% cancellation fee for those items already delivered to the booth space or any cleaning service canceled at show site. A 50% cancellation fee will apply if the item is canceled less than seven days prior to the scheduled move-in date. Please note that cancellation fees for all other service including booth labor vary. Please refer to your Exhibitor Service Manual for cancellation fees of these services. Can I substitute an item that is included in my booth package? We are unable to substitute any of the items that the Association has contracted for your booth. If you need additional items you may use the order forms included in you Exhibitor Service Manual. What are Booth ID Signs? Booth ID signs are 7 X 44 card stock identification signs that typically include your company name and booth number. The Association supplies the company names to us. Do I need to order back drape and side drape for my booth space? Booth space is provided with 8 back and 3 side drape. You only need to order drape if you want to change from the color provided by the Association and such change is authorized by the Association. Can I order flowers or plants? The Exhibitor Service Manual will have a floral order form if floral is being offered at your specific event. If a form is not included, please contact us to discuss further options. How do I order cleaning services? The Exhibitor Service Manual will have a cleaning service order form if cleaning services are being offered at your specific event. If a form is not included, please contact us to discuss further options. CARPET Is carpet included? Each event has different criteria in regards to carpet. Please refer to the General Information page of your Exhibitor Service Manual for more specific information. Do I have to order labor to install the carpet I order? Labor is included in the rental price of the carpet. Can I bring my own carpet? Yes, you may bring your own carpet. Please contact a J&J Exhibitors Service customer service representative to ensure whether labor is required for the installation and removal. What is Visqueen and do I need it? Visqueen is a plastic covering for the carpet to protect it from tire marks or general abuse during set-up. It is not required. GRAPHICS How do I order graphics/signs? Please contact us directly to order any special graphics, banners or signs. Our in-house graphics department can provide many specialty signs including digital print, wide format color graphics, vinyl banners, logo reproduction, and more. What types of graphic substrates are available? J&J Exhibitors Service, Inc. offers a variety of substrates including, but not limited to: cardstock, foamcore, coroplast, sintra and banner material. Please contact us to discuss your specific requirements. How do I send a logo or graphic? Acceptable file formats for logos are: *.AI, *.eps, *.psd, or high resolution pdf s. If *.jpg, *tif, *.gif or *.bmp are the only formats available, please understand that these may not print at high resolution. Graphics may be sent via , cd, dvd or your ftp site. Please contact us with any concerns. LABOR Do I need to order labor for my booth? Labor rules vary by city. Please review the Exhibitor Service Manual or contact a J&J Exhibitors Service customer service representative. What are the differences/advantages in J&J Exhibitors Service or Exhibitor Supervised Labor? Exhibitor Supervised Labor allows the exhibitor to supervise the labor of their booth, but you must be present. With our supervision, we provide a foreman to supervise the labor of the booth. It will be done at J&J Exhibitors Service s convenience but finished prior to scheduled show time. 11

If you ordered labor, the labor men must be checked out at the Service Desk at the scheduled time. If you are late, penalties do apply to ensure the starting and stopping times. Can J&J Exhibitors Service set up my booth at other trade shows I participate in? Yes, we would be happy to help. Please talk to a J&J Exhibitors Service representative for details. UTILITIES How do I get an electrical service? The order form for electrical service is included in your Exhibitor Service Manual and should be sent directly to the provider. How do I get telephone/internet/wifi service? These utilities are typically handled by the facility where the show is located. You should find a form in the Exhibitor Service Manual, which should be sent directly to the facility. DRAYAGE/MATERIAL HANDLING What is Drayage/Material Handling? Drayage/Material Handling is the delivery of exhibit materials from the loading dock to your assigned booth space, removing and storing empty crates or boxes, returning crates or boxes at the end of the show for re-packing, and delivering materials back to the loading dock for carrier pick up. There is a charge for drayage/material handling that is incurred by shipping to our advance warehouse or directly to the facility. Please see the Exhibitor Service Manual for rates. What is a CWT? Calculating material handling charges. A CWT is a unit of measure equaling 100 lbs and rounded up to the next hundred pounds. Example 2,500 lbs=25cwts. In most cases, J&J Exhibitors Service, Inc. charges a minimum of 200 lbs for material handling. The rates for advance or direct drayage/material handling services can be found in your Exhibitor Service Manual. Keep in mind all weights are rounded to the next cwt. Other overtime and special handling charges may apply depending on the show dates and delivery methods. What is Advanced Shipping? Advanced shipping is any shipment that is sent to the J&J Exhibitors Service, Inc. designated warehouse in advance of the event. If the freight arrives in our advance warehouse after the advance shipping deadline date, J&J Exhibitors Service, Inc. may impose a late delivery fee and other charges, if applicable. What is Direct Shipping? All exhibit materials must be sent in advance to the J&J Exhibitors Service warehouse. Direct to show site shipments will not be accepted at the JW Marriott Orlando Grande Lakes. The JW Marriott Orlando Grande Lakes does not have the capabilities to receive nor have adequate storage space for exhibitor materials. Any materials shipped to the JW Marriott Orlando Grande Lakes will be consigned to J&J Exhibitors Service and you will be billed the appropriate material handling charges by J&J. Exhibitors may also be billed an additional receiving charge by the JW Marriott Orlando Grande Lakes for any items sent directly to the hotel. What if I miss the advance shipping deadline? If you miss the advance shipping deadline, you have two options. First, you may still ship to the advance warehouse but you will incur late charges and, if applicable, other charges. The other option would be to ship directly to the facility. Please call J&J Exhibitors Service, Inc. for more information concerning late shipments. What is rigging? HANGING MATERIAL: Hanging of any item above the height of eight feet. This could include signs, banners or exhibit materials. This may involve the use of ladders, scissors lift or other machinery. Please note: Any items to be hung above eight feet, must be approved by the Association. Upon written approval by the Association, please contact J&J Exhibitors Service, Inc. to make arrangements for the installation and dismantling of your signage or materials. MACHINERY RIGGING: Moving and spotting of heavy machinery or equipment. This will involve the use of a forklift and additional labor costs and both items must be ordered. Can I hire forklift services? The Exhibitor Service Manual will have a forklift order form if this service is being offered at your specific event. I. Definitions J&J Exhibitors Service is hereinafter referred to as J&J Exhibitors Service and/or J&J Motor Service and their employees; Agents: J&J Exhibitors Service s agents, sub-contractors, carriers, and the agents of each; Customer: Exhibitor or other party requesting Services from J&J Exhibitors Service; Goods: Exhibits, property, and commodities of any type for which J&J Exhibitors Service is requested to perform Services; Carrier: Motor carrier, van line, air carrier, or air or surface freight forwarder; Shipper: Party who tenders Goods to Carrier for transportation; Cold Storage: Holding of Goods in a climate controlled area; Accessible Storage: Holding of Goods in an area from which Goods may be removed during shows; Services: Warehousing, transportation, drayage, un-supervised labor, supervised labor and/or related services; Show Site: The venue or place where an exposition or event takes place; Supervised Labor (OK To Proceed): Union labor that is provided to a Customer to install or dismantle a booth or exhibit space, and is supervised and/or directed by J&J Exhibitors Service; Un-Supervised Labor (Do Not Proceed): Union labor that is provided to a Customer to install or dismantle a booth or exhibit space and pursuant to Customer s election is not supervised and/or directed by J&J Exhibitors Service. Customer assumes the responsibility and any liability arising therefrom, for the work of union labor when Customer elects to use un-supervised labor. II. Scope These Terms and Conditions shall be binding upon Customer, J&J Exhibitors Service, and their respective Agents and representatives, including but not limited to Customer contracted labor such as Customer Appointed Contractors and Installation and Dismantle Companies, and any other party with an interest in the Goods. Each shall have the benefit of and be bound by all provisions stated herein, including but not limited to time limits and limitations of liability. III. CustomerObligations a. Payment for services. Customer shall be liable for all unpaid charges for services performed by J&J Exhibitors Service or Agents. Customer authorizes J&J Exhibitors Service to charge its credit card directly for services rendered on Customer s behalf after departure, by placing an order on-line, via fax, phone or through a work order on site. b. Credit Terms. All charges are due before Services are performed unless other arrangements have been made in advance. J&J Exhibitors Service has the right to require prepayment or guarantee of the charges at the time of request for Services. A failure to pay timely will result in Customer having to pay in cash in advance for future services. J&J Exhibitors Service retains its right to hold Customer Goods for non-payment. If a credit card is provided to J&J Exhibitors Service, J&J Exhibitors Service is authorized to bill to such credit card any unpaid charges for services provided to Customer, including charges for return shipping. Any charges not paid within 30 days of delivery will be subject to interest at 1 ½% per month until paid. IV. Mutual Obligation Indemnification a. Customer to J&J Exhibitors Service: Customer shall defend, hold harmless and indemnify J&J Exhibitors Service from and against any claims, lawsuits, demands, liability, costs and expenses, including reasonable attorney s fees and court costs, resulting from any injury to or death of persons, or damage to property other than Goods, relating to or arising from performance of Services herein. Customer agrees to indemnify and hold J&J Exhibitors Service harmless for any and all acts of its representatives and agents, including but not limited to Customer Appointed Contractors and Installation and Dismantle Companies, any subtenant or other user of its space or any agents or employees engaged in business on behalf of Customer or present at Customer s invitation, including supervision of labor secured through J&J Exhibitors Service. Customer s obligations under this provision shall not apply to J&J Exhibitors Service s own negligence and/or willful misconduct. Customer acknowledges that the show site is an active work zone and customer, its agents, employees and representatives are present at their own risk. b. J&J Exhibitors Service to Customer: To the extent of J&J Exhibitors Service s own negligence and/or willful misconduct, and subject to the limitations of liability below, J&J Exhibitors Service shall defend, hold harmless and indemnify Customer from and against any claims, lawsuits, demands, liability, costs and expenses, including reasonable attorney s fees and court costs, resulting from any injury to or death of persons, or damage to property other than Goods. J&J Exhibitors Service s obligations under this provision shall not apply to claims for bodily injury arising a) from Customer s presence in areas which have been marked as off limits to exhibitors ; and b) when exhibitors are present in the facility prior or subsequent to the effective dates or hours of Exhibitor s space lease with show management. V. Disclaimer and Limitation of Liability Under no circumstances will any party be liable for special, incidental, consequential indirect or punitive damages, including but not limited to loss of profits or income. J&J Exhibitors Service shall be liable, subject to the limitations contained herein, for loss or damage to goods only if such loss or damage is caused by the direct negligence or willful misconduct of J&J Exhibitors Service. Claims presented for loss or damage arising out of incidents referenced in section VI herein will be denied. VI. No Liability for Loss or Damage to Goods a. Condition of Goods: J&J Exhibitors Service shall not be liable for damage, loss, or delay to uncrated freight, freight improperly packed, glass breakage or concealed damage. J&J Exhibitors Service shall not be liable for ordinary wear and tear in handling of Goods or for damage to shrink wrapped Goods. All Goods shall be able to withstand handling by heavy equipment, including but not limited to forklifts, cranes, or dollies. It is the Customer s responsibility to ensure that Goods are packaged correctly prior to shipment or movement on or off the Show floor. b. Receipt of Goods: J&J Exhibitors Service shall not be liable for Goods received without receipts, freight bills, or specified piece count on receipts or freight bills, or for bulk shipments (i.e., UPS, air freight, or van lines). Such Goods shall be delivered to booth without the guarantee of piece count or condition. c. Force Majeure: J&J Exhibitors Service shall not be liable for loss or damage that results from Acts of God, weather conditions, act or default of Customer, shipper, or the owner of the Goods, inherent nature of the Goods, public enemy, public authority, labor disputes, and acts of terrorism or war. d. Cold Storage. Goods requiring cold storage are stored at Customer s own risk. J&J Exhibitors Service assumes no liability or responsibility for Cold Storage. d. Accessible Storage: J&J Exhibitors Service assumes no liability for loss or damage to Goods while in Accessible Storage. Storage charges are for the use of space and are not a form of insurance, or a guarantee of security. f. Unattended Goods: J&J Exhibitors Service assumes no liability for loss or damage to unattended Goods received at Show Site at any time from the point of receipt of inbound Goods until the loading of the outbound Goods, including the entire term of the respective show or exhibition. Customer is responsible for insuring its own Goods for any and all risk of loss. g. Empty Storage: J&J Exhibitors Service assumes no liability for loss or damage to Goods or crates, or the contents therein, while containers are in Empty 13

It is Customer s sole responsibility to affix the appropriate labels available at J&J Exhibitors Service Customer Service Center for empty container storage, and ensures that any preexisting empty labels are removed. h. Forced Freight: J&J Exhibitors Service is not liable for Customer Goods left on the show floor after the show closing deadline, with or without a Material Handling Services/Straight Bill of Lading signed by Customer. It is Customer s responsibility to complete accurate paperwork for shipping and to ensure Customer Goods are properly labeled. If Customer Goods remain on the floor after the show closing deadline, J&J Exhibitors Service has the right to remove the Customer Goods. J&J Exhibitors Service is authorized by Customer to proceed in the manner chosen by Customer on the Order of Material Handling Services/ Straight Bill of Lading, if one has been completed, or otherwise to ship Customer Goods at the discretion of J&J Exhibitors Service and at Customer s expense. J&J Exhibitors Service shall incur no liability for such shipment. J&J Exhibitors Service retains the right to dispose of Customer Goods without liability if left on the show floor unattended, without labels or not correctly labeled. i. Concealed Damage: J&J Exhibitors Service shall not be liable for concealed loss or damage including but not limited to; glass, electronic equipment, prototypes, original art, uncrated Goods, or improperly packaged or labeled Goods. j. Unattended Booth: J&J Exhibitors Service shall not be liable for any loss or damage occurring while the Goods are unattended in Customer s booth at any time, including, but not limited to, the time the Goods are delivered to the dock until the time the Goods are received by Customer s chosen carrier. All Material Handling Forms and/or Straight Bills of Lading covering outgoing Goods submitted to J&J Exhibitors Service will be checked at the time of pickup from the booth and corrections to the count or condition will be documented where discrepancies exist. k. Hanging items from Booth: Customer shall not hang any articles, merchandise, product, advertisements, or other similar items from J&J Exhibitors Service supplied booth materials (this includes but is not limited to J&J Exhibitors Service panels or pipe and drape), utilized in Customer s own booth set up or in areas occupied by the show organizer or third parties. If Customer does hang any prohibited items, Customer alone shall be held liable for any damages, costs, actions or injuries resulting from the hanging of such item(s). J&J Exhibitors Service shall have no liability for any damages, costs, actions or injuries arising out of Customer s failure to comply with this provision. VII. Measure of Damage a. Sole Relief: If found liable for any loss, J&J Exhibitors Service s sole and exclusive maximum liability for loss or damage to Customer s Goods is limited to $.50 (USD) per pound with a maximum liability of $ (USD) per container, or $1, (USD) per shipment whichever is less. b. Labor: J&J Exhibitors Service assumes no liability for loss, damage, or bodily injury arising out of Customer s supervision of J&J Exhibitors Service provided union labor. If J&J Exhibitors Service supervises labor for a fee, J&J Exhibitors Service shall be liable only for actions or claims arising out of its negligent supervision. Such liability shall be limited to the cost to Customer of the supervised labor or the depreciated value of the Goods, whichever is less. If Customer elects to use unsupervised labor, then Customer assumes all liability for the actions or claims that arise out of such work, including but not limited to loss, damage or bodily injury and shall provide J&J Exhibitors Service and show management with an indemnity, including defense costs, for any claims that result from Customers supervision or failure to supervise assigned labor. VIII. Miscellaneous a. Insurance. J&J Exhibitors Service is not an insurance company and does not offer or provide insurance. It is the obligation of Customer to ensure Goods are insured at all times. Loss or theft of the Goods in storage or in transit to and from the show and or while on the show floor is the sole responsibility of Customer. J&J Exhibitors Service recommends Customer arrange for all Risk Coverage. b. Notice of Loss or Damage: In order to have a valid claim, notice of loss or damage to Goods must be given to J&J Exhibitors Service or its agent within 24 hours of occurrence (as evidenced in an Incident Report completed at Show Site by J&J Exhibitors Service) or delivery of outbound Goods. c. Filing of Claim: Any claim for loss or damage to Goods must be in writing, containing facts sufficient to identify the Goods, asserting liability for alleged loss or damage, and making claim for the payment of a specified or determinable amount of money. Such claim must be filed with the appropriate party within the time limits specified herein. Damage reports, incident reports, inspection reports, notations of shortage or damage on freight bills or other documents, do not constitute filing of a claim. Claims for Goods alleged to be lost, stolen or damaged at the Show Site must be received in writing by J&J Exhibitors Service within thirty (30) days after the close of the show. Claims for Goods alleged to be lost or damaged during transit must be received by the responsible party within nine (9) months of date of delivery of Goods. J&J Exhibitors Service Logistics subcontracts the movement of Goods to third party carriers. Claims for damage in transit should be made directly with your carrier as shown on the Material Handling form/ Bill of Lading. In the event of a dispute with J&J Exhibitors Service, Customer will not withhold payment or any amount due J&J Exhibitors Service for Services as an offset against the amount of the alleged loss or damage. Customer agrees to pay J&J Exhibitors Service prior to the close of the show for all such charges and further agrees that any claim Customer may have against J&J Exhibitors Service shall be pursued independently by Customer as a separate action to be resolved on its own merits. J&J Exhibitors Service retains the right to pursue collection on amounts owed after show close, without regard to any amount alleged to be owed for damage, or loss. d. Filing of Suit: Any action at law regarding loss or damage to Goods must be filed within one (1) year of the date of declination of any part of a claim (logistics claims excluded). IX. Jurisdiction, Choice of Forum These Terms and Conditions of Contract shall be governed by and construed in accordance with the applicable laws of the United States or, alternatively, and depending on jurisdiction, the laws of the State of Nevada. The parties hereby submit to jurisdiction and venue in the United States Federal District Court of Illinois, or as applicable depending upon jurisdiction, the County Circuit Court in Cook County, Illinois. X. Advanced Warehousing/Temporary Storage/Long Term Storage All terms and conditions relative to Advanced Warehousing/Temporary Storage/Long Term Storage are contained in separate agreements titled Storage Agreement. In the event that a Storage Agreement is not executed between the parties, the following shall apply with respect to J&J EXHIBITORS SERVICE liability for Customer Goods. The responsibility of J&J EXHIBITORS SERVICE with respect to Customer Goods is limited to the exercise of ordinary care and diligence in handling and storing of Customer Goods. J&J Exhibitors Service shall be liable only for loss or damage to Goods caused by J&J Exhibitors Service s sole negligence. J&J Exhibitors Service s liability is limited to $.60 (USD) per pound with a maximum liability of $ (USD) per container, or $1, (USD) per shipment whichever is less. In case of partial loss or damage, the maximum liability shall be prorated based on weight. J&J Exhibitors Service is not responsible for any loss or damage to Goods caused by, but not limited to fire, theft, the elements, vandalism, moisture, vermin, mechanical breakdown or failure, freezing or charges in temperature, as well as any other causes beyond J&J Exhibitors Service s immediate control. J&J Exhibitors Service is not responsible for the marring, scratching or breakage of glass or other fragile items. J&J Exhibitors Service is not liable for the mechanical functions of instruments or appliances even if such articles are packed or unpacked by J&J Exhibitors Service. In no event shall J&J Exhibitors Service be liable for special, incidental, indirect or consequential damages, including business loss of any kind, resulting from any damage to or loss of the Goods or from any act or failure to act. Customer pays storage fees or costs for advance warehousing for use of the space only. There is no guarantee of security or representations made by J&J Exhibitors Service as to appropriateness of the conditions for Customer Goods. The risk of loss remains Customer s alone and J&J Exhibitors Service recommends the Customer carry and maintain insurance in amounts sufficient to cover its risk. 14

We request you make safety a part of your activities during the show. If you see something unsafe or which presents a hazard, please bring it to the attention of a J&J Exhibitors Service supervisor. By reporting unsafe or hazardous conditions, you will help make the show safer and more enjoyable for yourself and your fellow exhibitors. Listed below you will find Loss Prevention Guidelines we request you follow while at showsite. These Guidelines will enhance the overall safety of the show and help prevent injuries to you, our employees and other exhibitors. Enjoy the show and do it safely. Thank you for your cooperation! LOSS PREVENTION GUIDELINES AT SHOWSITE All exhibitors and attendees enter at their own risk. Do not enter the dock/yard areas. Only authorized personnel and employees are allowed, all others are prohibited. This is an active work zone. Please treat the show areas during move-in and move-out as an active construction zone. Appropriate attire includes footwear with hard soles that protects against potential injuries from site debris, and limits the potential for slips and falls. Heels, flip flops and open toed shoes are inappropriate and violate safety standards. Never run in the exhibit hall. Please walk. Watch your step in aisles. Smoking is prohibited except in designated areas. Please be sure all cigarettes are fully extinguished. Standing on chairs, tables and other furniture is prohibited. The furniture is not designed to support your standing weight. Please use your ladder. Forklifts and carts are to be used by authorized personnel only. Please do not operate this equipment. Ask for help. Be aware of the forklifts moving throughout the aisles and docks. Please steer clear of them, especially when they are carrying a crate or load. Electrical wires and cords can be hazardous if frayed or stretched over a walkway. Please check all cords for damages. Secure or remove any cords where you or others are going to be walking. If you spill something or notice a spill, clean it up or report it immediately. Protect your valuables while on the show floor. Please keep all expensive or valuable items secured. Unattended items in booths are easy theft targets. Use good housekeeping. Dispose of waste properly and keep materials stacked securely. Report any fires immediately or pull the nearest fire alarm. Please keep fire exits clear. During move-in and move-out individuals under the age of 18 are prohibited from being on or around the show floor. Show sites during these times are similar to a construction zone and considered to be hazardous. OSHA regulations prohibit minors from being present in a hazardous work environment. 15

Two overall considerations for submitting acceptable artwork involves proper resolution or size of the file to avoid poor quality images, and proper color matching information and proofs to ensure accurate color reproduction. When possible, supply your own rigging equipments with shipments and pre-rig your material. Storing Empty Containers Properly labeled empty shipping containers will be picked up, stored and returned after the show. Labels are available at the J&J Service Desk and are for empty storage only. Depending on the size of the show,it can take from 2 to 12 hours to return empty crates. Do not store any items in crates marked empty. J&J has no liability for damage to crates or items sent to empty storage in crates. All empty containers will be collected on Wednesday, November 29, 2017 by 2:00 PM. Any additional empty containers left after this time will be collected and stored at the rate of $25.00 per CWT with a $ per shipment minimum. Outbound Shipments An outbound Material Handling/Bill of Lading must accompany all outgoing shipments. Shipping information, outbound forms and labels will be available at the J&J Service Desk. Exhibitors selecting non-official carriers will need to make their own arrangements for pick up.
