We re looking forward to welcoming all of you to our amazing Resorts World Casino in New York on December 16th and 17th We are working with T3, our local General Service Contractor in New York City and encourage you to use this opportunity to check out their furnishing offers to make your booth as attractive as possible! The HookahFair meets VaporFair New York City Exhibitor Service Kit is now available for download on our website at The kit includes important information about the show and services provided by T3, and the venue Resorts World Casino. We are a 2-day show open to the public, wholesale buyers and media please review our opening and move-in/out times in this Exhibitor Kit: Move in will be Friday, December 15th from 8am - 4pm EST. Move out will be on Sunday, December 17th from 5pm-9pm EST. Exhibitor registration will be on Friday, December 15th from 8 4pm & Saturday, December 16th from 8am-10am EST just outside Exhibit Floor 3 when entering the Casino main entrance (ID for 21+ entrance is required and mandatory). Material handling/registration forms are in this Exhibitor Kit (credit card info as payments must be made prior the show). Please read the kit thoroughly and inform your staff of all regulations and important dates. We would also like to introduce you to our Marketing Upgrades (to make the most out of your booth and exhibiting experience) which includes various attractive packages), Sponsorship Options and Take One form which we sent to you with your confirmation. Our "Referral Program" is a great revenue opportunity for exhibitors to earn $100 for referring another business who exhibits at our show (a check will be sent after the show). We offer a friendly reminder of a few rules that are often overlooked: The exhibitor agrees not to assign, sublet, or share the whole, or any part, of their assigned space without prior knowledge and written consent of HookahFair meets VaporFair ; Literature must be kept within booths. Please no handing out or displaying of literature outside of your designate booth. No solicitation is allowed outside of booth (except for our sponsors); DO NOT break down your exhibit space until 5pm on Sunday evening. Our Housing Bureau will send you a special discount code within 48 hrs. With that code, you can book your accommodation at a special rate of only $159+ tax. First come first serve. 5 Attention: Cigarette Retail Dealers Important Notice about New City Law As of May 18, 2014, it is illegal to sell cigarettes, tobacco products, and electronic cigarettes to individuals under 21 years of age in New York City. The New York City Department of Health and Mental Hygiene and Department of Consumer Affairs created the attached sign, which you must post. Note: The sign is 11 inches wide by 8.5 inches tall. You must print the sign on white paper in red letters (as shown on the next page). page 5

7 Guidance for Hookah Exhibitors Compliance with Laws and Regulations1 - in order to be in Compliance with the NY Department of Health and Mental Hygiene Sell and provide sampling of Hookah products only to persons 21 years of age or older (still check the ID of each purchaser or sampler of Hookah products who looks under age 30). Provide sampling of Hookah products only to attendees of HookahFair meets VaporFair who have a wristband identifying the attendee as a paid attendee. It is the Exhibitor s responsibility to obtain New York State Registration as a Sales Tax Vendor (details for doing so are contained in your exhibitor kit). Hookah exhibitors who intend to sell or provide sampling of tobacco shisha at the HookahFair meets VaporFair must obtain a New York State Department of Taxation and Finance Retail Dealer Certificate of Registration for Cigarettes and Tobacco Products. (This is not required for exhibitors who intend to sell or allow sampling of only non-tobacco shisha). It is the Exhibitor s responsibility to comply with the Retail Dealer Certificate, the exhibitor must have completed registration as a Sales Tax Vendor. Exhibitors should register for a Retail Dealer Certificate online at The cost is $300. Only sell tobacco shisha in the manufacturer s packaging. Prohibited actions Only sample/ sell Menthol, Mint, Wintergreen and Tobacco and/or non-flavored tobacco shisha. Only sell tobacco shisha at or higher your cost. Material Handling is a round trip charge. Clearly label your freight with your company name, booth number, show name and address (label templates are included in this kit). Bring copies of all shipping documents with you to show site. Advance Shipping: If you ship to the Advance Warehouse your freight will be in your booth for the first day of set-up. (Timing/Facility availability beyond the control of T3 Expo may result in Overtime charges.) Check the Late to Warehouse date; freight received after this date will incur a surcharge. The Advance Warehouse cannot accept loose/unpackaged items. Shipping crates, fiber cases, cartons, and pallets are acceptable. Direct Shipping: If you ship Direct to Show Site note the dates that shipments can be received. Shipments arriving before these dates will be refused. Freight arriving on Saturday, Sunday, before 8:00am EST /after 4:30pm EST Monday Friday, or on Union holidays will incur Overtime surcharges. If applicable, order Booth Packages and Options Order Graphics/Signage and submit artwork See the Artwork Submission Guidelines page in this kit for format information and submission details. You will receive instructions via on how to submit artwork after payment is received. Order booth Furniture & Accessories There are forms in this kit with many options to enhance the look of your exhibit. Discount Price Deadlines are noted on the forms. Order T3 Installation & Dismantle Labor, and/or submit EAC forms Venues have different Union regulations; review the Labor Guidelines page to determine if you need to hire labor to set-up/teardown your exhibit properties. If you are using a company other than T3 you must submit the Notification of Intent to Use EAC form at least 30 days prior to the first day of exhibitor move-in. Order Additional/Ancillary Services There are forms in this kit for other services, such as Accessible Storage, Sign Hanging, Electrical, Audio Visual and Internet. Some of these services are provided by vendors other than T3; be sure to submit forms and payments to the proper vendors. Submit your orders with payment (REQUIRED) Orders received without payment cannot be processed. We accept MasterCard, Visa, American Express, company check, money order and wire transfer. There is a processing fee for wire transfers. Arrange outbound shipping Before the end of the event, visit the T3 Service Desk to pick up your Material Handling Agreement(s). You need a separate MHA for each outbound shipping destination. Material Handling Agreements will not be distributed until account is paid in full. There will be show carriers on-site for air and ground service. If you are using your own carrier you must schedule them in advance to pick up your shipment(s). Note the Carrier Check-In date/time on the Show Schedule form. If your carrier does not check in by the date/time listed your freight will be rerouted onto the show carrier at your expense. Booth set-up If you are using T3 installation Labor go to the T3 Service Desk to inform us that you are ready for your labor. Installation/Dismantle Labor start time is only guaranteed when ordered for 8:00am. Once your booth is set up, tag your empty containers with Empty stickers. Pick up Empty stickers at the T3 Service Desk. Arrange outbound shipping Before the end of the event, visit the T3 Service Desk to pick up your Material Handling Agreement(s). 17 HookahFair meets VaporFair December 16-17, 2017 Resorts World Casino New York City Jamaica, NY MATERIAL HANDLING Choosing Your Carrier Rate Classifications Crated - Material that is skidded or in any type of shipping container that can be unloaded at the dock with no additional handling required. Uncrated - Material that is shipped loose or pad-wrapped, and/or unskidded machinery without proper lifting bars or hooks. The Advance Warehouse is not able to accept loose/unpackaged pieces. Shipping crates, fibers, cartons and pallets are ok. Small Package - A shipment of any number of pieces with a combined weight of 1-50 lbs that is received on the same day, from the same shipper and delivered by the same carrier at the same time. Additional Fees May be Applicable Outbound Shipping Please carefully consider your carrier prior to booking your shipment(s) to and from the event. Various carriers are set up to operate on a certain schedule or with limited delivery procedures. Please be sure to review your carrier s policies. Some carriers will not deliver to a loading dock, some deliver without verification or signature of delivery. This may result in delays in delivery or additional fees. POV (Privately Owned Vehicle) - Material Handling charges will apply. If you are delivering your materials to show site in your own vehicle, there may Material Handling Charges applied. Please refer to the Union Regulations in this kit and plan accordingly. T3 has jurisdiction over the loading dock based on these regulations. Late to Warehouse Fee: Shipments arriving after Friday, December 8, 2017 will be charged an additional 30%. Shipments Returned to Warehouse: Shipments returned to the warehouse at close of the show will be charged an additional 30% per pound. Shipments not picked up from the warehouse within 72 hours will be charged for storage. Overtime/Double Time Overtime is before 8:00 a.m. EST and after 4:30 p.m EST., Monday - Friday, and all day Saturday. Double Time is all day Sunday and observed Union holidays. Based upon the Material Handling rates quoted, a 30% surcharge per pound for each occurrence will apply if: Shipments are received on overtime. Your advance shipment to the warehouse is received during straight time hours, but due to scheduling beyond T3 Expo s control, is moved into show site on overtime. Shipments are loaded out on overtime. A Material Handling Agreement MUST be filled out for any shipment leaving the expo hall. These forms can be picked up at the T3 Expo Service Desk. *All accounts must be settled prior to requesting this form. Once you have filled out the Material Handling Agreement and ALL of your booth materials are packed, labeled, and ready for shipping, please return the completed form to the T3 Expo Service Desk. DO NOT LEAVE THIS FORM IN YOUR BOOTH SPACE. Carrier check in: All carriers must be checked in no later than 9:00 am EST on Monday, December 18, If prior arrangements have not been made, the official show carrier will be on site to coordinate or re-route shipments. Advance Shipments to T3 Expo Warehouse Advance Shipments will be received at the Advance Warehouse beginning on Monday, November 13, Shipments arriving prior to this date may be refused. Exhibitor agrees to and accepts the terms and conditions of this contract when any of the following conditions are met: THE MATERIAL HANDLING AGREEMENT IS SIGNED; OR THE EXHIBITOR S MATERIALS ARE DELIVERED BY A CARRIER TO T3 EXPO S WAREHOUSE OR TO A SHOW/EXPOSITION SITE FOR WHICH T3 EXPO IS THE OFFICIAL SHOW CONTRACTOR, OR A SUBCONTRACTOR FOR THE OFFICIAL SHOW CONTRACTOR; OR AN ORDER FOR LABOR AND/OR RENTAL EQUIPMENT IS PLACED BY EXHIBITOR WITH T3 EXPO, LLC. 1. DEFINITIONS. For purposes of this contract, T3 means T3 Expo, LLC. and their employees, agents, directors and assigns, affiliated companies, related entities including but not limited to any subcontractors T3 may appoint. The term EXHIBITOR means the Exhibitor, its employees, agents, representatives, and any Exhibitor Appointed Contractor (EAC). 2. PACKAGING AND CRATES. T3 shall not be responsible for damage to loose/uncrated materials, pad wrapped or shrink-wrapped materials, glass breakage, concealed damage, carpets in bags or poly, or materials improperly packed. In addition T3 shall not be responsible for crates and packaging which are unsuitable for handling, in poor condition, or having prior damage. Crates and packaging should be of a design to adequately protect contents for handling by forklift and similar means. 3. EMPTY CONTAINERS. Empty container labels will be available at the show site service desk. Affixing labels to the containers is the sole responsibility of EXHIBITOR or his/her representative. All previous labels must be removed or obliterated. T3 assumes no responsibility for: Error in the above procedures Removal of containers with old empty labels & without T3 labels Improper information on Empty labels T3 WILL NOT BE LIABLE FOR LOSS OR DAMAGE TO CRATES AND CONTAINERS OR THEIR CONTENTS WHILE SAID ITEMS ARE IN EMPTY CONTAINER STORAGE. 4. INBOUND SHIPMENTS. Consistent with trade show industry practices, there may be a lapse of time between the delivery of shipment(s) to the booth and the arrival of EXHIBITOR or his representative. During such time the materials will be left unattended. T3 WILL NOT BE RESPONSIBLE OR LIABLE FOR ANY LOSS, DAMAGE, THEFT, OR DISAPPEARANCE OF EXHIBITOR S MATERIALS AFTER SAME HAVE BEEN DELIVERED TO EXHIBITOR S BOOTH AT THE SHOW SITE. T3 recommends hiring security services from Facility or Show Management. 5. OUTBOUND SHIPMENTS. Consistent with trade show industry practices there may be a lapse of time between the completion of packing and the actual pickup of materials from the booths for loading onto a carrier. During such time the materials will be left unattended. T3 WILL NOT BE RESPONSIBLE OR LIABLE FOR ANY LOSS, DAMAGE, THEFT OR DISAPPEARANCE OF EXHIBITOR S MATERIALS BEFORE SAME HAVE BEEN PICKED UP FOR RELOADING AT THE CONCLUSION OF THE EVENT. T3 highly recommends hiring security services from Facility or Show Management. All Material Handling Agreements submitted to T3 by EXHIBITOR will be checked at the time of pickup from the booth and corrections will be made where discrepancies exist between the quantities of items on any Agreement submitted to T3 and the actual count of such items in the booth at the time of pickup. 6. DELIVERY TO THE CARRIER FOR RELOADING. T3 WILL NOT BE RESPONSIBLE OR LIABLE FOR ANY LOSS, DAMAGE, THEFT, OR DISAPPEARANCE OF EXHIBITOR S MATERIALS AFTER SAME HAVE BEEN DELIVERED TO EXHIBITOR S APPOINTED CARRIER, SHIPPER, OR AGENT FOR TRANSPORTATION AFTER THE EVENT, INCLUDING A T3 DESIGNATED CARRIER IN ACCORDANCE WITH SECTION 7 BELOW. T3 loads the materials onto the carrier under directions from the carrier or driver of that same carrier. Any reloading into the carrier will be understood to be under the exclusive supervision and control of the carrier or driver of that carrier. T3 ASSUMES NO RESPONSIBILITY FOR LOSS, DAMAGE, THEFT OR DISAPPEARANCE OF EXHIBITOR S MATERIALS THAT ARISE OUT OF IMPROPERLY LOADED MATERIALS. 7. DESIGNATED CARRIERS. In order to expedite removal of materials from the show site, T3 shall have the authority to change designated carriers if the carrier designated by the EXHIBITOR does not pick up the shipment(s) in time. Where no disposition is made by EXHIBITOR, materials may be taken to a warehouse to await EXHIBITORS shipping instructions and EXHIBITOR agrees to be responsible for charges relating to such rerouting and handling. IN NO EVENT SHALL T3 BE RESPONSIBLE OR LIABLE FOR ANY LOSS RESULTING FROM SUCH REROUTING DESIGNATION. EXHIBITOR hereby understands and agrees that the carrier s terms and conditions apply to their shipment once the materials have been accepted by said carrier. It is the responsibility of the EXHIBITOR to familiarize himself/herself with these Terms and Conditions T3 WILL NOT BE RESPONSIBLE OR LIABLE FOR FAILURE TO PROVIDE THESE CARRIER TERMS AND CONDITIONS TO THE EXHIBITOR. 8. T3 S RESPONSIBILITIES. T3 shall be responsible only for those services which it directly provides. T3 assumes no responsibility for any persons, parties, or other contracting firms not under T3 s direct supervision and control. T3 shall not be responsible for loss, delay or damage due to strike lockouts, work stoppages, natural elements, vandalism, civil disturbances, power failure, explosion, acts of terrorism or war, other causes beyond T3 s reasonable control nor for ordinary wear & tear in the handling of materials. Any insurance shall be obtained by EXHIBITOR in amounts and for perils determined by EXHIBITOR. EXHIBITOR agrees to provide T3 with a release and waiver of subrogation to the extent of any insurance settlement received. 10. CLAIM(S) FOR LOSS. EXHIBITOR agrees that any and all claims for loss or damage must be submitted to T3 immediately at the show site and in any case not later than thirty (30) business days after the conclusion of the show or exposition. (For purposes of claim reporting, the conclusion of the show shall be construed as the time when EXHIBITOR S materials are delivered to the carrier for transportation from the show site or from T3 s warehouse.) All claims reported after thirty (30) business days will be rejected. In no event shall a suit or action be brought against T3 more than one year after the date of loss or damage occurred. a. PAYMENT FOR SERVICES MAY NOT BE WITHHELD. In the event of any dispute between the EXHIBITOR and T3 relative to any loss, damage, or claim, such EXHIBITOR shall not be entitled to and shall not withhold payment, or any partial payment, due to T3 for its services, as an offset against the amount of any alleged loss or damage. Any claims against T3 shall be considered a separate transaction, and shall be resolved on its own merits. b. MAXIMUM RECOVERY. THE DECLARED VALUE DOES NOT APPLY TO THE SERVICES PROVIDED BY T3 if found liable for any loss. T3 s sole and exclusive MAXIMUM liability for loss or damage to EXHIBITOR S materials and EXHIBITOR S sole and exclusive remedy is limited to repair or replacement with like kind and quality, subject to a dollar amount limited equal to the amount paid by EXHIBITOR to T3 for Material Handling services during the show or exposition under this contract. c. BREACH OF CONTRACT AND/OR NEGLIGENCE. T3 s liability shall be limited to any loss or damage which results solely from T3 s NEGLIGENCE in the actual physical handling of the items comprising EXHIBITOR S shipment(s) OR which results from BREACH OF THIS CONTRACT and not for any other type of loss or damage. In no event shall T3 be liable to the EXHIBITOR or to any other party for special, collateral, exemplary, indirect, incidental, or consequential damages, whether such damages occur either prior to, subsequent to, or are alleged as a result of tortuous conduct, failure of the equipment or services of T3 or breach of any of the provisions of this agreement regardless of the form of action, whether in contract or in tort, including strict liability and negligence, even if T3 has been advised or has notice of the possibility of such damages or for any damages caused by EXHIBITOR S failure to perform EXHIBITOR s responsibilities. Such excluded damages include but are not limited to: loss of profits, loss of use or interruption of business, or other consequential or indirect economic loss(s). 11. JURISDICTION. THIS CONTRACT SHALL BE CONSTRUED UNDER THE LAWS OF THE STATE OF MASSACHUSETTS WITHOUT GIVING EFFECT TO ITS CONFLICT OF LAWS AND RULES. EXCLUSIVE VENUE FOR ALL DISPUTES ARISING OUT OF OR RELATING TO THIS CONTRACT SHALL RESIDE IN A COURT OF COMPETENT JURISDICTION IN PLYMOUTH COUNTY, MASSACHUSETTS. 12. INDEMNIFICATION. EXHIBITOR agrees to indemnify, forever hold harmless and defend T3 and their employees, directors, officers and agents from and against any and all demands, claims, causes of action, fines, penalties, damages (including consequential), liabilities, judgments and expenses (including but not limited to reasonable attorneys fees and investigation costs) on account of personal injury or death, damage to or loss of property or profits arising out of or contributed to, by any of the following: EXHIBITOR S negligent supervision of any labor secured through T3 or the negligent supervision of such labor by any of EXHIBITORS employees, agents, representatives, customers, invitees and/or any Exhibitor Appointed Contractor (EAC). EXHIBITOR S negligence, willful misconduct, or deliberate act, or the negligence, willful misconduct, or deliberate act of EXHIBITOR S employees, agents, representatives, customers, invitees, and/or any Exhibitor Appointed Contractor (EAC) at the show or exposition to which this contract relates, including but not limited to the misuse, improper use, unauthorized alteration, or negligent handling of T3 s equipment. EXHIBITOR S violation of Federal State, County or Local ordinances. If exhibitor violates Federal, State, County or local ordinances, Exhibitor should indemnify T3, Venue and Show Organizer Management. If Exhibitor is in violation of show regulations and/or rules as published and set forth by the Venue and/or Show Organizer /Management, Exhibitor should indemnify the aforementioned. EXHIBITOR S violation of Show Regulations and/or Rules as published and set forth by Facility and/or Show Management. 13.WAIVER AND RELEASE. EXHIBITOR, as a material part of the consideration to T3 for services, waives and releases all claims against T3 with respect to all matters for which T3 disclaimed liability pursuant to the provisions of this Agreement. 14. MISCELLANEOUS. EXHIBITOR, as a material part of the consideration to T3 for material handling services, waives and releases all claims against T3, its employees, agents, directors and officers with respect to all matters for which T3 has disclaimed liability pursuant to the provisions of this contract. The EXHIBITOR acknowledges that he or she has read this agreement, understands it and agrees to be bound by its terms, and further agrees that it is the complete and exclusive agreement between the parties. The invalidity or unenforceability of any provision hereof shall not affect, modify, or impair the validity and enforceability of all other provisions herein. Further information and documents can be found at: FDA Regulations: Sponsors/exhibitors must comply with the currently enacted regulations of the FDA as of the date of the Event. Sponsors /exhibitors website and advertising must not make health claims about the product or show testimonials which make any health claims even if they are stated as opinions. Packaging and advertisements for e-cigarette products must not contain cartoon characters or child appealing packaging geared towards youth. Including logos, fonts, and similar names of trademarked children s products (toys, juice, cereal, candy, superheroes etc.). No illegal products, or products which reference prescription, vitamins, illegal drug flavors or effects permitted. All sponsors/exhibitors and attendees must be of legal smoking age to be a part of our sponsored events. All e-liquid nicotine must have federally compliant child resistant caps. Entrance fee is part of the sampling fee. All attendees and exhibitors must be at least 21 (ID or passport required). 45 HookahFair meets VaporFair December 16-17, 2017 Resorts World Casino New York City Jamaica, NY UNITED STATES FIRE DEPARTMENT REGULATIONS For Exhibits, Exhibitions, Displays and Trade Shows - Public & Private Booth Construction - Booths, platforms and space dividers shall be of materials that are flame-retardant or rendered so, satisfactory to the Fire Department representatives. Coverings for counters or tables used within or as a part of the booth shall be flame-retardant. All electrical wiring and apparatus will be of a 3-wire UL approved type. Fire Department - A permit shall be required for the following as required by the law or the venue specifically: 1) Display and operate any heater, barbecue, heat-producing or open flame device, candles, lamps, lanterns, torches, etc. 2) Display or operate any electrical, mechanical, or chemical device which may be deemed hazardous by the Fire Department. 3) Use or storage of inflammable liquids and dangerous chemicals. 4) Display any internal combustion engine (special requirements available upon request). 5) Use of compressed gases. (Permit available for 32CF bottles 1 2 full or less). Obstructions - Aisles and exits, as designated on approved show plans, shall be kept clean, clear and free of obstacles. Booth construction shall be substantial and fixed in position in specified areas for the duration of the show. Easels, signs, etc., shall not be placed beyond the booth area into aisles. Firefighting equipment shall be provided and maintained in accessible, easily seen locations and may be required to be posted with designating signs. Fire-Retardant Treatment - All decorations, drapes, signs, banners, acoustical materials, cotton, paper, hay straw, moss, split bamboo, plastic cloth, and similar materials shall be flame-retardant to the satisfaction of the Fire Department. Booth identification banners and signs shall be flame-retardant unless smaller than 1232 square inches (28 x 44 ) if separated from other combustibles by a minimum of 12 horizontally and 24 vertically. Oilcloth, tarpaper, nylon and certain other plastic materials cannot be made flame-retardant, and their use is prohibited. Combustibles - Literature on display shall be limited to reasonable quantities (one-day supply). Reserve supplies shall be kept in closed containers and stored in a neat and compact manner in a location approved by the Fire Department. All exhibit and display empty cartons must be stored in an approved drayage area. If show is under a 24-hour approved manned security program, automobiles are allowed to retain 1 gallon or less of fuel, and gas caps must be taped. Batteries are to be disconnected and taped. 46 HookahFair meets VaporFair December 16-17, 2017 Resorts World Casino New York City Jamaica, NY NEW YORK LABOR GUIDELINES Booth Labor, Freight and Rigging Union jurisdictions in New York involve three major unions. Teamsters - They handle the freight at the exhibit hall. They unload trucks or vehicles and deliver materials to and from the booths (drayage). They also provide rigging of machinery, moving services and spot machinery in your booth. They also handle rigging. The normal rigging crew consists of two men and a forklift. Carpenters - handle the erection and dismantling of all exhibits and displays. They may be hired from the general contractor.. Carpenters uncrate and re-crate machinery or equipment. They also install all pipe and drape, skirting, all flooring, such as carpeting, and assembly of all non-lighted signs. EACs may only use Journeymen. What can exhibitors do without union personnel? If your booth is a or smaller, you may install and dismantle your own exhibit provided you meet these requirements: 1. The Set-up can be accomplished in 1/2 hour or less. 2. No tools are required. 3. Individuals performing the work must be full-time employees of the exhibiting company and cary identification to verify this fact. 4. Exhibitors are allowed to unpack and repack their own product (if it is cartons, not crates). They are also allowed to do technical work on their machines, such as balancing, programming, cleaning of machines, etc. Exhibitors may hand carry or use nothing larger than a two wheel baggage cart (rubber or plastic wheels only) to move their items. Exhibitors may move a pop-up display (equal or less than 10 in length) capable of being carried by hand by one person. The individuals moving the items must be full time employees of the exhibiting company and must carry identification to verify this fact. 47 TERMS AND CONDITIONS HOOKAHFAIR MEETS VAPORFAIR, December 16 th -18 th, 2017 The following are the contract terms of the agreement to rent exhibit space from the VaporFAIR and HookahFAIR. As an Exhibitor your acceptance of these terms shall constitute a binding agreement. It is agreed that each Exhibitor will abide by and be responsible for the rules & regulations of this agreement. Dates and venue are subject to change. 1. VAPORFAIR AND HOOKAHFAIR. As used herein, the word VaporFAIR and HookahFAIR shall mean VaporFAIR and HookahFAIR, a project of P13 GmbH and Messe Stuttgart, Inc. with Messe Stuttgart, Inc. a Georgia Corp. and the word FAIR shall mean a tradeshow VaporFAIR and HookahFAIR. 2. ELIGIBLE EXHIBITS. Messe Stuttgart, Inc. reserves the right to determine whether any company or product is eligible for inclusion in the FAIR. This determination may be made at any time before or after the start of the FAIR. 3. ELIGIBLE PRODUCTS. Exhibitor is responsible for informing VaporFAIR and HookahFAIR of any product, service or claim that does not comply with the regulations of the FDA or any other State or Federal regulatory agency and/or is considered experimental. Exhibitor is strictly prohibited from having or selling on-site any substance or product considered illegal. All products and services to be sold, offered or referred to during the FAIR must be included on this contract. 4. LIMITATION OF LIABILITY. Exhibitor agrees to make no claim against VaporFAIR and HookahFAIR, its affiliates, employees, agents or representatives, or the owners of the FAIR premises for loss, theft, damage or destruction of property, for any injury to Exhibitor or its agents and employees while in the FAIR quarters, or because of or arising out of claims and lawsuits against Exhibitor by third-parties. VaporFAIR and HookahFAIR, its affiliates, employees, agents and representatives, and the owners of the FAIR premises shall have no responsibility for any other injury, loss, harm or damage that may occur to the Exhibitor from any cause whatsoever. Under no circumstances will such parties and persons be liable for lost profits or other special, indirect, or consequential damages arising from any cause whatsoever, including negligence (even if the party has been advised of or foresees a possibility of any such damages occurring). The foregoing will apply regardless of how any claim is brought or how damages are characterized, including whether brought in contract, tort, or otherwise or as claims for indemnity, contributions or other remedies based upon or arising out of claims by third-parties against Exhibitor, To the extent this provision should be held unenforceable for any reason, then, in such event, damages recoverable by Exhibitor are limited to the amount of the Exhibitor fee paid by the Exhibitor for the applicable event. 5. DEFACING OF BUILDING OR BOOTH CONSTRUCTION. Exhibitor is financially responsible for any damage caused to booths, decorations or to any Resorts World Casino property. Do not nail, screw, staple, pin, tack, tape, etc. any materials directly to the fabric, walls or columns. Fishing line, string, plastic coated wire, clamps, and s-hooks are effective in securing foam core, pegboard, and other signage to the pipe frame. Tables must be covered with fire retardant materials. All paper covering tables, booths, etc. must be removed at the end of the show. Do not remove or tamper with any part of the building or booth structure; this includes support poles, fabric, and lighting. No painting of signs, displays or other objects is permitted in the building. No adhesive-backed (stick-on) decals or similar items, excluding nametags, may be used in the building. Glitter is not permitted in carpeted areas of the building. Side rail displays may not reach heights higher than 8 feet. No lighter-than-air balloons are allowed into the Resorts World Casino. 6. DISPLAY DIMENSIONS AND RESTRICTIONS. Unless otherwise agreed upon, the basic booth package includes a 10'x10' booth (size can vary and is subject to change); booth # sign and Exhibitor badges for each booth purchased. Aisles and Exits, as designated on approved show plans, shall be kept clean, clear and free of obstacles. No maintenance or electrical room doors or panels may be blocked in any way. Booth construction shall be substantial and fixed in position in specified areas for the duration of the show. Easels, signs, etc., shall not be placed beyond the booth area into the aisles or lobby areas or on ceiling or columns, etc. Interior furnishings and materials shall not be located so as to obstruct or block exit ways, fire and safety devices or equipment. Working height restrictions within the hall is 8 feet. Distribution of samples and literature is strictly limited to the confines of the Exhibitor s booth. 7. SOUND DEVICES. The use of devices for mechanical reproduction of sound or music is permitted, only using Licensed Music, but must be controlled. Sound of any kind must not be projected outside the confines of the exhibit booth. Voice and/or music amplification must be kept to a sufficiently low volume so as not to disturb other Exhibitors, Sponsors, Partners or attendees. 8. REJECTED EXHIBITS. Exhibitor acknowledges and agrees that Exhibitor s exhibit shall be admitted and shall be permitted to remain in the Fair only upon continued strict compliance by the Exhibitor with the terms, conditions and standards of this agreement. Notwithstanding such compliance, Association reserves the right to reject or remove Exhibitor s exhibit, in whole or in part, from the Exhibit Hall for any reason whatsoever. No portion of the rental fee shall be returned if rejection or removal occurs upon violation of this agreement or the standards. 9. SMOKING. In order to comply with the smoking ordinance of the Department of Public Health, except for hookah, shisha/vaping, and eheaters product demonstrations/sampling in accordance with the rules and standards of Resorts World Casino, smoking, including hookah and shisha/vaping, is not permitted in the Resorts World Casino. 10. INSURANCE. Although VaporFAIR and HookahFAIR will provide basic event security at the VaporFAIR and HookahFAIR, insurance is the responsibility of Exhibitor and is recommended. VaporFAIR and HookahFAIR is not responsible for replacement of lost or stolen goods. Exhibitor is responsible for obtaining its own general liability insurance for the show dates, including move-in and move-out. Exhibitor will indemnify VaporFAIR and HookahFAIR, its affiliates, employees, agents, and representatives, and Resorts World Casino for claims/suits arising between Exhibitors and attendees or others regarding exhibit space. Exhibitor agrees that during the FAIR Exhibitor will maintain such insurance covering its property, employees, and liability as may be required by Resorts World Casino. 11. EXHIBITOR CONDUCT. Exhibitor agrees to conduct itself in a respectful, cooperative manner appropriate to the integrity of the attendees, fellow Exhibitors, Sponsors, Partners and show management staff. 12. CHARACTER OF DISPLAY. Distribution of samples and printed matter of any kind, or any promotional material, is restricted to the confines of the exhibit booth. No noisemakers or anything not in keeping with the character and high standards of VaporFAIR and HookahFAIR may be distributed or utilized by Exhibitor in the exhibit area. 13. MARKETING MATERIALS/LITERATURE. Exhibitor is not allowed to pass out literature outside of Exhibitor s booth unless agreed upon mutually in writing. 14. EXHIBITOR LOGISTICS. VaporFAIR and HookahFAIR will send Exhibitor a VaporFAIR and HookahFAIR Exhibitor Kit in ample time for advance planning. The Kit will contain detailed information regarding shipping materials, labor, and furnishings. Service order forms will also be available to download from the VaporFAIR and HookahFAIR website. Exhibitors must abide by the rules and, if applicable, submit forms by the assigned deadline date. 15. SET-UP AND BREAK DOWN. Set-up times are based on booth location respectively on Friday morning; details will be provided in the Exhibitor Kit. Break Down prior to show closing may result in a $1,000 penalty. Exhibitors will not be permitted to move in unless FAIR received a contract and all fees are paid. VaporFAIR and HookahFAIR reserves the right to resell the exhibit space if the Exhibitors does not show up 1 hour prior the show opening for the first day of the show, unless prior arrangements have been made. Exhibitors will be allowed into the hall 2 hours prior to the show open each day. 16. SUBLEASING AND ASSIGNMENT. Exhibitor may not sublet or assign its spaces, nor any part thereof, or any right of benefit a part of this agreement. 17. GUARDS. VaporFAIR and HookahFAIR will employ guards, who are reasonably believed to be reputable, during the course of the FAIR. The duty of the guards will be to protect the general exhibit against fire or other catastrophes. VaporFAIR and HookahFAIR and the owners or lessors of the exhibit premises do not assume any responsibility for Exhibitor s personal property. VaporFAIR and HookahFAIR suggests that the Exhibitor insure its property against loss and theft. 18. FIRE & SAFETY LAWS. All federal, state, and city regulations pertaining to fire and safety must be adhered to, i.e. all fabrics used in booth construction/decoration must be flame retardant. The following types of materials are considered acceptable for booth construction and decoration: wood, noncombustible materials as defined by Building Codes, and flame retardant treated materials and decorations. The following exhibits will require special approval, fire permits and/or fire extinguisher(s) in their booth: exhibits with canopies, tents, umbrellas, or other horizontal extension that impedes sprinkler systems, and all exhibits having an open flame (i.e. lamps or candles). Any exhibit employing flammable liquid, compressed combustible gas or highly combustible or explosive material is prohibited. Any electrical wiring which might come into contact with the partitions must be inspected and have adequate insulation to prevent electrical shock. Additionally, all cords must be grounded and be UL approved. 19. BOOTH RELOCATION. VaporFAIR and HookahFAIR reserves the right to relocate Exhibitor in comparable spaces other than that specified on the executed Exhibitor contract, if VaporFAIR and HookahFAIR deems it advisable and necessary and in the best interest of the show. 20. ACTS OF GOD, FIRES, STRIKES, ETC. VaporFAIR and HookahFAIR reserves the right to reschedule or cancel a FAIR in its sole discretion for any reason, including: (i) weather; (ii) failure to receive commitments from the necessary number of Exhibitors, Sponsors, Partners and attendees; (iii) failure to reach agreement with the applicable authorities on any issue related to the FAIR; or (iv) acts of God or any other cause beyond VaporFAIR and HookahFAIR s reasonable control, e.g. war, fire, strike, change of law or regulation, public catastrophe, or unavailability of the venue. If a FAIR is cancelled, VaporFAIR and HookahFAIR may retain Exhibitor s payments for expense compensation. 21. COMPLIANCE WITH LAWS/STANDARDS. Any Exhibitor giving away or selling food in its booth is responsible for all Health Department permits, rules and regulations. You may contact your sales rep for more information. Exhibitor is responsible for meeting all city/state resale licensing requirements. Exhibitor must comply with all Resorts World Casino house and license agreement rules and requirements and all Union work rules when and where applicable. By law, individuals are not allowed to bring alcoholic beverages, which were purchased off premises, onto the Resorts World Casino property. 22. PARKING. No parking in loading dock areas or off-loading area or any other location designated for FAIR Exhibitor move-in is allowed and will be strictly enforced. Unauthorized or unattended vehicles will be removed at owner s expense. 23. PAYMENT. All account balances must be timely paid in full in accordance with this agreement and, in any event, prior to the show. All subsequent billing must be paid in 30 days. 24. CANCELLATION NO REFUNDS. THERE IS NO REFUND FOR CANCELLATION BY AN EXHIBITOR. IF AN EXHIBITOR CANCELS AT ANY TIME FOR ANY REASON, THE EXHIBITOR WILL BE RESPONSIBLE FOR THE ENTIRE EXHIBITOR FEE. 25. FAILURE TO COMPLY. Failure to comply with these rules and regulations may result in fines levied by VaporFAIR and HookahFAIR, Resorts World Casino or Government agencies. VaporFAIR and HookahFAIR and Resorts World Casino retain their right to close any exhibit which fails to comply with these policies. Any questions or issues that are not covered in this contract shall be subject solely to the decision of VaporFAIR and HookahFAIR. 26. LEAVE NO TRACE POLICY. Exhibitor is responsible for leaving booth spaces clean and free of trash or other materials. Exhibitor s Booth will be inspected after move out is complete. If booth is not clean and free of materials, with the exception of freight packaged and labeled for shipment, Exhibitor s credit card will be charged $300 to cover the cost of resource recovery. The charge will double each time the policy is violated by the Exhibitor, and Exhibitor will be subject to a one-year probation from exhibiting at the FAIR. 27. EXHIBITOR RIGHTS AND BENEFITS. Subject to the terms and conditions of this agreement and subject to the performance by Exhibitor of its obligations under this agreement, VaporFAIR and HookahFAIR will provide Exhibitor the Exhibitor rights described in the listed Exhibitor benefits with respect to the applicable FAIR. 28. NO WARRANTIES. VaporFAIR and HookahFAIR gives no warranties in respect of any aspect of the FAIR or any materials related thereto or offered at the FAIR and, to the fullest extent possible under the laws governing this agreement, disclaims all implied warranties, including but not limited to warranties of fitness for a particular purpose, accuracy, timeliness, and merchantability (Exhibiting at VaporFAIR and HookahFAIR is at Exhibitor s own business risk). The FAIR is provided on an as-is basis. Neither VaporFAIR and HookahFAIR nor its affiliates shall have any responsibility or liability for reliance by Exhibitor on any aspect of the FAIR or any information provided at the FAIR. Venue and date are subject to possible change. 29. FURTHER INDEMNIFICATION. Exhibitor agrees to indemnify, defend and hold harmless VaporFAIR and HookahFAIR, its affiliates, employees, agents, and representative and Resorts World Casino from any and all liabilities, losses, damages, costs and expenses (including reasonable attorneys fees) (collectively, Losses ) due to, arising from, or in connection with any third party claim, suit, judgment or proceeding (a Claim ) alleging (i) any breach by Exhibitor of this Agreement; (ii) any wrongful conduct committed by Exhibitor pursuant to or in performance of this Agreement; or (iii) that any Exhibitor conduct or practice violates the intellectual property or proprietary rights of a third party, are defamatory or obscene, violate any law or other judicial or administrative regulation. 30. MISCELLANEOUS. VaporFAIR and HookahFAIR s failure to exercise any right provided for herein shall not be deemed a waiver of any further rights hereunder. VaporFAIR and HookahFAIR shall not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond VaporFAIR and HookahFAIR reasonable control. If any provision of this agreement is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that this agreement shall otherwise remain in full force and effect and enforceable. This agreement shall be governed by the laws of the State of Georgia and the parties shall submit to the exclusive jurisdiction of the Georgia courts. A party that substantially prevails in an action brought under this agreement is entitled to recover from the other party its reasonable attorneys fees and costs. All parties agree that this agreement is the complete and exclusive statement of the mutual understanding of the parties and supersedes and cancels all previous written and oral agreements, communications and other understandings relating to the subject matter of this agreement, and that all modifications must be in a writing signed by both parties, except as otherwise provided herein. No agency, exhibitor, joint venture, or employment is created as a result of this agreement and Exhibitor acknowledges that it has no authority of any kind to bind VaporFAIR and HookahFAIR in any way. 31. LIMITATION PERIOD FOR CLAIMS. The limitation period for claims by Exhibitor against VaporFAIR and HookahFAIR, its affiliates, employees, agents or representatives, or the owners of the FAIR, including, but not limited to claims for indemnity and contribution, shall be one year.
