About USA Transportation Logistics LLC Independent Agent Program USA Transportation Logistics LLC was formed to provide Individuals a way to get a start into the Freight Agent/Broker Business with little, no experience or if you have taken a course from a different company. Most Freight Brokerages will not consider contracting with new agents. Normally an Agent needs to have 2 years experience and a book of business before a company will even consider taking an agent into their company and recently more Brokers are also requesting that you have to be moving at least $75,000 - $100, in freight every month. The reason for this is quite simple, it costs the company money for each agent they have and they don t want to pay out of their pocket for an agent coming in that will not make them money immediately. Most people do not realize that there are costs to running a business it doesn t matter if it is a brick and mortar business or online business there are costs and in the Freight Business there are a lot of extra costs to just keep running the business daily. Being an industry that is regulated by the Federal Government (FMCSA & DOT) there are quite a bit of extra costs than other businesses. Here at USA Transportation Logistics LLC we see the need to help individuals who want to become a successful Freight Broker Agent or Broker, therefore we developed a customized a startup program to get your business up and running under our licensing, bond and insurance. Our Program is unlike any other company; we have a low business startup fees. We do charge a low monthly program fee of $ per month, this covers all the programs and software used in the daily business operations, other companies charge anywhere from $ $ per month. This again, helps with bringing new independent agents on without a book of business. You, the independent Broker Agent, is helping with some of the costs of bringing you on as an agent with no money coming in. It also helps cover the cost of paying the support team and back office support. Unfortunately, there are costs related to any business to keep it up and running on a daily basis and with bringing on agents with no book of business or money from loads coming in, we still have the cost of running a business. Unfortunately, people do not work for free and we have a payroll to cover for the people that supply training, support and back office operations. We understand that starting a business can be costly, we ve been there, so we have kept our program as low as possible. So for the low cost of $ per month for programs needed to do this business you will be on your way to developing a great Business that you own and operate. There aren t very many businesses you can get started with only $ and have unlimited Income possibilities. Don t forget that these are tax deductible for your business. This business takes time to build you will not become a millionaire overnight. It takes time and dedication to build your business, but there is no limit as to how big you can build your business. This business is very difficult to build and make money on a part time basis. We have had many people try to do this business working it on a part 3 P a g e

4 time basis and it just doesn t work out. But, there is a reason thousands of agents have been in the business over plus years and it isn t because they are not making money. Many people ask how much you can make in this business, it is a difficult answer to give you as each person who enters the field are all individuals and no person is a like. Some agents make anywhere from $2, $5, plus a month and some are lucky to make $ a month it truly depends on what YOU are going to put into building and working your business. Let me warn you this business is not for everyone, not everyone works out in this business. You truly get out of this business what you put into this business. What you put into building your business is what you will get out of it. The Phrase, You can lead a horse to water, but you can t make them drink really describes the way this business is: We can give you all the training in the world, but we can t make you use it We can give you shipper leads, but we can t make you call them We can give you carrier leads, but we can t make you call them This business is truly based on your willingness, diligence and time you put into your business, Rome was not built in a day. II. Agent Pay Agents signing on under the company are required to sign an Independent Contractor agreement, Background check, W-9 IRS Form, Agent profile and program applications. We apologize for having to do the background check but we were advised by our attorney to verify each person is who they say they are and they live you say you live. There is a lot of fraud in this business and we have to protect the company. Generally, most new agents start at 60% commission on the margin or the load after any costs. Each agent goes up 5% each year they are with the company and moving loads. The commission tops out at 75%. You are not regulated on how many customers you get nor how many loads you move it is totally up to you, the agent. If you are coming on with a book of business starting commission will be negotiable. We sent paychecks or do direct deposit every Monday for the previous weeks loads that have been invoiced to the Customer, except, loads that have a variable rate; such as, CWT rates, per piece, per pallet. These loads will be paid when we get the payment from the shipper. The reason for this is we have had loads that end up not being loaded with less weight or pieces than what the original counts were and the rates must be adjusted to reflect the correct amount of freight actually loaded onto the truck and we end up being paid less than the original rate. Experienced agents commission splits are negotiable according the book of business you are bringing with you and the volume of freight you move per month. 4 P a g e

5 III. Monthly Program Subscription There is a monthly subscription to help off-set the cost of monthly payments to the providers of the internet based program subscription; this fee covers all the programs and load boards utilized in doing business including the toll free company phone number with your own extension and company address and it helps a bit towards the other costs involved in supporting you, the agent. The monthly program fee is $ per month (Tax deductible), this is a fraction of the price if should you try to get these programs on your own. Should you try and get these programs on your own it would be a minimum cost which is about $ per month. The company has secured agreements with each of the programs we use to be able to add agents to the company s own accounts at a fraction of the cost of getting your own programs. When you become an agent you will be set up on an automatic monthly subscription through our merchant account, this money is then paid to the providers of the programs every month. Your program fee is due each month based on your startup date, if the payment doesn t go through your accounts will be deactivated and you will have to get the programs yourself. Unfortunately, we don t have a choice to not pay the company s bill from the vendors for the base price and the fees we are charged for each agent added to the account or we wouldn t be able to conduct business. Every Brokerage uses some sort of these programs to run the company. IV. Programs and Load Boards Under your programs subscription cost, we also supply you with three Load Boards to advertise your loads so carriers can see them and call for your load information to decide if they want the load. You are supplied with a Truck Searching program so you can find trucks for your loads if there is not a carrier that is already in our system available to take your load. You are supplied with a safety program; in this business it is required to perform Due Diligence on every carrier that agrees to take your load. You will also be taught how to perform Due Diligence on each carrier. We also supply you with a rating tool so you can run rates for customers on loads you are going to be getting. We also supply a very advanced TMS program, we add you as a user on our TMS Software which we are charged for each agent added as a user. All Load Boards and Programs are web based so you can work virtually anywhere you have Internet access. By adding you as a user the monthly fees are a lot less than getting them on your own. You may get other Load Boards but please be aware we have been in this business quite a while and we have wasted tons of money on other programs and none of them work as well as what we are already using. Our TMS system posts out right now to 3 load boards and you never have to leave the TMS saving agents time and effort. State of the art Carrier On-Boarding, a carrier portals and a customer portal as well as an LTL module, we already have contracted rates with discounts for each of the LTL Carriers. It is very advanced system and not very many brokerages have a program like this LTL Module. 5 P a g e

6 V. Company / Phone Extension You will be set up with a company address and a toll free company phone number and extension number. This number will be programed to ring to the phone number you put in the New Agent Profile This is the document we use to have the information we need to set up all the company programs for each agent. We also require documents with proof of Identification, we must have these prior to signing on with USA Transportation Logistics LLC, and we do a background check on each applicant. VI. W9 Independent Contractor You are required to fill out a W9 form as required by the IRS and a copy of your SS card. We must have this on file in order to pay you. We also need a copy of your SS card to keep in your file for IRS. You will need to fill out an agent profile and fill in the phone number you want your company extension to ring to as your office number. You will need an program to configure your company address such as Outlook or Mozilla Thunderbird (free program). You will need to set up a voic for your extension on the company s toll free number. Instructions will be given when you get the with all your accounts and logins. You are required to sign an Independent Contractor Agreement. You are hired as an independent contractor and you are responsible for taking care of your own taxes. You will be issued a 1099 form no later than January 31 st of each year as required by the IRS. VII. Hours of Operation The main office operating days and hours are Monday Friday 8:00 am 5:00 pm EST. We observe the following holidays: New Year s Eve, New Year s Day, Martin Luther King s Day, Presidents Day, Memorial Day, Independence Day, Labor Day, Columbus Day, Veteran s Day, Thanksgiving Day and Weekend, Christmas Eve, Christmas Day. You will also be given specific phone numbers and contact information during training. There will normally be someone available to help you during regular business hours should you need help with moving a load or emergency problems that may arise. VIII. Quitting or Non Activity of an Agent We require each agent to give a 30-day notice in order to leave and take their clients with them. You will work with the Operations Manager to get all the necessary steps to deactivating the agent s customers. If the Agent is not heard from in 30-days, we reserve the right to drop the agent and no longer able to work under the Licensing and Insurance of USA Transportation Logistics, LLC. All the Agents accounts will be canceled. and program logins will be deleted and any contracts with USA Transportation Logistics, LLC 6 P a g e

7 are null and void. It is further agreed if this occurs any Shipper and Carrier accounts the Agent procured reverts to USA Transportation Logistics, LLC. IX. Leaving the Company Should an Agent wish to leave the company and gives a proper notice, as explained in section above, all shipper and carrier accounts the Agent obtained while working under USA Transportation Logistics, LLC are theirs to take with them. You worked hard getting your accounts and we feel if you are to give proper notice you deserve to keep your accounts. Many other brokers require agents to sign a non-compete contract, we do not feel that is fair to the hard working agent. X. Duties of a Freight Agent Hard work and dedication to build your business. Develop and maintain FTL (Full Truck Loads) LTL, Intermodal business throughout North America. Prospect for shipper leads to building a pipeline of customers, including heavy cold-calling. Manage accounts to retain existing relationships and grow your business. Create load rate quotations and sales proposals for company services. Post your customers loads, search for trucks for your loads, calling carriers for your loads. Manage multiple projects simultaneously with a sense of urgency. Preform Due Diligence on all carriers Maintain and update accurate information in the company's operating systems. Customers, External Carriers and factoring companies. Maintain confidentiality of company information. XI. Ready, Set, Go If you are now ready to bring a new era in your life and wish to become a Freight Broker Agent follow these instructions to get started: 1. Go to our website and: (If you have not already done so). 2. Download background application & Fill out registration page for already trained or experienced agents no digital signatures allowed, return to us by fax to or training@usatransportationlogistics.com 3. Pay for the background check using the button on the registration page- If you use a different name other than what is on your registration please include a message telling us what name your payment is under. 4. When the Background check is complete we will send you an you the agent contracts. You will need to fill them out and send them back, no digital signatures allowed. 5. When the subscription is set up and 1 st payment is made we will have your programs set up. Once they are set up the information will be ed to you. 6. Please make sure you give us the date you want to start. 7. We will then schedule your training on the TMS and procedures of the company. Once your training is complete you start building your business using the education or experience you have already received. 8 P a g e
