4 Consultation: scope and purpose New contractual set-up for Truck Approval + Truck Loading in 2014: in line with Belgian legislation - Standard LNG Agreement for Truck Loading Services (LTL); > Legal provisions, rights & obligations linked to LNG Truck Loading. > Service Confirmations - Access Code for LNG Truck Loading (ACLT); and > Containing both the operational and technical provisions as well as the glossary of definitions - LNG Terminalling Programme (LTP). > For information purpose only 4

5 Consultation: scope and purpose (cont d) The set of standard documents: - Prior to their submittal to the regulator, they have to be consulted by the market by means of a market consultation > Objective: to obtain feedback from all market stakeholders on the proposal - Approval by regulator required. Regulated tariffs are already approved by regulator till 2027 applicable to all Terminal Users when approved by CREG: standard contract for LNG truck loading (LTL) access code for LNG truck loading (ACTL) regulated tariffs 5

7 Business model > 3 Offered Services LNG Truck Approval Services - compulsory one-time service prior to Truck Loading - regulated tariff = monthly indexation LNG Truck loading Services - base service - regulated tariff = monthly indexation LNG Truck Cool Down Services - optional service provided immediately prior to the Truck Loading: cooling down the truck; - is a mandatory prerequisite for Truck Loading if the truck is warmer than -120 C upon arrival. - regulated tariff = monthly indexation 7

9 Business model > Truck Approval (proposal) Performed on each truck by Fluxys LNG: checking safety: required safety documents + safety impact analysis checking compatibility with the Zeebrugge LNG Terminal the first LNG Truck Loading will be considered as a test-loading to complete the approval. like today, each truck will receive a unique ID code afterwards 9

10 Business model > Allocation process (proposal) Annual subscription window in October: opportunity to subscribe to Truck Loading capacity expressed in multiples of 1 year Allocation in November: priority for the longest period / pro rata request afterwards unsold capacity: on a first come, first committed basis subject to an availability check 10

11 Business model > Truck planning Each truck requires following communication: i. estimated time of arrival? ii. requested quantity of LNG to load? iii. cooldown required? iv. is there any remark from the terminal side? v. who should supply the LNG? vi. does the LNG Supplier agree? vii. which truck is used? viii. which capacity contract is used? Fluxys Trucker Shipper Need for an automated online planning tool 11

12 Business model > Truck planning (proposal) New online scheduling: possible to book truck loading Starting Hours in year N as of December in year N-1. maximum per client = subscribed number of Truck Loading services total number available for booking will amount to around compared to a total capacity of per year a daily buffer is available as flexibility to minimize possible shifts in planning If cool down required: please contact terminal as soon as possible! 12

13 Business model > Truck planning (proposal cont d) For each scheduled truck, to be specified: i. quantity of LNG in m³ (to be confirmed as a maximum quantity by LNG Shipper) ii. LNG Shipper: EDFT, ENI, GDF Suez, Requested quantities in m³ LNG per truck have to be confirmed by the related Shipper Deadline for booking, confirming or editing slots of day N: at 11AM day N-1 when schedule is frozen. Editing will allow LNG quantities expressed in other units (ton, % of truck) Booked and not canceled = charged, whether confirmed or not! Now 9AM Deadline 11AM Next gas-day(s) 6AM i. Confirmation required ii. Editing possible Freeze period applied to next gas-day + Slot-code shared 10:00 Available 13:00 Booked, no quantity /Shipper indicated! 14:30 Not comfirmed yet! 16:00 Confirmed: ok 22:00 Available 13

14 Business model > Operations (proposal) Late arrivals: 1) late arrival within the frozen period at the time of the booked Starting Hour re-planning within the ongoing freeze period is possible without additional charge for the Client however subject to availability; 2) arriving later than the frozen period at the time of the booked Starting Hour loading is possible subject to availability however will be charged to the Client; Booked 9AM Deadline 11AM Late arrival in Zeebrugge (1) Next gas-day 6AM Late arrival in Zeebrugge (2) 9:30 AM = too late Freeze period applied to next gas-day Upon conclusion of the loading operation, a quality & quantity document will be made available electronically to the related shipper and truck company 14

16 Standard agreement for LNG Truck Loading (LTL) Containing legal provisions regarding: - Quality - Emergency - Invoicing - Term, suspension & termination - Liabilities - Assignment - Warranties - Disputes, applicable law - Force Majeure - Etc... Undetermined term: framework contract with Attachment 1 : Services Confirmations specifying the number of Truck Loadings in year Y,... 16

17 LTL > Invoicing and creditworthiness (proposal) Invoicing - invoices on the 10th of each Month: > Truck Loading : 1/12th of the subscribed services (e.g. 10/month if 120/year) > Cool Down and Truck Approval: the number of service(s) of the past Billable Period - Due date = 30 days - Utilisation rate on the invoice - The invoices must be paid even if contested by the User (except in case of calculation error) Creditworthiness - Obligation to : > provide a financial bank guarantee; or > have an acceptable credit rating only for the Clients which have subscribed > 100 keur - Amount of the guarantee = 2 x monthly capacity charge 17
