3 TRUCK AGENT CARRIER AGREEMENT (the trucking company) a licensed Motor Carrier, MC# hereby grants authorization to Crazy Dispatchers LLC (Rim Country Logistics LLC) to act as my bona fide dispatch agent for the sole purpose of searching for and booking shipments, processing all brokerage and/or factoring paperwork and obtaining Certificates of Insurance as required in order to expedite shipments and dispatch via telephone, fax or for my truck(s) under the title of Operations Manager. In addition to the processing of loads, all billing, invoicing and collections of revenue from customers, brokers, shippers, consignees, etc. will be conducted by Crazy Dispatchers LLC with all proceeds being payable to said trucking company. Deposits to above trucking company s bank account will also be handled by Crazy Dispatchers LLC as needed. Crazy Dispatchers LLC will not be a signer on the bank account and will not have withdrawal authority or check cashing authority of any funds. If revenue for a shipment or shipments is uncollectible, Crazy Dispatchers LLC will be held harmless and no penalty or deduction of fees will be made. All efforts will be made to insure only reputable brokers and manufactures will be considered as customers for above trucking company. No loads will be accepted without the permission of designated officer of above trucking company. Above trucking company agrees to maintain all proper licenses and permits to conduct business as a motor carrier in the area of intended operation. Additionally, trucking company agrees to maintain liability and cargo insurance at the amounts set forth by the Federal Motor Carrier Safety Administration. Crazy Dispatchers LLC will be held harmless in the event of any and all claims. In the event above carrier wishes to haul cars or vehicles, above trucking company agrees to maintain an account with Central Dispatch (an internet load board service), in the name of above trucking company and at the sole expense of above trucking company with Crazy Dispatchers LLC as the point of contact for dispatching purposes. The fee for dispatch services will be: PLEASE INITIAL BY THE PROGRAM YOU WOULD LIKE. 8% of the gross revenue of each shipment with a minimum charge of $25.00 of each load. This fee is just for dispatching. This includes finding loads, filing out necessary packets, ordering insurance certificates as needed, signing load/rate confirmations and forwarding to trucking company representative, dispatching driver with a driver instruction sheet if requested. (The driver instruction sheet does not show the rate paid for the load). We will upload invoices to factoring company. 10% of the gross revenue of each shipment with a minimum charge of $25.00 of each load. This fee includes dispatching as above. Invoicing and filing IFTA every quarter. We can also supervise your drug program. In the case of an audit we will have everything you need in a file for the audit. If requested, we will appear on your behalf at the audit to insure everything is in order for a expense only fee.

4 TRUCK AGENT CARRIER AGREEMENT In the event a load is dispatched after verbal acceptance from the trucking company and for some reason that load has to be cancelled (ie: truck break down, driver refusing the load, or anything unforeseen that is not the fault of Crazy Dispatchers) a fee of $25 will be charged. A deposit of $500 will be made to Crazy Dispatchers LLC to be held in account at their offices in Payson, AZ to begin service OR a credit card on file to be charged as each load is dispatched. Once a load is dispatched and confirmation sent, an amount equal to the above stated percentage will be deducted from this account or charged to the card calculated by the gross revenue of each shipment. The business week is from 12:00 AM Sunday to 11:59 PM Saturday. The account funds will be maintained by the carrier, at the original deposit amount stated above on a weekly basis each Monday by 12:00 noon, either by check or direct deposit or credit card. Failure to maintain this amount will result in immediate termination of dispatching until fees are current. Either party has the right to end this agreement without cause at any time with a 7 (seven) day notice by written request either by mail or . Upon cancellation, any unused funds remaining in the deposit account will be refunded to the carrier within fourteen (14) business days without penalty. In the event of cancellation by either party, above trucking company is not to acquire any loads from any manufacturer or broker which was originally set up by Crazy Dispatchers LLC for the period of one year. In the event above trucking company acquires a load by soliciting any broker or manufacturer during the one year period, trucking company agrees to pay above commission on those loads to Crazy Dispatchers, LLC. By signing below, I fully understand the terms of this agreement.
