3 1. Introduction This document provides the Terms and Conditions in doing business with Danelec Marine. This version overrides all previous versions of terms and conditions or Policy and Procedures issued by Danelec Marine. It is our objective to make it easy and simple to do business with us. 2. Warranty 2.1 Warranty Terms a. Warranty Danelec Marine warrants its products against any defects resulting from faulty material for a period of 24 months from the date of shipment (invoice date) from factory, or 18 consecutive months after successful installation / issued IPT Certificate, whichever expires first. Within the warranty period Danelec Marine shall repair or replace on exchange basis, any parts or components proven defective during normal usage, free of charge. Free of charge delivery includes insurance, free packing, sea or rail transport, truck or parcel post to any destination indicated by the Purchaser, however, items considered to be dangerous goods are only delivered CPT Airport. Additional costs such as express and special deliveries or air freight have to be paid by the Purchaser. Faults, faulty operation or lack of proper performance of the equipment due to poor or improper installation are not covered by this warranty. This is subject to evaluation by Danelec Marine support or Danelec Marine s test center. The purchaser's warranty claim must be in writing and copy of the Installation report in addition to a service report regarding the nature of the defect attached to the warranty claim. The defective part(s) will have to be returned to the Supplier free of charge for inspection purposes unless expressly agreed otherwise. Shipping costs for return of goods is to be covered by the Purchaser. The installation procedure of the Supplier's product(s) must have been performed properly by a technician holding a valid certificate issued by Danelec Marine and working for a company authorized by Danelec Marine and according to drawings, specifications and installation regulations of the Supplier and the Purchaser. The defect must have been caused by faulty material. Rectification shall not include any defects arising from lack of maintenance or failure to comply with the Supplier's directions, unauthorized or improper use, adjustments or alterations made without the Supplier's written consent or extreme weather conditions. The original warranty period will not be prolonged after the repair or replacement of the defect. Page 3 of 9

Installation ECDIS Within 30 days from date of completion of the installation and commissioning, ECDIS Dump for support and the ECDIS installation report must be filled and send to This is a prerequisite for being an authorized partner of Danelec Marine and a successfully performed installation is a condition for warranty of the equipment to apply. S-VDR/VDR Within 30 days from date of completion of the installation and commissioning, an Installation performance test IPT or APT must be carried out with the latest version of the APT tool and uploaded to Danelec Marine. This is a prerequisite for being an authorized partner of Danelec Marine and a successfully performed APT or IPT is a condition for warranty of the equipment to apply. c. Warranty will be void in situations where Equipment has been subject to improper or inadequate installation. Equipment has been subject to ingress by water, liquids or other foreign bodies. Equipment has been subject to out of limit power input or otherwise unstable supply. Equipment has been subject to unauthorized modifications or alterations. Equipment has been subject to repairs by non-authorized service agents, or by technicians not holding a valid certificate issued by Danelec Marine. Equipment has been subject to improper use or use outside its normal range of usage. Equipment has been subject to impacts beyond the control of Danelec Marine. 2.2 Warranty on spare parts Danelec Marine warrants new spare parts for 18 months from date of invoice. The warranty does not cover normal wear and tear or deterioration or defects, which have been caused by incorrect installation or faulty repair unless caused by the Supplier. When ordering PCBs and modules for warranty replacement, the serial number of the defective equipment must be specified. 2.3 Warranty on repair Danelec Marine warrants all repairs with 6 months from date of invoice. This warranty is given specifically with respect to the repair and does not prolong the original warranty on the complete product. Page 4 of 9

5 2.4 Additional warranty period Danelec Marine can offer additional warranty on new complete systems. This will be in addition to the standard warranty of the products. The additional warranty will not apply to modules and spare parts, but only to complete systems. Consumable parts (parts with natural limited lifetime such as batteries, beacons, etc.) are not covered by the additional warranty period. In order to extend the warranty period, additional warranty can be purchased on a monthly basis at any time, as long as it is purchased within the standard warranty period or the already extended warranty period. The additional warranty will be handled as a normal line item on the order. Please refer to the price list for pricing information. 3. Ordering Procedure All products, modules and spares with a part number mentioned in the price lists can be ordered from sales@danelec-marine.com The current price lists is at any time available from our Partner Site, and it is our Partners responsibility to be updated on the current version Order details All orders must include the following information: Company name (To which the invoice will be send) Purchase order number Required part number Description of equipment Quantity Requested delivery date Delivery details - Delivery address Full style - Name of Person In Charge (PIC) of the delivery, - Phone number and address for PIC Delivery terms. - Name of forwarding company, way of transport AIR/SEA/ROAD and account number for the forwarding company. If this information is not stated on the order, Danelec Marine will make the delivery arrangements, and charge the expense on the invoice. Delivery conditions are always Ex Works. Unused and unopened products may be returned upon agreement and will be credited with maximum 70% of the new price, as all returned products are subject to a full new quality check. Transport cost is on the customer s account. Page 5 of 9

6 3.2. Warranty orders If a unit is covered by warranty, Danelec Marine will replace the item. a. Warranty Exchange: A replacement unit will be sent to you and the defective unit must be returned according to the RMA Procedure below. An invoice will be sent to you upon ship out and once we receive and approve the defective unit, we will send a credit note to bounce out the previously send invoice. The defective unit must be returned for credit within 4 months of the invoice date, to secure credit on exchange terms except SWAP units for which standard payment terms apply. Danelec Marine will bear all cost in connection with shipment of repaired or replaced part(s) by most economical transport. Special shipment, e.g. direct airfreight or special courier, will be charged at actual value. Below 30 kg and non-dangerous goods DAP Door. Above 30 kg and dangerous goods CPT Airport b. Warranty Scrap: A replacement unit will be send to you, and we will ask you to scrap the defective unit. Danelec Marine will bear all cost in connection with shipment of repaired or replaced part(s) by most economical transport. Non Warranty: Items no longer covered by warranty, can be repaired according to Danelec Marine pricelist.. Transport cost is not covered by Danelec Marine 4. RMA Procedure (Return of equipment) 4.1. General Instructions Equipment shall only be returned upon direction from Danelec Marine and the following procedures must be observed and followed when equipment and parts are being returned. Danelec Marine Support department (support@danelec-marine.com) must be contacted, and a full description of the problem provided. The unit must be returned according to the description provided in each case by Danelec Marine Support or Danelec Marine Sales. When returning a unit, it is required that the RMA number and VAT registration number DK , are mentioned on the return material / documents, as well as HS code and value, which will be provided by Danelec Marine in the return instruction. If items are returned / send to us, not complying with the above, any cost will be invoiced to you without further notice. Page 6 of 9

7 4.2. SWAP units Danelec Marine s unique SoftWare Advanced Protection (SWAP) technology enables fast and efficient service on Danelec Marine s products by replacing the whole defect part rather than repairing the SWAP unit on board. To keep the SWAP unit cost as low as possible, Danelec Marine requires that replaced SWAP units must be returned to Danelec Marine for repair/refurbishment. All authorized Danelec partners keep as part of the minimum spare stock SWAP units of: VDR Capsule VDR/ECDIS DPU a. SWAP program order procedure By placing an order for a re-furbished out of warranty SWAP unit, only the repair price will be charged. However, this is conditioned by subsequent return of the defect SWAP unit to Danelec Marine via RMA procedure maximum one week after receipt of the re-furbished SWAP unit (first purchased SWAP units for stock are not conditioned by return of defect SWAP units). Otherwise, the new item price will be invoiced. In warranty onboard SWAP units must likewise be replaced using the RMA procedure. 5. Repair Procedure 5.1. Fixed repair prices Danelec Marine operates with fixed prices for repair of PCB s, modules and units. The fixed repair price reflects the average repair cost for the product/pcb/unit/module, and will ease and simplify the handling of the repairs. At the same time it will provide you with a known cost of the repair, which eventually will ease the handling and administration of repairs for you. The PCBs, Modules and Units which are considered repairable are listed in our price list. Any item returned where no defect is verified (in / out of warranty items) on the product, charges will apply for test and troubleshooting Returning items for repair All PCBs, Modules and Units being returned to Danelec Marine MUST be accompanied by a completed RMA form, as well as technical information describing the error(s) found. If an item considered repairable is (accidently) returned without RMA, Danelec Marine will allow 10 working days to submit the relevant paperwork. If the requested information is not received within this timeframe, the part will then be repaired as not carrying warranty and returned. Part(s) returned directly from a vessel without any further information or verification of Dealer/ Agent/Distributor will not be repaired or processed. Page 7 of 9

Training In general the purpose of the training is to provide the distributor s engineers and technical staff with knowledge which allow them to cover all technical aspects of the product General training information Danelec Marine has a fully equipped in-house training facility with permanent and live equipment set-up. Danelec training courses include all necessary and relevant training material. Course charges apply. Costs such as travel, accommodation and other living costs are to be covered directly by the distributor. Further information about training, including training schedules can be found on the Danelec Marine Partner Site (login.danelec-marine.com) Cancellation Danelec Marine will accept cancellation for training sessions with full refund until one month prior to the first day of the training. If a cancellation is received later than this, charges of the booked course will apply. Seats booked later than one month before first day of training, will not be subject to cancellation. 7.
